São Paulo, 07 de agosto de 2019 – A JHSF Participações S.A. (JHSF3) apresenta os resultados operacionais e financeiros
do segundo trimestre de 2019 (2T19). Todas as informações a seguir relativas ao 2T19, exceto quando indicado de outra
forma, são apresentadas em Reais (R$), com base em números consolidados e de acordo com a legislação societária
brasileira e as normas internacionais de contabilidade (IFRS). Todas as variações percentuais na comparação entre
períodos, exceto quando indicado de outra forma, são nominais. As informações contidas nesse release não foram
auditadas pelos auditores independentes. Recomendamos a leitura deste material em conjunto com as Notas Explicativas,
que constam das Informações Trimestrais (ITR). Todas as informações neste release foram arredondadas para o milhar
mais próximo, gerando assim, arredondamentos que podem divergir imaterialmente nos cálculos. As margens
apresentadas foram calculadas sobre a Receita Líquida, exceto quando indicado de outra forma. Todas as siglas aqui
utilizadas constam do Glossário, apresentado na última página deste release.
Para fins de comparação do 2T19 com o 2T18, os resultados do segmento de Renda Recorrente (Shoppings) relativos
ao 2T18 foram ajustados na mesma base de participação, levando em consideração as vendas de participações
minoritárias ocorridas desde outubro de 2018.
Destaques do Trimestre
Renda Recorrente: crescimento de Vendas dos Lojistas de 20,5%, SSS +11,8%, SAS +12,3%, SSR +8,8%, SAR +8,2%,
Taxa de Ocupação de 97,3%;
Incorporação: 50,9% crescimento da Receita Líquida;
Hotéis e Restaurantes: 89,9% crescimento do Resultado Bruto;
Aeroporto Executivo: contínuo avanço de obras com a conclusão da pista, dois hangares e 19.000m2 de pátios;
Crescimento de 35,4% do Resultado Bruto Consolidado, de 39,3% do Ebitda Ajustado Consolidado e reversão de um
Prejuízo de R$0,03 milhão para um Resultado Líquido Consolidado de R$5,0 milhões ou R$ 50,6 milhões ajustado;
Redução da Dívida Líquida em 40,5%, com alongamento do prazo e redução do custo;
*O Resultado Líquido do 2T19 foi afetado por despesas financeiras não recorrentes de efeito “não caixa” em torno de R$34,0 milhões que

Comentários da Administração 1
Estratégia da Companhia
A Administração da Companhia está focada em desenvolver e gerir ativos voltados para negócios com recorrência de receitas, focados
em atender ao público de alta renda e projetos de uso misto.
O processo decisório das ações da Administração está baseado no equilíbrio entre (i) fortalecimento do resultado operacional; (ii) a
racionalização da estrutura e alocação de capital; e (iii) ações que visam reduzir o custo de capital próprio e de terceiros. O conjunto
dessas ações forma o tripé do processo de criação de valor que pretendemos entregar a nossos acionistas e demais stakeholders.
A Administração da Companhia investiu, e seguirá investindo, em mecanismos e procedimentos internos de integridade, auditoria e
ouvidoria e a aplicação efetiva de códigos de ética e de conduta.
Somos desenvolvedores e operadores de shopping centers desde 1999 e focamos nossos projetos em nichos. Essa unidade geradora
de resultados compreende (i) a unidade de negócios Shoppings: que consolida as operações de shopping centers2, serviços para
shoppings (administração, estacionamentos e fornecimento de energia e telecomunicações); (ii) Cidade Jardim Fashion (e-commerce);
e (iii) o Varejo: operação de marcas internacionais de alto luxo.
O crescimento da Renda Recorrente é baseado em (i) aumento da taxa de comercialização da ABL (sem necessidade de CAPEX),
principalmente em Manaus e Salvador, (ii) expansões de ABL em projetos consolidados, CFO e SCJ, a serem desenvolvidos em áreas
que já fazem parte do land bank da Companhia, com CAPEX incremental reduzido e baixo risco de execução por já estarem ancorados
em empreendimentos maduros, e (iii) lançamento de novo modelo de centro comercial, Cidade Jardim Shops, no bairro Jardins, São
Paulo, com cerca de 5.000m² de ABL.
Hotéis e Restaurantes
Operação de hotéis e restaurantes administrados sob a bandeira “Fasano”. São 7 hotéis em operação (São Paulo, Rio de Janeiro,
Fazenda Boa Vista, Punta del Este, Angra dos Reis, Belo Horizonte e Salvador), além de 22 restaurantes e bares em 7 cidades (São
Paulo, Rio de Janeiro, Brasília, Angra dos Reis, Punta del Este, Belo Horizonte e Salvador).
O potencial de crescimento dessa divisão, no curto prazo, virá de 2 novos hotéis no Brasil (Trancoso e São Paulo, Itaim), onde também
desenvolveremos atividades de novos restaurantes. No médio e longo prazo, temos intenção de crescer nossas operações nos Estados
Unidos e na Europa.
Incorporação
Nos últimos anos, decorrente das condições de mercado, a Companhia focou na monetização dos estoques de empreendimentos já
lançados, preservando valores de mercado. Dadas as condições mercadológicas atuais, mais favoráveis ao desenvolvimento das
atividades de incorporação imobiliária, a Administração da Companhia intensificou trabalhos preparatórios, internos e externos,
visando a retomada de lançamentos imobiliários durante 2S19. Esses projetos serão no atual land bank, trazendo agilidade de
implantação e de forma sinérgica a outros empreendimentos já entregues pela JHSF.
Essa decisão, amparada pela sensível melhora do mercado imobiliário, destacadamente pelo aumento da demanda, fruto dos
crescentes índices de confiança dos clientes e suportado por níveis historicamente baixos de taxas de juros reais, possibilitará a

Companhia incorporar projetos em terrenos que já fazem parte dos ativos da JHSF, iniciando assim um novo ciclo de geração de caixa
e criação de valor.
Refere-se ao São Paulo Aeroporto Executivo Catarina (“SPAEC”), em fase de construção e ao Parque Logístico adjacente ao aeroporto.
A Companhia possui área com cerca de 6,9 milhões de metros quadrados, localizada a cerca de 35 minutos da capital paulista, no
quilômetro 60 da Rodovia Presidente Castelo Branco.
O SPAEC, contará com pista de 2.470 metros de extensão e, em sua fase inicial, com 6.000 m² de hangar e 21.600 m² de pátios, para
atender a aviação de negócios, inclusive jatos executivos intercontinentais. O modelo de negócios que vamos adotar é similar a
soluções implantadas em cidades como Nova Iorque, Londres e Paris, que, após desenvolverem aeroportos dedicados exclusivamente
a aviação de negócios, contornaram o gargalo de capacidade dos aeroportos comerciais, mesma dificuldade verificada nos dois
principais aeroportos da região Metropolitana de São Paulo.
As obras se encontram em estágio avançado, a pavimentação da pista, hangares e concretagem dos pátios estão concluídos, os
acessos e vias internas estão em pavimentação e o terminal de passageiros, assinado por Sig Bergamin, está na fase de estrutura.
Nesse contexto, o SPAEC mantém a sua previsão de inauguração para o 2º semestre de 2019.
Adicionalmente, a Companhia desenvolve projetos técnicos e atividades de prospecção comercial para explorar cerca de 2,0 milhões
de metros quadrados em área adjacente, e mesmo acesso rodoviário, ao SPAEC para atender à crescente demanda por espaços
logísticos em áreas próximas da região metropolitana de São Paulo. Essa atividade deve resultar, em cerca de, 1 milhão de metros
quadrados de galpões, que já estamos em prospecção ativa para ocupantes no conceito Built-To-Suit.
Mercado de Capitais
Desde de seu IPO em 2007, as ações da JHSF Participações S.A (JHSF3) são negociadas no Novo Mercado da B3, o mais alto nível de
Governança Corporativa do mercado acionário brasileiro. A Administração da Companhia desenvolve esforços de comunicação com
intuito de ampliar a base de acionistas da JHSF3. De junho de 2018 até final de julho houve crescimento de 190% na quantidade de
acionistas da Companhia. Esse movimento colaborou também, para o aumento da liquidez de JHSF3, demonstrado pelos aumentos
de 254,6% do volume médio negociado e de 190,3% da média do número de negócios diários.

Diretoria Estatutária
As demonstrações financeiras foram analisadas e aprovadas para divulgação pelo Conselho de Administração em reunião realizada
em 07 de agosto de 2019. O Comitê de Auditoria Estatutário analisou as demonstrações financeiras em reunião realizada em 05 de
agosto de 2019.
Estão disponíveis na sede da Companhia e no site ri.jhsf.com.br os comentários sobre o desempenho consolidado dos negócios da
Companhia.
Auditoria
Em atendimento à Instrução CVM 381/03, informamos que os pagamentos realizados pela JHSF e empresas controladas à Ernst &
Young Auditores Independentes S.S., em contratos iniciados após a definição da contratação para serem os auditores independentes
da Companhia, se referem exclusivamente aos serviços de auditoria externa das demonstrações financeiras anuais e de revisão das
informações trimestrais.
Arbitragem
A Companhia está vinculada à arbitragem na Câmara de Arbitragem do Mercado, conforme Cláusula Compromissória constante no
Estatuto Social.

Comentários sobre as Informações Consolidadas do 2T19

Na Renda Recorrente, na mesma base de comparação com 2T18, houve crescimento de Receita Bruta de 16,0%, decorrente do
crescimento de vendas dos lojistas de 20,5% e aumento da taxa de ocupação em 2,3p.p., combinados com maior receita de aluguel
verificados nos indicadores SSR (+8,8%) e SAR (+8,2%), crescimento de vendas do segmento de Varejo e maior volume de venda de
utilities.
Em Hotéis e Restaurantes, a Receita Bruta cresceu 6,5% e a Receita Líquida 4,0% na comparação com o 2T18, crescimento
impulsionado pela abertura de 3 hotéis no segundo semestre de 2018 (Angra dos Reis, Salvador e Belo Horizonte), além de maior
diária média e número de couverts vendidos.
Na Incorporação, houve crescimento de vendas no empreendimento Fazenda Boa Vista, 59,5% versus o 2T18, que impulsionou o
crescimento de Receita Bruta e Líquida em 52,5% e 50,9%, respectivamente. Adicionalmente, foram vendidas 3 unidades de casas
prontas e decoradas do empreendimento Townhouse.
Na Renda Recorrente foi registrado aumento do CPSV, contudo menor que o registrado na Receita Líquida. O aumento o CPSV na
comparação entre o 2T19 e o 2T18 é atribuído ao maior volume de compra de utilities.
Em Hotéis e Restaurantes, decorrente da estratégia de gestão de custos e apesar da abertura de novas operações, houve redução de
9,8% do CPSV.
Na Incorporação, o aumento dos custos neste trimestre decorreu das vendas do estoque de casas prontas e decoradas (Townhouse).
O Custo dos Produtos e Serviços Vendidos Consolidado da Companhia no 2T19 aumentou 10,8%, menor que o crescimento da Receita
líquida.

Resultado Bruto
O Resultado Bruto apresentou evolução em todos os segmentos. Os segmentos de Renda Recorrente e Hotéis e Restaurantes tiveram
crescimento de margem bruta. O segmento de incorporação foi impactado pela venda de todo o estoque de casas prontas e decoradas
(Townhouse) seguindo a estratégia de monetizar os Ativos da Companhia.

No negócio de Renda Recorrente, houve redução no total de despesas operacionais de 7,6%. O aumento das Despesas Administrativas
decorre da ampliação da estrutura interna, principalmente no segmento do Varejo, que passou a contar com novas operações, e o
Cidade Jardim Fashion, ferramenta de E-commerce do Shopping Cidade Jardim.
No negócio de Hotéis e Restaurantes, o aumento de Despesas Administrativas ocorreu devido a abertura de novas unidades de hotéis
e Restaurantes.
Na Incorporação, o crescimento das Despesas Comerciais decorre do maior volume de vendas (comissões) e marketing, o aumento
em Despesas Administrativas, devido ao reforço da estrutura para suportar os novos projetos e lançamentos.
Na Holding, o 2T19 está impactado por gastos com estruturação da operação financeira que resultou no alongamento da dívida e na
redução de custo, com economia de aproximadamente R$ 30,4 milhões pelo prazo da operação, bem como pelo pagamento de bônus
aos Administradores convertidos em sua totalidade em Ações de emissão da Companhia para retenção no longo prazo. Essas despesas
não recorrentes foram de R$ 8,9 milhões.
Abaixo, tabela com o saldo de valor justo das Propriedades para Investimentos. Importante ressaltar que o 2T18 está na mesma
base de comparação que o 2T19, considerando a venda de participações minoritárias.
As despesas não recorrentes ajustadas ao Ebitda incluem: remuneração variável (efeito “não caixa”), investimentos em estrutura de
Shoppings (allowence), crédito de impostos no segmento de Renda Recorrente, provisões (efeito “não caixa”) e outras despesas não
recorrentes ao negócio.
A Despesa Financeira do 2T19 está impactada, em aproximadamente, R$ 34,0 milhões por eventos não recorrentes, principalmente
por amortização antecipada de comissões pagas por ocasião de contratação de financiamentos (efeito “não Caixa”), que foram
quitados de forma antecipada com os recursos oriundos de emissão do Certificado de Recebíveis Imobiliários (CRI).
Excluindo-se os eventos não recorrentes descritos acima, o Resultado Financeiro recorrente apresentou redução de 14,1% versus o
2T18.

Dentro da estratégia de alongamento e redução de custo da estrutura de dívida, foi realizada a emissão de debêntures simples,
utilizada como lastro para a emissão de Certificados de Recebíveis Imobiliários (CRI), no montante total de R$ 650 milhões, com prazo
total de 15 anos.
Em termos comparativos, esta emissão tem juros remuneratórios inferiores à média atual verificada de forma consolidada na JHSF e
prazo médio equivalente a 8,6 anos.
Com isso, a dívida líquida no 2T19 consolidada encerrou em 3,7x o Ebitda Ajustado acumulado dos últimos 12 meses, com redução
de custo médio e alongamento no prazo médio.

Indexadores da Carteira de Recebíveis Consolidada
(Base junho 19)
A Carteira de Recebíveis de Incorporação gerou aproximadamente R$ 1,8 milhões de receita financeira no 2T19 e possui indicadores
distribuídos conforme gráfico acima, acrescidos de juros médio de 4,45%. A Companhia utiliza a carteira de recebíveis imobiliários
performados como garantia para certas linhas de financiamento contratadas, essencialmente aquelas gerencialmente alocadas à
unidade Incorporação.

O CJ Express é um serviço que permite a compra e entrega de todos os itens à venda no Shopping Cidade Jardim.
Com valor mínimo de R$ 200, o novo serviço permite a compra remota de produtos que não estejam disponíveis
para venda online.
Os produtos de todas as grifes e boutiques estão disponíveis na plataforma, incluindo Dior, Fendi, Hermès, Louis
Vuitton, entre tantas outras.
A entrega é feita no mesmo dia para pedidos realizados até às 14 horas, que podem ser realizados por meio do
aplicativo Cidade Jardim Fashion, disponível para iOS e para Android.
Novidades no Varejo:
No 2T19 houve o início de operação de três novas lojas no Shopping Cidade Jardim: Balmain, CJ Mares e Brunello
Cucinelli.

As vendas dos lojistas cresceram 20,5% na comparação entre os trimestres. A taxa de ocupação consolidada evoluiu 2,3 p.p, e o
custo de ocupação reduziu 0,7 p.p na comparação com o 2T18.

Na divisão de Hotéis os indicadores consolidados apresentaram evolução na comparação trimestral, com aumento de 4,4% na Diária
Média e 26,5% no REVPAR. A taxa de ocupação foi de 63%, apresentando aumento de 12 p.p quando comparada com a taxa do 2T18.
Os indicadores abaixo estão na base SSS, não apresentam as recentes aberturas devido a maturação natural do portfólio e sistema
“soft opening” utilizado nos primeiros meses de operação.
Próximas aberturas:
A inauguração do hotel de Trancoso está programada para o 1º semestre de 2020. A operação mencionada já é geradora de taxas
pré-operacionais e não demandará CAPEX da Companhia, pois será apenas operadora desse ativo.
O Hotel Fasano Itaim possui previsão de abertura no 2º semestre de 2021. Será localizado na cidade de São Paulo no bairro Itaim,
perto da avenida Faria Lima, região onde se concentram diversos polos que atraem público alvo do Fasano.

A JHSF possui aproximadamente 65% da empresa HMI, Holding que controla as operações Fasano.

RESTAURANTES
O número de couverts da divisão de Restaurantes no 2T19 apresentou um aumento de 35,4% na comparação com o 2T18.
Já o couvert médio, apresentado na base SSS (mesmas operações), cresceu 3,1% no 2T19, em comparação ao 2T18.
No 2T19, houve a abertura oficial do Gero Panini, novo endereço do Grupo Fasano, dedicado a sanduíches. Com ambiente jovem e
descontraído, a nova casa tem localização privilegiada, o Pátio Victor Malzoni, edifício emblemático no coração do Itaim-Bibi, além de
estar situado em um pequeno bosque ao ar livre em meio ao movimento acelerado do bairro que o rodeia.
A tabela abaixo demonstra a totalidade da Receita Bruta de todas as operações de Hotéis e Restaurantes no 2T19 (com participação
de minoritários, motivo pelo qual difere da receita bruta das demais tabelas deste release), apresentando crescimento de 32,2% nesse
trimestre.

No segmento de Incorporação, a Companhia seguiu sua estratégia de venda de estoques, com foco comercial nos empreendimentos
Fazenda Boa Vista e Horto Bela Vista. Além do lançamento e vendas de lotes na Fase 7, Reserva Boa Vista, e das Sports House na
Fazenda Boa Vista.

São Paulo, August 7th 2019 – JHSF Participações S.A. (B3: JHSF3) announces its operating and financial results for the
second quarter of 2019. All the following information, unless otherwise indicated, is presented in Brazilian Reais (R$),
based on consolidated figures and in accordance with Brazilian corporate law and International Financial Reporting
Standards (IFRS). All percentage changes between periods are nominal, unless otherwise indicated. The information held
in this release, was not audited by the independent auditors. We recommend this material to be read in conjunction with
the Explanatory Notes to the Quarterly Financial Statements. All amounts have been rounded to the nearest thousand,
generating rounding and resulting in immaterial divergences. Margins are calculated as a percentage of net revenue,
except when otherwise indicated. All the acronyms used herein are defined in the Glossary on the final page of this
document.
For comparison purposes, the 2Q18 income statement for the 2Q18 Recurring Income was adjusted in the same basis
as the participation in 2Q19's shopping assets, taking into account the sale of minority interests occurred in October
2018 to the fund real estate XP Malls.

Strategy
JHSF Management is focused on developing and managing real estate assets geared towards business with recurring revenues and on
serving high-income individuals or mixed-use projects.
Management's decision-making process is based on the balance between (i) strengthening of operating results; (ii) the rationalization
of the structure and capital allocation; and (iii) actions aimed at reducing the cost of equity and third parties. All these actions form
the tripod of the value creation process that we intend to deliver to our shareholders and other stakeholders.
The Company’s Management has invested, and will continue investing, in integrity internal mechanisms and procedures as well as in
audit, ombudsman and in the effective application of ethics and conduct codes.
Our Business
Recurring Income
We have been developers and operators of shopping centers since 1999 and have focused our projects on niches. This results-
generating unit comprises (i) the Shoppings business unit: which consolidates the operations and services (administration, parking
and energy supply and telecommunications) for malls; (ii) Cidade Jardim Fashion (e-commerce); and (iii) Retail: operation of
international luxury brands.
The growth in Recurrent Income is based on (i) increase in the commercialization rate of GLA (not CAPEX), mainly in Manaus and
Salvador, (ii) expansion of GLA in consolidated projects, CFO and SCJ to be developed in areas that is already part of the Company's
land bank, with reduced incremental CAPEX and low risk of execution because they are already anchored in mature enterprises, and
(iii) launching of a new shopping center model, Cidade Jardim Shops, in the Jardins district of São Paulo, with about 5,000m² of GLA.
Hotel and Restaurant operations under the Fasano brand, includes 7 hotels in operation (São Paulo, Rio de Janeiro, Fazenda Boa Vista,
Punta del Este, Angra dos Reis, Belo Horizonte and Salvador), as well as 22 bars and restaurants in 7 cities (São Paulo, Porto Feliz, Rio
de Janeiro, Brasília, Angra dos Reis, Punta del Este, Belo Horizonte and Salvador).
The potential growth of this division, in short term, will derive from 2 new hotels in Brazil (Trancoso and São Paulo Itaim), where we
will also develop new restaurants activities. In the medium and long term, we intend to internationalize the operations, having the
United States and Europe as a destination for our additional operations.
In recent years, due to market conditions, the Company has focused on monetizing inventories of projects already launched,
preserving market values. With the current market conditions, which are more favorable to the development of real estate
development activities, the Company's management intensified preparatory work, both internal and external, aiming at the
resumption of real estate launches during 2H19. These projects will be in the current land bank, bringing agility of implementation
and synergistically to other projects already delivered by JHSF.
This decision, supported by the significant improvement in the real estate market, notably by the increase in demand, as a result of
rising customer confidence levels and supported by historically low levels of real interest rates, will enable the Company to incorporate
projects into land that is already part of JHSF assets, starting a new cycle of cash generation and value creation.

Executive Airport
Refers to the São Paulo Catarina Executive Airport ("SPAEC"), under construction, and to the Logistics Park adjacent to the airport.
The Company has an area of approximately 6.9 million square meters, located about 35 minutes from the city of São Paulo, at
kilometer 60th of the Presidente Castelo Branco Highway.
The SPAEC will have a runway of 2,470 meters and, in its initial phase, with 6,000 m² of hangar and 21,600 m² of patio, to attend to
business aviation, including intercontinental executive jets. The business model that we are going to adopt its similar to solutions
implemented in cities such as New York, London and Paris, which, after the development of airports dedicated exclusively to business
aviation, circumvented the capacity bottleneck of commercial airports, the same difficulty found in the two major airports of the

The construction is at final stage with the runway, hangars and patios pavement conclusion, the entrances and internal accesses are

In addition, the Company develops technical projects and commercial prospecting activities to explore approximately 2.0 million
square meters in adjacent area, and the same road access, to SPAEC to meet the growing demand for logistics spaces in areas near
the metropolitan region of São Paulo Paulo. This activity should result in about 1 million square meters of warehouse that we are
already being prospecting clients to occupy in a Built-To-Suit concept.
Capital Market
Since its IPO in 2007, JHSF Participações S.A (JHSF3) shares are traded on B3's Novo Mercado, the highest level of Corporate
Governance in the Brazilian stock market. The Company's Management develops communication efforts to expand JHSF3's
shareholder base. From June 2018 until the end of July, there was a 190% growth in the number of shareholders of the Company. This
movement also contributed to the increase in JHSF3's liquidity, shown by the 254.6% increase in the average traded volume and
190.3% in the average number of daily trades.

In the Recurring Income, in the same base of comparison with 2Q18, there was a Gross Revenue growth of 16.0%, due to the store
sales growth of 20.5% and higher occupancy rate by 2.3pp, combined with higher rental revenues reflected in the SSR (+ 8.8%) and
SAR (+ 8.2%), sales growth in the retail segment and higher utilities sales volume.
In Hotels and Restaurants, Gross Revenue grew 6.5% and Net Revenue 4.0% compared to 2Q18, growth driven by the opening of 3
hotels in 2018 (Angra dos Reis, Salvador and Belo Horizonte), in addition to higher average daily rate and number of couverts sold.
At the Real Estate, there was sales growth in the Fazenda Boa Vista project, 59.5% versus 2Q18, which boosted Gross and Net Revenue
growth of 52.5% and 50.9%, respectively. Additionally, 3 units of completed and furnished houses were sold of the Townhouse project.
As a result of these factors, the Company's Gross and Net Consolidated Revenues grew 25.0% and 25.1%, respectively.
In the Recurring Income, an increase of CPSV was recorded, however, lower than that recorded in the Net Revenue. The CPSV increase,
in the comparison between 2Q19 and 2Q18, is attributed to the higher volume of utilities purchases.
In Hotels and Restaurants, due to the cost management strategy and despite the opening of new operations, there was a 9.8%
reduction in CPSV.
In the Real Estate, the increase in costs this quarter was due to sales of finished and decorated houses inventory (Townhouse).
The Company's Consolidated Cost of Goods and Services in 2Q19 increased by 17.42%, lower than the increase of Net Revenue.
Gross Profit
Gross Profit showed evolution in all segments. The Recurring Income and Hotels and Restaurants segments had gross margin growth.
The Real Estate segment was impacted by the sale of the entire inventory of completed and decorated houses (Townhouse) following
the strategy of monetizing the Company's assets.

In the Recurring Income business, total operating expenses decreased by 7.6%. The increase in Administrative Expenses is due to the
expansion of the internal structure, especially in the Retail segment, which now has new operations, and Cidade Jardim Fashion,
Shopping Cidade Jardim's E-commerce tool.
In the Hotels and Restaurants business, the increase in Administrative Expenses was due to the opening of new hotel and restaurant
units.
In the Real Estate, the increase in Selling Expenses is due to the higher sales volume (commissions) and marketing in Administrative
Expenses, as well as the reinforcement of the structure to support new projects and launches.
In Holding, 2Q19 is impacted by expenses with the structuring of the financial operation, which resulted in debt term extension and
cost reduction, saving approximately R$ 30.4 million over the term of the operation, as well as the payment of bonuses to the
Directors, all converted in shares issued by the Company for long-term retention. These non-recurring expenses were R$ 8.9 million

Within the strategy of lengthening and reducing the cost of the debt structure, debentures were issued, used as a backing for the
issuance of Real Estate Receivables Certificates (CRI), in the total amount of R $ 650 million, with a total maturity 15 years.

In the Hotels division, the Consolidated indicators showed an increase in the quarterly comparison, with Average Daily +4.4% and
REVPAR +26.5%. The occupancy rate was 63% up 12 p.p when compared to 2Q18.
The indicators below are based on SSS, do not show the recent openings due to the natural maturation of the portfolio and soft
opening system used in the first months of operation.
Next openings:
The inauguration of the Trancoso hotel is scheduled for the first half of 2020. The aforementioned operation is already generating
pre-operational rates and will not require CAPEX from the Company, since it will only be the operator of this asset.
The Hotel Fasano Itaim is scheduled to open in the first half of 2021. It will be located in the city of São Paulo in the Itaim neighborhood,
near Faria Lima Avenue, a region where several poles attract Fasano's target audience.

The number of couverts in the Restaurants division in 2Q19 increased 35.4% compared to 2Q18.
The average couvert, presented in the SSS base (same operations), grew by 3.1% in 2Q19, compared to 1Q18.

In the Real Estate segment, the Company followed its strategy of selling stocks, with a commercial focus on Fazenda Boa Vista and
Horto Bela Vista projects. In addition to the launch and sales of the phase 7 (plots) and the Sports House ate Fazenda Boa Vista.
In 2Q19, contracted sales from the Real Estate Development business were boosted by sales performance at Fazenda Boa Vista, as
well as the sale of all 3 completed units of the Townhouse project.
At the end of the second quarter of 2019, the stock of Fazenda was 209 lots (out of a total of 885), or approximately 900 thousand
square meters.

Glossary
EBITDA: Net income for the period plus income taxes, net financial expenses from financial income and depreciation, amortization
and depletion. The calculation of EBITDA may be adjusted for non-recurring items, which contribute to the information on the
potential gross cash in the Company’s operations. Adjusted EBITDA does not have a standardized meaning and our definition may not

Gross Leasable Area (GLA): This represents the areas available for leasing in shopping malls.
GLA owned by the Company: This refers to the share JHSF owns in the malls.
Occupancy Rate: This is the area leased divided by the GLA of each shopping mall at the end of the period in question.
Occupancy Cost: It is the occupancy cost of a store as a percentage of sales. It includes rent and other expenses (condo and promotion
