Dear Commissioner:

There has recently been the beginning of a public discussion concerning the possible
redevelopment of the lands in the vicinity of the Rogers Centre, possibly including
the present Rogers Centre facility itselE While the precise role to be played by
Rogers Communications Inc (‘RCI’] as owner of the Rogers Centre itself is not yet
clear, they would obviously have to be involved in a significant way through their
ownership of the Rogers Centre.

As you know from our prior correspondence, I have continued to serve during my
time as Mayor as a Trustee of various Rogers Family Trusts. While these Trusts do
not involve themselves in the day to day business of Rogers, they do have an
important role in the ownership structure of RCI. Consequently, I have adopted the
practice of declaring a conflict and recusing myself from matters in which RCI is
directly involved or ventures in which they hold a controlling position. In my view,
matters concerning the Rogers Centre fall in that category.

In the past few days, this matter moved beyond initial general public discussion to a
meeting with the local Councillor and so I contacted you to initiate the formal
declaration of a conflict on my part and the implementation of a protocol to be
followed by me and by my office as this matter moves forward.

This letter seeks your advice on the folLowing matters:

1. Since I have decided to declare an interest on this matter and recuse myself from
discussion and comment I would appreciate your advice on how best to do that
outside of the normal proceedings of Council as there may be no item in front of the
Council for sometime.

2. 1 would appreciate your confirming the manner in which I would conduct myself
relative to this matter, meetings related to this matter, requests for public comment
etc. (i.e. how I communicate that I will not be involved in these activities).

3. I would ask for your advice on the conduct ofmy staff relative to this matter, as in
(2) above.

4. Any other advice you wish to offer as to how I can take steps to ensure that the
public has confidence in how this matter is handled by the City and by me including
on matters surrounding my absence from this process.
