PROFESSIONAL (MENTORING) SERVICES AGREEMENT 2019

This PROFESSIONAL Services Agreement, dated ____________________, is entered into

between --------------------------------- (“Mentor”), and
_____________________________________________________________ (“Student”).

RECITALS

A. Mentor is in the business of providing consulting and mentoring services in the field of
Financial trading education, to enable Student learn execution of Currency Trading for own
trading .
B. Student wishes to engage the services of Mentor to obtain mentoring services for the
purpose of learning Trading of Currencies and FX Futures Options and Modelling of Algorithmic
trading.
AGREEMENT
NOW, THEREFORE, the parties agree as follows:

1. TERM: This Agreement will commence on ___________ (the “Commencement Date”), and
will continue in effect for 6 months from the Commencement Date.
2. SERVICES: Mentor will provide learning materials and exercises to practise Currency trading,
3. Mentoring Fees: Mentor undertakes not to charge any fee to Student for their services in
exchange of Student agreeing to provide Mentor the services as mentioned in clause 4 without
any fee as part of a barter deal.
4. Mentee Services: Mentee agrees to provide free of cost the following services within 3
months and as and when required by Mentor within 36 hours of receiving the instructions or a
brief received by the Mentor during the 6 months period: .

01. Setting up of virtual FX Trading and FX Futures Options Strategy Laboratory:

Video demonstrations on “Getting started” with paper trading accounts and conduct
simulated trading on both desktop-based and mobile financial trading platforms in
general and Metratrader 4 and Interactive Broker's TWD and IBKR.

02. Production of video/ e-learning lessons using screen recording of PP slides, charts,
infographics, illustrations, graphics and text, quizzes, etc based on material supplied by
Mentor.

03. Providing audio and video narration: Making voice-overs for the video lessons and
any webinars on trading as required by Mentor.

04. Algorithmic (algo) programming for Interactive Brokers and Metatrader using their
APIs or platforms in a suitable programming language.

05. Excel and VBA programming related to financial trading and modelling.

5. PROPRIETARY AND CONFIDENTIAL INFORMATION: Student acknowledges that Mentor

will share with Student proprietary and confidential information and strategies developed by
Mentor. The information, strategies and materials were developed by Mentor through the
investment of significant time, effort and expense, and the information is a valuable, special and
unique asset of Mentor. For purposes of this Agreement, the term “Confidential Information”
means any information which is proprietary to Mentor, and which Student obtains through direct
or indirect contact with Mentor, whether such information is provided in written, oral, graphic,
pictorial or recorded form. All information furnished to Student by Mentor will be considered
Confidential Information, unless otherwise so indicated.
6. NON-DISCLOSURE OF PROPRIETARY AND CONFIDENTIAL INFORMATION: Student
will not disclose, and will use his/her best efforts to prevent the unintentional disclosure, of
Confidential Information to any third party, unless Mentor expressly consents in writing to the
disclosure. Student’s responsibility to not disclose Confidential Information will continue after the
expiration of this Agreement for a period of two (2) years.
7. ASSIGNMENT OF IMPROVEMENTS TO CONFIDENTIAL INFORMATION: Student agrees
that any enhancements or improvements to the Confidential Information, whether developed by
Mentor or Student, will remain the sole property of Mentor. Student agrees that he/she will
promptly inform Mentor of any improvements to the Confidential Information that are developed
by Student, and Student hereby assigns to Mentor all right, title and interest Student may have
in any such improvements or enhancements to the Confidential Information.
8. NO WARRANTY: Mentor does not warrant or guarantee that Student will earn any specific
level of profits as a result of the Mentoring Program.
9. NO JOINT VENTURE: This Agreement does not constitute a joint venture, agency
relationship, or a partnership of any kind between Student and Mentor, and none will be implied
by the terms of this Agreement.
10. ENTIRE AGREEMENT: This Agreement contains the entire agreement of the parties, and
supersedes any other agreements between the parties, either oral or in writing, relating to the
subject matter of this Agreement. No other agreement, statement, or promise relating to the
subject matter of this Agreement that is not contained in it will be valid or binding.
11. COUNTERPARTS: This Agreement may be signed in counterparts, with signatures
transmitted electronically. The counterparts and electronically transmitted signatures will be
deemed to be one and the same document when each party has signed one such counterpart.
