Background
• The RTD was initiated to discuss and explore the possibility to create a Company to support
projects to for the supply of materials, equipment and services to identified market areas.

Discussion
1. Proposed Name of the Company:
GLOCALTECH INDUSTRIAL SUPPLY AND SERVICES INC.

2. Purpose and Objectives:

To engage in the conduct and carry on the business of wholesales and after-sales services of
Industrial tools, equipment and their related accessories & supplies.

3. Proposed Business Address:

As proposed by one of the partners, initially the address will be at partner’s residence in Las
Pinas City. It was also proposed to execute Lease Contract for the office use for the purpose
of customer audit should there be in the future.

4. Products and Services:

• Ground Services Equipment
• NDT Equipment and accessories
• Safety Equipment
• Aircraft hardware and supply

• Technical Support and Services

• Authorized Capital : Php 1,000,000.00
• Subscribed Capital : Php 250,000.00
• Paid-Up Capital : Php 62,500.00
• Operational Capital : Php 80,000.00

NOTES:
• Based on the above figures, the total cash amount needed to register the Company is
Php 142, 000.00 (Paid-up Capital + Operational Capital). Or each shareholder (for 5
shareholders) should provide a cash amount equivalent to no less than Php 28,500.00
or Php 30,000.00 (rounded up).
• The said amount should be readily available for release once all shareholders agreed
to register the Company on specified period or date.

8. Share Holdings:
• Delia C. Michalk (DCM) : 20% -to nominate name of representative
• Ed C. Aguilar (ECA) : 20% -to nominate name of representative
• Ric V. Gonzales (RVG) : 20% -to nominate name of representative
• Lucila Q. Batac (LQB) : 20% -to nominate name of representative
• Reden C. Malia (RCM) :20%

NOTES: Each nominated name should have a readily available profile and details. They should
be available for signing the documents without any issues or problem.

9. Corporate Officers:
• President or CEO
• Treasurer or CFO
• Corporate Secretary
• Compliance Officer**
** In the absence of compliance officer, the Corporate Secretary will serve also as
Compliance Officer.

 NOTES: The shareholders should have a collegial decision on who will be the officers of the
Company.

10. Management and Staff Requirements:

The following staff requirements were suggested during the RTD.
• One (1)- Admin & Staff officer
• One (1)- Sales Executive
• One (1)- Technical Support
• One (1)- Managing office

11. Target Date:

During the RTD, it was suggested to register the Company by July 2019.

Recommended Actions:
• It was suggested during the RTD to send the RTD Notes to all concerned shareholders to
send their comment and suggestions on the above discussions.
