If the Total Fund based / Non Fund based limit granted to a borrower is Rs.50
lacs or above “Common Hypothecation Agreement” (CHA) is to be obtained
instead of other documents mentioned above.
However, this agreement does not cover the cases where second charge is to be
created on fixed assets (or hypothecation of fixed assets) which are permanently
embedded to the earth.

II. Whenever additional securities (our Term Deposits and other approved
securities) are offered by the borrower for enhancement/modification of the limit
supplemental letter (NF 919) and pronote for the differential amount should be
obtained.
III. Wherever the advances against such approved securities in the name of
persons other than the borrower are enhanced, at the time of renewal a new letter
of request (NF 970) should be obtained from the person in whose name/s the
security/ies is/are held. This letter of request should cover the total limit including
the present enhancement. When the limits are enhanced the following documents
are to be obtained from the borrower :
IV. Apart from the above documents, AOD/AOS wherever applicable should be
obtained from the borrowers as per our existing guidelines.
V. When the limits permitted against third party guarantee, in addition to other
securities, are renewed with or without enhancement, the documentation
procedure advised in para 24 Chapter I of common guidelines in this this Part
should be followed.

For Adhoc Limits :
The procedure for creation of EMT by branches in notified areas and also Non-
notified areas is given in 2.8.1 to 2.8.14 of Documentation Manual
Wherever the party requires an additional loan within the maximum limit notified
in the LEDTD or upto the extent of such maximum limit, there is no necessity of
putting through the mortgage afresh. However, a link letter is to be
obtained as per Appendix -35 before disbursing an additional loan amount.
Whenever the additional loan requirement exceeds the maximum limit notified
in the LEDTD, fresh EMT has to be put through as detailed in the ensuing
chapter.

REGISTRATION OF CHARGE WITH REGISTRAR OF COMPANIES
In the case of corporate borrowers, it should be ensured that the necessary Board
Resolution is passed authorising the company to create II charge in favour of the
bank. A certified copy of such resolution shall be kept along with the loan papers
After completing the formalities as above, branch shall file form no. 8 for
Registration of charge with Registrar of companies. Hard copy of the forms filed
with ROC through E-mode shall be taken and kept along with the loan papers as
also the receipt of fee payment. Besides, the Registration Certificate issued by
ROC should also be kept safe along with the relevant loan documents.

PART IX - Limitation Schedule / AOD / Precautions in documentation
Limitation Aspects:
For the purpose of computing the period of limitation for any suit, the date from which such
period is to be reckoned shall be excluded. Example: If a pronote is dated 29.04.2010, it will
complete 3 years on 28.04.2013. Since the first date is to be excluded, the suit can be filed
latest on 29.04.2013.
Educational Loans:
i) For the purpose of computing limitation period for filing suit, the period during which the
borrower stays abroad is to be excluded.
ii) Wherever circumstances necessitate obtention of AOD, it should be got executed and
stamped as per the law in force at the place the borrower resides.
Or
iii) AOD may be got through postal correspondence by addressing a letter to the borrower.
The signature on the AOD should be witnessed by his/her banker abroad or by any other non-
resident maintaining account with us or by the Consulate Officer of the
Embassy/Consulate of India in that country.
iv) When AOD is received in India, the same shall be stamped as per the law in force in the
place where the branch is situated, within 3 months from the date of its receipt in India.

Forms for AOD / AOS / LOR (to be obtained within the limitation period):
NF 760 – Common AOD/AOS /LOR is to be obtained from the borrower/s as well as the
coobligant/s, irrespective of whether security is available or not.
NF 761 – Form of AOD / AOS to be obtained from the legal heirs of the borrower / co-
obligant
NF 821 - If the borrower / Co -obligant/Guarantor signs in any language other than English,
declaration in this form is to be obtained from attester.
Appendix 10 – Declaration to be obtained when the signatures (signature in loan paper and in
AOD) has undergone significant change
i) Inappropriate documents;
ii) Documents not in complete sets as prescribed by the Bank;
iii) Documents which are left partially blank;
iv) Obtention of photocopies of loan agreements as part of the prescribed
documentation.
v) Obtention of copies of Typed Agreements (other than the one originally
typed).
vi) Overwritings/erasings without proper authentication by the borrower;
vii) Unstamped or inadequately stamped or improperly stamped documents;
viii) Documents executed wherein)
a) all the parties have not joined the execution;
b) the person has no proper authority.
Examples:
-Documents executed by agent without Power of attorney in force.
-Propriety not marked
c) the person does not have the capacity to enter into a contract.
Example: Minor, lunatic, etc.
