CONTRACT OF LEASE

KNOW ALL PERSONS BY THESE PRESENTS:

This contract of lease made entered into by and between , of legal age, and resident of
hereinafter referred to as LESSOR.

JUDY W. GUEVARA

LESLIE CORPORATION, a domestic corporation duly organized and existing under the laws of the Philippines
with the principal office address at #4 Dama de Noche St., United Paraňaque IV, Paraňaque, Metro Manila,
represented in this act by JUDY W. GUEVARA hereinafter referred to as LESSEE.

WITNESSETH

WHEREAS, the LESSOR is the lawful owner of the land with TCT no. Located at
consisting of sq. m. more or less.

WHEREAS, the LESSOR has offered to lease a portion of the property to the LESSEE, with an area of meters, __
more or less, and the LESSEE has agreed to lease the same under the terms and conditions herein provided.

NOW THEREFORE, for and in consideration of the above premises and their mutual covenants, the
parties hereto have agreed as follows:

1. TERMS AND DURATIONS OF LEASE – The term and durations of this lease shall be for ()
year(s) effective to and renewable at the option of both parties. However, failure of the parties to renew
the same upon the said expiry date and the LESSEE is still in the possession thereof, this contract of leased is
deemed renewed for a similar terms and condition.

2. RATE AND DUE DATE OF RENT – the LESSEE shall pay to the LESSOR the following monthly
rentals:

Philippine currency, due within first five (5) days of the following month to which the rentals apply.

The Lessee shall issue PDC to cover the monthly rentals for the duration of lease.

3. DEPOSIT AND ADVANCE RENT – The LESSEE shall pay to the LESSOR the amount of pesos:
(Php ), representing the one (1) month advance rental which shall be applied on the first months of
operation. Likewise, the LESSEE shall pay to the LESSOR the amount of pesos: (Php ), representing the
Two (2) months deposit which shall cover any unpaid rentals: subject to refund when not otherwise applied.

4. USE OF PREMISES – The space leased shall be used by the LESSEE as a fast food stand to sell
snacks such as hamburgers, cheeseburgers, noodles, hot-dogs, etc., on a 24-hour basis. At no instance shall the
leased premises be used for any illegal or immoral purposes.

5. OTHER CONDITIONS – Parties thereto likewise further agreed as follows:

a. The deposit in item 3 above is not subject to forfeiture if lease contemplated fails to
commence notwithstanding the signing hereof as when the LESSEE did not occupy the
space for reason not caused by or attributable to LESSEE and in such event LESSOR
undertakes to refund the said amount in item 3, without need of formal written demand,
but if written demand is made, then such refund shall effect within one (1) week upon
receipt of such written demand;

b. The LESSE and its authorized representative shall have the responsibility of procuring at
its own expense all licenses and permits necessary for the operation of the food stand.
That the lessee shall be responsible for the observance of all government regulations
required in the premises, including sanitation and maintenance of the leased premises.

c. The LESSEE and its authorized representative shall have the right to connect a separate
electrical and water meter for itself, upon the installation of which LESSEE shall be
liable for its electrical and water consumption to be paid directly to the power and water
companies.

d. LESSOR agrees not to lease any remaining portion of the above property to any
competitive business or firm without prior written consent of the LESSEE.

e. The LESSOR shall not allow placing or building of any kind of construction permanent
or movable object in front or on the side of the LESSEE’s premises and the former shall
be responsible for the removal of all obstruction thereof; STORE
f. Either party to this contract shall have the right to terminate this agreement prior to its
expiry, upon submission of a formal letter of termination stating reasons for such action,
which should be deemed acceptable to both parties. Said notice shall be made Thirty
(30) days prior to the proposed termination date;

g. Upon expiry of the term of lease, unless renewed as herein provided, LESSEE and its
belongings as well as persons under its employ shall vacate the premises leased;

h. “This Contract shall be binding upon the LESSOR’s heirs, successors-in-interest,


executors, administrators and assigns.”

i. The LESSOR warrants that he has full legal rights to enter into this Contract over the
subject property and hereby binds himself, at his expense to guarantee, ensure and
defend the LESSEE’s legal right to the peaceful possession of the property for the
duration of the lease against claims of third parties.
