MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENT:

This Agreement made and entered into by and between:

________________________, Filipino, of legal

age, and a resident of 292 Tabucan, Mandurriao,
Iloilo City hereinafter referred to as the FIRST PARTY.

age, and a resident of Iloilo City, hereinafter referred to
as the SECOND PARTY
WITNESSETH:

WHEREAS, the FIRST PARTY has agreed to form a joint business venture with
the SECOND PARTY to form a REAL ESTATE business;

WHEREAS, the FIRST PARTY will contribute her property located at Santa
Barbara, Iloilo as the site for the REAL ESTATE business and ensures that all the
necessary legal documents and titles in the subject property shall be with clean titles ;

WHEREAS, the SECOND PARTY will contribute his expertise, skills, knowledge
in the planning, development, construction, operation and maintenance of the REAL
ESTATE business representing his corporation;

WHEREAS, the SECOND PARTY will shoulder all the necessary expenses in
relation to the REAL ESTATE business and will only take a proportion of the expenses
based on the income in the REAL ESTATE business;

THEREFORE, both PARTIES have agreed to form a joint business of REAL

ESTATE business subject to the following terms and conditions:

1) That, the sharing of both PARTIES shall be on a 50-50 percent sharing of

ALL income based in this REAL ESTATE business;

2) That, both PARTIES will agreed in the official payment method/scheme

for this business;

3) That both PARTIES declare that this REAL ESTATE business is a

legitimate REAL ESTATE business which must be registered and licensed in all
government agencies or local government units needed for the business of REAL
ESTATE;

4) In case of the buyer`s payment of checks or any non-cash instruments, the

encashment of the checks or instruments shall be signed by both PARTIES. In lieu of the
FIRST PARTY`s absence, her son _______________ by virtue of his Special Power of
Attorney with the FIRST PARTY shall be allowed to sign in behalf of the FIRST PARTY.

IN WITNESS WHEREOF, the parties have hereunto affixed their signatures on this May
27, 2019 at Iloilo City, Philippines.
