DEED OF ASSIGNMENT AND TRANSFER OF RIGHTS

KNOW ALL MEN BY THIS PRESENTS:

This deed made and entered into this ________ day of __________
2019 at the City of Tacloban, by and between:

MARY GRACE A. ALMERO, Filipino Citizen, of legal age,


single, and with residence at Brgy. 59-A, 3rd Street,
Sampaguita, Tacloban City, hereinafter referred to as the
"ASSIGNOR"

-and-

JANETH A. OGSIMER, Filipino Citizen, of legal age, single,


and with residence at Brgy. 71, Tacloban City, hereinafter
referred to as the "ASSIGNEE".

WITNESSETH that -

WHEREAS the ASSIGNOR is the lessee of a commercial stall or


space particularly described as Stall Number 18, located at Gerardo
Villasin Building along Rizal Avenue, Tacloban City;

WHEREAS, the ASSIGNOR has offered to assign all his rights,


title and interest over the above unit, and the ASSIGNEE hereby
accepts the assignment in accordance with the terms herein set forth;

NOW, THEREFORE, for and in consideration of the foregoing


premises, the ASSIGNOR hereby assigns, transfers and conveys unto
the ASSIGNEE, all his rights, title and interest to the aforementioned
property and appurtenant interest in the aforementioned unit
pursuant to this Agreement and the ASSIGNEE by these presents
hereby accepts the assignment and agrees to be bound by the terms
and conditions of the contract of lease and the rules and regulations,
and restrictions pertaining to the said unit.

Therefore, in consideration of the mutual covenants contained


herein and other valuable consideration received, and with the intent
to be legally bound, the parties agree as follows:

1. Assignor hereby assigns the Lease and all of its right, title and
interest thereunder to Assignee. Assignee hereby accepts such
assignment. Assignee shall have all of the rights of Assignor
under the Lease including, without limitation, any option to
renew or extend the Lease and subject to the contract of lease
between the Lessor and Lessee/Assignor.
2. Assignee hereby assumes and agrees to be bound by all of
Assignor's obligations under the Lease. Assignee shall perform
all the terms, covenants and conditions of the Lease, including
the payment of rent and any other required amounts to
Landlord, after the date hereof.

3. Assignee shall indemnify and hold Assignor harmless from any


and all claims, damages, expenses and liabilities of whatever
nature, including attorney's fees, arising under the Lease or
relating to the Premises after the date hereof.

4. Assignee shall not assign the Lease any further or sublet all or
any portion of the Premises without the prior written consent of
Landlord.

5. The Assignee may make any useful improvement in the leased


premises without the prior written consent of the Landlord.
Further, the Assignee shall not introduce any major
renovation/repair on the leased property without the prior
consent from the Landlord.

6. At the expiration of the term of this lease or cancellation thereof,


as herein provided, the Assignee will promptly deliver to the
Landlord the leased premises with all corresponding keys and in
as good and tenable condition as the same is now, ordinary wear
and tear expected devoid of all occupants, movable furniture,
articles and effects of any kind.

7. This DEED OF ASSIGNMENT AND TRANSFER OF RIGHTS shall


be valid and binding between the parties, their successors-in-
interest and assigns.

IN WITNESS WHEREOF, the parties have hereunto set their


hands on the date and place first above written.
