It aims to achive its goal and the management must think new techniques to all

the activities and must plan all the events to become productive and competitive in

industry. This aspect is the most important aspects in establishing a business.

Management is the process of planning, organizing, controlling, directing and staffing

which will help the business to be successful and productive in the industry.

This study gives information on how to build business and how to manage it on its

existence. The mission, vision, objectives, and goals are classified. The organizational

chart, job compensation, benefits and policies are also shown. Lastly, other important

part of business is also discuss in this aspects.

To provide good service and quality of movies that suits for customer’s tastes

and preferences yet affordable price for their parking fee while relaxing and

watching movies.

To be the best and comfortable movie place in town and satisfy the guests

through good environment.

D. LEGAL REQUIREMENTS

Before an enterprise can legally operate, it has to comply first with certain

registration requirements.

A.Securities and Exchange Commission (SEC)

REQUIREMENTS FOR REGISTRATION OF CORPORATIONS AND

PARTNERSHIPS

All applications and supporting documents must be in four (4) copies and in A4

size bond paper with a cover sheets.

Special Audit Reports must be certified by an independent Certified Public Accountant

(CPA), with Statement of Representation filed with the SEC. Said statement must

indicate the CPA Cert. No., PRC/BOA No. and the PTR No. of the CPA and SEC

accreditation of External Auditor if applicable.

All applications must indicate the Tax Identification Number (TIN) of the incorporators,

directors/trustees, stockholders/members for corporations, and partners for

partnerships.Foreign investors are allowed to indicate passport number in lieu of TIN for

registration of a corporation/partnership.

B. Department of Trade and Industry (DTI)


After the issuance of SEC Certificate, the enterprise must then be registered to

DTI. This is to ensure that the enterprise will be recognized as a business entity and

thus, is able to engage legally in business.

Code of Sanitation of the Philippines or Presidential Decree No. 856 is strict that

no business undertaking shall operate a sanitary permit.

The requirements for issuance of sanitary permit are as follows:

3. Master List of all employees – original and photocopied health certificate

5. Inspection report of the Sanitary Permit

E. Department of Environment and Natural Resources (DENR)

To secure the Environmental Compliance Certificate (ECC) for your business,

submit a letter of request to the Environment al Management Bureau (EMB) of the

Department of Environment and Natural Resources (DENR) in your area. State your

intention to obtain an ECC. Attach Project Description, which should include raw

materials or manufacturing technology to be implemented.

F. Bureau of Internal Revenue (BIR)

For single proprietorship


1. Accomplish BIR Form 1901 and submit the same, together with the required

attachments, to the Revenue District Office having jurisdiction over the registered

address of the business establishment. The following are the forms and requirements to

be attached with your application:

a. BIR Form 1901 – Application for Registration

b. Birth certificate or any valid identification showing name, address and birth date

c. Mayor’s permit or application for Mayor’s Permit

d. Department of Trade and Industry (DTI) Certificate of Registration of Business Name

(to be submitted prior to the issuance of the BIR Certificate of Registration (COR)

2. Pay the Annual Registration Fee (P 500.00) at the Authorized Agent Banks of the

RDO.

3. Pay P 15.00 for the Certification Fee and P15.00 for the Documentary Stamp Tax (in

loose form to be attached to Form 2303).

4. The RDO shall issue the Certificate of Registration (Form 2303).

Business purpose are set to be accomplished, these objectives can be obtained

through proper planning. The table shows the span of preparation before starting to

open the business the company has five months allotted for time preparation. Starting

November is the Start of Feasibility study and it should be done until the end of

December. On the month of December, should be done the Accomplishment of legal

requirements. We will spend two months for Equipment and Supplies, selection of

suppliers and Installation of Equipment and Supplies which is on January and February.

February will be the month of Hiring and Training of personnel. And we will start the

operations on the month of March.

The Feasibility study will be completed within this period to which the researchers

conducted a surveys.
Form of Business

The form of organization will be Partnership which is consisting of six industrial

partners. A industrial partner contributes money, property or industry. Each partner will

contribute an equal sum of money and will be occupying some positions in the

organization. Due to the large amount of investment needed, partnership is more

preferred than sole proprietorship due to the government requirements of the former.

Job Title

 Board of Directors

A board of directors (B of D) is a group of individuals, elected to represent

shareholders. A board’s mandate is to establish policies for corporate

management and oversight, making decisions on major company issues.The

primary responsibility of a corporate board of directors is to protect the

shareholders' assets and ensure they receive a decent return on their

investment.

 President

The president is an employee who is the leader or head of a business,

organization, agency, institution, union, university, government, or branch of

government. In many organizations, the president is the top employee in

command. It is also used to designate the leader of portions or divisions of

organizations that report to an overall organization.

 General Partnership Manager

A general partnership manager is the person responsible of the day-to-day

operations of a business with more than one owner that is not registered as a

corporation or a limited liability company. So, the job description and

responsibilities of a partnership manager vary widely depending on the type of


partnership structure, the rules and guidelines that govern the partnership, and

whether the manager is also a partner.

 Front desk

A front-desk receptionist may also perform a variety of clerical tasks, including

drafting correspondence, preparing financial spreadsheets and creating

presentations. Managing the calendars of senior team members and making

business travel arrangements may also fall under the purview of the front-desk

receptionist in small- or mid-size businesses. The front-desk receptionist is also

sometimes charged with ordering office supplies, filing documents, making

photocopies, and sending and receiving faxes.

 Engineer

As a maintenance engineer you will be responsible for the continuous running of

equipment and machinery. You will use computerized systems to oversee routine

maintenance and organize repairs. Maintenance engineers are also involved in

control and monitoring devices and occasionally in the manufacture of items that

will help in maintenance. They play a vital role in the efficiency, development and

progress of manufacturing and processing industries. Maintenance engineers

work with other professionals in order to improve production facilities, reduce the

incidence of costly breakdowns and develop strategies to improve overall

reliability and safety of plant, personnel and production processes.


 Media Influencer

A Social Media Influencer is a user on social media who has established

credibility in a specific industry. A social media influencer has access to a large

audience and can persuade others by virtue of their authenticity and reach.An

influencer is an individual who has the power to affect purchase decisions of

others because of his/her authority, knowledge, position or relationship with

his/her audience.

 Researchers

To supervise research projects and work with team members to ensure that the

project remains on schedule. They help determine the goals of the research

project as well as research methods and other test parameters. Research

officers might also review and analyze data during the course of the project.

Employers typically prefer candidates with a graduate degree and computer

skills.

 Accountant

An accountant can perform a variety of roles, including compiling and analysing

business information. There are lots of accountant job roles available at any time.

Roles offer quick career progression and training. It is alsowhich quite literally runs

the whole world of business and commerce and underpins any form of monetary

transaction. Because all financial transactions need to be accounted for and reported,
the profession takes many forms. Moreover it is an occupation which is almost recession

proof.

 Auditing

The audit partner also must manage the accounting firm’s audit department. This

can be a daunting task, depending on the size of the accounting firm and the

number of accountants employed in the audit department. Audit departments

may be the largest department in the entire accounting department; large audit

departments may use several partners as managers. Audit partners also may be

in charge of hiring new employees and extending promotions or other

advancements to current audit employees. Selecting audit teams for client

engagements is also an important task of the audit partner.

 Cashier

A Cashier’s primary role is to assist customers in the in-store check-out process.

Main duties include ringing up sales, bagging items, requesting price checks,

honoring coupons, collecting payment and giving appropriate change.

Responsible for counting the contents of cash register drawer at the end of each

shift, maintaining receipts, records and withdrawals. May be responsible for

checking materials and supplies and reporting when stock is low.

 Security Guards

Maintains safe and secure environment for customers and employees by

patrolling and monitoring premises and personnel.


 IT expert

An information technology specialist applies technical expertise to the

implementation, monitoring, or maintenance of IT systems. Specialists typically

focus on a specific computer network, database, or systems administration

function. Specialty areas include network analysis, system administration,

security and information assurance, IT audit, database administration, web

administration, and more.

Job Compensation

Dine N' Watch, should ensure that are employees are receiving a proper

compensation and benefits that are required by the labor laws in order to maintain an

effective and to motivate employees to do their best at work.

2. Vacation leave

Regular employees shall be eligible for vacation leave for seven (7) days up to

fourteen (14) days with pay.

3. Maternity Leave
Female employees, whether married or unmarried, shall be entitled to maternity

leave of sixty (60) days for normal delivery or seventy eight (78) days for caesarean

delivery with pay equivalent to the normal rate of daily salary.

4. Paternity Leave

All male employees shall also be allowed paternity leave for seven (7) days with

basic salary and allowances. The leave shall be granted to all male employees.

5. Sick Leave

This shall be granted to all employees suffering from illness. He/she may leave work for

three (3) days provided that he/she is able to present a medical certificate from an

authorized and certified doctor.

6. Thirteenth (13th) Month Pay

Employees (except for emergency helpers), who work at least one month during

the calendar year, are entitled to receive their thirteenth (13th) month pay every

December. The required thirteenth (13th) month pay shall be paid not later than

December 24 of each year as required in Presidential Decree (P. D.) No. 851. If the

amount of thirteenth (13th) month pay is equivalent to Php 30,000.00 and below. It is

not subject to tax. Otherwise, such shall be subject to tax, as per Revenue regulation

No. 8 and 10 s. 2000, Bureau of Internal revenue.

7. NIGHT SHIFT DIFFERENTIAL


For work done between the hours of 10pm to 6am, employees are entitled to

Night Shift Differential (NSD), which represents an additional 10% to the regular wage

for each hour of work performed.

8. SERVICE INCENTIVE LEAVE

Every employee who has rendered at least one (1) year of service is entitled to a

Service Incentive Leave (SIL) of five (5) days with pay. SIL may be used for sick and

vacation leave purposes. The unused SIL at the end of the year can be converted into

cash using the salary rate at the date of conversion. It is the employer’s prerogative to

grant additional vacation leave.

9. RETIREMENT PAY

All employees from the private-sector may retire from age 60 up to age 65, at

which retirement becomes compulsory, and must have served the establishment for at

least 5 years. Retirement pay must at least be equivalent to half of a month’s salary for

each year of service and a fraction of at least 6 months is therefore considered as one

whole year. One “half month salary” must include the following

: a) 15 days salary based on the last salary pay,

b) the pay equivalent of a five days of incentive leave,

c) 1/12 of the 13th month pay.

Therefore, one ½ month salary is equivalent to 22.5 days.


Minimum Retirement pay = Latest daily pay rate x 22.5 days per month x number of

years of service.

Depending on the agreements between the employer and employee other benefits can

be included in the retirement pay such as a Collective Bargaining Agreement (CBA).

Personel Policies

Attendance Policy

a. Under time and over time


The employees shall have their time card for the record of their hours worked.

Under time is not allowed once it is committed by an employed he/she shall be

subjected to corrective measures. On the other hand, overtime will only be allowed

when the circumstances need it.

b. Punctuality

Employees are required to report their thirty (30) minutes before their shift to

ensure their punctuality. Every employee shall be given fifteen (15) minutes grace

period is consumed, the employee shall be given a memorandum of punctuality and

shall be bound to disciplinary actions.

c. Absences

Absences without leave are strictly prohibited. Disciplinary actions will apply for

this violation, including termination.

2. Dress Code, Grooming and Sanitation Policy

Uniforms must be worn properly and neatly quite at all times, especially those

who deal with the customers and attend to their needs. Corporate attire must be

observed for all managerial functions. Waste must be segregate were non-

biodegradable garbage is separated from biodegradable. Before leaving business

premises, employees should also maintain that the entire store is free from dust and

liter.

3. Discipline
Counsel the employee about performance and a certain his or her understanding

of requirements. As certain whether there are any issues contributing to the poor

performance that are not immediately obvious to the supervisor. Solve these issues, if

possible.

• Verbally reprimand the employee for poor performance

• Provide a written warning in the employee’s file, in an effort to improve employee

performance.

• Provide an escalating number of days in which the employee is suspended from work.

Internal Control

The internal control that Dine n' Watch has contains of:

A. Accounting Records

 All business transactions and business documents should be handled by the

accountant .

 These are the key sources of information and evidence to verify sales or audit

financial statements.

B. Cash Receipts

 Cash Receipts should be documented by the Official Receipts.

 General Manager/ Accountant is responsible for depositing, collecting and

accounting of the receipts .

 This is the main entry book used in accounting system to keep track of the sales

that the business received daily.

C. Transaction Authorization
 All cash receipts and expenses should be legalize by the General Manager .

 All transaction should authorize by the General Manager .

D. Cash Expenses

 Vouchers should have signature of the General Manager before presented.

 All vouchers has a number.

 When the vouchers are used it will be marked "PURCHASED"

E. Procurement and Inventory Control

 Invoices should be matched with the purchased items and receiving reports .

 The General Manager or Accountant must have a copy of all the documents form

for recording the transaction and verification of the inventory.

Payroll

 We will be collecting the time worked atleast one day before the pay day

 We will verify the hours worked of each employee and calculate earnings and

deductions just to make sure that we are paying them in a right system.

 Pay day will be every tenth (15th) day and end of the month.
