MEMORANDUM OF AGREEMENT

between
UST STARTUP COMMUNITY (USTartup)
and
UST APPLIED PHYSICS SOCIETY (UST APSoc)

Purpose
The purpose of this Memorandum of Agreement (MOA) is to formalize the agreement on
a year-long partnership between the two parties. The MOA shall be a form of instrument
that both parties agree with the roles and responsibilities that are mentioned.

Background
The partnership is between the UST Startup Community (USTartup) and UST Applied
Physics Society (UST APS) which shall take effect in the Academic Year 2018 to 2019
of the University of Santo Tomas.

Responsibilities
UST Startup Community (USTartup)
UST Startup Community (USTartup) shall be responsible for the following:
 Provide a Certificate of Appreciation to UST APS for accepting the partnership
 Announce officially the partnership in USTartup’s Website, Facebook and Twitter
pages
 Invite UST APS to all its organized events, whether inside or outside of the
University of Santo Tomas by giving notice to UST APS’s point-of-contact
 Include the UST APS logo in promotional materials of co-organized events with
the acknowledgement of “In Partnership with” or the likes
 Provide resource persons for at least 2 of UST APS’s organized events
 Reposting of promotional materials of co-organized events and other events upon
request and approval in USTartup’s Facebook and Twitter pages
 Offer and provide just compensation for UST APS’s assistance in co-organized
events. A new memorandum of agreement, if it requires, shall be created for each
co-organized event that UST APS shall take part.
UST Applied Physics Society (UST APSoc)
UST Applied Physics Society (UST APSoc) shall be responsible for the following:
 Announce officially the partnership in UST APS’s Website, Facebook and
Twitter pages
 Include the USTartup logo in promotional materials of co-organized events with
the acknowledgement of “In Partnership with” or the likes
 Reposting of promotional materials of co-organized events and other events upon
request and approval in UST APS’s Facebook and Twitter pages
 Invite UST APSoc’s members as participants/attendees to USTartup’s events
 Provide assistance in co-organized events, whether manpower, venue, paperwork
assistance and/or the likes. A new memorandum of agreement, if it requires, shall
be created for each co-organized event that USTartup shall take part.

Both Parties
Both parties shall be responsible for the following:
 Keep the contents of the this memorandum of agreement confidential and strictly
known only by USTartup’s Executive Committee and UST APSoc’s Executive
Board

Duration of Agreement
This Memorandum of Agreement will be in effect for one (1) Academic Year from the
date of last signature. Approximately 1 month before the start of the next academic year,
both parties will discuss expiration or renewal, based on an assessment of the continuing
value of the Agreement to both parties. The Agreement may be terminated at any time
upon written notification by one party to the other.
