About ASIN5
Africa Service Incubator (ASIN5) is a social enterprise company that focuses its investment on
ideas and solutions that solves industry or sector based problem in Africa.

ASIN5 is utilising partnerships with service providers to incubate and invest in entrepreneurs in
the continent with a total pre-seed investment of $300k for a 15% equity. We focus on the
intersection of media and technology and we want to be amongst the first to invest, usually at
pre-seed stage and we look for companies that fit our thesis and make our network stronger.

A pre-seed incubator that help prepare startups for success and growth, ASIN5 through her
ground-breaking model of service incubation, will help startup get started without the hassle of
raising pre-seed funding while focusing on building and validating their MVP with 100%
development support.

About Startup 30.0
ASIN5 Startup 30.0 is an initiative to build 30 foundational product needed to help Africa
startup grow easily and scale faster.

We invite interested co-founders who are working on similar projects, have experience with
building any of the listed projects to join us. Also individuals and companies who will like to
work with us as a Service Incubators (our Service Incubation Model that allows vendors and
service providers to be part of the incubation process by taking minute equity for service
rendered).

How Do I Become A Co-Founder?
1. Go through the list of projects above and decide which of them you will want to cofound
2. There is a 10% (1,000,000 shares) for co-founders and a 20% (2,000,000 shares) for the founder
from the company’s total 10,000,000 share capital
3. The individual shares will be redeemed at a price of 25kobo per share at the start of the
cofounding relationship
4. You will be required to startup as a “Service Incubator” (this is to help soften the cliff period)
and operate as an Interim Co-founder for a period of 6months
5. Co-founders will be subject to a 6 months Service Incubation period, 6 months Cliff Period, and
an additional 36 months of vesting
6. 100% of the co-founders shares will be vested while 50% of the founders share will be subject to
vesting
7. There are 5 ways you can participate as a co-founders
- FULL TIME LOCATION (5 Star Priority Rating): Willingness to relocate to startup location,
work full time from 9am to 6pm and earn 50% of the monthly Service Incubation fee
- PART-TIME LOCATION (4 Star Priority Rating): Willingness to relocate to startup location,
work part-time based on an agreed schedule and earn 25% of the monthly Service
Incubation fee
- FULL TIME REMOTE (3 Star Priority Rating): work remotely full time from 9am till 6pm and
earn 25% of the monthly Service Incubation fee
- PART-TIME REMOTE (2 Star Priority Rating): work remotely part-time based on an agreed
schedule and earn 15% of the monthly Service Incubation fee
- MOONLIGHTING (4 Star Priority Rating): (For those who work with multinational
companies, has attained high managerial role) work remotely evenings and weekends with
an anonymous identity for an agreed period of time or stipulated traction and earn 25% of
the Service Incubation fee
8. Each startup will only have one space per co-founding work option
9. Once you have selected a co-founder option, these sets of document will be shared with you to
finalize;
- A co-founder agreement
- A Service Incubator agreement
- An employment or freelance contract agreement

10. Co-founders must be willing to work full time from location for the startup company once the
startup raises the Seed Stage fund of $150,000 to $300,000 or based on an agreed traction

I Have a Startup/Idea, How Do I Get Incubated?


1. Be sure your idea solves industry or sector based problem with capacity to scale globally
2. Study and understand the structure of our startup and commit to follow the same process
3. Be comfortable to take a 20% as the founder and sharing 30% amongst your co-founders
4. Must have co-founders or will be willing to take in co-founders
5. Be willing to redeem your unvested shares at a price of 25kobo per share

What is Vesting?

Vesting means that instead of each getting our shares immediately, it gets given to us regularly over 4
years period.

What is Cliff?

Cliffs basically allow you to “trial” a hire or partnership without an immediate equity commitment. With
those terms, if I quit after 6 months, I’d actually have nothing. But then at 1 year in (as soon as my cliff is
over) I immediately get a full quarter of what I’m entitled to

What is Service Incubation?

Service Incubation is a model of taking minute equity for service rendered in a startup or business
instead of funds. This is a model been promoted by Africa Service Incubation.

What is Option Pool?

Option pool is a reserved shares kept for future employees that will be critical to the growth of the
company. Usually people with wealth of experience who are not usually motivated by salary alone,
except by an equity in the company.

Who are Distribution Partner?

Distribution partners are established organizations that already have an existing network or loyal client
base and their service otherwise compliments the startup service, hence can help with quick market
penetration and scaling of the startup.

How Do I Become A Service Incubator?
We need individuals and institutions who are willing to support great ideas and the Africa startup
ecosystem with their skill, product and services.

Our service incubators should be willing to;

1. Offer skills, product or services for a small equity stake rather than cash
2. Willing to be vested monthly and support the startup within the vesting schedule expected for
service investment
3. Offer consulting and advisory service to the startup even after the vesting schedule period
4. Become an early investor (equity shareholder) in the company
5. Support the startup ecosystem in Africa

What is the Value of My Sweat Equity?
We will give you a simple analysis of what the value of your investment in cash or sweat will be as an
early investor with Africa Service Incubator (ASIN5);

KUNLE (PRE-SEED INVESTOR)

Hi, am Kunle, I invested the Pre-seed fund of $100,000 (N35,000,000) into Zebullon Developers Network,
a global network of world class developers, designers, product managers and growth hackers.

1. I invested $100,000 (N35,000,000) for a 5% equity or 500,000 shares of the 10,000,000 shares in
the venture at start in January, 2018 with a valuation of N1/share
2. If by June 2018, the company secures a Seed Fund of $1.5m for a 10% equity (1,000,000 shares)
with no share splitting, my shares increases by 7.5X to a value of $750,000 and if they raise a
Seed Fund of $3m for a 10% equity (1,000,000 shares), my shares increases by 15X to a value of
$1,500,000 with no share splitting yet in the company

JAMES (CO-FOUNDER- Chief Technology Officer)

Hi, am James, I joined Zebullon Developers Network (a global network of world class developers,
designers, product managers and growth hackers) in January 2018 as the Chief Technology Officer
offering my skill as a Co-founder for a 1,000,000 shares of the company.

1. Am investing my time to Zebullon as a co-founder to manage the development process of


Zebullon platform with an allocated shares of 1,000,000 (with a 48 months vesting period)
2. Within the first 6 months (June, 2018), the company successfully raises $1.5m for a 10% equity
(1,000,000 shares), the value of my shares would be estimated to be $1.5m and if they raise
$3m as Seed Fund for a 10% (1,000,000 shares), the value of my shares would be $3m with no
share splitting yet in the company

CHINENYE (SERVICE INCUBATOR- iOS Mobile App Developer)

Hi, am Chinenye an iOS app developer, I offered my service to develop the MVP of the iOS mobile app for
Zebullon as a Service Incubator, my service was valued for N2,400,000, allocated 34,284 shares vested
over a period of 6months needed to develop the project in January 2018.

1. Within the first 6 months (June, 2018), if the company successfully raised $1.5m for a 10%
equity (1,000,000 shares), the value of my shares would then be estimated to be $51,426 and if
they raise $3m as Seed Fund for a 10% (1,000,000 shares), the value of my shares would be
$102,852 with no share splitting yet in the company

Why Do We Think We Will Succeed?
Some of the reasons we believe in success are;

1. If media companies can give advert slots in return for logo placement, they will give advert slot
for equity in an idea they believe in
2. If service providers are well educated they will offer equity for service rendered
3. If the equity structure is managed by a third party company, service providers will have the
security they need to invest their time for equity in companies
4. If the invested cash is used majorly for operations and customer acquisition instead of for
developing the product, the company will have a better chance of surviving and scaling quickly
5. If the startup is well advertised with a media budget of N70,000,000, they have a great chance
of surviving and generating customers
6. Getting a distribution partner with an already existing network, customer base and brand equity
as a key partner to the startup, market entry barrier is reduced, customer acquisition & brand
acceptance is faster
7. With well selected advisory board, good introductions and access to network, growth is faster
and access to enterprise customers will be guaranteed
8. With a non-divested option pool of 10% (1,000,000 share capital), the startup can inject high
skilled executives in the near future as they scale
