DEED OF ABSOLUTE SALE

KNOW ALL MEN BY THESE PRESENTS:

This DEED OF ABSOLUTE SALE is made, executed and entered into by


and between:

JULITA ENCOMIENDA-ORBETA, of legal age, United States of America


citizen, single, and a resident of 26 Blue Ct., Oak Brook, Illinois, USA,
represented herein by her dully appointed ATTORNEY-IN-FACT, LAWRENCE IAN
ORBETA, United States of America citizen, of legal age, single and a resident of
26 Blue Oak Ct., Oak Brook, Illinois, USA, per Special Power of Attorney dated
May 23, 2006 registered with the Philippine Consulate in Chicago, Illinois, USA
hereinafter referred to as “SELLER”;

-and-

ALTHEA SMITH, of legal age, Filipino, single/married, and a resident of


______________________ hereinafter referred to as the “BUYER”;

WITNESSETH;

WHEREAS, the SELLER is the registered owner of two (2) parcels


of land located at the City of Talisay, Province of Cebu, Philippines, bounded
and described as follows;
PARCEL I
TRANSFER CERTIFICATE OF TITLE NO. 150574
“A PARCEL OF LAND (Lot 27, Block 6, of the consolidation-subdivision plan,
Pcs-07-004851, being a portion of the consolidation of Lots 3532, 3533, 3534, 3535,
3536, 3537, 3538, 3539, 3540, 7379, 7381 & 7382, Talisay-Minglanilla Estate),
situated in the Barangay of Candulawan, City of Talisay, Province of Cebu, Island
of Cebu. Bounded on the SE., along lines 1-2; by Lot 28 Block 6; on the SW.; along
line 2-3 by Road Lot 6 (10.00 m. wide); on the 28 Block 6; on the SW.; along lines 3-
4 by Lot 26; on the NE., along lines 4-5; 5-1; by Lot 22; Lot 21, both Block 6, all of the
consolidation-subdivision plan. Beginning at point marked “1” on plan being N. 60
deg. 03’E., 567.94 m. Thence S. 72 deg. 46’W., 16.00 m. to point 2; Thence N. 18
deg. 23’W., 9.96 m. to point 3; Thence N. 70 deg. 27’E., 16.00 m. to point 4; Thence
S. 17 deg. 28’E., 2.12 m. to point of Beginning Containing an area of ONE HUNDRED
SIXTY FIVE (165) SQUARE METERES, more or less.”

PARCEL II
TRANSFER CERTIFICATE OF TITLE NO. 150577
“A PARCEL OF LAND (Lot 28, Block 6, of the consolidation-subdivision plan,
Pcs-07-004851,) being a portion of the consolidation of Lots 3532, 3533, 3534,
3535, 3536, 3537, 3538, 3539, 3540, 7379, 7381 & 7382, Talisay-minglanilla Estate),
situated in the Barangay of Candulawan, City of Talisay, Province of Cebu, Island
of Cebu. Bounded on the NE., along lines 1-2; 2-3 by Lot 21, Lot 20; on the SE., along
lines 3-4; by Lot 29, all Block 6, on the SW., along lines 4-5 by Road Lot 6 (10.00 m.
wide); on the NW., along line 5-1 by Lot 27, Block 6; all of the consolidation-
subdivision plan. Beginning at a point marked “1” on plan being N. 60 deg. 03’E.,
567.9 m. from BBM No. 35, Talisay-Mingalnilla Estate. Thence S. 16 deg. 22’E., 7.88
m. to point 2; Thence S. 15 deg. 12’E., 2.72 m. to point 3; Thence S. 75 deg. 06’W.,
16.00 m. to point 4; Thence N. 16 deg. 05’W., 9.95 m. to point 5; Thence N. 72 deg.
46’E., 16.00 m. to point of Beginning Containing an area of ONE HUNDRED SIXTY
FIVE (165) SQUARE METERS, more or less.”

WHEREAS, the BUYER has offered to buy and the SELLER has agreed to
sell the above mentioned properties for the amount of THREE MILLION THREE
HUNDRED THOUSAND PESOS (₱3,300,000.00) Philippine Currency;

WHEREAS, the above mentioned properties are the paraphernal


property of the SELLER transferred through gratuitous title by inheritance
from the SELLER’S mother;

WHEREAS, the BUYER will pay the full purchase price through a
CASHIER’S CHECK;

WHEREAS, the BUYER shall process the transfer of the properties at


their own expense;

WHEREAS, the SELLER will pay the real estate broker’s commission;

WHEREAS, the SELLER hereby warrants valid title and peaceful


possession of the properties therein sold and conveyed;
WHEREAS, the SELLERS warrants that they have the sole and exclusive
right as well as the full capacity and authority to transfer the above-mentioned
properties;

NOW THEREFORE, for and in consideration of the sum of THREE


MILLION THREE HUNDRED PESOS (₱3,000,000.00) Philippine Currency, receipt
of which in full through a CASHIER’S CHECK is hereby acknowledged by the
SELLER to her full and complete satisfaction, the SELLERS DO HEREBY SELL,
TRANSFER, AND, CONVEY by way of ABSOLUTE SALE unto the BUYER, his heirs
and assigns, a parcel of land with Transfer Certificate of Title No. T-150576
containing an area of only ONE HUNDRED SIXTY FIVE (165) SQUARE METERS
and a parcel of land with Transfer Certificate of Title No. T-150577 containing an
area of ONE HUNDRED SIXTY FIVE (165) SQUARE METERS together with all the
improvements found thereon.

IN WITNESS WHEREOF, I have hereunto signed this deed of sale, this


___day of May, 2019, at Cebu, Philippines.
