CONTRACT OF LEASE

KNOW ALL MEN BY THESE PRESENTS :

This Contract of Lease made and entered into this____________________ in Parañaque City, Metro-
Manila, Philippines, by and between :

ARCHIELYN MACADAMIA , of legal age, married with residence and postal address at 280 El
Grande Street, BF Homes, Parañaque City, hereinafter referred to as the LESSOR .

and
ALLOY LOGISTICS a Corporation duly organized and existing under the Laws of the Republic of the
Phil. With office address at 2-22 Guijo Street Pamplona Tres, Las Piñas City. Represented by herein
by its Client Services Manager NANCY DELOS SANTOS, married of legal age, Filipino/Canadian
Citizen with resident address at2-22 Guijo Street Pamplona Tres, Las Piñas City and MARIA
KATHERINE SISON TORRES, Account Manager, duly authorized by the board of directors, Single of
legal age Filipino with residence and postal address at U2102 South Tower Flair Towers Rel.
Mandaluyong City, Metro Manila, Philippines herein after known and referred to as the LESSEE:

WITNESSETH :

WHEREAS the LESSOR is the registered and absolute owner of two (2) story house and lot
residential commercial situated at 280 El Grande Street, BF Homes Parañaque City, hereinafter to as
the LEASED PREMISES.

WHERAS, the LESSE’S desires to lease from the LESSOR and the LESSOR agrees to lease unto
the aforementioned house and lot.

NOW, THEREFORE, for and in consideration of the foregoing premises, covenants and stipulations
set forth hereunder, the LESSOR, hereby leases and the LESSEE hereby accepts in lease the
aforementioned house and lot subject to and in accordance with the following terms and conditions:
the parties agree as follows:

1. This Contract shall run for a guaranteed period on One (1) year from 15 th November 2015 to
14thNovemebr 2016 unless sooner terminated for violation of or non-compliance with any
provision of this Contact or provision of law. Should the LESSEE desire to renew the contract for
another period, the LESSEE shall give prior notice in writing to the LESSOR AT LEAST THIRTY
(30) DAYS BEFORE THE EXPIRY OF THIS Contract, but the renewal of the lease shall be at the
sole option of the LESSOR and shall be subject to a new agreement under terms acceptable to
both LESSOR and LESSEE.

2. The monthly rental shall be PESOS FORTY THOUSAND PESOS (PHP40,000.00) Phil. Currency
net of expanded value-added tax and withholding tax for the term of the lease and shall be paid in
cash Three (3) months Security deposit, 0ne (1) month Advance house rental and Eleven (11) Post
dated checks to be given upon signing of the contract on 14 th November 2015.

3. The Security Deposit of PESOS ONE HUNDRED TWENTY THOUSAND (P 120,000.00) shall be
applied upon the expiration of this contract to any damages and/or monetary obligations of the
LESSEE under this Contract, provided further that the remaining amount after deducting such
obligation shall be refunded by the LESSOR to the LESSEE. The security deposit is strictly cannot be
use for the rental of the premises.

4. LESSEE – Shall not bring or store in the premises the following:

A. CONTRABAND OF ANY KIND


B. ILLEGAL OR DANGEROUS DRUGS
C. ILLEGAL FIREARMS OR EXPLOSIVES ETC.
D. SUBVERSIVE MATERIALS
E. ANY OTHER ILLEGAL MATERIALS OR ACTIVITIES
F. NO EMMORAL ACTIVITIES

5. LESSEE hereby expressly agrees and warrants that the leased premises shall be used exclusively for
Logistics company and residential for two people purposes and is hereby strictly prohibited from using
said premises for any other purpose. The LESSEE shall not divert the premises to other uses without
the prior written consent of the LESSOR, it being expressly agreed that if, at anytime during the
existence of this lease, and without previous written consent of the LESSOR has the choice to (a)
rescind this contract in accordance with Condition.

6. LESSEE shall not directly sublease, assign, transfer, convey, mortgage or in any other way encumber
its right lease over the leased premises or any portion thereof under any circumstances whatsoever;
any contract that may be made in violation of this provision shall be null and void.
a. Should the LESSEE for any reason vacate the leased premises at any time before expiration
of leased period, the remaining advance and security deposit payment made by the LESSEE
that has not been used will be forfeited in favor of the LESSOR.

b. The LESSOR or his authorized agents shall, by previous agreement with the LESSEE, have
the right to enter the leased premises at anytime to examine the same or make alterations or
repair of any purpose which it may deem necessary, for the operation or maintenance of the
leased property or its installations.

7. LESSEE shall not make any alterations, improvements or additions in the premises without the prior
consent of the LESSOR and should the LESSOR consent to the same, the cost of any such
improvement or alteration shall be the sole liability of the LESSEE and shall become the property of
the LESSOR at he expiration of the Contract without the right of reimbursement. LESSEE assumes
any addition on government taxes that will be subsequently imposed on the LESSOR as a result of
LESSEE’s changes on the premises. All changes must conform to government rules and regulations
and LESSEE further assumes responsibility and cost for securing required government permits. No
shades, awnings, blinds or window guards shall be installed or used in the premises without the prior
written consent of the LESSOR.

8. LESSEE shall be responsible at all times for all the acts done by his family members and other
persons entering the leased premises insofar as the enforcement of the provisions of this Contract is
concerned.

LESSEE shall hold LESSOR free and harmless from any loss or damage to the properties of
LESSEE caused by his CLIENTS, guests and other persons allowed inside the premises and shall
indemnify LESSOR for loss or damage to LESSOR’s facilities caused by LESSEE’s employees
members, guests and other persons, normal wear tear expected. LESSOR shall not be responsible
for any loss or damage to the properties of LESSEE due to force majeure or acts of God.

9. Any violations of any terms and conditions of the Contract shall be sufficient ground for the LESSOR
to terminate this Contract.

10. After this Contract shall have been terminated for any reason whatsoever, if the LESSEE continues to
occupy the premises without the consent of the LESSOR, such extension of lease shall be deemed
only tolerated as running from month to month under the same terms and conditions herein stipulated,
and may be terminated by either party by means of a written notice served upon the party at least
thirty (30) days in advance.

11. If the rental herein stipulated shall be in arrear or unpaid for at least fifteen (15) days or, if the LESSEE
shall at any time fail or neglect to perform or comply with any of the covenants, conditions,
agreements or restrictions stipulated or if the lease shall become automatically terminated or
cancelled the said premises shall be vacated peacefully by the LESSEE within fifteen (15) days and
for the LESSOR or any of his/her duly authorized representatives to enter into upon the leased the
leased premises as thought the term of the leased contract has expired, without prejudice on the part
of the said LESSOR to exercise any or all rights arising from this Contract of Lease and those granted
by law.

12. All bills for electricity, water, telephone, garbage, etc. during the period of this lease shall be for the
account of the LESSEE. The LESSEE shall submit a copy of the paid bills to the LESSOR on a
monthly basis during the term of this Contract; and it is further agreed that a clearance of account of
the above mentioned services shall be presented to the LESSOR by the LESSEE before the latter
could be granted release from the Contract.

13. Should the leased property or any substantial part thereof be damaged or destroyed by fire,
earthquake, flood or similar unavoidable cause or causes, independent by fault or negligence or
carelessness of the LESSEE, his employees, clients or guests, in which event, no liability of the
LESSOR to the LESSEE shall arise nor the LESSEE shall be liable to pay for the unexpired portion of
the lease.

14. Any loss or damage to property or injury to person or persons, whether occasioned or brought about,
in whole or in part, by the negligence of the LESSEE, members of the company, servants or other
persons allowed by the LESSEE inside the lease premises, shall be borne solely by the LESSEE.

The LESSEE hereby further agrees to indemnify all injuries to persons and to restore the damaged
property in the same conditions as they were received, ordinary wear and tear expected, and
faultless the LESSOR from any and such damages, liabilities or claims which may be filed by reason
of the above causes.

15. LESSEE, at the expiration of the terms of the lease or cancellation of his lease as herein provided, will
peacefully vacate and surrender the said premises to LESSOR together with all the keys thereto in the
same clean, good and tenantable condition in which the LESSEE received them, ordinary wear and
tear expected.
16. LESSEE shall maintain, at his own expense, the lawn and sidewalk in clean and sanitary conditions at
all times and this includes the watering of plants, grass, edges and trimming of the grass, frames or
other portions of the building nor in any manner deface any part of the leased premises.

17. The LESSOR reserves the right to sell or otherwise dispose of the leased premises, provided
however, that the deed of sale shall contain a condition that his lease shall be respected by the
purchaser. It is further agreed by the LESSEE that during the life of this lease he shall allow the
LESSOR and/or authorized representatives to show the leased property to prospective clients at
reasonable times and in a quiet and convenient manner to the LESSEE upon prior notice in writing of
Twenty Four (24) Hours.

18. Should court litigation be necessary to enforce the right of the LESSOR forced to litigate for any
violation of the terms and conditions of this Contract at LESSEE at fault the LESSEE hereby agrees
to pay attorney’s fees in the amount of less than TWENTY THOUSAND (P 20,000.00) as well as other
costs, fees and expenses related to such litigation.

19. This Contract is binding upon the successors, heirs, executor and administrators and legal
representatives of the parties.

IN WITNESS WHEREOF, the parties have hereunto signed this day of 2015 at Metro-
Manila.
