JOINT AFFIDAVIT OF UNDERTAKING TO CHANGE NAME

We, Ryan D. Alvarez and Laura Matsuda-Austria, legal age, Filipinos, and
residents of SUITE 1517 Cityland Tower, H. V. Dela Costa Street, Salcedo Village, Makati
City and 4/F Legaspi Towers 300, Roxas Boulevard, Manila, after having been sworn to
in accordance with law hereby depose and state:
1. That we are the Directors of ZEN MOTORS, INC., with its principal office located
at 3/F NYS Building, Chino Roces Avenue, Makati City, which is in the process of
amending its corporate/partnership name with the Securities and Exchange
Commission to ZEN&DAYA MOTOR, INC.

2. That we, in behalf of said corporation, hereby undertake to change its

corporate/partnership name as herein provided, or as amended thereafter,
immediately upon receipt of notice or directive from the Commission that another
corporation, partnership or person has acquired a prior right to the use of that name
or that name has been declared as misleading, deceptive, confusingly, similar to
a registered name, or contrary to public morals, good custom or public policy.
This affidavit is executed to attest to the truth of the foregoing and for whatever
legal purpose and intent it may serve.
IN WITNESS WHEREOF, we have hereunto set our hands this 21st day of October
