Contract of Lease with Option to Purchase

So the public may know:

This agreement executed between:

Caron Quiambao, Filipino, of legal age, and residing at 123 J.P. Rizal
Street, Puerto Princesa City;

- and-

Vidad Realty Corporation (VRC), a domestic corporation with


principal office at 4F WCM Building, Paso de Blas, Valenzuela City,
represented by its President, Pedro C. Tabaquin, duly authorized for this
purpose, as shown by the attached authority;

Antecedents

VRC owns a 400 sq. meter parcel of land with improvements in


Puerto Princesa City;

Quiambao is interested in leasing and possibly purchasing the land;

Consequently, the parties mutually agree that:

1. Quiambao shall lease the property from March 1, 2019 to March 1,


2024 and pay monthly rentals of P 15,000 on the first week of each month to
VRC.

1.1 Quiambao shall deposit with VRC P 30,000 upon signing of this
contract.

2. VRC shall extend an option to purchase the property to Quiambao


for P 2,400,00 after three years following the start of the lease, provided that
all monthly rentals and paid.

2.2 The rentals beginning March 1, 2020 and the deposit shall be
credited by VRC as downpayment.

Any deficiency of this contract shall be supplemented by the


provisions of existing law.

Option Agreement

So the public may know:

Howard C. Jose, Filipino, of legal age, and residing at 19 Zamora St.,


Fortune Village 7, Valenzuela City;

- and-

Ferdinand Mase, Filipino, of legal age, and residing at 42, Purok 4,


Brgy. Kayumanggi, Lipa City;

Antecedents

Jose owns a real property on Thrush Street, Country Side Village


Phase III, Parañaque City and wanted to sale it for Php3,200,000.

Mase is interested in purchasing the property of Jose. However, his


funds for the purchase was insufficient;

Consequently, the parties mutually agree that:

1. Mase shall pay Php200,000 as option money upon signing this


contract.

2. Jose shall grant to Mase the exclusive and irrevocable option to


purchase the property.

2.1 Mase may exercise the option to purchase at any time within one
year from the signing of this contract.

Any deficiency of this contract shall be supplemented by the


provisions of existing law.

Compromise

So the public may know:

This agreement executed between:

Bernardo Sales, Filipino, of legal age, married, residing at 13 Kap.


Simeon Luz St., Brgy. 6, Lipa City, and former employee of Seize Tomorrow
Corporation;

- and-

Seize Tomorrow Corporation (STC), a domestic corporation with


principal office located at 2F BCZ Building, Makiling Drive, Calamba,
Laguna, represented by its President, Louise Janelli Aleena S. Ocenar, duly
authorized for this purpose, as shown by the attached authority;

Louise Janelli Aleena S. Ocenar, Junica Coleen B. Zacarias, and


Rodric Caden L. Banag, all Filipinos, of legal ages, all holding offices at 3F
BCZ Building, Makiling Drive, Calamba, Laguna, as STC's President,
Corporate Secretary, and Treasurer, respectively.;

Antecedents

Sales filed a complaint against STC and a number of its officers


before the National Labor Relations Commission, Regional Office IV
located in Calamba City, Laguna, docketed as NLRC Case RAIV 82345-07

for several issues arising from the last company action against him. STC
and its officers have since filed their answer to the complaint

Afterward, the Court referred the parties to mediation pursuant to


existing rules. After several discussions and negotiations through the
parties' chosen mediator, they have jointly and amicably settled their
differences subject to certain conditions.

Accordingly, for and in consideration of the foregoing premises, the


parties mutually agree that:

A. STC's Obligations
1. To pay Sales the sum of Php500,000.00 by way of financial
assistance upon execution of this compromise on 8 February 2019.

B. Officers' Obligations
1. To jointly execute a quitclaim in favor of Sales releasing him and
forever discharging him from any further obligation in connection with his
employment to STC.

C. Sales' Obligations
1. To execute a quitclaim in favor of STC and its officers, releasing
them and forever discharging them from any claim, cause of action, or any
further obligation in connection with his employment to STC.

2. To refrain from committing any act prejudicial to the interest of the


company, its branches, or its projects arising from or with respect to his
previous employment.

D. Common Obligations
1. Within a reasonable time after the execution of this compromise,
the parties agree to jointly move the National Labor Relations Commission,
Regional Office IV to render its decision in NLRC Case RAIV 82345-07
based on the particulars stated in this agreement; and,

2. The parties further agree to forever waive all other claims and
counterclaims against each other in the form of damages, attorney's fees,
and costs of suit.

Deed of Sale

The public is informed:

I, Emily S. Torres, of legal age, single, and residing at 525C


Extremadura St., Sampaloc, Manila, for and in consideration of
Php2,000,000, hereby sell, convey and transfer my 2,000 shares of stock of
Krispy Sticks Candy, Inc. (KSCI), a domestic corporation with part value of
Php 1,000 per share, covered by Stock Certificate 12-16-53 to Niel T. Luis, of
legal age, single, and residing at 15 M.H. Del Pilar St., Brgy. Paliwas,
Obando, Bulacan.

The Corporate Secretary of KSCI is hereby requested to record this


sale in the Stock and Transfer Book of the Corporation.
