独家分销商协议

EXCLUSIVE DISTRIBUTOR AGREEMENT


本独家分销商协议(以下称“协议”)于 2019 年 XX 月 XX 日由 深圳市云图创智科技有限公司(以下称“供
应商”)及 (以下称“分销商“)签定。供应商指定分销商,分销商同意接受指定,作为供应
商商品在本协议指定区域的独家分销商。
THIS EXCLUSIVE DISTRIBUTOR AGREEMENT (this “Agreement” or this “Exclusive Distributor Agreement”) is entered
into effective as of [DATE] (the “Effective Date”) by and between Shenzhen Yuntu Chuangzhi Technology Co., Ltd
(“Supplier”) and (“Distributor”). Supplier desires to appoint Distributor, and Distributor desires to
accept appointment, as an exclusive distributor of Supplier’s products within a defined area as set forth herein.

有关双方在平等互利基础上达成,按双方同意的下列条件发展业务关系:
Therefore, in consideration of the mutual agreements and promises set forth herein, it is agreed:

1. 授予的权利
1. RIGHTS GRANTED.
供应商特此授予分销商在以下区域(“地区”)内,在本协议规定的条款和条件下,购买、库存、推广和转
售“供应商商品”(定义如下)的专属权利:本协议不应防止或禁止供应商直接向客户销售供应商的任何商
品(不包括地区内的其他分销商),地区定义如下:

Supplier hereby grants to Distributor the exclusive right, on the terms and conditions set forth herein, to purchase,
inventory, promote and resell “Supplier’s Products”) (as defined below) within the following area (the “Territory”):
Nothing herein shall prevent or prohibit Supplier from selling any of Supplier’s Products directly to the customers but
other distributors in territories as defined as follows:

2. 商品
2. PRODUCTS.
本协议中的“供应商商品”一词,系指供应商制造和/或销售的商品,相关的服务部件和配件,具体如下:
Artillery 和/或 EVNOVO 品牌的 3D 打印机;印有 Arillery 和/或 EVNOVO 品牌的零配件;为 Artillery 和/或
EVNOVO 品牌 3D 打印机定制的零配件 。
The term “Supplier’s Products,” in this Agreement, shall mean the products, related service parts and accessories
manufactured and/or sold by Supplier as follows:
Artillery and/or EVNOVO branded 3D printers; service parts and/or accessories with Artillery / EVNOVO logo printed
on; service parts and/or accessories specially made for Artillery / EVNOVO branded 3D printers .
3. 销售指标
3. SALES TARGETS.
分销商应在每个日历月内使用合理的商业努力来采购至少在下面本节所列供应商商品的数量目标(“月度目
标”)。如果分销商未在特定日历月内采购月度目标,供应商可在书面通知分销商后立即终止本协议(但供
应商可能不会要求分销商采购任何其他供应商商品以满足月度目标)。

Distributor shall use reasonable commercial efforts to purchase and sell during each calendar month at least the
quantity target of Supplier Products listed in this Section below (the “Monthly Target”). If Distributor does not
purchase and sell the Monthly Target during a given calendar month, Supplier may terminate this Agreement
effective immediately upon written notice to Distributor (but Supplier may not require Distributor to purchase or sell
any additional Supplier Products in order to meet the Monthly Target amount).

4. 在指定地区以外的地区销售
4. SALES OUTSIDE OF THE TERRITORY
分销商应在其网站上明示在地区内销售供应商商品。尽管有上述規定,分销商不得在地区以外积极為供应商
商品宣传或招揽订单。如果分销商来自地区以外的订单,分销商将与供应商合作,以对供应商、分销商和位
于订单发源区域内的分销商有利的方式履行订单(由供应商自行决定,并遵守适用的法律)。
Distributor shall promote the sale of Supplier Products in the Territory on its website. Notwithstanding the foregoing
sentence, Distributor shall not actively advertise or actively solicit orders for Supplier Products outside of the
Territory. In the event Distributor receives an order from outside its Territory, Distributor will work with Supplier to
fulfill the order in a manner financially beneficial to Supplier, Distributor and the distributor located in the region
where the order originated (as determined by Supplier in its sole discretion and in compliance with applicable law).

5. 订单
5. ORDERS.
所有订单将由分销商传送给供应商,并须得到供应商的书面接受。供应商可以(自行决定)拒绝接受任何订
单。提交的每一份订单均构成分销商购买或许可该订单中描述的供应商商品的要约,并且在供应商接受后,
应产生分销商根据所述条款和条件购买或许可该产品的合同义务。在本协议中,除非供应商以书面形式明确
接受此类条款或条件,否则分销商提交的任何订单中包含的冲突、不一致或附加条款或条件均不具有约束力。
供应商接受订单后更改或取消订单所产生的所有费用,包括货物的转移、注销或重新托运的费用,以及任何
合理的补货费用,均应由分销商按要求支付给供应商。
All orders will be transmitted by Distributor to Supplier and shall be subject to acceptance in writing by Supplier.
Supplier may (in its sole discretion) refuse acceptance of any order. Each order submitted shall constitute an offer by
Distributor to purchase or license the Supplier Products described in such order and, upon acceptance by Supplier,
shall give rise to a contractual obligation of Distributor to purchase or license the said products on the terms and
conditions set forth in this Agreement. Conflicting, inconsistent or additional terms or conditions contained in any
order submitted by Distributor shall not be binding unless Supplier specifically accepts such terms or conditions in
writing. All expenses arising out of the change or cancellation of an order after acceptance by Supplier, including the
cost of diversion, cancellation or reconsignment of shipments, and any reasonable restocking charge, shall be paid
by Distributor to Supplier, on demand.

6. 支付与运输
6. PAYMENT AND DELIVERY
购买价格应按照发票上指定的地址以美元报价并以美元支付给供应商。除非双方另有书面约定,分销商应在
供应商厂房装运前通过电汇付款。供应商商品应按 EXW 形式交付到分销商指定的承运人。供应商商品的损失
风险应在交付给指定承运人时转移。从供应商的设施到指定承运人的运输费用由供应商支付。
The purchase price shall be quoted and payable in U.S. Dollars to Supplier at the address specified on the invoice.
Unless otherwise agreed by the parties in writing, payment shall be made by Distributor by wire transfer in advance
of shipment from the Supplier facilities. The Supplier Products shall be delivered EXW Distributor named carrier. Risk
of loss for the Supplier Products shall pass upon delivery to the named carrier. Shipping cost from Supplier’s facilities
to named carrier shall be paid by Supplier.

7. 转售价格和费用
7. RESALE PRICE AND EXPENSES.
分销商应指定供应商商品在该地区销售的销售价格。分销商应独自负责供应商商品分销所涉及的费用,包括
销售费用、进口税、任何及所有银行费用,运输和手续费、安装费用或其他运营费用、信贷费用、电汇费用
和与付款相关的其他费用,以及任何指定的税款,但分销商不承担根据供应商收入征收的税款。
Distributor shall set the selling price at which the Supplier Products are sold in the Territory. Distributor shall be
solely responsible for the costs involved in the distribution of the Supplier Products, including sales costs, import
duties, any and all banking charges, shipping and handling costs, installation costs or other operating expenses, letter
of credit costs, wire transfer fees and other costs associated with making payment, and taxes, however designated,
except that Distributor shall not be liable for taxes imposed that are based on Supplier’s income.

8. 营销政策
8. MARKETING POLICIES.
分销商将在任何时候保持供应商商品的充足库存,并将按照供应商的既定营销政策和计划,分销商将尽最大
努力将供应商的商品销售给积极、有信誉和财务负责的经销商,并在分销商的主要营销区域提供令人满意的
售后服务。分销商有权与其经销商签订有关以购买、转售供应商商品为目的书面协议。但是,分销商将完全
承担经销商所带来的风险。经销商在任何情况下都不得对经销商的未付发票向供应商要求退款。
Distributor will at all times maintain adequate inventories of Supplier’s Products and will promote vigorously and
effectively the sale of Supplier’s Products through all channels of distribution prevailing in the Territory, in
conformity with Supplier’s established marketing policies and programs. Distributor will use its best efforts to sell
Supplier’s Products to aggressive, reputable, and financially responsible dealers providing satisfactory consumer
service throughout Distributor’s primary marketing area. Distributor is authorized to enter into written agreements
with its dealers relating to the purchase, resale and service of Supplier’s Products on forms approved by Supplier for
this purpose. The risk of collection from dealers, however, is entirely the risk undertaken by the Distributor. The
Distributor may not, under any circumstances, chargeback Supplier for unpaid invoices by a dealer or dealers.

9. 分销商一般责任
9. DISTRIBUTOR’S GENERAL DUTIES.
A. 分销商应在该地区内设立营业地点,包括展示供应商商品的工作网站。分销商应使用合格的人员,并遵
守供应商满意的服务政策,为在该地区销售的供应商商品提供维修服务。
B. 分销商应雇用销售人员或指定代表在该地区介绍、推广、营销和销售供应商商品。分销商应对这些人员

和/或代表进行充分培训。分销商应雇佣足够数量的销售人员和/或代表在该地区销售供应商商品。
A. Distributor shall maintain a place of business in the Territory, including working website to display Supplier’s
Products. Distributor shall provide maintenance service on Supplier’s Products sold in the Territory, using
qualified personnel and subject to service policies satisfactory to Supplier.
B. Distributor shall hire sales personnel or appoint representatives to introduce, promote, market and sell
Supplier’s Products in the Territory. Distributor shall adequately train such personnel and/or representatives.
Distributor shall employ sufficient numbers of sales personnel and/or representatives to market Supplier’s
Products in the Territory.

10. 销售政策
10. SALES POLICIES
A. 销售配额,同时合理考虑供应商商品过去的表现和市场潜力,供应商可能不时制定销售配额。分销商同

意雇用已证明具有能力的销售人员来获得此类配额,并同意由供应商直接向此类人员提供奖励,以表彰

其卓越的表现。

B. 供应商将不时以广告计划,产品和销售培训以及现场销售协助的形式向分销商提供商品销售协助。

C. 分销商同意在执行供应商商品的销售和销售促进政策时使用此类协助。
A. Sales quotas, giving reasonable regard to past performance and market potential of the Supplier’s Products, may
be established by Supplier from time to time. Distributor agrees to employ sales personnel of demonstrated
capacity to attain such quotas and consents to rewards directly to such personnel by Supplier in recognition of
superior performance.
B. Supplier will provide Distributor with merchandising assistance from time to time in the form of advertising
programs, product and sales training, and field sales assistance.
C. Distributor agrees to use such assistance in carrying out Supplier’s merchandising and sales promotion policies.
11. 广告政策
11. ADVERTISING POLICIES
供应商将与分销商及其经销商合作,在整个地区持续有效地提供供应商商品的广告和促销,分销商同意由分
销商出资参与,积极推广并忠实遵守供应商可能建立并不时向分销商提供的合作广告和销售计划的条款和条
件。此处的任何内容均不妨碍分销商在本地区内单独进行供应商商品的广告和营销,前提是广告或营销材料
的形式和内容事先得到供应商的批准。
Supplier will cooperate with Distributor and its dealers in providing for continuous and effective advertising and
promotion of Supplier’s Product throughout the Territory, and Distributor agrees at Distributor’s expense to
participate in, actively promote and faithfully comply with the terms and conditions of such cooperative advertising
and merchandising programs as Supplier may establish and offer to Distributor from time to time. Nothing herein
shall prevent Distributor from separately advertising and marketing the Supplier’s Products within the Territory,
provided the form and content of the advertising or marketing materials are approved by Supplier in advance.

12. 保修政策
12. WARRANTY POLICIES
如果供应商的任何商品在向分销商销售时被证明是有缺陷的,供应商将对该产品的原始销售价格进行适当调
整,或者在供应商选择时更换有缺陷的产品。供应商应向分销商提供有关供应商向供应商产品的原始消费者
提供有限保修的信息。供应商不对分销商或其客户做出任何明示或暗示的保证,包括任何适销性或适用于特
定用途的暗示保证。
If any of Supplier’s Products are proven to Supplier’s satisfaction to have been defective at time of sale to Distributor,
Supplier will make an appropriate adjustment in the original sales price of such product or, at Supplier’s election,
replace the defective product. Supplier shall provide to Distributor information with respect to Supplier’s limited
warranty extended to the original consumer of Supplier’s Products. SUPPLIER MAKES NO WARRANTY TO
DISTRIBUTOR, OR ITS CUSTOMERS, WITH RESPECT TO THE PRODUCTS, EITHER EXPRESS OR IMPLIED, INCLUDING,
WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

13. 保障
13. INDEMNIFICATION
供应商同意保护分销商,并使分销商免受因供应商向分销商销售该商品时存在的任何供应商商品的固有缺陷
而产生的任何损失或索赔,前提是分销商立即通知供应商任何此类损失或索赔,并与供应商充分合作处理这
些损失或索赔。
分销商同意保护供应商,并使供应商免受因分销商、分销商代理、员工或代表在供应商商品的安装、使用、
销售或服务中的疏忽、因分销商、其代理、员工或代表对供应商商品的陈述或保证超出供应商有限保修而产
生的陈述或保证而造成的任何损失或索赔。此外,如果任何分销商的代理商就从分销商购买的任何供应商商
品未能履行代理商对原始消费者服务政策的义务,分销商同意立即履行此类未履行的义务。
Supplier agrees to protect Distributor and hold Distributor harmless from any loss or claim arising out of inherent
defects in any of Supplier’s Products existing at the time such product is sold by Supplier to Distributor, provided
that Distributor gives Supplier immediate notice of any such loss or claim and cooperates fully with Supplier in the
handling thereof.
Distributor agrees to protect Supplier and hold Supplier harmless from any loss or claim arising out of the negligence
of Distributor, Distributor’s agents, employees or representatives in the installation, use, sale or servicing of
Supplier’s Products or arising out of any representation or warranty made by Distributor, its agents, employees or
representations with respect to Supplier’s Products that exceeds Supplier’s limited warranty. Further, in the event
that any of Distributor’s dealers shall, with respect to any of Supplier’s Products purchased from Distributor, fail to
discharge the dealer’s obligations to the original consumer service policies, Distributor agrees to discharge promptly
such unfulfilled obligations.

14. 订单处理和退货
14. ORDER PROCESSING AND RETURNS.
A. 供应商应尽最大努力在接受时及时满足分销商的订单,但保留在分销商和最终消费者之间分配可用库存
的权利。
B. 除供应商的商品在销售给分销商时存在缺陷外,供应商没有义务接受退回的任何供应商商品。在接受此
类退货的情况下,供应商可能会就退回商品收取合理的补货费用。
A. Supplier will employ its best efforts to fill Distributor’s orders promptly on acceptance, but reserves the right to
allot available inventories among distributors and end user customers at its discretion.
B. Except for Supplier’s products that are defective at the time of sale to Distributor, Supplier shall not be obligated
to accept any of Supplier’s Products that are returned. In the event such returns are accepted, Supplier may
impose a reasonable restocking charge.

15. 财务政策
15. FINANCIAL POLICIES.
分销商理解分销商健全的财务运营对供应商的重要行,并明确同意分销商将根据供应商不时延伸的销售条款,
及时支付所有到期的款项;
除了供应商可能有权享有的任何其他权利或补救措施外,如果分销商未能及时、忠实地履行本节中的每一项
义务,则供应商可自行决定暂停装运。
Distributor acknowledges the importance to Supplier of Distributor’s sound financial operation and Distributor
expressly agrees that it will pay promptly all amounts due Supplier in accordance with terms of sale extended by
Supplier from time to time;
In addition to any other right or remedy to which Supplier may be entitled, shipments may be suspended at
Supplier’s discretion in the event that Distributor fails to promptly and faithfully discharge each and every obligation
in this Section.

16. 供应商名称的使用
16. USE OF SUPPLIER’S NAME
分销商不得以任何方式使用,授权或允许使用供应商拥有的名称或任何其他商标或商标名称作为其公司、企
业或企业名称的一部分。分销商不得对供应商独家使用供应商使用或主张的任何商标或商标名称的权利提出
异议。分销商可在广告,文具和名片或其网站上使用供应商的名称、商标或徽标,但必须遵守供应商关于复
制该产品的政策。供应商保留在分销商发布或使用之前查看其营销和销售材料的权利。分销商不得因任何此
类使用或引用而享有任何权利,所有此类权利,包括商誉,均应有利于供应商并归属于供应商。
在本协议因任何原因终止时,分销商将立即停止使用本节所允许的供应商商标,并应立即采取一切适当和必
要的步骤(a)删除和取消公共记录中的任何列表,电话簿、其他目录、删除分销商位置、互联网和其他地方
的任何视觉显示或文献,这些显示或文献会表明或导致公众相信分销商是供应商(或其任何关联公司的代表)
或供应商(或其任何关联公司的)商品或服务;(b)(应供应商的要求)取消、放弃或转让任何商品许可证,
商品名称申请,商标申请或注册或向领土政府提交的其他文件(无论此类申请是否得到供应商的授权)。可
包含供应商商标或任何与供应商商标相似的商标或名称。如果分销商未能遵守本款,供应商可以分销商的名
义申请此类清除、取消、放弃或转让。分销商应协助供应商并补偿执行本款所产生的费用。
Distributor will not use, authorize or permit the use of, the name or any other trademark or trade name owned by
Supplier as part of its firm, corporate or business name in any way. Distributor shall not contest the right of Supplier
to exclusive use of any trademark or trade name used or claimed by Supplier. Distributor may, subject to Supplier’s
policies regarding reproduction of same, utilize Supplier’s name, trademarks and logos in advertising, on stationery
and business cards, or on its website. Supplier reserves the right to review Distributor’s marketing and sales
materials prior to their publication or use. No rights shall inure to Distributor as a result of any such use or reference,
and all such rights, including goodwill shall inure to the benefit of and be vested in Supplier.
Upon termination of this Agreement for any reason, Distributor will immediately cease using the Supplier
Trademarks as allowed in this Section and shall immediately take all appropriate and necessary steps to (a) remove
and cancel any listings in public records, telephone books, other directories, remove any visual displays or literature
at Distributor’s location, the Internet and elsewhere that would indicate or would lead the public to believe that
Distributor is the representative of Supplier (or any of its affiliates) or Supplier’s (or any of its affiliates’) products or
services; and (b) cancel, abandon or transfer (as requested by Supplier) any product licenses, trade name filings,
trademark applications or registrations or other filings with the governments of the Territory (whether or not such
filings were authorized by Supplier) that may incorporate the Supplier Trademarks or any marks or names
confusingly similar to the Supplier Trademarks. Upon Distributor’s failure to comply with this paragraph, Supplier
may make application for such removals, cancellations, abandonments or transfers in Distributor’s name. Distributor
shall render assistance to and reimburse Supplier for expenses incurred in enforcing this paragraph.

17. 第三方的侵权行为
17. INFRINGEMENT BY THIRD PARTIES
分销商将与供应商充分合作并协助其保护供应商在该地区内的知识产权,并应尽合理努力进行检测,如果分
销商发现任何侵犯供应商拥有或使用的专利,商标,版权或其他知识产权的行为,应立即向供应商提供建议。
Distributor will cooperate fully with and assist Supplier in its efforts to protect Supplier’s intellectual property rights
within the Territory and shall exercise reasonable diligence to detect and shall immediately advise Supplier if
Distributor has knowledge of any infringement of any patents, trademarks, copyrights or other intellectual property
rights owned or used by Supplier.
18. 机密信息;不得进行逆向工程
18. CONFIDENTIAL INFORMATION; NO REVERSE ENGINEERING
供应商可能向分销商提供某些机密或专有信息(“机密信息”)。机密信息包括分销商知道或合理地应该知
道供应商的专有、机密或商业秘密的书面、电子或口头信息,包括任何和所有技术或商业信息,供应商商品
的规格和设计信息、服务信息、客户名单、定价信息、营销信息、政策、程序和手册,以及供应商的分销商
或分销渠道、研究和与供应商商品或供应商业务有关的开发和其他专有事项。除非在行使其权利或履行本协
议规定的义务所必须的范围内,否则分销商将不使用机密信息。同样,分销商将把其对机密信息的披露限制
在需要知道此类机密信息的人,以便分销商履行其义务并享有本协议规定的权利。这些人将被告知并将同意
本节的规定,分销商将继续对他们中的任何人未经授权使用或披露机密信息的行为负责。在本协议终止时
(或更早,应供应商的请求),分销商应停止使用所有机密信息,并应供应商的要求迅速返回(或销毁)其
拥有或在其控制下的任何构成机密信息的文件(无论是书面还是电子)。在本协议有效期内及其后,分销商、

三方的商品或服务提供服务。
Supplier may provide Distributor with certain confidential or proprietary information (“Confidential Information”).
Confidential Information includes information, whether written, electronic or oral, which Distributor knows or
reasonably should know is proprietary, confidential or a trade secret of Supplier, including any and all technical or
business information, specifications and design information for the Supplier Products, servicing information,
customer lists, pricing information, marketing information, policies, procedures and manual regarding Supplier’s
distributors or distribution channels, research and development and other proprietary matter relating to the
Supplier Products or business of Supplier. Distributor will refrain from using the Confidential Information except to
the extent necessary to exercise its rights or perform its obligations under this Agreement. Distributor will likewise
restrict its disclosure of the Confidential Information to those who have a need to know such Confidential
Information in order for Distributor to perform its obligations and enjoy its rights under this Agreement. Such
persons will be informed of and will agree to the provisions of this Section and Distributor will remain responsible for
any unauthorized use or disclosure of the Confidential Information by any of them. Upon termination of this
Agreement (or earlier, upon request by Supplier), Distributor shall cease to use all Confidential Information and
promptly return to Supplier (or destroy, upon request by Supplier) any documents (whether written or electronic) in
its possession or under its control that constitutes Confidential Information. During the term of this Agreement and
thereafter, neither Distributor, nor Distributor’s employees, independent contractors nor other agents shall (a)
reverse engineer the Supplier Products from the products themselves or from any other information made available
to them, or (b) otherwise use any of the Confidential Information or Supplier provided training to support, maintain
or otherwise service a third party’s products or services.
19. 双方的关系
19. RELATIONSHIP OF THE PARTIES.
供应商和分销商之间的关系是供应商和买方的关系。分销商、其代理人和员工在任何情况下都不应被视为供
应商的员工、代理人或代表。未经供应商书面许可,分销商不得修改任何供应商商品。分销商和供应商均无
权以对方的名义或代表对方订立任何合同或承诺,或在任何方面约束对方。
The relationship between Supplier and Distributor is that of vendor and vendee. Distributor, its agents and
employees shall, under no circumstances, be deemed employees, agents or representatives of Supplier. Distributor
will not modify any of Supplier’s Products without written permission from Supplier. Neither Distributor nor Supplier
shall have any right to enter into any contract or commitment in the name of, or on behalf of the other, or to bind
the other in any respect whatsoever.

20. 期限和终止
20. TERM AND TERMINATION
除非事先按照下文规定终止,否则本协议的期限应在 ______________________ (日期)开始,并持续到
__________________(日期)。在期限结束时,本协议应该继续进行,直至任何一方至少提前 30 天通知终止。

A. 如果供应商决定终止并重新订立或修改现有的分销商协议,则供应商应在此通知生效日期前不少于陆拾
(60)天通过书面形式通知分销商。
B. 供应商可在以下任何事件发生时,透过书面通知即时终止本协议:(1)分销商未能满足或履行本协议中
分销商的任何职责、义务或责任,但在供应商通知的叁拾(30)天内未能解决此问题;(2)未经供应商
书面同意,分销商对本协议的任何利益或分销商授权进行转让;(3)在法律或其他情况下自愿或非自愿
出售、转让或放弃直接或间接所有权的重大利益或分销商管理人员的任何变更;(4)分销商因任何原因
未能进行日常业务;(5)经销商,或经销商的重要合伙人,主要执行人或主要股东,在拥有该地区管辖
权的法院,就任何违反法律的行为被定罪,而这些违法行为在供应商看来会对分销商的经营或业务产生
不利影响,或因虚假报告或声明使供应商的商誉,声誉收到影响,包括但不限于供应商提供的任何退款、
信贷、回扣、奖励、津贴、折扣、报销或其他付款的索赔。
Unless earlier terminated as provided below, the term of this Agreement shall commence on ____________ (Date)
and shall continue until _____________ (Date). At the end of the term, the Agreement shall continue until
terminated by either party on at least 30 Days prior notice.
A. Supplier may terminate at any time by written notice given to Distributor not less than sixty (60) days prior to
the effective date of such notice in the event Supplier decides to terminate all outstanding distributor
agreements for Supplier’s Products and to offer a new or amended form of distributor agreement.
B. Supplier may terminate this Agreement upon notice to Distributor on any of the following events: (1) failure of
Distributor to fulfill or perform any one of the duties, obligations or responsibilities of Distributor in this
Agreement, which failure not cured within 30 Days notice from Supplier; (2) any assignment by Distributor of
any interest in this agreement or delegation of Distributor’s obligations without Supplier’s written consent; (3)
any sale, transfer or relinquishment, voluntary or involuntary, by operation of law or otherwise, of a material
interest in the direct or indirect ownership or any change in the managers of Distributor; (4) failure of Distributor
for any reason to function in the ordinary course of business; (5) conviction in a court of competent jurisdiction
of Distributor, or of a significant partner, principal officer or major stockholder of Distributor for any violation of
law that, in Supplier’s opinion, to affect adversely the operation or business of Distributor or the good name,
goodwill, or reputation of Supplier of fraudulent reports or statements, including, without limitation, claims for
any refund, credit, rebate, incentive, allowance, discount, reimbursement or other payment by Supplier.

21. 终止时的义务
21. OBLIGATIONS ON TERMINATION.
在本协议终止时,分销商不再是授权分销商。
尽管有先前的销售条款,分销商欠供应商的所有款项应立即到期并支付;
A. 所有未装运的订单均应取消,而另一方不承担任何责任;
B. 分销商将按要求转售并交付给供应商,免费且免除留置权和抵押,供应商的产品和带有供应商名称的材
料,供应商应选择以双方同意的价格回购,但不得超过供应商对于此类产品和材料的提供予分销商的目
前的价格,但供应商没有义务向分销商支付最初免费提供的任何物品的费用;
C. 任何一方均不对另一方承担由于本协议终止而导致的预期利润损失或预期销售损失,或与业务或商誉有
关的支出,投资,租赁或承付;
D. 总之,双方都承认,在某个时候终止本协议是的可能性很大,应该在正常经营过程中处理,双方尽最大
努力友好地结束这种关系。
On termination of this Agreement, Distributor shall cease to be an authorized distributor.
All amounts owing by Distributor to Supplier shall, notwithstanding prior terms of sale, become immediately due and
payable;
A. All unshipped orders shall be cancelled without liability of either party to the other;
B. Distributor will resell and deliver to Supplier on demand, free and clear of liens and encumbrances, such of
Supplier’s Products and materials bearing Supplier’s name as Supplier shall elect to repurchase, at a mutually
agree price, but not in excess of Supplier’s current price to distributors for such products and materials, provided
that Supplier shall not be obligated to pay Distributor for any item originally provided free of charge;
C. Neither party shall be liable to the other because of such termination for compensation, reimbursement or
damages on account of the loss of prospective profits or anticipated sales, or on account of expenditures,
investments, lease or commitments in connection with the business or goodwill of Supplier or Distributor or for
any other reason whatsoever growing out of such termination.
D. In sum, both parties acknowledge that termination of this Agreement at some point is highly probable and
should be treated in the ordinary course of business with both parties exerting their best efforts to end the
relationship amicably.
22. 通知
22. NOTICES.
本协议所要求或与本协议相关的任何通知均应采用书面形式发出,并通过个人交付、扫描或认可的快递服务
(如联邦快递)提供给适当方。
Any notice required by this Agreement or given in connection with it, shall be in writing and shall be given to the
appropriate party by personal delivery, scanning or recognized overnight services such as Federal Express.

23. 无自动弃权
23. NO WAIVER
本协议之任何一方未能行使或未能及时行使本协议下因另一方违反或多个条款所产生的任何权利的,该等行
为均不得解释为或损害到该方因另一方其他的或后续的违约行为而享有的权利;亦不得解释为对本协议双方
于下所达成的其他条款、条件或内容所载之权利的放弃、扩大或暂缓行使。
The waiver of failure of either party to exercise in any respect any right provided in this Agreement shall not be
deemed a waiver of any other right or remedy to which the party may be entitled.

24. 不可抗力
24. FORCE MAJEURE
下述事件构成不可抗力:
1)发生战争、地震、严重的风灾、雪灾、火灾或其他各方无法预见、无法抗拒的事故;
2)自本协议签订之日起与本协议任何一方履行本协议相关的法律、法规发生变更致使本协议非法或转让行为
无法完成。
在发生本协议不可抗力事件之后,任何一方(以下简称“受影响方“)在履行本协议义务时受到拖延或不能
履行时,受影响方不承担任何违约责任及赔偿责任。
在发生不可抗力事件时,受影响方应自不可抗力时间发生之日起7(柒)天内以电传、电报、电邮、即时通
讯软件或其他任何合理书面方式,通知另一方有关不可抗力的发生和不可抗力对其履行本协议的义务的影响,
同时应呈交不可抗力的有关官方证明。
在不可抗力事件延续 30(叁拾)天后,双方必须磋商本协议的变更,双方未能协商一致的,适用本协议第
25(贰拾伍)章的规定。
Force majeure shall hereof consist of the following events:
Where such cases as war, earthquake, serious windstorms, snow, or fire or other events which no party can foresee
and prevent from happening occur;
The related laws and regulations in collection with the execution of duties by any party to this Agreement undergo
changes, under which this Agreement will be illegal or the transfer cannot be fulfilled.
In event of the occurrence of the above-mentioned events, if any party (hereinafter referred to as the “Affected
Party”) has been delayed or deterred from performing the duties of this Agreement in the course of its execution,
the Affected Party shall be free from any liabilities for breach of this Agreement and for compensation.
In event of the force majeure, the Affected Party shall, within 7 (seven) days from the date of the occurrence, notify
the other party of the impact of such events on the execution of the duties in this Agreement, by telex, telegraph,
email, Instant Messenger or in any other lawful written form, and simultaneously submit the relevant official
credentials concerning the force majeure herein.
Should the effect of the force majeure cases last more than 30 (thirty) days, both parties shall consult each other
about the alterations of this Agreement; in case they fail to reach an agreement, Chapter 25 shall thereupon apply.

25. 责任限制
25. LIMITATION OF LIABILITY
如果供应商承担任何责任:
1. 此种责任应限于分销商的直接损失;

2. 除非供应商有重大过失或故意行为,在其他任何情况下,卖方承担责任的限额不应超过合同总价款的金

额;

3. 在任何情况下供应商对使用、生产、利润、利息及收入损失或任何间接的后果性的损坏或损失都不承担

责任,不管该等损害是否能预见;

4. 本规定应同样适用于供应商方的人员。

In the event that Supplier assumes liability:

1. Such liability will be restricted to the direct losses of Distributor;

2. Supplier shall not be liable in any event (except for any gross negligence or willful act) for any amount exceeding

the Total Price of the Goods;

3. In no event is Supplier responsible for any loss of use, production, profit, interest, revenues or any indirect or

consequential damages or losses, regardless of whether those damages are foreseeable;

4. This Section shall also apply to Supplier’s personnel.


26. 分派和授权
26. ASSIGNMENT AND DELEGATION.
未经供应商事先书面同意,分销商无权转让其在本协议下的任何权利或将其义务委托给他人。未经书面同意
而企图进行的任何转让或授权均属无效且不具任何法律效力。本协议对双方各自的继承人和允许的受让人具
有约束力。
Distributor shall have no right to assign any of its rights or delegate its obligations under this Agreement without the
prior written consent of Supplier. Any assignment or delegation attempted without such written consent shall be
void and of no legal effect whatsoever. This Agreement shall be binding upon the parties’ respective successors and
permitted assigns.

27. 协议的完整性
27. ENTIRETY OF AGREEMENT
本协议中规定的条款和条件是双方之间的整个协议,并取代任何与本协议主题事项有关的任何通信或先前协
议。没有与本协议直接或间接相关的书面或口头谅解未在此列出。除双方书面签署外,不得对本协议进行任
何变更。
The terms and conditions set forth herein the entire agreement between the parties and supersede any
communications or previous agreements with respect to the subject matter of this Agreement. There are no written
or oral understandings directly or indirectly related to this Agreement that are not set forth herein. No change can
be made to this Agreement other than in writing and signed by both parties.

28. 管辖法律
28. GOVERNING LAW
本协议应根据中华人民共和国法律解释和执行,根据本协议发生的任何争议必须在本地点而不是其他地点提
起。
This Agreement shall be construed and enforced according to the laws of the People’s Republic of China and any
dispute under this Agreement must be brought in this venue and no other.

29. 本协议中的标题
29. HEADING IN THIS AGREEMENT
本协议中的标题仅为方便起用,确认任何一方均不承担任何权利或义务,也不得更改本协议的任何条款。
The headings in this Agreement are for convenience only, confirm no rights or obligation sin either party, and do not
alter any terms of this Agreement.

30. 可分割性
30. SEVERABILITY
如果本协议的任何条款由有管辖权的法院认定为无效或不可执行,则本协议(包括所有剩余条款)将保持完
全有效,如同从未包括此类无效或不可执行的条款一样。
If any term of this Agreement is held by a court of competent jurisdiction to be invalid or unenforceable, then this
Agreement, including all of the remaining terms, will remain in full force and effect as if such invalid or
unenforceable term had never been included.

在证人的见证下,双方已在上述日期执行本协议。
In Witness whereof, the parties have executed this Agreement as of the date first written above.
