1. On 02-15-2001, Rodger Birtwell Dowdell and wife Linda Ann Dowdell, purchased from Dorset
Capital Group, private property, empty lot of land, located at 7804 Sloane Gardens Court in University
Park, Florida. See Exhibit 1

2. On 02-15-2001, upon agreement to purchase private property, empty lot of land, from Dorset
Capital Group; Rodger Birtwell Dowdell and wife Linda Ann Dowdell, were required to sign contract with
University Park Community Association Incorporated, also known as UPCAI. See Exhibit 2 page 1 of 3

3. University Park Community Association Incorporated, Principal Address, located at 8301 The Park
Boulevard, University Park, Florida 34201. See Exhibit 2 page 1 of 3

4. University Park Community Association Incorporated, Registered Agent and Address is as follows:
Charles Varah, 7671 The Park Boulevard, University Park, Florida 34201. See Exhibit 2 page 1 of 3

5. University Park Community Association Incorporated, Title President, Director is as follows: John

county, and municipal officers shall be residents of, and have sufficient visible property unencumbered
within the state, not exempt from sale under legal process, to make good their liability on such bonds."

9. On 05-15-2017, John Neal doing business as owner; John Whyte doing business as President for
University Park Community Association Incorporated also known as UPCAI, and Charles Varah doing
business as PasoldFamily, within letterhead title "University Park Community Association, Inc."
produced and signed document title: "An Important Announcement for the University Park Community"

10. On 05-15-2017, John Neal, John Whyte, Charles Varah, with letterhead University Park
Community Association Incorporated, announced their intention for the assignment of University Park to
its residents. This would include the acquisition of the University Park County Club and other assets, golf
course and land, the clubhouse facilities, pro shops, tennis, croquet, maintenance and all associated club
facilitie&vtl^d"tbCtVQy(eJi of the community assets of University Park, lands, roads, gate house and

adjoining the club house. See Exhibit 3

11. On 05-26-2017, John Whyte, dba President for University Park Community Association
Incorporated, directed letter to the University Park Community, announcing the established. Four
Committees, which none were selected as representatives by dl the property owners in University Park
Community Association Incorporated, to represent any part of any of the University Park neighborhoods.
See Exhibit 4

12. On 05-26-2017 John Whyte, dba overall Coordination for the Planning Group, aka (PG); selected
26 neighbors, which none, were selected as representatives by all the property owners in University Park
Community Association Incorporated to represent any part of any of Ae University Park neighborhoods.
See Exhibit 5

13. On 06-23-2017 Henry H. Fishkind, dba President for Fishkind & Associates Economic Consultants,
unlawfully, contradicted the Florida Law Statute § 418.20; produced their, unlawful Economic and
Financial Consulting Formation of a Recreation District and Assistance with Turnover, within Manatee
County and wherein the area already is Incorporated, well known, established, named UPCAI;
consequentlyFishkind, involving deception, fraudulently, created the Proposal fixed fee
$25,000 plus other expenses, and submitted for authorization to John R. Whyte.

14. On 06-26-2017 John R Whyte, dba President for UPCAI, unlawfvilly contradicted the law, involving
deception, fraudulently signed authorization Xo Henry H. Fishkind, to proceed, for Fishkind & Associates
Economic Consultants, the formation of an unlawful Recreation District, aka RD, with Turnover; within
Manatee County and wherein the area already is Incorporated, well known, established, named as
"University Park Community Association Incorporated aka UPCAI. See Exhibit 6 page 5 of 5

15. On 12-29-2017 at 12:14 PM, Dick Tuley, dba Resident Planning Group [PG], Neighborhood Chair,
sent public record, via email. Subject: January Meetings, directed to Rodger Birtwell Dowdell, and wife
Linda Ann Dowdell, concerning meeting information about the formation of unlawful Recreation District;
the meeting was schedule for 01-16-2018 from 2:30 to 3:30 in the Lakeside Room. See Exhibit 7

16. On 06-05-2018 Rodger Birtwell Dowdell, dba Common Law Grand Jury Administrative
Investigator, according to the rules of the common law, filed for Public Trial, directed to Manatee County
Board Of County Commissioners a document title: "Notice Of Lawlessness With Harmful Intent To
Manatee Coimty Board Of Coimty Commissioners" See Exhibit 8

17. On 06-05-2018 Rodger Birtwell Dowdell, dba Common Law Grand Jury Administrative
Investigator, proceeded according to the rules of the common law, Florida Statutes Title XLVn [47]
Criminal Procedure And Corrections. Statute 905 Title: Grand Jury. Section 905.20 Title: Duty of grand
juror having knowledge of offense. "A grand juror who knows or has reason to believe that an indictable
offense triable within the county has been committed shall report the information to the grand jury and
may be sworn as a witness in the investigation." See Exhibit 9

18. On 07-16-2018, was published Biography of each Resident member for the Planning Group,
arbitrary selected by John Whyte, based on random choice or personal whim, rather than Republic Form
of Government, which shall be Residents Electors, according to the rules of the Common Law.

Chapter 418 Title: Recreation Districts. Section 418.20 Title: Creation of recreation districts authorized.
"Each municipality and county in the state is authorized to create one or more recreation districts
comprising the whole of or any part of the territory of said municipality and by counties only in the
unincorporated areas of each coimty." See Exhibit 11

20. Undeniable evidence. Common Law, Felony Crime, committed by John Neal, John White, Charles
Varah, within signed document Exhibit 3, letterhead "University Park Community Association
Incorporated" and according to the rules for the Common Law, Public Record, above Paragraph 3.
"University Park Community Association Incorporated, Principal Address, located at 8301 The Park
Boulevard, University Park, Florida 34201. See Exhibit 2 page 1 of 3"; therefore Florida Statute Section
418.20 prohibited recreation districts within incorporated areas. See Exhibit 11

21. On 08-02-2018 Priscilla Trace, dba Chairperson for the Manatee Coimty Board of County
Commissioners, Reggie Bellamy, Stephen R. Jonsson, Misty Servia, Vanessa Baugh, Carol Whitmore,
Betsy Benac, EdHunzeker, Angelina Colonneso, Quantana Acevedo, Ernest L. Reddick, Kent Detzner,
Rick Scott, and Unknown name of others, Passed And Duly Adopted Ordinance Number 18-29; wherein
unlawfully, involving deception, misleading, concealed the word "Community Association Incorporated"
from "University Park Community Association Incorporated"; therefore committed multiple Felony
Crimes: Racketeer Influenced Corrupt Organized; Treason On Confession In Open Court, Punishable As
Principals, Bribery Of Public Officials And Witnesses, Counterfeiting And Forgery, Depravation Of
Rights, Impairing Obligation Of Contracts, False Statements, Tampering Witnesses, Conflict Of Interest,
Obstruction Of Justice, False Declarations Before Grand Jury Or Court. See Exhibit 12

22. On 08-02-2018 Michael Smith, Elisabeth Bertsch, Bob Wood, Steve Ludmerer, Nancy Kopnisky,
unlawfully, dba University Park Recreational District Board Of Supervisors, committed multiple Felony
Crimes, against the United States, aids, abets, counsels, commands, induces or procures its commission,
as a result, are punishable as a principal, ordered by Federal Law USC18 Section 2 Title: Principals.

23. On 09-10-2018 Al Cheneler, dba Chief Attorney, Division of Real Estate, Office of the General
Counsel, for the Florida Department Of Business And Professional Regulation, declared that an
Administrative Complaint has been filed, DBPR v. Darius Hatami and DBPR Case Number:

An Important Announcement for the University Park Community


For over 25 years. University Park has been a wonderful community that has set the standard
by which planned communities are measured. It Is a beautiful place that residents arc proud
to call home.

As the community Is close to build out, the owners (Neal/Pasold) believe this is the right time
to sell their Interests and have expressed a clear desire to transfer University Park to Its
residents In order for them to focus on their core business of land development and building
homes. They believe that the residents have the most interest and are In the best position to
acquire these remaining assets In University Park.

Now we, John Whyte (resident representative), John Neat (owner), and Charles Varah (Pasold
Family) would like to announce our intention to work together to explore options for the
assignment of University Park to Its residents. This would Include the acquisition of the
University Park Cquntry Club (golf course and land, the clubhouse facilities, pro shops, tennis,
croquet, maintenance jand all of the associated club fedlltles), the turnover of the community
assets of University Park (land, roads, gate house and Infrastructure) and, the assignment of
remaining land parcels which would include Parcel L South adjoining the clubhouse.

For the residents, this would allow us to control our community's future and the ability to make
decisions that preserve and enhance the value of our homes. We would be able to chart our
own future.

We understand how complex this ownership transfer will be and the Importance of resident
representation. Therefore, a resident Planning Group comprised of neighbors who have
knowledge regarding the Issues Involved, has been formed to explore, analyze and evaluate all
of the available options. Please see the attached list for their names. As we move forward,
additional resources Including outside counsel with experience In real estate will be retained.
The Planning Group's work Is Just beginning. In the short term, we know that you will have
many questions for which answers won't be available until more analysis is done. However,
please be assured that the Planning Group Is committed to a transparent process that will offer
you every opportunity to ask questions and give Input along the way.
During a meeting today, the University Park Neighborhood Chairs were Informed about the
process being undertaken as well as plans to keep everyone fiilly up-to-date. You will receive
regular communications so please review the updates, Q&A's and other materials as they
become available and attend your neighborhood-based meetings when they are scheduled.
And, please reach out to your Neighborhood Chairs with your questions.
This effort is Important to all of us and our wonderful community. We encourage your Input
and Involvement.

To the University Park Community:

I wanted to follow up with you today regarding last week's announcement.


As you know, the owners of University Park want to sell their assets and
they've approached us, the residents, as the potential buyer with the most
interest.

As expected, this announcement has generated a great deal of community-


wide discussion, many questions and much speculation. A lot of you are
responding with thoughtful questions and suggestions that will help the
University Park Resident Planning Group as we move through the process.
We will soon start to gather and analyze the facts, figures and legal options
to determine if a reasonable proposal to bring to homeowners for their
consideration can be agreed upon. There is a great deal of work to be done.

Before we got too far along, however, the Planning Group wanted to ensure
we have a clear mission to keep us focused on the enormous task ahead -
and we want to share it with you now:

"To explore reasonable options suitable for our residents to achieve full
control of a resident-owned University Park by May 2019. Reasonable
options include those that are affordable to property owners, drive up
medium and long-term real estate values and provide enhanced residential
and recreational activities. Our goal is to remain one of the preeminent
gated communities in Sarasota and Manatee Counties."

So, how do we plan to accomplish this lofty mission? Four committees have
been established and are now working together: Proposal Negotiations,
Structure and Funding; Business Strategy and 5-Year Plan; Community
Turnover; and Communications and Marketing.

Although each committee is at work on specific tasks, top priorities at this


stage include:
■ Interviewing potential professional advisors with expertise in critical
areas such as real estate law, HOA turnovers, economic analysis,
special project funding, etc.;
■ Obtaining and analyzing audited financial statements of the Club and
from the owners;

" Developing a detailed list of all assets Involved and appraisal vs.
evaluation of their value;
■ Analysis and on-site visits to communities that have recently
undergone similar changes to determine best practices;
■ Collecting information from you via opinion surveys;
■ Reviewing iegai considerations of ownership transfer, risk assessment,
future structure, etc.;
■ Deveioping a business strategy for University Park from which to
prepare 5-year business plans;
■ Researching strategies for building community, real estate and
hospitality vaiue for University Park residents.

And, this is just a partiai list of the many tasks ahead. As we move forward,
we wili update you on our progress.

On behalf of the Planning Group, thank you for your suggestions and
questions. We encourage you to continue this dialogue by working through
your Neighborhood Chair as we work together Charting Our Future.

some of the most common questions we have heard from our residents over

1.0 Scope of Work

1.1 Background

The University Park Community Assodaticm. Inc. ("Client^ is interested in


forming a Recreation District ("RD") pursuant to Chapter 418, F.S. If
formed, the RD would purchase the assets of University Park Country Club
Associates. LLP and University Park Restaurant A^odates. Inc.
(collectively "Owiier^ that own the country club, gdf course, and
recreational facilities in University Park ('Club"). In conjunction with the
purchase of the Club, the Client also wants to consummate the turnover of
the Community Association to the residents along with the community's
drainage syst^, ponds, and irrigation system.
Fishkind & Associates, Inc. ("FA") proposes to provide economic, financial,
and managements services to the Client to assist it in all aspects of the RD
formation process and to provide consultatkxi concemir^ turnover ^ues
durir^ the RD formation process. Our proposal for these services is
provided below for your consideration.

system, ponds, and irrigation system. However, until the RD is formed, it is
premature to provide a proposal for these future services.

FA understands that the Client is considering setting up a management


company to operate the Club, and our proposal to manage the RD would in
no way conflict with the CHenfs desire to set up and control the
mans^ment oxnpany for the Club. Essentially, what FA propr^es
concerning the RD is similar to the arrangement for the Lakewood Ranch
Stewardship District where FA » District Manager and Financial Advisor
and SMR (the owner of Lakewood Ranch) manages and operates the clul)s
and all field operations.

1.2 Ta s k Plan

The foundation for the RD and the retated turnover program is a detailed
plan including: (a) an acquisition plan; (b) an operations plan; and (c) a
governance and formation plan.

The capital plan includes the following elements:

(1) Cost to acquire the Club as determined by the Client


(2) Cost for any initial refurt>ishment of the Club facilities as determined by
the Client
(3) Cost to acquire tfre stormwator mani^ment systrnn, ponds, and
irrigation sy^em along with appurtenances and associated property as
determined by the CKeit
(4) Cost for any initial refurbishment of these facilities and systems as

(5) Financing plan for the acquisition

Please note that with respect to the cost estimates that the Client is to
provide for items 1-4, FA will assist the Client in making these preliminary
estimates. However, ultimately the Client must be comfortable with the
price points to enable FA to develq;) the ciq)ital plan.

The operational plan is composed of the following elements:

(1) Operations plan for the RD including ffie typical district management
functions such as; (a) maintainir^ the lien trook. (b) conduciig the
district meetings, and (c) maintaining the t>ooks and pdoHic records.
(2) Operatkms of the Club wtli be provided by the Client-formed
management company that the fU) would contract with for these
service. Hie iHwi wHI include a firauicial pro forma for tte Club «riong
with estimates for the dues and fees expected under IRD ownership. FA
antidpates that current Ownership and its managers will provide the
data and guidance in developing the pro forma while the Client will
provide guidance concerning future dues and fee levels.
(3) Operating cost and pro forma budget covering aH of the non-Club
operating and maintenance costs of the RD facilities.
(4) Coordination of budgets and services with the Client to identify and
exploit potential economies of scale and potential benefits of moving
sendees, costs, and revenue sources between the Client and the RD.
For example, it may make economic sense to have the Client contract
wHh the RD to prov^ landscape maintenanoe sendees and to have the
RD assess landowners for the provision of these services.

The governance and formation plan consists of the following:

(1) Draftii^ of the RD charter


(2) Draft of the RD Ordinance
(3) Time table and task plan to fonn the RD

Please note that ttie drafting of the RD charter aivf the RD ordinance must
be done by a law firm sepaiirfely engaged try the Client FA will review and
coordinate this woifc on behalf of the Client

FA will analyze the capital and operating costs of the RD plan to property
owners in the RD. FA wDI also identify, and to the extent necessary and
possible, quantify the benefits to property owners from the RD plan.

There are some allematives to ttie RD. Tire primary and practical
altemativm krelude: (a) HOA, (b) private company or LLC, or (c) MSBU
formed t»y the County. FA will evaluate these attematives and compare
them to tire RD opticxi.

Tasks Consultation on Turnover Matters

FA will provide consuitaSon and expert advice on turnover matters as the


Client may request during this engagement

FA will make presentations and attend meetings in support of the RD and


tumover matters.

2.0 Fee Proposal, Professional Team, Timetable, Billing Arrangements,


and Additional Provisions

2.1 Fee Proposal

Our fee oroDosal forJasks 1-5 is a fixed fee of $25,000 inclusive of all costs.
Citi and UMB will provide their professional services at no charge.

Our fee proposal does not include an allowance for the legal work
associated with drafting the charter or the ordinance necessary to riie tor an
RD as outlined under Task 1.

FA will provide services under Task 5 only at your request We will bill for
services under Task 5 on a time and expense basis at our standard hourly
rates as follows: (a) Dr. Fishkind at $450/hour. Expenses are billed as
incurred without mark up.

2 . 2 P r o f e s s i o n a l Te a m

FA will be the principal on the project and responsible for all of the scope of
work outlined above. Citi and UMB will provide input on all financial matters.

The Client will need to engs^ a law firm to provide all legal support and to
draft the RD Charter and the RD Ordinance.

2 . 3 T i m e Ta b l e

FA is prepared to begin work as soon as the Client so authorizes. No


retainer is needed for this assignment We can complete Tasks 1-5 and
render a draft report of our findings to you within 90-days of your
authorization to proceed. Thereafter, we will work diligently with you to form
the RD.

2.4 Payment Terms

We render our bills monthly. Payment is expected within 20-days unless


other arrangements are agreed to in vmting.

3.0 Authorization to Proceed

3.1 To authorize us to proceed as outlined above, please sign below and return
an executed copy of this agreement.

3.2 Should you have any questions conceming this proposal, please feel free
to give me a call.

3.3 Disputes and questions conceming our work are rare, but they do
sometimes occur. It is our firm's policy to keep our clients satisfied if
possible. If you have a question about our work, please bring it to our
attention as soon as possible. Should we be unable to resolve a problem,
you may cancel this engagement by informing us in writing. We will cease
work, and bill only for the work we have successfully completed. Litigation
concemir^ our work is very rare. However, if there st^kJ be such an
unhappy circumstance, the matter shall be subject to Florida law with the
prevailing side to be compensated for reasonable attorney's fees and costs.

I come now In p^ce and honor regarding tiie project to convert University Park(UP)
Into a Recreational Distrlct(RD). The process used by John Neal (Developer) and agents
has been defective In multiple Important ways, many of them ciimlnai In nature. This
Notice Is putting on the record some of the more serious unlawful, unconstitutional,
and Illegal acts that have happened to cause the current situation:

1. This project h€@ been one where a number of dl^rent coercive scare tactics have
been used against the elderly property owners for private financial gain. Some of
the tactics used Included the threat of construction of condo buildings on the
fairways and the threat of tuming the f^rways Into pastures for animals. No vote or
signature on a petition Is valid If taken under threate, duress, and coercion as was
deployed In this project.
2. This process lacked any Integrity from the start simply because the parties that
negotiated with the developer on the deal were not selected nor elected by the
property owners. Instead, the negotiating committee was arbitrarily made up of
mostly golfers and friends of the developer, both groups standing to benefit at the
cost to the other property owners.
3. A key aspect of the lack of f^mess and Integrity In the process was the fact that
the valuation was done by an agent hired by the developer. In other words, the
valuation was not a market based independent valuation made by an agent of the
property owners, As a result, the pro|X»ed transaction price Is way above actual
market transactions for similar properties.
4. Never were the property owners ever fully Informed on many of the material
aspects of the proposed deal. For example, the financial statements of the golf
course were not fully disclosed before the petition signatures were collected. Also,
the question about who would own title to the property after the debt was paid was
never answered. Evidence suggests that the county will own title to the golf course
property even although the county did not pay tiie debt used for the purchase of
the golf course property. If this Is true, this Is prima facia evidence of a conspiracy
between the developer and the County to defraud the UP property owners.

5. Property sales and market values have already dropped Inside UP so all property
owners in the sales process have already become damaged.
6. Florida Statute 418.20 " Creation of recreational districts authorized." states
clearly that" Each such District shall be established by ordinance approved by a
vote of the electors in the District in accordance with s. 166.041." The requirement
is for the electors to vote, not the" registered voters". I am an elector in Manatee
County and own property In University Park, yet I was not allowed to participate
regarding the creation of a Recreational District. This is a serious breach of my right
of suffrage, and represents many possible crimes including Breach of Oath of
Office, Breach of Duty, Deprivation of Rights and therefore makes the recent UP RD
election results void ab initio.
7. Further, Statute 418.20 states" The electors residing In a proposed district may
petition the governing body of the city or county to create a recreational district. If a
majority of electors has signed the petition, no referendum shall be required to
create the district." Since electors were barred from signing the petition, clearly
there was not a "majority of electom has signed the petition" as required by statute
418.20.
8. I hereby demand a copy of the list of all the electors, not registered voters, who
signed a petition. STRICT PROOF IS HEREBY DEMANDED.
9. In April 20181 communicated directly with our Sloane Gardens neighborhood chair
and, after making it clear to him I was not going to be coerced Into impairing my
existing contract, I asked to speak with someone about my requirement to opt of
the RD. Instead of responding constructively, he launched an personal attack on
m e .

10. IMPORTANTLY, Article 1 Section 19 of the CONSTITUTION, OR FORM OF


GOVERNMENT ,for the PEOPLE OF FLORIDA (1838/1845) states "That no law
Impairing the obligation of contracts shall ever be passed." Also, Section 27
prohibits this Article 1 Sections 1-26 from ever being changed.
11. MOST IMPORTANTLY, in our Constitution of The United States, the Supreme Law
of Our Land, which all Public Servants in Rorida swear an oath to support and
defend: Article 1, Section 10 "No State shall...pass any...Law impairing the
Obligation of Contracts." I and many others have an existing contract with the
Homeowners Association which was signed many years ago. No entity, including
the Manatee County Board of County Commissioners, has the authority to Impair
our existing contract. Any action to impair my existing contract will be prima ^ia
evidence of the crime of Contempt of Constitution, a very serious crime. I am not
alone as many, if not all, hom^wners have an existing contract which likewise can
not be impaired. Bdsting contracte can only t>e nrKxllfled to allow for the creation of
a Recreational District by the free will d^isions by both parties to ^ch contract.

Notice: By you not answering me, you are denying me the right for you are
in trespass on the intangible right of honest services and appear you are
running the scheme or artifice to defraud.

Your lack of proof of claim is solicitation to the n^ative.

WHEREAS, a majority of the Electors in the proposed University Park Recreation District
area have sij^ed a petition requesting the establishment of the University Park Recreation District
(the "UPRD") for the purpose of providing recreational facilities and services pursuant to sections
418.20-418.26, Florida Statutes (the "Act"); end

WHEREAS, the area to be included in the UPRD is entirely within the University Park
Development of Regional Impact approved by Manatee County, as amended; and

WHEREAS, the facilities and lands to be owned by the UPRD include a 27-hole golf
course and practice hicilities, a pro shop, a clubhouse with kitchen, administrative and conununity
facilities, tennis courts, a croquet court, a fitness center, a golf cart storage facility, and associated
facilities, as well as certain other facilities and parcels of land that are widiin the area to be covered
by the UPRD (the "University Park Country Club"); and

WHEREAS, the facilities of the University Park Country Club are the major recreational
facilities serving the residents of University Park; and

petition to esublish the UPRO, desire for the UPRD to purchase the University Park Country Club

WHEREAS, the establishment of the UPRD is the preferred mechanism whereby such
purchase can be consummated and financed, to the benefit of the public and all residents of the
community of University Park; and

WHEREAS, it is in the best interests of the public health, safety and welfare, and serves
the purposes of the Act, for the County to establish Article III of Chapter 2-8 of the Manatee
County Code of Ordinances ("Code") to estoblish the UPRD as provided in this Ordinance, over
the area described in Exhibit "A" attached hereto and incorporated herein by reference.

NOTICE TO AGENTS IS NOTICE TO PRINCIPALS

1. In this Common Law Court Of Record, comes now rodger-birtwell:dowdell, an


Administrative investigator for the Common Law Grand Jury - Rorida, in peace,
honor, and iove, in good faith and with dean hands, regarding the unconstitutionai,
unia>A^i and ilegal project to convert University Park into a Recreational District
(UPRD)
2. The Manatee County Board of County Commissioners individually and as a group
including but not limited to Prisciiia Trace, Venessa Baugh, Robin DiSabatino,
Charles B. Smith, Stephen R. Jonsson, Carol Whitmore, Betsy Benac, are referred
to as Commissioners.
3. On or about June 5,2018 Commissioners were each served in private by
Registered Mali a NOTICE OF LAWLESSNESS WITH HARMFUL INTENT (NLHD
Hoarding some of the defects In the Due Proce^ of Law regarding this UPRD
project. Commissioners did not govern themselves accordingly because
Commissioners ail failed to take appropriate corrective actions to protect the rights
of We the People, who are a group of property owners in University Park who do
not give our consent to this unlawful project. Our rights that have fc>een infringed,
Including but not limited to, our property rights and our unlimited right to contract,
and therefore ail Commissioners now are Noticed that you are ail in Fault and you
now have an Opportunity to Cure.
4. It is important for Commissioners to comprehend our Founders did not cre^e a
democratic form of government because they taiew democracies alwa^ fail once
the majority figures out they can vote fo" benefits to themseiv^ at the
disadvantege of the minority. That is why in Article 4 Se^on 4 of the Constitution
of the United States our Founders specified a Republican form of government be
guaranteed to each state, not a democracy. Commissioners have a sworn oath to
uphold a Republican form of govemment, not a democracy.
5. Commissioners are hereby Noticed Florida Statute 2.01 : Common law and
certain statutes declared in force.—The common and statute laws of England
which are of a general and not a local nature, with the exception hereinafter
mentioned, down to the 4th day of July, 1776, are declared to be of force In this
state; provide, the said statutes and common law be not inconsistent with the
Constitution and laws of the United States and the acts of the Legislature of this
state.
6. Commissionere also need to comprehend: Olmstead v. U.S., 277 US 438,478,

right to be let alone- the most comprehensive of rights and the right most valued by
dvllteed men. To protect that right, every unjusfiflirisle Infruslon by the govemment upon the

7. Item number 8 in the NLHI document reads " I hereby demand a copy of the list of
ail the electors, not registered voters, who signed a petition. STRICT PROOF IS
HEREBY DEMANDED." In response to this demand, on or about June 23,2018,1
received a iist from Dana Rawls, Public Records Assistant, Property Management. This
iist is a list of those people that participated in a petition. Since only registered vot^
were allowed to participate and electors were prohibited, it is very unlikely this iist is
the actual iist of electors as Demanded in Item number 8 in the NLHI. Because R
Statute 418.20 clearly states the decision to create a Recreational District is to be
made only by the electors, and therefore not the registered voters, a list of electors is
required legally. I conditionally accept your claim that the list sent by Dana is the list of
electors I demanded conditioned upon the proof of your claim that these people are
truly electors and not simply registered voters. STRICT PROOF OF YOUR CLAIM IS
HEREBY DEMANDED

8. In direct conflict with and in breach of the written Rule of Law as memorialized in the
Supreme Law of Our Land, the Constitution of the United States, at Article 1 Section
10 and the 1838 Rorida Constitution at Article 1 Section 19, the Manatee County
Board of County Commissioners voted on August 2,2018 to au^orize and enable the
UPRD project to move forward by passing Ordinance 18-29. This vote appears to be
an act committing multiple serious ctim^. Including but not limited to Contempt of
Constitution, Breach of Trust, and Breach of Rduciary Duty, resulting in a serious
breach of each Commissioners Oath of Office by authorizing the actions that include
serious crimes against We the People who are non-consenting property owners,
including but not limited to unconstitutionally Impairing the Obligation of Contracts
which already exist between each property owner and UPCAI ( University Park
Community Association Incorporated). The prohibition of Impairing the Obligations of
Contracts is found in both the Constitution of the State of Rorida and the Constitution
of the United States. In order to legally and lawfully take such action. Commissioners
must have the delegated authority in writing from We the People. I conditionally accept
your vote passing Ordinance 18-29 conditioned upon the following proof of your claims

10. Proof you have the delegated authority to cast a vote to Impair the Obligation of

b) Proof that you are running a Constitutionally compliant Republican form of

Commissioner anytime, whether while in or out of office

Comes now Rodger Dowdell( Property owner in Sloane


Gardens) in peace, honor, and love with clean hands this 4th
day of January 2019 :

1. You are not yet legally in office due to lack of evidence


that you have executed all the oaths required by law and/
or statutes.
2. You are not yet legally In office because you have not
proven you have Surety Bonds in place as required by
law and/or statutes.
3. You are not yet legally and lawfully in office because you
have not yet proven you have unencumbered property
within the county as required by law and/or statutes.
4. You are not yet legally in office because the creation of
University Park Recreational District was not done legally
and lawfully by the Manatee County Board of County
Commissioners.
5. Because you are not yet legally in office, you are not
acting in your official capacity and instead you are
operating in your private capacity with full commercial
liability for any and all damages.
6. You have no delegated authority to impair any of our
existing contracts with UPCAI
7. You have no delegated authority to force anyone into a
contract of any kind : all valid contracts require full
disclosure and that both parties knowingly, willingly,
intentionally and voluntarily after full disclosure agree to a
contract. Because the process used for creating your
entity lacked full discioiure and an c^t out

contracts with any property owners in UP.
8. In both your official and your private capacities, you have
a serious Fiduciary responsibility to all property owners in
University Park. Your actions thus far are evidence that
you are acting in serious breach of your Fiduciary duty to
all property owners because

1. No independent establishment of Fair Market Value of


the properties that are targeted for purchase
2. No full disclosure of important terms of the deal you are
proposing, including but not limited to no disclosure of
what entity will actually own title to the property once it is
purchased
3. No unbiased independent financial analysis of alternative
plans including the Better Than Bonds Plan submitted for
your consideration. Hank Fishkind has a conflict of
interest and his analysis is for that reason not credible.
4. Additionally, Because you are allowing Hank Fishkind
and lawyer run the meetings and make the decisions,
you are abdicating your Fiduciary Duty to all property
owners and providing additional evidence you are not
competent to be in office , thereby breaking the Public
Trust
5. By taking or recommending illegal and /or unlawful
actions without appropriate delegated authority from We
the People, you are acting in breach of the one oath of
office your attorney claims that you have taken, and
acting in contempt of Constitution, a very serious crime
one step below Treason.
