MICROSOFT SOFTWARE LICENSE TERMS

MICROSOFT WINDOWS PORTABLE DEVICE ENABLING KIT


FOR MEDIA TRANSPORT PROTOCOL (MTP)
These license terms are an agreement between Microsoft Corporation (or based on where you live,
one of its affiliates) and you. Please read them. They apply to the software named above
(“Software”), which includes the media on which you received it, if any. The terms also apply to any
Microsoft
 updates/upgrades,
 supplements,
 Internet-based services,
 support services, and
 documentation
for this Software, unless other terms accompany those items. If so, those terms apply. Sample code
included in the Kit is Software licensed under the terms of this agreement. Additional sample code
may be available under a separate license. The MTP Specification is available from USB.org and is
subject to a separate license.
By using the Software, you accept these terms. If you do not accept them, do not use the
Software.

DEFINITIONS. The capitalized terms used in this agreement are defined as follows:

“Media Transfer Protocol” or “MTP” means the transport agnostic Media Transfer Protocol for device
management and control, and for enabling the transfer of data between devices and the PC. The core
transport agnostic implementation is defined and is available from USB.org at
http://www.usb.org/developers/devclass_docs/ (or any successor website).

“OS Descriptor Info” means any methods, specifications, tools, or other materials that Microsoft
includes in the Software in order to allow you to embed in a USB device multiple indexed descriptors
that have been identified and allocated by Microsoft and that can later be retrieved by a USB host
using specified device requests. OS Descriptor Info includes the proprietary method for retrieving
such descriptors, as well as the descriptors themselves (including the Extended Configuration
Descriptor, Extended Properties Descriptor, and Genre Descriptor).

All other initially capitalized terms have the meanings assigned to them elsewhere in this agreement.

If you comply with these license terms, you have the rights below.

1. INSTALLATION AND USE RIGHTS.

a. Software. You may

 install and use up to 20 copies of the Software to design, develop, and test your
application or product that includes an implementation of MTP that complies with the
MTP Specification (your "Licensed Implementation");
 publicly demonstrate the Software as part of your Licensed Implementation; and

 make a reasonable number of copies of the Software for backup and archival
purposes.

b. Documents. You may make a reasonable number of copies of the electronic and
printed documents accompanying the Software (“Documents”). Such copies may only be
used in support of your authorized use of the Software. You may not publish or distribute the
Documents or any copies to any third party except that (i) you may distribute Documents to
your contractors pursuant to Section 5 and (ii) you may reproduce and distribute Documents,
in their entirety, in connection with distribution of your final Licensed Implementation to a
third party that will incorporate such Licensed Implementation into one or more products to
be distributed to end users.

2. ADDITIONAL LICENSING REQUIREMENTS AND/OR USE RIGHTS; SAMPLE SOURCE


AND REDISTRIBUTABLE CODE. Certain portions of the Software are provided with additional
license rights if you comply with the terms below. The code and text files listed below are
“Distributable Code”.

a. Sample Source.
i. You may copy, modify, and create derivative works of code identified by Microsoft as
sample source code, including any updates thereof ("Sample Source") to develop your
Licensed Implementation.
ii. You and your licensees may copy and distribute object code versions of the Sample
Source, including any modifications or derivative works thereof, as part of your Licensed
Implementation.
iii. You may include the Sample Source or modified Sample Source in source code form
solely as a component of a reference design or development kit for third party device
hardware. Your reference design or development kit must be protected by a license that
prohibits further distribution of Sample Source or modified Sample Source, unless your
licensee has obtained such distribution rights from Microsoft.

b. Redistributable Code.
i. You may copy and distribute the object code form of code identified by Microsoft as
redistributable code, including any updates that Microsoft provides ("Redistributable
Code") as part of your Licensed Implementation.
ii. Your licensees may copy and distribute object code versions of the Redistributable
Code as part of your Licensed Implementation.

c. Licensed Implementation.

i. You may not use the Software to build an implementation for a personal computer
that includes the “Enhanced Initiator” features.

ii. You may not use the Software to build an implementation for a personal computer
that includes the “OS Descriptor Info” as provided in the Software.

iii. You may use any OS Descriptor Info provided in the Software, provided that such
use of the OS Descriptor Info is in compliance with the OS Descriptor Info specifications
provided in the Software. You may not use the OS Descriptor Info in connection with any
non-USB hardware.

iv. Subject to the limitations in this Section 2(c), your Licensed Implementation must
implement the MTP Specification in its entirety, other than any portion of the MTP

Specification that is identified as “optional.” If you choose to implement a portion of the
MTP Specification that is identified as optional, you must implement that portion in its
entirety.

d. Distribution Requirements. For any Distributable Code you distribute, you must

 add significant primary functionality to it in your Licensed Implementation;

 require distributors and external end users to agree to terms that protect it at least
as much as this agreement;

 display your valid copyright notice in your Licensed Implementation; and

 indemnify, defend, and hold harmless Microsoft from any claims, including attorneys’
fees, related to the distribution or use of your Licensed Implementation, excluding claims
or lawsuits caused by the original and unmodified Software.

e. Distribution Restrictions. You may not

 alter any copyright, trademark or patent notice in the Distributable Code;

 use Microsoft’s trademarks in your Licensed Implementation’s name or in a way that


suggests your Licensed Implementation comes from or is endorsed by Microsoft;

 include Distributable Code in malicious, deceptive or unlawful programs; or

 modify or distribute the Distributable Code so that any part of it becomes subject to
an Excluded License. An “Excluded License” is one that requires, as a condition of use,
modification, or distribution, that
o the code be disclosed or distributed in source code form; or
o others have the right to modify the code.

f. Except for the Sample Source, you may not alter any component of the Software.

3. OTHER RIGHTS AND LIMITATIONS.

a. Termination. Without prejudice to any other rights, Microsoft may terminate this
agreement if you fail to comply with its terms and conditions. In such event, you must
destroy all copies of the Software. Any distribution by you to users of your Licensed
Implementation, including Sample Source in object code form, which already has been validly
made prior to the effective date of termination under a license agreement that complies with
this agreement, shall not be affected by such termination and shall continue to be authorized
under this agreement in accordance with the terms and conditions of this agreement
(including applicable conditions under Section 2(c))..

b. Trademarks. This agreement does not grant you any rights in connection with any
trademarks or service marks of Microsoft. For more information about Microsoft logo license

c. Support Services. Because this Software is licensed “as-is,” Microsoft has no


obligation and may decide not to provide support services for it.

d. Technical Support for Your Licensed Implementation. You are responsible for
any and all maintenance, end-user support, technical support and updates for your Licensed
Implementation.

4. SCOPE OF LICENSE.

a. The Software is licensed, not sold. This agreement only gives you some rights to use
the Software. Microsoft reserves all other rights. Unless applicable law gives you more rights
despite this limitation, you may use the Software only as expressly permitted in this
agreement. In doing so, you must comply with any technical limitations in the Software that
only allow you to use it in certain ways. You may not

 make more copies of the Software than specified in this agreement (or allowed by
applicable law despite this limitation);

 publish the Software for others to copy;

 rent, lease or lend the Software;

 transfer the Software or assign this agreement to any third party; or

 use the Software for commercial software hosting services.

b. All patent licenses and other patent rights provided under this license agreement are
limited to licenses and other rights under Necessary Claims of Microsoft. “Necessary Claims”
means any and all claim(s), but only such claim(s), of a patent or patent application that
(a) are owned, controlled, or sublicensable (without payment of royalties to an unaffiliated
third party) by Microsoft now or at any future time; and (b) are necessarily infringed by
implementing MTP as described in the MTP Specification. Notwithstanding the foregoing
sentence, Necessary Claims do not include any claims: (i) to any enabling technologies that
may be necessary to make or use any product or portion thereof that includes MTP ( e.g.,
enabling semiconductor manufacturing technology, compiler technology, object oriented
technology, operating system technology, network or other protocols (other than MTP as
such), programming interfaces, etc.); or (ii) covering the implementation of other
specifications, technical documentation, or technology referred to in the MTP Specification.

5. CONFIDENTIALITY. The Software may contain specifications or documents which are


proprietary and confidential information to Microsoft and its suppliers. Except as provided in
Section 1 and in this Section 5, you agree not to disclose or provide such specifications,
documentation, or related information (“Confidential Information”) to any third party. However,
(i) you may provide Confidential Information to your employees and contractors who have
executed written confidentiality agreements that oblige them to comply with confidentiality terms
equivalent to the requirements of this agreement; (ii) in accordance with Section 1(b) you may
distribute Documents in their entirety as part of your Licensed Implementation; and (iii) you may
disclose Confidential Information in accordance with judicial or other governmental order,
provided that you give Microsoft reasonable written notice prior to such disclosure and you comply
with any applicable protective order or equivalent. Further, you shall not be liable to Microsoft for
disclosure of information which you can prove (a) is already known to you without an obligation to
maintain the same as confidential; (b) becomes publicly known through no wrongful act of
recipient; (c) is rightfully received from a third party without breach of an obligation of
confidentiality owed to Microsoft; or (d) is independently developed by you.

6. DISCLAIMER OF WARRANTIES. The Software is licensed “as-is.” You bear the risk
of using it. Microsoft gives no express warranties, guarantees or conditions. You may
have additional consumer rights under your local laws which this agreement cannot
change. To the extent permitted under your local laws, Microsoft excludes the implied
warranties of merchantability, fitness for a particular purpose and non-infringement.

7. LIMITATION ON AND EXCLUSION OF REMEDIES AND DAMAGES. You can recover
from Microsoft and its suppliers only direct damages up to U.S.$5.00. You cannot
recover any other damages, including consequential, lost profits, special, indirect, or
incidental damages.

9. This limitation applies to

 anything related to the Software, services, content (including code) on third party
Internet sites, or third party programs; and

 claims for breach of contract, breach of warranty, guarantee or condition, strict


liability, negligence, or other tort to the extent permitted by applicable law.
It also applies even if Microsoft knew or should have known about the possibility of the damages.
The above limitation or exclusion may not apply to you because your country may not allow the
exclusion or limitation of incidental, consequential or other damages.

10. EXPORT RESTRICTIONS. The Software is subject to United States export laws and
regulations. You must comply with all domestic and international export laws and regulations that
apply to the Software. These laws include restrictions on destinations, end users and end use. For

12. APPLICABLE LAW.

a. United States. If you acquired the Software in the United States, Washington state
law governs the interpretation of this agreement and applies to claims for breach of it,
regardless of conflict of laws principles.

b. Outside the United States. If you acquired the Software in any other country, the
laws of that country apply.
14.
15. LEGAL EFFECT. This agreement describes certain legal rights. You may have other rights
under the laws of your country. You may also have rights with respect to the party from whom
you acquired the Software. This agreement does not change your rights under the laws of your
country if the laws of your country do not permit it to do so.
16.
17. ENTIRE AGREEMENT. This agreement, and the terms applicable to supplements, updates,
Internet-based services and support services that you use, plus the separate license for the MTP
Specification, are the entire agreement for the Software and any support services.

Please note: As this Software is distributed in Quebec, Canada, some of the clauses in this
agreement are provided below in French.

EXONÉRATION DE GARANTIE. Le logiciel visé par une licence est offert « tel quel ». Toute
utilisation de ce logiciel est à votre seule risque et péril. Microsoft n’accorde aucune garantie ou
condition expresse. Vous pouvez disposer de droits de consommateur additionnels que vous conférent
vos lois locales, que la présente licence ne peut modifier. Dans la mesure permise par vos lois locales,

LIMITATION DES DOMMAGES-INTÉRÊTS ET EXCLUSION DE RESPONSABILITÉ POUR LES
DOMMAGES. Vous pouvez obtenir de Microsoft et de ses fournisseurs une indemnisation en cas de
dommages directs uniquement à hauteur de 5,00 $ US. Vous ne pouvez prétendre à aucune
indemnisation pour les autres dommages, y compris les dommages spéciaux, indirects ou accessoires
et pertes de bénéfices.

Cette limitation concerne :

 toute matière reliée au logiciel, aux services ou au contenu (y compris le code)


figurant sur des sites Internet d’une tièrce partie ou dans des programmes d’une tièrce
partie, et

 les réclamations au titre de violation de contrat ou de garantie, ou au titre de


responsabilité stricte, de négligence ou d’une autre faute dans la limite autorisée par la loi
en vigueur.
Elle s’applique également, même si Microsoft connaissait ou devrait connaître l’éventualité d’un tel
dommage. Si votre pays n’autorise pas l’exclusion ou la limitation de responsabilité pour les
dommages indirects, accessoires ou de quelque nature que ce soit, il se peut que la limitation ou
l’exclusion ci-dessus ne s’appliquera pas à votre égard.

EFFET JURIDIQUE. Le présent contrat décrit certains droits juridiques. Vous pourriez avoir d’autres
droits prévus par les lois de votre pays. Le présent contrat ne modifie pas les droits que vous
confèrent les lois de votre pays si celles-ci ne le permettent pas.
