Logistic Operation which is $USD 3,0 / M.T.) In a port of the Atlantic, Caribbean coast of Colombia.
(THIS PRICE IS ONLY SUSTAINED FOR 10 LABOR DAYS TO THIS DATE AND IT CAN FLUCTUATE UP OR DOWN
ACCORDING TO INTERNAL CONDITIONS OF THE MARKET WITHOUT PREVIOUS WARNING (SHOULD BE
REVISED DURING THIS LAPSE)

CANTIDAD TOTAL DE SUMINISTRO: Doscientas veinte mil (220.000 TM, - HASTA 240.000 TM + /- EL 10%)
TM/mes durante treinta y seis (36) meses consecutivos – Tres (3) años, con ampliación a 5 años.

TOTAL AMOUNT TO BE DELIVERED: Two hundred twenty thousand (220.000 – up to 240.000 + or – 10%)
MT/month during thirty six (36) consecutive months - Three (3) years, with extension to five (5) years.

ENTREGAS: En embarques parciales cada uno de aproximadamente 70.000 TM + o - el 10%, de acuerdo con la
capacidad de las embarcaciones tipo Panamax, que el comprador contrate para embarcar su carbón.

DELIVERIES: In partial shipments of approximately 70.000 TM + or - 10% each, according to the capacity of
Panamax type Ships that the buyer hires to embark his coal.

ORIGEN DEL CARBON: Estos cupos de carbón térmico tipo-B provienen de Minas Privadas de la Costa Norte de
Colombia, El Cesar, La Jagua de Ibirico, Becerril, en el departamento de Atlántico, etc., y no tienen relación con las
Multinacionales Drummond, Glencor o Billington.

COAL ORIGIN: These lots of thermal type-B coal are supplied from Private Mines in the North Coast of Colombia
located in, Cesar, Jagua of Ibirico, Becerril, in the department of Atlàntico, etc, and have no relationship with the
Multinational Drummond, Glencor or Billington

REVISION DE PRECIOS: El precio base inicial de este cupo será revisado cada 3 a 6 meses en acuerdo con los
Mineros (según se pacte en el contrato) y con las fluctuaciones del precio interno del Carbón en Colombia.

PRICE REVISION: The base price of this initial offer will be revised every 3 to 6 months in accordance with the miners
(as specified in the final contract) and with the fluctuations of the internal coal price in Colombia.

REQUISITOS DE INSPECCION : Todos y cada uno de los embarques serán inspeccionados y certificados por la única
compañía multinacional certificadora SGS autorizada (SGS –COLOMBIA SA-Mineral Laboratory-General Analysis
Report), la cual se encarga de realizar los muestreos , verificar las cantidades y calidad del Lote a despachar, en muestras
de sub-lotes de 5.000 TM, para obtener el resultado promedio para el embarque total, con sus correspondientes fotografías
y ficha técnica de análisis. SGS serán los únicos aceptados por el comprador y el vendedor para el despacho, y cobro de la
Carta de Crédito al momento de presentar documentos y entrega del B/L por parte de la naviera, confirmando que la carga
está abordo con la certificación de calidad debidamente aprobada.

INSPECTION REQUIREMENTS: All and each one of the shipments will be inspected and certified by SGS, the only
authorized multinational certifying company (SGS -COLOMBIA Laboratory-general Inc-mineral Analysis Report), which
is in charge of carrying out the sampling, verifying the quantities and quality of the Lot to be dispatched, in samples of
sub-lots of 5.000 MT, to obtain the average result for the total shipment, with their corresponding photographs and tech
sheet analysis. SGS will be the only one accepted by the buyer and the seller for the shipment, and payment of the Letter
of Credit at the moment of presenting documents and surrendering the B/L by the shipper, confirming that the load is on
board with the proper approved quality certification.
 PROTOCOLO PARA INCIAR EL PROCESO DE COMPRA VENTA DE ESTE CUPO:

PROTOCOL TO BEGIN THE PROCESS OF BUYING SALE OF THIS ALLOTMENT

1. El comprador o Quemador dará respuesta de aceptación a la presente SOFT OFFER mediante una Carta de
Intención de Compra Soft L.O.I (a Nombre de PROBICOL, en los términos descritos a continuación)
debidamente firmada por el Representante Legal del Comprador y debidamente Apostillada en el Consulado
Colombiano del país de Origen del Comprador.

The buyer or Burner will accept the present SOFT OFFER by means of a Letter of Intent to Purchase SOFT
L.O.I (directed to PROBICOL, in the terms described below) properly signed by the Buyer's Legal
Representative and properly Apostilled in the Colombian Consulate in the country of Origin of the Buyer.

2. Deberá anexar Certificado de Quemador Final, debidamente Apostillado (la ley Colombiana lo exige para poder
darle salida portuaria al Carbón, es requisito fundamental).

The buyer will attach a Final Burner Certificate, properly Apostilled ( Colombian law requires this certificate
in order to approve the Coal to be shipped, it is a prerequisite which cannot be circumvented.

3. Certificado de Capacidad financiera o Carta de Capacidad Bancaria (BCL=Bank Capability Letter) máximo con
15 días de emisión reciente por un Banco Mínimo Top-25, y que pueda ser confirmada por un Banco Triple-A
en Colombia, con sus respectiva certificación de fondos para cubrir el valor del negocio mínimo del primer año.
Debe anexar las Coordenadas Bancarias (Nombre y Dirección del Banco, Teléfonos, Código Swift, Código
ABA) para hacer prueba de fondos preliminar y verificar la veracidad, para ser debidamente verificada por
nuestro equipo financiero, y ser aprobado el cupo para el Comprador.

Certificate of Financial Capacity or Letter of Bank Capacity (BCL=Bank Capability Letter) with maximum 15
days from date of emission, from a Minimum Top-25 Bank, and which can be confirmed by a Triple-A Bank in
Colombia, with the respective certification of funds to cover the value of the contract during the first year. Bank
Coordinates must be included (Name and Address of the Bank, Telephones, Swift Code, ABA Code) to attest
preliminary availability of funds and verify the truthfulness, to be properly verified by our financial team, and to
approve the allotment for the Buyer.

4. Una vez aprobada la documentación del comprador se les entrega las protecciones NCNDA y la IMFPA y el
Borrador del Contrato para que sea revisado tanto por el Minero, como por el comprador o Quemador final, y
una vez están de acuerdo los términos de éste, se procede a la firma del CONTRATO DE COMPRA VENTA,
conservando las correcciones hechas al borrador.

Once the buyer's documentation is approved the NCNDA and IMFPA protections and Draft of the Contract are
surrendered so that they are revised by the Miner and the buyer or final Burner, and once they agree on the
terms and conditions, the final BUYING SALE CONTRACT is signed, which includes the corrections made to
the draft.

5. Finalmente, una vez se vaya a firmar el Contrato, el Minero o Vendedor presentará la Documentación
reglamentaria: Copia del los Certificados Mineros del Vendedor, Certificación de la capacidad de Producción,
Certificación de la capacidad Logística, Certificación de Ventanas disponibles en puerto (FOB), certificación
típica de la calidad de su carbón de acuerdo a los más recientes análisis SGS que haya tenido, y Copia del DEX.

Finally, once the final Contract is ready for signing, the Miner or Seller will present the required Documents:
Copies of the Seller´s Mining Certificates, production capacity certificate, Logistical capacity certificate,
available Windows in port certificate(FOB), certification of the quality of the coal according to the most recent
SGS analyses that has been done, and DEX copy.

6. Una vez Firmado el Contrato final , ambos, tanto el Minero como el Comprador, diligenciaran y entregaran en
un término no mayor a 15 días hábiles después de firmado este, las respectivas pólizas de cumplimiento, y el
comprador para diligenciar la carta de Crédito y sus respectivas instrucciones irrevocables de Pago (IBOP), tanto
del carbón al minero , como de Operación Logística ($USD 3/TM) , dentro del valor ofertado, mediante la firma
previa de las confidencialidades NCNDA y la IMFPA, que firman tanto el Comprador como el minero.
 Once the final Contract is signed, the Miner and the Buyer must obtain and surrender within 15 labor days, the
respective execution policies, and the buyer must obtain the Letter of Credit which includes the irrevocable
payment instructions (IBOP), to the miner, the Logistical Operation ($USD 3/MT), included in the offered price,
through the previously signed NCNDA and IMFPA by the Buyer and miner.

DE $USD 67 /TM –INCLUIDO YA EL COSTO DE OPERACIÓN LOGISTICA DE $USD3/TM DE LA
COMPAÑÍA PROBICOL , POR UN LAPSO DE CONTRATO POSIBLE DE TREINTA Y SEIS (36) MESES O
TRES (3) AÑOS, POR UN PUERTO DEL ATLANTICO, CON POSIBILIDADES DE AMPLIACIÒN.
ANTE LO CUAL ADJUNTO DOCUMENTACION REGLAMENTARIA PREVIAMENTE SOLICITADA POR
USTEDES PARA LA ASIGNACIÒN DEL CUPO. GARANTIZAMOS QUE DICHO CARBON SERÀ CON
DESTINO FINAL DE QUEMADOR , PARA EL PUERTO ______________, CIUDAD ____________,
PAIS________________- Y ACEPTANDO LAS CONDICIONES PROMEDIAS DE CALIDAD SEGÚN LA
FICHA TECNICA PRESENTADA EN LA OFFER, Y DEBIDAMENTE AJUSTADA CON ESTAS POR LA
CERTIFICADORA INTERNACINAL S.G.S.

ALLOTMENT FOR 220,000 MT, MONTHLY, WITH A PRICE TO DATE OF $USD 67/MT-WHICH INCLUDE
THE LOGISTIC OPERATION OF $USD3/MT OF PROBICOL. THE CONTRACT WILL BE FOR A POSSIBLE
36 MONTH TERM OR 3 YEARS, FROM A PORT IN THE ATLANTIC, WITH THE POSSIBILITY OF
EXTENSION. FOR WHICH WE ATTACH THE PREVIOUSLY REQUIRED DOCUMENTS BY YOU FOR THE
ASSIGNMENT OF THIS ALLOTMENT. WE GUARANTEE THAT SUCH COAL WILL BE FOR FINAL
DESTINATION OF THE BURNER, FOR THE PORT OF _______________, CITY__________________,
COUNTRY____________________ AND WE ACCEPT THE AVERAGE QUALITY SPECIFICATIONS IN THE
TECH SHEET PRESENTED IN THE OFFER, AND DULY ADJUSTED BY THE INTERNATIONAL
