This Service Order is being issued to " Engineering Construction Corporation" here after referred as (Supplier
/Seller/Vendor/ Contractor) for Supervision services of 15 Mandays of Busducts for SMS-2 Project at Dolvi (Raigad,
Maharashtra) site on the following mutually agreed terms and conditions.

"GENERAL:
.
This Service Order (hereinafter 'SO') / Purchaser Order (hereinafter 'PO’) shall constitute the contract. No verbal
agreements amending the terms of this SO are valid unless the authorized representatives of both the purchaser
and the contractor duly confirm them in writing.
.
A person signing the SO or any part of the SO on behalf of the contractor shall be deemed to warranty that he has
authority to sign such documents.
.
Any minutes of meeting or any other document signed by any authorized representative after signing of the SO shall
be taken as a valid document and the supplier shall be fully responsible for the execution of the SO arising there
from.

WHEREAS:
.
A. 'Purchaser/Owner' have decided to execute Supervision services of 15 Mandays of Bus Ducts for SMS-2 Project
which site is located at Village Dolvi, Taluka Pen, Dist. Raigad, Maharashtra, India (the "Site").
.
"B. The Contractor is engaged for execution of services as mentioned in scope of work.
.
C. The Contractor has declared that the contractor has valuable and specialized knowledge, skill, technology and
expertise for scope of work as mentioned and has successfully carried out the job for several other companies.
.
D. Relying on the representation made by the contractor, Purchaser have agreed to take the services as mentioned
in scope of work from the Contractor for our project at site in accordance with the terms and conditions of this SO.
.
NOW, THEREFORE, in consideration of this SO between the parties as set forth herein, we, both the parties hereby
covenant and agree as follows:

In this contract the following words and expressions shall have the meanings hereby assigned to them, except
where the context otherwise requires:
.
(a). ""Battery Limits"" means the areas of scope of work to be considered by the contractor as per the technical
specification of this SO.
.
(b). ""Service Order/ Purchase Order/ Contract "" means this contract between purchaser and contractor including
all document(s), exhibits and Annexure(s) attached hereto and any amendments / addendum as may from time to
time be made to this service order between the parties in writing in accordance with the terms of the Service Order
('SO').
.
(c). ""Service Order Price"" means the price of services as set forth in Article 4.0 subject to any changes thereto
agreed by and between the purchaser and contractor in writing. The SO Price for services as mentioned in scope of
work.
.
(d). ""Consultant"" means the person is an individual professional or a body of professional who provide
professional or expert advice and duly appointed /nominated by the Purchaser to act as consultant or engineer for
the purpose of the SO.

(e). "Contractor / Supplier / Seller/ Vendor" means '' M/s Engineering Construction Corporation " the individual, firm
or company etc. having its office at ''Kolkata" whose proposal has been accepted by purchaser and on whom
service order has been placed and who enters into the contract to perform the work as stipulated in the SO. The
term includes the contractor's authorized representatives, legal successors and permitted assigns..

"(f). ""Contractor's Representative"" means any person nominated by the contractor and approved by the Purchaser
in the manner provided in Article 17.2. (Contractor's Representative) hereof to perform the duties delegated by the
contractor. For site work contractor's representative shall also mean the representative of sub-contractor.

(g). ""Contractor's Equipment"" means all machinery, tools, equipment, apparatus, appliances or things of every
kind required in for the execution and completion of the contract and remedying of defects, used by the contractor
or any of its sub-contractors but does not include the plant and equipment, materials, or other things intended to
form or forming part of the plant.

(h). ""Contractor's Personnel"" means all persons including the contractor's representative, staff and labor
employed by the contractor in relation to the facility and other labor employed by the Sub-contractors working at the
Site.

(i). ""Day"" means a calendar day as per Gregorian calendar
.
(j). ""Defects"" means any defect, imperfection, deficiency or other fault in the equipment or plant or a breach of the
contract or the neglect or failure of the contractor to comply with any of its obligations, express or implied, under
the SO.
.
(k). ""Delivery"" means the completion of various activities as per technical specifications at site as per Technical
Specification.

(l). ""Delivery Schedule"" means the schedule of performance and obligation to be met by contractor in connection
with the project as set forth.

(m). ""Defect Liability Period"" means the period of validity of the warranties given by the contractor commencing
from the date of issue of commissioning certificate of the facilities, during which the contractor is responsible for
defects with respect to the facilities as provided in Article 13 (Defect Liability) hereof.

(n). ""Effective Date"" means the date of this contract coming into effect in accordance with the provisions of Article
2.0 herein below.

(o). ""Site in-charge"" shall mean at any time, the person so appointed by the Purchaser who shall be in charge of
the works for the purpose of this SO. The Purchaser shall intimate the name of the site-in-charge from time to time,
in due course.

(p). ""Equipment"" means all items such as mechanical, hydraulic, electrical, commissioning spares and other
spares as specified in Annexure-I, other tools, tackle, auxiliaries of all kinds included in the Technical Specification
to be incorporated in the facilities but does not include Contractor's Equipment.
.
(q). ""Facility"" means works specified in the scope of the Contractor for the complete of work under the SO
including the Technical Specification, designs, items to be supplied by the Purchaser and Contractor to the Facility
Site.

(r). ""Good Industry Practice"" means the exercise of that degree of skill, diligence, prudence and foresight in
compliance by the Contractor with the undertakings and obligations under the SO, which would be expected from a
skilled and experienced professional person engaged in the design, engineering, manufacture, procurement,
erection, installation, testing and commissioning and civil works construction or any of them, being of the type,
nature and scope similar to the Works contemplated under this SO.

(s). ""Man-days"" means effective eight working hours in a Calendar Day.
.
(t). ""Month"" means one calendar month according to the Gregorian calendar.

(u).Purchaser/Owner means '' M/s JSW Steel Ltd" a company registered in India under the Companies Act,1956 and
having its Registered office at " JSW Centre, Bandra Kurla Complex, Bandra (East), Mumbai 400 051, India" ,having
its plant at "Geetapuram, Village Dolvi, Dist-Raigad - 402107, Maharashtra, India" and the term
"Purchaser/purchaser" includes its legal successors and permitted assigns.,

(v). "Person" means individual, company, partnership firm, corporation and association whether incorporated or
not.
.
(w). "Project" means the Supervision services of 15 Mandays of Bus Ducts for SMS-2 Project of purchaser site at,
Village Dolvi , Taluka Pen, , Dist. Raigad, Maharashtra, India, which will be the ultimate actual user.
.
"(x). ""Site"" means and include the land and other places on, into or through which the works and the related Plant
& Equipment are to be erected or installed and any adjacent land, paths, street or reservoir which may be used by
the purchaser or the Contractor at Geetapuram, Taluka Pen, Village Dolvi, Dist. Raigad, Maharashtra in the

performance of the SO.

(y). ""Sub-Contractor"" means any person/vendor engaged or nominated by the Contractor directly or indirectly to
execute any part of the scope on behalf and risk of the Contractor and includes its /his heirs, legal representatives,
legal successors or permitted assigns;
.
(z). ""Supervisor"" shall mean experts deputed by the Contractor for supervision of work as mentioned in scope of
work.
.
(aa). ""Purchaser's Equipment"" means all the equipment, machinery, tools, apparatus, appliances, and/or other
materials to be provided by the purchaser under the SO but does not include the Contractor's Equipment;

(ab). ""Site Regulations"" shall mean the Site safety policy applicable to the Site of purchaser and shall include, but
not limited to, rules in respect of security, safety of the Facilities, gate control, sanitation, medical care and fire
preservation.

(ac). ""Ton"" means a metric tonne.
.
(ad). ""Technical Specification"" means the technical specification, schedules, detailed design, statement of
technical data, performance characteristic value and all other particulars of the SO as per Annexure-I. attached to
the SO including its addenda and/or amendments thereto agreed upon in writing by the Parties, all of which shall be
incorporated into, and shall be binding as an integral part of, the SO.

(ae). ""Time for Completion"" means the time specified in the SO within which Completion of the facilities as a
whole (or of a part of the Facilities where a separate Time for Completion of such part has been prescribed) is to be
attained in accordance with the stipulations made in the SO and the relevant provision of the SO.
.
(af). ""Week"" means seven (7) calendar days.
.
(ag). Words imparting the singular also include plural & vice versa.
.
ARTICLE 1.2. INTERPRETATION /CONSTRUCTION:
.
1.2.1. All the words and expressions used in the SO shall, unless repugnant to the context have the same meaning
as are respectively assigned to them in the Definitions. All headings and marginal notes to the Articles, Schedules,
Annexure or to any other part of the Service Order/SO shall never be deemed to be part thereof or be used in the
interpretation or construction thereof.

1.2.2. The SO shall be binding upon and shall inure to the benefit of the Parties hereto and their successors or
permitted assigns. Nothing contained herein shall be construed to provide any benefit to any party not a party to the
Service Order/SO except as expressly provided for herein. No assignment or transfer shall relieve the assignor or
transferor of its obligations hereunder.

1.2.3. Reference to days, months and years are to calendar days, calendar months and calendar years respectively.

1.2.4. Unless otherwise specified, time periods within or following which any payment is to be made or act is to be
done shall be calculated by excluding the day on which the period commences and including the day on which the
period ends and by extending the period to the next Business Day if the last day of such period is not a Business

Day; and whenever any payment is to be made or action is to be taken under the Service Order/SO is required to be
made or taken on a day other than a Business Day, such payment shall be made or action taken on the next
Business Day following.

1.2.5. The singular includes the plural and vice versa if context so requires and, in particular (but without limiting the
generality of the foregoing), any word or expression defined in the singular has the corresponding meaning when
used in the plural and vice versa.

1.2.6. Any reference to any gender includes the other gender if context so requires.

1.2.7. Where a word or phrase is defined, other parts of speech and grammatical forms of that word or phrase shall
have the corresponding meanings.

1.2.8. Any reference to ""writing"" includes printing, typing, lithography and other means of reproducing words in
visible form.

1.2.9. The terms ""hereof"", ""hereby"", ""hereto"", ""hereunder"" and similar terms shall refer to the Purchase
Order as a whole; and The term, ""including"" shall mean ""including, without limitation"".

1.3. ENTIRE SO:

1.3.1. There are no understandings or Service Order between the purchaser and contractor relating to the work
under this SO, which are not fully expressed or referred to herein, and no statement or Contract, oral or written,
made prior to the SO shall have any effect.

1.3.2. No modification to the SO shall be valid unless the same is agreed to in writing and signed by the authorized
representatives of both the Parties hereto specifically stating it as an amendment to the Service order.

ARTICLE 2.0. EFFECTIVE DATE OF SO:
.
2.1 The Service order shall be effective from date of LOI i.e. 21.12.2018.
.
ARTICLE. 3.0. SCOPE OF WORK:
.
Except as otherwise expressly set forth in this SO ,the contractor shall perform or caused to be performed all the
necessary activities required in connection with the complete as per agreed scope of work & technical
specifications ('the Works' ) including supplying of all men, material ( which are in contractor's scope), machine etc.
required in accordance with the SO, applicable Laws, Technical Specifications and Good Industry Practice subject
to only such variations as expressly provided hereunder, which shall be including, but not limiting to the following:

3.1. The scope of this SO is mentioned as below.

3.1.1 Supervision services of 15 Mandays of Bus Ducts for SMS-2 Project as per technical specifications & agreed
scope of work duly signed and agreed between the Parties.

"3.2. The work under the scope of this SO shall be carried out as per the ""Annexure-I"" enclosed herewith subject
to revision by Purchaser during the course of the work in order to achieve the completion as per the target &
schedule submitted by contractor and approved by the Purchaser.

3.3. The instructions given by site-in-charge or authorized representative of the Purchaser from time to time with
regard to company procedure under ISO 9001:2000 are to be complied by the Contractor.

3.4. It will be Contactor's responsibility to take all safety precautions while executing the SO and shall abide by the
Safety Policy of the Purchaser. The Contractor shall also comply with the work permit system and follow safety
precautions such as use of personal protective & safety equipment in the form of safety helmets, safety shoes, hand
gloves, safety goggles, safety belt (for working at heights), heat resistant suits (for working in hot zone), breathing
apparatus sets, gas masks (for working in gas hazardous and / or confined space). The Contractor shall also comply
with instruction from safety dept., and safety instruction from user / shop engineers.

3.5. In case of any doubt, Contractor shall abide the written instructions of site-in-charge or authorized
representative of Purchaser.

3.6. Contractor shall carry out any other job, which falls in the general purview of Contractor's scope of work, as
defined in the technical scope at no extra cost.

3.7. The Contractor shall carryout construction as per the time schedule indicated keeping in view the weekly /
monthly targets to be achieved.

3.8. Contractor shall discuss & mutually agree in writing with project dept. regarding resources to be made available
for execution of the project including milestones to be achieved and ensure compliance thereof without fail. For

Exclusive resources shall be mobilized by contractor as agreed at site for the scope of work under this PO without
diverting existing resources from any of supplier’s on going jobs.

Supplier undertake not to lure any resources of Purchaser and other contractor’s already working in any of
Purchaser and or Purchaser group company’s locations.

3.9. Based on the targets to be achieved and drawings furnished, the Contractor shall workout requirement of
structural steel, paint, primer, raping or coating material and other materials shall be under Purchaser scope of
supply and shall forward requisition well in advance.

3.10. The Contractor shall deploy separate team of qualified personnel adequate for ensuring quality control and
quality assurance and carryout the work on day to day monitoring basis. Related records shall be maintained on
approved format for review by Purchaser's / consultant's engineers

3.11. Contractor shall depute at site qualified, experienced, technical and supervisory experts Supervisors from
various disciplines for the completion of scope of work as agreed.

3.12. The Contractor shall submit rates for extra items as may be arising during the pendency of SO along with
related rate analysis with breakup for overheads and profit for approval by the Purchaser prior to making payments
for such work.

3.13. The Contractor should execute the subject Job on day-night basis as required by the agreed completion
schedule.

3.14. The Contractor must ensure that all his equipment’s deployed at site are tested by competent authority at
required intervals and necessary documents shall be maintained by them for the verification of the Purchaser.

ARTICLE 4.0. SO PRICE:
.
4.1.1 Basic order value shall be as mentioned in front page.The order value shall remain firm and fixed till the final
execution and completion of entire scope of work as per service order. Completion date mentioned is delivery
clause is to complete the contractor scope, How ever basic SO price shall remain firm and fix and shall not be
subject to any price escalation for whatever reason till final discharge of obligations.

4.1.2 Contractor shall arrange all tools & tackles, equipment like hydra and metal scaffolding if required to complete
the entire scope of work and also lodging, boarding, traveling and misc expenses required for contractors
manpower shall be in contractor scope .

ARTICLE 5.0. TERMS OF PAYMENT


.
"5.1.1 @ 100% of the total basic purchase price along with applicable taxes, duties shall be paid within 30 days
against against submission following documents .

a) Commercial invoice, b) RA Bills duly certified by purchasers representative."

ARTICLE 6.0. TAXES, DUTIES .
.
6.1.1 IGST @ 18% Extra
"6.1.2 Any reduction/savings in taxes & duties on your seller's input cost due to implementation of GST shall be
passed on to purchaser.
.
6.1.3 GST collected on this services shall be deposited by you with the Govt. Treasury on immediate due date and
relevant GSTR-1 return of your entity (for outward services) to be uploaded on the GSTN portal on or before 10th of
the next month to facilitate purchaser in availing input tax credit.
.
6.1.4 If GST collected by you on this services is not timely deposited or return is not filed on due date, an amount
equivalent to the GST charged on this services plus applicable interest/ penalties (if any) will be retained by
purchase till such non-compliance continues.
.
6.1.5 Availing of GST-input tax credit by Purchaser on this services would not be construed as the technical
acceptance of the services given by contractor.

6.2. TDS (Tax deduction at sources like income tax) as applicable shall be deducted from the Contractor's Bills.
.
6.3. Any statutory variation in the above taxes shall be paid at actual. Contractor shall submit all the relevant
documents for claiming input tax credit. Other taxes and duties, if any, shall be borne and paid by the contractor and
no extra claim whatsoever shall be entertained by the purchaser on this account.

ARTICLE 7.0. COMPLETION SCHEDULE:
.
7.1.1 The entire scope of work under the scope shall be completed at FOR JSW Site till 30.09.2019.
.
"7.3. The completion time shall be extended by the delays, if any, due to following reasons.
.
(i)change in the Technical Specifications or scope of work resulting delay in delivery, as agreed between the Parties;
(ii)Force Majeure; and/or
(iii)As mutually agreed in writing between the Parties.
"
.
ARTICLE 8.0. LIQUIDATED DAMAGES:
.
"8.1.1 For late delivery/delay in completion of work:
The rate of liquidated damages for late delivery/completion shall be 0.5% of Total Purchase Price per week or part
thereof for first 4 weeks, thereafter 1.5% of Total Purchase Price per week or part thereof. However, the Liquidated
damages due to delayed delivery/completion of work shall not exceed 7.5% of the Total Purchase Price."

8.2. PENALTY (SAFETY RELATED).
.
Penalty shall be levied on Contractor as per the safety policy of the Purchaser detailed in "Annexure-II".
.
8.3. PENALTY ON QUALITY WORK:
.
Penalty on quality of work: - In case of poor quality of work/non-compliance of quality of work as per relevant
specifications/drawings, the work shall be rejected outright. The rejected work shall be rectified/ re done by
contractor at their own cost . However cost of free issue material shall be recovered from contractor.
.
8.4. However, the payment of liquidated damages or penalty, as the case may be, shall not in any way relieve the
Contractor from any of its obligations to complete the Facilities or from any other obligations and liabilities of the
Contractor under the SO.
.
"ARTICLE 9.0. INSPECTION:

9.1. The Contractor shall perform the inspection and quality assurance as per the Quality Assurance Plan (QAP)
prepared by the Contractor and approved by the Purchaser for the works to be executed by the Contractor. The
Purchaser shall have the right to inspect the work through its authorized Inspectors and/or Consultant and/or Third
party inspection agency (the ""Inspection Team"") as per the approved QAP and standard practice. All inspection
will be carried out at Site.

9.2. During the inspection, if any deficiency or non-compliance is noted, the Inspection Team shall notify the
Contractor of such defects and/or deficiencies and the Contractor shall rectify and/or remove and replace the
defective items/works as early as possible, without any extra cost to the Purchaser. Immediately on completion of
rectification/replacement of the defective work/item, the Contractor shall get the work re-inspection.

9.3. Any inspection by the Purchaser or the Inspection Team does not relieve the Contractor from its agreed
obligations towards performance, quality requirements, guarantee etc. as per this SO.

ARTICLE10.0 ASSIGNMENT AND SUBCONTRACTING:

10.1. Either Party shall not assign, in whole or in part, its obligations under this PO to any third party without prior
written consent of the other Party except to a subsidiary or affiliated company or group company, for which the
written consent shall not be unreasonably withheld. However, assignments of the SO to Banks are permitted with
written consent by the authorized representatives of the parties.

10.2. The Contractor may subcontract a portion (but not the whole) of this SO work to third parties. All such third
parties shall be as per the sub-contractors list to be submitted by the Contractor. In case, the Contractor proposes
any addition/deletion of sub-contractors over and above the list, the Contractor shall obtain prior written approval of
Purchaser on the same.

10.3. The Contractor shall be solely responsible for any liabilities, acts, defaults and neglects of any of its
sub-contractor(s), its agent (s) or employee(s) as fully as if they were its own acts, defaults or neglects.

ARTICLE 11.0 INSURANCE:

11.1. The Contractor shall ensure that all of its and its Sub-contractor's personnel employed at site for the subject
job have personnel safety related insurance coverages at the Contractor's cost. In addition to the same the
Contractor should obtain insurance covering its own properties including its site office, vehicle, workshop etc.
deployed at the Site. The Contractor shall also take out for his workmen a separate policy as per Workmen's
Compensation Act.

11.2. The Purchaser shall provide suitable comprehensive marine -cum - storage-cum-erection insurance policy for
the plant to be installed by the contractor under this SO for any loss /damage. The Purchaser shall lodge and settle
the claim with the insurance company. However, the contractor shall provide all necessary assistance in this regard.
The contractor shall replace / repair the lost / damaged part of the works covered under this PO at the request of the
employer against corresponding payment of relevant costs in the shortest possible time.

ARTICLE 12.0. CHANGES IN TECHNICAL SPECIFICATION OR SCOPE:

12.1. The Changes to the Technical Specification or scope if incorporated in written form as mutually agreed by the
Parties, shall apply with the same effect as if they were a part of the Technical Specification. The revised drawings
and specifications issued by the Purchaser shall be considered as written instructions of the Purchaser.

12.2. The Purchaser's request for change in specification or scope shall be in writing. If necessary, the Contractor
shall diligently, but in no event later than thirty (30) days after receiving such request, advice the Purchaser of any
change in agreed SO Price/Project Time Schedule, which may result from such proposed changes. The Parties shall
thereafter mutually agree on the changes and sign suitable amendment to the PO incorporating the changes.

12.3. The Contractor may make necessary technical alterations during the progress of the job, with the specific
written approval of the Purchaser, which do not affect the quality and performance levels. The Purchaser may give
such written approvals subject to change in agreed PO Price and/or Project Time Schedule being agreed to.

12.4. Any approval by the Purchaser and the Contractor to change as set forth in changed specification shall not
release either Party of its respective obligations under this SO.

"ARTICLE 13.0. DEFECT LIABILITY:

13.1. The Contractor warrants that all obligations of the Contractor under the subject PO shall be of good
Workmanship, best Engineering Practice and of sound Construction quality and in accordance with the Technical
Specifications and applicable standards.

13.2. Deemed completion: The job is deemed to be completed once the Erection and Commissioning of Equipment
& mechanical works covered under this SO are completed and / or the Pre -commissioning activities in the plant are
started.

13.3. The Contractor's obligations as to the workmanship, construction engineering and soundness of job under the
aforesaid warranty shall be effective for a defect liability period from the date of successful completion,
repair/replacement and handing over of the Jobs to the Purchaser.

13.4. If during the aforesaid Defect Liability period, any work/part fails to meet the warranty as provided for in Article
13.1 and 13.2 here of, the Contractor shall, subject to its inspections, repair, make good, replace or modify the work
with all possible speed at Site. All the costs associated with the same including all installation cost, taxes & duties,
transportation, supervision services and erection & commissioning etc. shall be borne by the Contractor.

13.5. Defect liability against workmanship: - The defect liability against workmanship period shall be 24 months from
the date of successful completion of work.
13.5 Not Applicable

"13.7. If the Contractor does not repair and/or replace the defective or deficient portion of the works after receipt of
notice from the Purchaser within 15 days nor initiate necessary corrective action with information in writing to the
Purchaser within 7 days, then the Purchaser shall have the right to repair or replace such works/part after a written
notice to the Contractor at the Contractor's risk and costs.

13.8. On completion of such repair/replacement, the Purchaser shall invoice the Contractor for all the direct costs
incurred, with submission of the relevant justifying documents, and such invoices shall be due and payable within
fifteen (15) days of the receipt of the invoice by Contractor of the above defect which was due to bad workmanship
of Contractor.

ARTICLE 14.0.THE PURCHASER'S OBLIGATIONS & RESPONSIBILITIES:

Purchaser shall provide to the Contractor the following inputs/ facilities during the performance of the SO as
detailed hereunder:

14.1. Land with Provision of Single point connection of Water and Electricity at site:

14.1.1. The Purchaser shall allot on temporary basis land for the purpose of site office, storage of materials for
fabrication & Erection of Facility and temporary works for execution of SO.

14.1.2. Purchaser shall also provide Construction power and water at one point near to work site for the purpose of
'the Work' free of cost during the performance of SO and further distribution of same shall be done by the
Contractor. Electric power for the labor and construction staff residential camps shall be provided by the

14.1.3. The Purchaser shall allot on temporary basis land for the purpose of Labor Colony with Provision of Water &
Power.

14.2. DESIGN & DRAWING AND MATERIALS:

14.2.1. Design and drawing for Structural Erection & Alignment, Instruction drawings shall be provided by the
Purchaser and the Contractor shall perform the Work in accordance with the plans, specifications, drawings, codes
and any other documents as provided by the Purchaser or in accordance with the specification specified in the
Technical Specifications.

14.2.2. The Purchaser shall ensure the accuracy of important information and / or data to be supplied by Purchaser,
except when otherwise expressly stated in the SO.

14.2.3. THE FREE ISSUE MATERIALS:

"14.3. APPOINTMENT OF CONSULTANT.

14.3.1. The consultant of the project shall be appointed by the Purchaser.

14.3.1.1. The Consultant shall provide detailed design engineering and supply of all drawings, documents, data
sheet, specifications and any other deliverables along with associated Technical Services relating to the PO.

14.3.1.2. The Contractor shall be responsible to perform the Work of fabrication and Erection of Facility and other
works included in the scope of work in accordance with the Technical Specifications, drawings, documents, data
sheet, etc submitted by the Consultant and approved by the Purchaser and in consultation with the Consultant and
Site In-charge of Purchaser..

14.3.1.3. The Consultant shall be authorized to certify the performance of 'the Work' of Contractor and completion of
Erection alignment & Commissioning of Facility. The Contractor shall be required to obtain job performance
certificate and 'Completion Certificate' from the Consultant in accordance with the terms of the SO.

ARTICLE 15.0. THE CONTRACTOR'S OBLIGATIONS:

15.1. LEGAL OBLIGATIONS.

15.1.1. The Works as completed by the Contractor shall be wholly in accordance with the SO and fit for the purposes
for which they are intended, as defined in the SO. The Works shall include any work which is necessary to satisfy
the Purchaser's Requirements and all such works as may be implied from, arise out of, are incidental to, are
necessary for or may be inferred from the SO, whether or not such works are mentioned in the SO for stability or
completion or the safe, reliable and efficient operation of the Works for the intended life.

15.1.2. The Contractor shall execute the Works in a timely and expeditious manner without undue delays and shall
to the extent possible while acting in accordance with Good Industry Practice, adhere to the schedule outlines in the

Program, and shall in any event complete the Works within the Time for Completion.

15.1.3. The Contractor shall provide all necessary superintendents, personnel and labor, materials, tools,
equipment, machinery and all other resources and things whether of a temporary or permanent nature, required in
and for the execution, completion of the Works and remedying of Defects. The Contractor shall ensure that the
Contractor's Personnel are persons suitably qualified and experienced for the purpose and that the Contractor's
Personnel perform the Works in accordance with the SO and in accordance with Good Industry Practice. The
Contractor shall further ensure that the Contractor's Equipment, Materials, Temporary Works and other things are of
such quality and quantity required to complete the Works in a safe manner and to render the Facility in a safe,
reliable and operational condition. The Contractor shall provide ELCB (Earth Leakage Circuit Breaker) near your
electrical equipment. All Motors should have proper rating of Starters & Isolators.

15.1.4. The Contractor shall take full responsibility for the adequacy, stability and safety of all Site operations, of all
methods and operations of manufacture, transportation, installation, construction, and commissioning, testing and
all other works, irrespective of any approval or consent by the Purchaser's Representative.

15.1.5. Transportation, loading & unloading, placing the Purchaser's material at site including safe storage shall be
arranged by the Contractor at his risk & cost.

15.1.6. The Contractor shall provide such information as may be required by the Purchaser in relation to the
performance of the Works by the Contractor and its Sub-contractors. The Contractor shall coordinate with the
Purchaser's Personnel and site-in-charge engaged in the performance of the Related Works and takes all steps to
ensure a smooth and harmonious interface between the performance of the Works and the Related Works. The
Contractor shall further be responsible for the supervision of all the works performed at the Site including the
Related Works. It shall report to the Purchaser any deviations or discrepancies that it discovers in the performance
of the Related Works from the Purchaser's Requirements.

15.1.7.Until the completion of work under this SO, the Contractor shall be responsible for the safety, care and
custody of the Materials, the Plant and Equipment, the Works and all other equipment, machinery and tools on the
Site as a bailee thereof and shall be responsible for any damage or Defect caused to the same.

15.1.8. The Contractor acknowledges that the Purchaser has made a complete set of all the SO Documents and
Safety Policy & HP Policy of the Purchaser available to the Contractor and the Contractor shall be deemed to have
full and actual knowledge of all the contents thereof. Contractor confirms that during execution of the SO, the
Contractor/ sub-contractor shall abide by all administrative and safety disciplines of the Purchaser. The Contractor/
sub-contractor to ensure safety of all materials and men (including that of the Purchaser and the Contractor) during
the execution of the PO. The contractor to ensure that the Purchaser is indemnified against any claims arising out of
damages to his men and material during the execution of works in the SO.

15.1.9. Contractor shall obtain whatever permits or authorizations may be necessary to Fabricate, Erect or
Commission any Purchaser's Plant and Equipment at its cost, however, the Purchaser shall at the request of
Contractor extend assistance and co-operation to Contractor as reasonably required in obtaining such permits or
authorizations and provide promptly and in a timely manner such information and documents as may be reasonably
required by Contractor to obtain such permits and authorizations.

15.1.10. Any failure in maintaining safe working practice by the contractor resulting into any accident and/ or
damages to men and material shall be viewed seriously by the Purchaser and Purchaser at its discretion shall be
entitled to levy fine to the contractor for such acts of omission / negligence on his part.

15.1.11. It is understood that the Contractor has inspected the site of work and its environment and is acquainted
with the actual working and other site conditions. The Contractor, therefore, shall be solely responsible for all risks,
contingencies and circumstances which may affect the work covered under this PO and no claim whatsoever on
this account shall be made against the Purchaser. All Local issue is to be handled by contractor.

"ARTICLE 16.0. CONFIDENTIALITY:

It is understood between the parties hereto that during the course of business relationship, the Contractor may have
access to confidential information of the Purchaser and it undertakes that it shall not, without the Purchaser's prior
written consent, disclose, provide or make available any confidential information in any form to any person or entity
or make use of such information. This clause shall survive the period of 5 years from the date of expiry of this SO or
earlier termination thereof.

16.1. Press Release: - Contractor shall take prior written consent and provide drafts for any kind of press release,
public announcements or any other notifications with respect to this contract, for each other’s approval under the
provisions of law.

ARTICLE 17.0. REPRESENTATIVES OF THE PARTIES:

17.1 PURCHASER's REPRESENTATIVE: ENGINEER/SITE -IN-CHARGE

17.1.1. If the Engineer is not named in the SO, then within fourteen (14) days of effective date, Purchaser shall notify
the Contractor in writing of the name of the Engineer/ site-in-charge. The Engineer / site-in-charge shall represent
and act for Purchaser at all times during the execution of the SO. All notices, instructions, orders, certificates,
approvals and all other communications under the SO shall be given by the Engineer / site-in-charge, except as
herein otherwise provided.

17.2 CONTRACTOR's REPRESENTATIVE

17.2.1. The Contractor shall appoint the Contractor's representative and shall request Purchaser to approve the
person so appointed.

17.2.2. The Contractor's representative shall represent and act for the Contractor at all times during the execution
the SO and shall give to the Purchaser all the Contractor's notices, instructions, information and all other
communication under the SO.

ARTICLE 18.0 LABOUR OF CONTRACTOR:

18.1. The Contractor shall provide and employ on the Site such skilled, semi-skilled and unskilled labor as it
necessary for the proper and timely execution of the PO.

18.2. The Contractor shall at all time during the process of the SO use its best endeavours to prevent any unlawful,
riotous or disorderly conduct or behaviour, by or amongst its employees & labor and labor of its Sub-Contractors.

18.3. The Contractor shall in all dealings with its labor and the labor of its Sub-Contractors employed on or

connected with the SO, pay due regard to the laws and regulations pertaining to the employment of labor.

18.4. The Contractor shall comply with the provisions of all Statutes (including but not limited to Contract Labor
(Regulation & Abolition) Act, 1970; The Minimum Wages Act, 1948; The Payment of Wages Act, 1936;

Employees Provident Fund Act, 1952; The Employees State Insurance Act, 1948; etc), Workmen's Compensation
Act,1923 Ordinances, Rules and Regulations applicable in respect of this SO and shall obtain all necessary
registrations, licenses, approvals, sanctions required under applicable laws. The breach by the Contractor of this
provision shall be deemed to be breach of material term of this SO.

18.5. Labor Camp: The Contractor shall, at its own expenses, make adequate arrangements for housing, electricity,
road, supply of drinking water and provision of lavatories and urinals for its staff and labor, disposal of sewerage
and sludge and for temporary crèche where 50 or more women are employed at a time.

ARTICLE 19.0. INDEPENDENT CONTRACTOR:

The Contractor is an independent contractor under this SO and shall have complete charge of all his personnel
performing any Work under this SO. The Contractor shall perform all Work in accordance with his own methods and
shall be fully responsible for the Work performed by him or on his behalf. The Contractor is not and shall not be
deemed an agent of the Purchaser for any purpose under this SO.

ARTICLE 20.0. EQUIPMENT AND MAN POWER IDLE CHARGES:

No Idle charges shall be paid by the Purchaser in any case whatsoever.

"ARTICLE 21.0. SITE REGULATION:

As the works under the SO are to be carried out within the protected area, the Contractor shall abide by all the
security regulations promulgated from time to time by the Purchaser.

Such Site regulations includes, but not limited to, rules in respect of security, safety of the Facilities, gate control,
sanitation, medical care and fire prevention. The employee / labor of the Contractor / sub- Contractor and plant &
equipment brought to the Site shall be subject to gate pass to be issued by Security Department or the respective
Department.

ARTICLE 22.0. SITE CLEARANCE:

In the course of carrying out the SO, the Contractor shall keep the Site reasonably free from all unnecessary
obstruction, store or remove any surplus materials, clear away any wreckage, rubbish or temporary works from the
Site, and remove any Contractor's Equipment no longer required for execution of the SO. After Completion of all
parts of the Facilities, the Contractor shall clear away and remove all wreckage, rubbish, debris and surplus material
of any kind from the Site, and shall leave the Site and Facilities clean and safe.

ARTICLE 23.0. INDEMNITY:

Contractor shall fully indemnify, save harmless and defend the Purchaser, the Purchaser's shareholders, the
Engineer, the Financing Parties, each of their subsidiaries, and the directors, officers, agents and employees or
each of them (the ""Purchaser's Indemnified Parties""), from and against any and all losses, costs, damages,
injuries, liabilities, claims and causes of action, including without limitation reasonable attorney's fees (collectively,
the ""Damages""), arising out of or resulting from claims by third parties arising out of or related to Contractor's
performance under this SO to the extent caused by Contractor's intentional act, negligence or strict liability in the
performance of the works hereunder; provided that the foregoing obligation shall not apply to the extent the
Purchaser Indemnified Parties is/are liable for contributory negligence or strictly liable or to the extent such
damages are caused by the intentional acts of the Purchaser.

23.2. SPECIFIC INDEMNIFICATION:

Contractor shall fully indemnify, save harmless and defend the Purchaser from and against any and all Damages in
favor of any third party(s) with respect to failure of Contractor or any of its Sub-Contractors to comply with
Applicable Laws up to the date of Scheduled completion, failure of Contractor to make payments of taxes relating to
Contractor's income or other taxes, duties and levies required to be paid by Contractor pursuant to this SO without
reimbursement or compensation hereunder.

23.3. SURVIVAL; EXPIRATION of INDEMNITY

The provisions of the Article 23.1 shall survive Scheduled Completion and the termination of this SO; provided that
neither party shall have any indemnity obligations pursuant to this Article 23.1 for any claim arising out of or
resulting from events or circumstances occurring after the expiration of the Warranty Period; or with respect to any
claim under Section 23.1, and provided, further, that neither Party shall have any indemnity obligation pursuant to
this Article 23.1 unless notice of any such claim for indemnity by either party is received by the indemnifying party
prior to the date that is 3 (three) years after the expiration of the Warranty Period.

ARTICLE 24.0. RISKS AND COST:

In the event that the Completion of the Works is delayed for the reasons attributable to the contractor even after the
recoveries of Liquidated damages have been made up-to the ceiling amount or if for the reason attributable to the
Contractor , the quality of work is not achieved in accordance to this SO, the Purchaser shall issue a notice
seeking explanation from the Contractor for such delay / poor quality of work, allowing the Contractor Fifteen (15)
days' time and in case the Purchaser is not satisfied with the explanation furnished by the Contractor, the Purchaser
without prejudice to the other rights and remedies available to it under law, equity or contract, have the right to
reject the Works or terminate the SO and to recover the SO Price and to get the balance Work at Risk & Costs of the
Contractor, who shall then be liable to pay all costs and damages suffered by the Purchaser.

ARTICLE 25.0. FORCE MAJEURE:

25.1. Either Party shall be wholly or partly discharged from due performance of SO if prevented by an event which is
beyond Party's control or which such Party could not reasonably have provided against before entering into SO or
which having arisen such Party could not have reasonably avoided and is not substantially attributable to the Party
claiming Force Majeure.

25.2. Force Majeure limited to the exceptional events or circumstances of the kind illustrate below:

25.2.1. War, hostilities (whether war be declared or not), invasion, act of foreign enemies, rebellion, terrorism,

25.2.2. Usurped power, or

25.2.3. Civil war, riot, commotion, disorder, strike or

25.2.4. Lockout by persons other than Contractor's personnel, Natural catastrophes such as earthquake, disaster,
epidemic, lockouts, fire, accident, flood or

25.2.5. Any act of God, Munitions of war, explosive materials, ionizing radiation or

25.2.6. Contamination of such munitions, explosives, radiation or radio-activity, Governmental acts or actions.

25.2.7. Break down of Purchaser's Plant.

25.3. If either Party is prevented from performing any of its obligations under this SO such cases of Force Majeure, it
shall give written notice to the other Party within fourteen (14) days of such occurrence, describing the event and its
effects supported by authentic evidences that are verifiable. The affected Party shall, having given notice, be wholly
or partially excused performance of such obligation for so long as such Force Majeure condition. No party shall
have any claim/compensation for the loss incurred due to the Force Majeure.

25.4. The affected Party shall use all reasonable efforts to minimize any delay in its performance of the SO as a
result of Force Majeure.

25.5. The Party unable to perform this SO due to the effect of Force Majeure occurrence may, after consultation with
the other Party, extends the duration of this SO by a period commensurate to the time actually lost due to the Force
Majeure occurrence. The other Party shall not claim compensation for the loss thus incurred.

25.6. In case of an extension up to ninety (90) days in the performance of this SO due to the effect of the Force
Majeure occurrence, both Parties shall have friendly consultation on the performance of this SO or termination of
the SO as per article 27.

"ARTICLE 26.0. DISPUTES AND ARBITRATION:

26.1.1. Save and except, where expressly stated to the contrary in this SO, any dispute, difference, or controversy of
whatever nature between the Parties, howsoever arising under, out of, or in relation to this SO including disputes, if
any, with regard to any acts, decision, or opinion of the Purchaser and so notified in writing by either Party to the
other (the ""Dispute"") shall in the first instance be attempted to be resolved amicably.

26.1.2. The dispute or difference of opinion whatsoever arising out of this SO which is not resolved by amicable
resolution between the Parties as above, shall be finally settled by binding arbitration under the Arbitration and
Conciliation Act, 1996 and the rules framed there under, if any, and all modifications, amendments, thereto shall
deem to apply and / or be incorporated in this PO as and when such modifications / amendments to the Act / rules
are carried out. The arbitration shall be referred to a panel of three arbitrators. Each party shall appoint their
nominee arbitrators. The two nominee arbitrators so appointed shall jointly appoint a third arbitrator who shall act
as the Presiding Arbitrator.

26.1.3. The seat of arbitration shall be Mumbai, India.

26.1.4. The language to be used in the arbitral proceedings shall be English language.
26.1.5. The arbitration award shall be final and binding on both the Parties who shall abide the same.

26.2. Performance under the SO shall be continued during the arbitration proceedings unless otherwise directed by
the Purchaser in writing or unless the matter is such that the performance cannot be possibly continued until the
decision of arbitrator is obtained.

ARTICLE 27.0. TERMINATION OF SO:

27.1. TERMINATION BY THE PURCHASER:

27.1.1. The Purchaser shall be entitled to unilaterally terminate this SO in the event of any or all of the following:

27.1.1.1 Contractor's breach of SO for which the remedial action is not initiated by the Purchaser within 30 days of
receipt of the Purchaser's notice.

27.1.1.2 Delay in completion of Work in excess of Ninety (90) days for the reasons solely attributable to the
Contractor. The Purchaser shall notify the Contractor of his intention of Termination at least 15 days prior to expiry
of aforesaid 90 days.

27.1.1.3 In the event of liquidation, bankruptcy or winding-up except voluntary winding-up for amalgamation and
reconstruction imminent or instituted against the Contractor or in the event of change of ownership of the
Contractor, the Purchaser shall be entitled to terminate the SO in whole or in part and to take over the Work and in
particular to recover all documents concerning the same which are in possession of the Contractor or its
sub-vendor /sub-contractor;

27.1.1.4 In the event of Contractor's subcontracting the whole of works or assignment of SO without express
permission of the Purchaser, the Purchaser shall have right to terminate the SO;

27.1.1.5 The Purchaser may terminate the SO without any notice in the event of Contractor's offering any bribe gift,
gratuity, commission or other thing of value as an inducement or reward whether directly or indirectly to
Purchaser's employee for doing or fore bearing to do any action in relation to PO.

27.1.2. If this Purchase Order is terminated pursuant to Article 27.1.1,

The Purchaser shall, in addition to the rights granted under Articles 8.0 and Article 13 in respect to Work(s) already
completed by the Contractor, have the right to complete the Work(s), either directly or through another Contractor,
to undertake to complete the Work(s) at the sole risk & cost to the Contractor. In such case, the liability among the
parties shall be satisfied by:

i). Refund of all the money received by the Contractor from the Purchaser for the incomplete Work(s) and
unsatisfactory Works(s) / Rejected Work(s).

ii). Providing with all rights/documentation and other information in the Contractor's possession or in Contractor's

sub-vendor / sub-Contractors' possession to enable the Purchaser complete the Work from a third party. The costs
incurred by the Purchaser shall be recovered from any outstanding invoice(s) of the Contractor or shall be directly
invoiced to the Contractor for settlement. The Purchaser shall have also the rights to en-cash the Bank Guaranties if
the corresponding amounts are not returned by the Contractor to the Purchaser within 30 days from the date of
such settlement.

iii). Payment to Contractor of successful Work already completed at site until the date of such termination, however,
Contractor shall not be entitled for any compensation / damage whatsoever, except for the payment as above. ,

iv). All materials on the Site, Plant, Equipment, Temporary Works and Works are deemed to be the property of the
Purchaser, if the SO is terminated because of a Contractor's default.

27.1.3. Any waiver by the Purchaser for breach of any provision of the general terms and conditions contained
herein and the SO shall not be considered as a waiver of any subsequent breach of the same or any other provision.
The right to terminate or cancel the Order under the Article 27.1.herein shall not prejudice any other right or
remedies which the Purchaser may have against the Contractor in respect of the breach concerned or any other
breach under the applicable law or otherwise.

27.1.4. The Purchaser can at any point of time, terminate the Contract during term of the Contract by serving a 90
days written notice without assigning any reason. In such case, the Contractor shall be entitled for payment to the
extent of satisfactory performance of obligation already completed and not paid for as of the date of such
termination. In such case, the Contractor shall continue the performance of the Contract till the notice period of
Contract and submit to the Purchaser the complete status of the Contract and the estimate of cost as incurred by
them with all supporting that are verifiable and measurable as of the date of termination.

21.1.5 In case of termination of this Service Order by the Purchaser, the settlement between the Purchaser and the
Contractor shall be arrived at within 90 days of termination and any sum due to either party from the other shall be
paid within 60 days of the settlement.

27.2. BY THE CONTRACTOR:

27.2.1. In case of breach of any of the conditions of this Service Order by the Purchaser, the Contractor shall notify
the Purchaser of such occurrences, and, if the Purchaser fails within 120 days of such notification to commence to
take necessary remedial action for such breach, the Contractor shall be entitled to terminate this Purchase
Order/Contract by written notice to the Purchaser.

27.2.2. In the event of liquidation, bankruptcy or winding-up except voluntary winding-up for amalgamation and
reconstruction imminent or instituted against the Purchaser and the Purchaser is not discharged within ninety (90)
days thereof. Contractor shall notify the Purchaser of his intention of Termination at least 30 days prior to expiry of
aforesaid 90 days.

27.2.3. In such event of termination due to reason as specified in Article 27.2.1 & 27.2.2, the Purchaser shall take
over the uncompleted part of the Work (s) and have the Work (s) completed by itself or others. The liability among
the Parties shall be satisfied by:

(i). Payment by the Purchaser to the Contractor for the Work (s) already completed in accordance with the terms of
the Agreement at the time of termination

(ii). All the verified cost reasonably incurred by the Contractor for the work in progress and taken over by the
Purchaser.

(iii). Refund of payment by Contractor all money received from the Purchaser for uncompleted Work(s) and / or other
dues payable to the Purchaser.

27.3. The Parties recognizes that the remedy provided for in this clause may be invoked only in case of critical
non-compliance by other party of its undertaking such that the termination of the Service Order appears the only
reasonable course of action available.

27.4. CONSEQUENCE OF TERMINATION.

27.4.1. Termination of the SO shall not release the Parties from any obligations or liabilities accrued to the Parties
prior to the date of termination. Termination of the SO shall be without prejudice to any other rights and remedies
that either of the Parties may have against the other. For the avoidance of doubt, termination of the SO shall not
preclude the Purchaser from claiming Liquidated Damages from the Contractor for past delays in the performance
of the Works and other damages under the SO.

27.4.2. All materials on the Site, Plant, Equipment, Temporary Works and Works are deemed to be the property of the
Purchaser, if the SO is terminated because of a Contractor's default.

27.5.3. Upon termination of the SO, the Contractor shall:

(a). Hand over to the Purchaser or the Purchaser's Representative, all the Contractor's Documents prepared by it in
relation to the Facility and vacate the Site forthwith upon fulfilling its obligations hereunder;

(b). Hand over to the Purchaser or destroy, as the Purchaser may instruct, all copies of documents containing any
Confidential Information procured from the Purchaser;

(c). Assist the Purchaser in clearing from the Site, any portion of the Plant and Equipment if so required by the
Purchaser owing to a Contractor's Event of Default and clear the Contractor's Equipment as the Purchaser may
require;

(d). Hand over such Contractor's Equipment as the Purchaser may require to complete the incomplete portion of the
Works, provided however that where the termination is without cause or an event of Force Majeure, then the
Purchaser shall be liable to pay to the Contractor reasonable charges towards the use of such Contractor's
Equipment; and

(e). Provide the Purchaser with copies of all such certificates, invoices and other documents relating to the Works
performed prior to the termination of the SO that may be required by the Purchaser to comply with any requirements
imposed by any Competent Authority or for availing any exemptions to Taxes applicable to the Purchaser.

"ARTICLE 28.0. LIMITATION OF LIABILITY:

28.1. The Parties shall assume no liability for any reasons whatsoever, unless expressly stated in the SO.

28.2. Accordingly, the limit of liability shall be maximum 100% of total Purchase price, except risk purchase. The
rights and remedies provided for under the SO are final and exclusive and shall not be modified changed or
amended.

28.3. Notwithstanding anything to the contrary provided for by the applicable law or contained or implied in this PO,
neither party shall in any event, whether under and/or in connection with this PO or the performance or
non-performance thereof or as a result of breach of PO, breach of warranty, be responsible or held liable towards
the other for any indirect and/or consequential, incidental, prospective, remote, special or speculative damages.

ARTICLE .29.0. APPLICABLE LAW AND JURISDICTION OF COURT:

29.1. The SO shall be construed, governed and enforced in accordance with Indian laws and the competent courts
of Mumbai shall have the exclusive jurisdiction to adjudicate the disputes arising out of this SO.

Any dispute arising shall be referred to and finally resolved by arbitration under the rules of arbitration of Indian
Council of Arbitration (the ""ICA Rules"") as amended and in force, from time to time. Indian law shall govern this
contract. The seat of arbitration shall be Mumbai.

ARTICLE 30.0. ORDER EXECUTION PLAN:

30.1. The Contractor shall submit for the Purchaser's information an organization chart clearly identifying the
Project Manager and Project Co-coordinator with indication of the other project team members (including their email
addresses, direct tel., fax nos.) at each work location who shall be fully responsible for all liaison and co-ordination
with the Purchaser as well as reply to the Purchaser from time to time on all matters relating to this SO till the
successful execution of the SO work.

30.2.The Contractor shall, within two (2) weeks from the effective date of SO, submit a detailed ""Project Planning
and Execution Report"" for approval of the Purchaser complete with Plan/Schedule/Bar charts for fabrication and
erection including sub-contracting status. The Contractor shall also submit and obtain approval from the Purchaser
the CV of the key personnel who will be responsible for the Project execution. In case the performance of any of the
key personnel as well as any of the staff/workers are found to be unsatisfactory, mutually discussed and agreed
then the Contractor shall make necessary arrangement to replace them with suitable candidates at the shortest
possible time (Not exceeding 2 weeks).

30.3. Within two week of effective date of SO, the Contractor shall inform the Purchaser of the Contractor's internal
project number/Control Number.

30.4. The Contractor shall submit to the Purchaser for review and approval of the procedures for flow of
documents/information.

30.5. The Contractor shall submit Progress Report every one (1) month specifying progress against agreed schedule
in a form agreeable to the Purchaser with following minimum details

a.Drawings and data for review.

b.Quality Assurance Plan.

c.Erection progress and next month Plans for major work forming the part of SO.

ARTICLE 31.0. MISCELLANEOUS:

31.1. LANGUAGE

All notices, communications and statements as well as other technical and commercial documentation to be
presented under this SO shall be made in the English language, and the Metric System shall be used therein.

31.2. STANDARDS.

The service provided under this SO shall conform to the authoritative standards as mentioned in the Technical
Specifications and relevant international standards in case the same is not mentioned.

31.3. CONTRACTOR's MANDATORY OBLIGATIONS.

The Contractor shall be governed by all the relevant Statutory Rules / Acts applicable to Contractors /
Sub-contractors as required by Central / State / Local Government Authorities. It is mandatory on the Contractor's
part to comply with the regulations with regard to the following:

.Minimum wages
.Provident fund
.Workmen compensation
.Payment of wages
.Labor license
.Work Order license
.Insurance including third-party liability insurance.
.Any other regulation that may be in force
.The Contractor shall engage only Workers who are more than 18 years of age.
.The Contractor shall abide by the safety code requirement as stipulated by the Purchaser's Safety Department. All
safety material and equipments as required for the job shall be provided by the Contractor such as Safety Helmets,
Gloves, Shoes, and Belt etc. .The Contractor shall consult our P & A dept. for any clarifications and guidance
regarding the statutory obligations.
.The Contractor, under provisions of any law, undertake to indemnify us

deemed to have full and actual knowledge of all the contents thereof and shall undertake to abide by the Safety
Code of Conduct of the Purchaser.

The Contractor shall deploy its own safety officer (with adequate qualifications and experience) who shall be
present at the site during any kind of site activities. He shall conduct safety audit on regular interval in co-ordination
with Client's safety department and shall maintain a log sheet and safety reports accordingly. The safety officer shall
conduct daily safety meetings and keep the workforce alert to avoid any safety related hazards. The Contractor
should keep sufficient number of supervisors.

In case the Contractor is required to discharge any claim from the workmen engaged by the Contractor under
provisions of any law, the Contractor shall indemnify the Purchaser in respect of such expenditure.

The Contractor shall be responsible for security of tools, tackles and materials provided by the Purchaser. The
Contractor shall also arrange gate passes for their vehicles and personnel from the Security Department of the
Purchaser as per prevailing regulations for the currency of the SO, which should be given back to the Security after
the completion of the period of the SO. In case of failure a penalty of Rs. 25 /- per gate pass shall be imposed on the
Contractor. Clearance certificate from gate pass issuing authority confirming all gate passes have been returned is
required to be submitted along with the bill.

You shall take necessary precautions while performing under the SO and shall be solely responsible and liable for
all damages or losses, caused to life, property, equipment(s) etc at site attributable to you.

Apart from the above, you shall be liable and responsible for any accident at the site and the penalty for such
accident to be borne by you is as ""Annexure-II"" of this SO.

The amounts, as applicable in respect of any accident shall be deducted from your bills, pending for payment.

31.5. EQUIPMENT and MACHINERY

All returnable machinery, tools, equipment etc., of the Contractor shall be listed in triplicate and endorsed by our
Security while entering the work premises. This document should be produced for obtaining gate pass while taking
out any item outside the work premises.

31.6. COMMUNICATION:

All notices including daily communication to be given to either party shall be given to their respective addresses by
Courier or e-mail/telefax. Important notices in which rights and/or obligations of either party are involved shall be
given by registered mail/courier and such notices shall be deemed to have been served on the other Party on the
expiry of seven (7) days after their dispatch.

31.7. ENTIRE SO

This SO including all Annexes attached hereto embodies the full and complete understanding of the Parties hereto
relating to the subject matter hereof and supersedes all former understandings, proposals, writings,
representations, authorizations, contracts, written or oral, relating to the subject matter hereof.

Neither Party shall be bound by any conditions, definitions, warranty nor any representation with respect to the
subject matter hereof except as expressly set forth herein. The waiver by either Party hereto of any rights hereunder

or failure to perform or breach by other Party shall not be deemed waiver of any other right hereunder or of any
other breach or failure of other Party whether of a similar nature or otherwise.

All the Annexes, schedules, if any, enclosed to this SO and forming an integral part of this SO are to be taken as
mutually explanatory to one another. However, in case of conflict/contradiction between the Annexes and Articles of
this SO, provisions in the Articles shall prevail.

31.8. SEVERABILITY:

In the event that any of the provisions, or portions or applications thereof, of this SO are held to be unenforceable or
invalid by any court of competent jurisdiction, the Purchaser and the shall Contractor mutually agree upon a
reasonable adjustment in such provisions of this SO with a view toward effecting the purpose of such provisions of
this SO, and the validity and enforceability of the remaining provisions, or portions or applications thereof, shall not
be affected thereby.

ARTICLE 32.0: STATUTORY OBLIGATIONS:
.
Both parties (purchaser & supplier) shall observe and comply with all Central and State Statutory rules, regulations
and laws applicable for performance under this PO.
.
32.1 Prices or other sums payable in accordance with the agreement would be subject to GST at the applicable rates
specified in the GST legislation.
.
32.2 Supplier shall adhere to the provisions of GST legislation related to raising of tax invoice, valuation, time of
supply of goods/ services, place of supply of goods/ services and payment of tax. Further, Purchaser would not be
responsible for any liability of taxes, interest and penalty that may arise due to non-compliance of aforesaid
provisions under the GST law or such other law.

32.3 GST accounted and charged should be deposited to the account of exchequer within the prescribed time limit
and should be disclosed in the returns to enable us to avail input tax credit. Any non-adherence of the same would
result in non-payment of GST or consideration towards services provided or both.
.
32.4 Supplier shall issue credit notes towards any adjustments to the value and the credit note shall also indicate
the appropriate GST amounts and the corresponding invoice numbers to which the said credit note is attributable
to. In case GST rate is more than existing rate, vendor shall reimburse excess amount of GST charged in the credit
note. Further, any reduction either on account of reduced GST rates or on account of availability of GST credits,
shall be passed on to purchaser and purchaser reserves its rights to seek any information that may be appropriate
to meet this purpose.

32.5 Supplier shall indemnify purchaser any loss including but not limited to GST credits, interest, penalty either on
account of non-availability of input tax credit or non-filing of GST returns. In case of any GST compliance failure (for
e.g. Invoice, Systems, Classifications (HSN Codes), GSTN, Payment of Taxes, etc) by you, resulting in "loss of Input
Credit" or "any short payment of tax", which later on is recovered from purchaser along with interest and penalty,
then purchaser will have the voluntary right to charge the entire amount inclusive of interest and penalty to you.

32.6 GST registration number has to be printed clearly on all the tax invoices, debit and credit notes.

ARTICLE 33.0.ORDER ACCEPTANCES:

Please return duplicate copy, duly signed & stamped by an authorized signatory, as a token of your acceptance of
this order immediate upon receipt of this Purchase order. However, if the acceptance is not received with in 7 days,
it shall be deemed to have been accepted by contractor.

"Annexure-II: SAFETY CODE FOR CONTRACTORS
.
This Safety Code deals with the precautions to be taken for personnel / equipment safety during contract /
construction activities of Purchaser. This Safety Code is only a guidance of the Contractor, however, the Contractor
shall comply with the "Safety & Engineering Practices" as set
forth in the Indian Safety Laws, Regulations and ordinances as well as the established safety rules and practices
and the Indian Factories Act / Rules, the Indian Electricity Act/Rules, Indian Explosives Act/Rules, E.S.I Act,
Workmen Compensation Act, Payment of Wages Act, Contact Labour (Regulation & Abolition) Act and the other
relevant rules of the State and of the District where the site of the work is situated. The Contractor shall also follow
the concern engineer / officer guidelines for personnel safety given during the work and give first priority to the
personnel safety.

Responsibility for all mishaps at site arising out of work such as accident / fire or other loss making incident shall
be of the Contractors and he has to ensure all safety norms at site.

Apart from the above norms the following Safety Precautions are to be observed by the Contractors.
.
1. Contractor should take work permit from the user department and fill the form and approval from the entire
agency to avoid any communication gap when the work is to be carried out near the existing facilities and while
carrying out interfacing work.

2. The Contractor should deploy all his workmen having proper safety induction training and the new Contract
workmen should be deployed at site only after the necessary safety training and getting the training certificate.

3. Contractor should deploy workmen having age 18 years or above.

4. Contractors should provide Personal Protective Equipment as per details given below:

a) Mandatory PPE’s: Safety Shoes, Safety Helmet, Jacket, Safety Goggles as per the Purchaser Safety Standards.

b) Other PPE’s according to Job & location in plant requirement as per Purchaser Safety Standards

5. The Contractor should appoint work supervisors at each location while performing the job at company premises.

6. The Contactor should appoint one Safety officer/ Safety Supervisor with Diploma in Industrial Safety from
recognized Indian Institute for every 100 workmen.

The Contractor should always use Good conditioned equipment like Welding lead, Dial -
gauge, Hose pipe, Electrode holder, Welding machine, lifting tools and tackles, sling, extension cord, plugs etc. for
the job.

8. The Contractor should use industrial gas cylinders and ISI marked valves only and follow all Gas Cylinder rules
and regulations.

9. Contractor should ensure use of Double lanyard Full body harness with 1.5 meter length lanyard and safety life
line as per job requirement, while working at heights.

10. The Contractor should get it done the Pre- employment medical examination of all its employees from a certified
surgeon.
11. The Contractor must also get the medical examination of such workmen who shall work at heights, prior to
deputing them for working at height.

12. The Contractor must ensure that when any of his workmen goes up or comes down the places at height like
Roof Trusses, Columns, EOT Cranes, Girders and other structures,he should not cross or approach any electrical
live line, crane bus bar, or any such installation and equipment. While working for at these places in the plant, he
must take the necessary work permit from the concerned authorities of that area.

13. No work is to be carried out while Company’s employees working below OR over Gangways & Roads unless all
precaution are taken to ensure the safety of persons and property.

14. The Contractor has to ensure that his workmen do not operate company’s crane, hoist & Lifts, or Vehicle
without permission from competent authorities in the running plant.

15. While handling Chemicals, the Contractor, its supervisor and/or workmen must read & strictly follow the safety
instructions as written in material safety data sheet.

16. All the electrical tools to be used by the Contactor should be ISI mark with proper insulation.

17. Special care must be taken while connecting or disconnecting electrical hand tools in plug socket of electrical
points. The Contractor must not use tools having damage plug and defective extension cords. Adequate earthing
connection on equipment should be ensured by the contractor, while using electrical energy for his equipment,
because earthing connection protects the user from electric shocks. It is essential to install suitable earthling
connection to the body of electrical hand tools/Appliances/ Welding sets etc. and Electrical Circuit Breakers.

18. The Tie rods, Wire ropes, Wire Slings, Chains, etc. which are to be used for holding/lifting of any material should
be of adequate capacity and should be tested regularly for its condition and life. The Contractor must have the valid
test certificates of lifting tools and tackles and produce to Purchaser officers on demand.

19.All Transport vehicles including goods carriers should have a valid Registration, Insurance & PUC (Pollution
under Control) Certificate and the driver must have the valid driving license.

20. The transport vehicle should be in good condition and speed of the vehicle should be maintained as per
company norms.

21. Every goods carriage carrying goods of dangerous or hazardous nature to human life shall be fitted with a spark
arrestor.

22. Every driver of a goods carriage transporting any dangerous or hazardous goods shall observe at all times all
the precaution necessary, for preventing fire, explosion or escape of dangerous or hazardous goods carried by him
while the goods carriage is in motion and
when it is not being driven, he shall ensure that the goods carriage is parked in a place which is safe from fire
explosion and any other risk and is at all times under the control and supervision of himself or some other
competent person above the age of eighteen years. At the parking, the driver must ensure that parking brake has
been applied.

23. The Parking Light, Brake Light, Rear & Front Lights and Horn must be in working condition all the times.

24. No person shall smoke in any installation, storage shed or service stations save in places specially authorized
by the licensing authority for the purpose.

25. No person shall carry matches, fuses or other appliances capable of producing ignition or explosion in any
installation or storage shed which is used for the storage of petroleum.

26. No Contractor and his Supervisor or his workmen is to use any chemical drum, paints, thinner or any explosive
chemicals and materials to avoid any Fire & Explosion for any work inside Purchaser premises
.

27. The Contractor has to ensure that his workmen shall only use company’s electrical power and compressed air
for any purpose with consent of competent authorities.

28. To ensure effective enforcement of the rules and regulations relating to safety precautions, the arrangements
made by the Contractor shall be open to inspection by the Fire and Safety Professional, engineer-in-charge of the
department of their representatives.

29. The Contractor shall take all safety precautions and provide adequate supervision in order to do the job safely
and without damage to equipment.

30. The contracting department would take necessary shutdowns wherever there are hazards of gases, electricity,
moving machinery etc. The contractor shall ensure that the shutdown / clearance are taken before sending workers
in such locations.

31. Operation inside the factory will be the subject to monitoring by the Safety Committee coordinator and Fire &
Safety team. They are empowered to stop any work or process if found being undertaken in a hazardous manner.

32. In case of any accident occurred at the site, the Contractor must provide all the information about the accident to

the concerned authorities.

33. All gas cutting sets must be provided with flash back arrestors and all welding machines must be equipped with
ELCBs of proper ratings.

34. Workmen while moving at heights from one work place to other work place such as walking along the rafters.
Roof beams etc the provision of life line to be made and diligently used to protect them from falling.

35. While climbing columns the workmen must have safety belts fixed to fall arrestor to prevent falling.

36. All step rods must be properly welded to ensure safe climbing.

37. Hydra is not allowed.

38. The Contractor must strictly observe all safety rules and regulations issued by the company from time to time
and enforce such observance on the part of employees. Non observation of any such safety rules and regulations by
Contractor or his employee shall
render the Contractor liable irrespective of any other law and rules for the time being in force to penalty as indicated
below:

# First Offence/Non Compliance : Cash fine of Rs. 500/-


# Second Offence/Non Compliance : Cash fine of Rs. 1,000/-
# Third Offence/Non Compliance : Cash fine of Rs. 10,000/-
# After third Offence/Non Compliance: Removal of the Contractor from the company’s approved Vendor List.
# Any Accident : Cash Fine of Rs. 1,00,000/- per accident
# Fatal Accident : Rs. 10,00,000/- per fatal accident.
# In case of second incident of Fatal Accident, the Contract may be terminated and the
Contractor would be removed from the approved Vendor List

Annexure-III. SOP TO BE FOLLOWED BY CONTRACTOR FOR HR REQUIREMENT
.
"Based on the provision of various laws applicable to contract labour, contractor is required to ensure below
statutory requirements pertaining to labour legislation on or during the contract work:
1. Contractor who employs 20 or more workmen is required to have valid labour license under Contract Labour Act
issued in his name by the Competent Authority.

2. Any change in the particulars of contractor / contract labour specified in the certificate of registration viz name
and address of contractor, nature of work in which contract labour is employed, maximum no. of contract labour
employed on any day by contractor and estimated / actual date of termination of employment of contract labour shall
be intimated by the concerned contractor to management to enable them to inform DYLC Panvel accordingly.

3. The rates of wages payable to the workmen by the contractor shall not be less than minimum rates of wages fixed
under the Minimum Wage Act.

4. Payment should be made on or before 10th of every month.

5. Contractor engaging contract labour has to make arrangement for stay of his labour or has to pay HRA @ 5% of
Basic Wage + DA.

6. Contractors are required to maintain below records and registers which come under the provision of Contract
labour Act, 1970:

a) Muster Roll.
b) Register of wages.
c) Register of deductions.
d) Register of Overtime.
e) Register of Fines.
f) Register of advances.
g) Identity Card etc.

7. All contractual employees engaged by the contractors are required to be covered under the Workmen
Compensation Policy obtained by the contractors from reputed Insurance agencies viz:

a) New India assurance company


b) Oriental India insurance company
c) United India insurance company
d) National insurance company limited
e) Bajaj Allianz general insurance company ltd etc.
8. Contract shall be awarded to the Contractors whose establishments are covered under various laws and have
their own establishment codes viz:

a) Provident Fund Act.

b) Labour Welfare Fund.

9. New Contractors must send their name immediately to us to ensure that notification has sent to Competent
Authority for incorporating the details of contractor in registration certificate while awarding work to the new
contractors.

10. Contractors are to maintain leave with wages register as per provisions of factories act. Alternatively contractors
can also pay amount in lieu of leave with wages standing to the credit of entitled contract labours at the end of
calendar year.

11. Contractors are liable to pay bonus to eligible contract labours as per the provisions of Bonus Act.1965

12. Contractor who employs 5 or more inter # state migrant workmen is required to have valid labour license under
Inter State Migrant Workmen Act issued in his name by the competent authority.

13. Contractor engaging Sub # Contractor shall comply with the clauses of Purchase Order (PO) and the engaged
sub-contractor shall comply with the provisions as applicable to him under various labour statutes.

14. Contractor shall indemnify PURCHASER Steel Ltd by signing indemnity bond for losses,damages,adverse
claims, litigations, charges and penalties on Non-Judicial Stamp Paper of Rs. 100/-

15. Contractor is required to do Police verification of Contract labours engaged by him (As per PURCHASER
requirement)
