PUP BES-HNS Honors’ Society Incorporated

KNOW ALL MEN BY THESE PRESENTS:

The undersigned incorporators, all of legal age and majority of who are
residents of the Philippines, have this day voluntarily agreed to form a non-stock
corporation under the laws of the Republic of the Philippines;

AND WE HEREBY CERTIFY:

FIRST: That the name of said corporation shall be PUP BES-HNS Honors’
Society Incorporated;

SECOND: That the purpose/s for which such corporation are incorporated:

1. To promote, enhance and foster brotherhood, sisterhood and lifetime

camaraderie within the members of the organization.
2. To provide a culture of excellence, hard work and academic well-
being in the Polytechnic University of the Philippines’ graduates and
students.
3. To contribute to the development of the potential of its members
through competitive programs and activities that will enhance the
members’ academic, leadership and social skills.
4. To help the community through outreach programs.
5. To produce well-rounded individuals that is globally competitive.
6. To take part in the improvement of the University’s quality of
education and programs therein through suggestions, evaluations and
other actions gearing towards the enhancement of competence.
7. To establish linkage with the alumni and BES HNS Foundation
through social gatherings and events.
8. To be the home of professionals following the tradition of
excellence, semper premium.
9. To be an inspirational network for future nation-builders.
10. To recognize and nurture the passion for learning of members of
the organization.
11. To encourage positive leadership among its members.
12. To organize fund-raising activities to help achieve the
organization’s goals and activities.
13. Perform all and everything necessary and proper for the attainment
of the above purposes or the furtherance of any of the purposes above.

Provided that the corporation shall not solicit, accept or take

investments/placements from the public neither shall it issue investment contract.
THIRD: That the principal office of the corporation is located at PUP A.
Mabini Campus, Anonas Street, Sta. Mesa, Manila (Polytechnic
University of the Philippines).
FOURTH:
That the term for which said corporation is to exist is 50 years from
and after the date of issuance of the certificate of incorporation;

That the names, nationalities and residences of the incorporators are as

SEVENTH: That the total contribution of the corporation is five thousand pesos
(Php 5,000).

EIGHTH: That Ederlyn O. Bandejes has been elected by the members as

Treasurer of the corporation to act as such until his successor is duly
elected and qualified in accordance with the by-laws, and that as such
Treasurer, he has been authorized to receive for and in the name and
for the benefit of the corporation, all contributions or donations paid or
given by the members.
NINTH: That no part of its income is distributable as dividends to its members,
trustees or officers subject to the provisions of the Corporation Code of
the Philippines on dissolution. Provided, That any profit obtained by
the association as an incident to its operation shall, whenever
necessary or proper shall be used for the furtherance of the purposes
enumerated in Article II, subject to the provision of Title XI of the
Corporation Code of the Philippines.

TENTH: That the incorporators and trustees undertake to change the name of
the corporation as herein provided, or as amended thereafter,
immediately upon receipt of notice or directive from the Securities and
Exchange Commission that another corporation, partnership or person
has acquired a prior right to the use of that name or that the name has
been declared as misleading, deceptive, confusingly similar to a
registered name or contrary to public morals, good custom or public
policy.

IN WITNESS WHERE OF, we have hereunto signed these Articles of
