APRIL 2019 AT A-2, SECTOR 4, NOIDA, UTTAR PRADESH

Joseph said that he had been informed by the Company's advisors that since Mr.
Daniel Bellotti, Director of the Company was not attending board meetings nor was he
applying for leave of absence, he stood disqualified from his post on the board for not
attending three board meetings in succession or from all meetings of the Board for a
continuous period of 12 months.

Matthew was of the opinion that even though the provisions of section 167(1)(b)
resulted in an automatic vacation of Office of Daniel, he should be given an opportunity
to explain his position. Joseph agreed and it was decided to send a letter to Daniel
informing him of the provisions of the Indian Companies Act, 2013 and the requirement
of his to attend board meetings of the Company or to seek a leave of absence in case
he was unable to attend. Joseph was authorised to send communication this respect.

Joseph sought to update the board regarding the developments with Mr. Daniel
Bellotti.

He informed the board that following the board meeting on 01st April 2019, a
communication was sent to Daniel both by courier and a scanned copy by email. Even
though 7 days had elapsed, no response had been received from Daniel and it could
be presumed that he had no response to give.

Joseph informed that by operation of section 167(1)(b) of the Companies Act, 2013,
Mr. Daniel Bellotti stood disqualified from being a director on the board of the
Company. Accordingly, the Registrar of Companies should be informed about change
in the composition of the Board through Form DIR 12.

The board unanimously approved the filing of Form DIR 12 by Joseph.
