Gentlemen:

I am pleased to submit for your consideration my proposal to assist you in the amendment of Articles of
Incorporation of Izuparts Center, Inc.

Scope of Services

The following services are covered in this proposal for your consideration:

1. Preparation of the necessary documents and resolutions

2. Obtain clearance from CRMD
3. Receive the amended Articles of Incorporation

Fees and Expenses

For the services outlined above, I proposed a fee of P40,000,00, net of withholding tax. I will submit
an initial billing of P20,000 upon signing of the proposal and a final bill for the balance of the
agreed fee upon completion of the process. My billings are payable upon receipt.

Confidentiality and Limitation of Liability Clauses

Izuparts Center, Inc. acknowledge as agree that all information communicated by one party to the other in
connection with carrying out these services shall be received in confidence. It shall be used only for
purposes of this engagement and that no such confidential information shall be disclosed by either of the
parties, hereto, without prior written consent of the other party, except as may be necessary by reason of
law or regulatory requirements applicable to each party and its business.

The maximum claim against me by Izuparts Center, Inc. for any reason arising from or relating to the
services under this engagement, shall be limited to the fees paid to me for the services or work product
giving rise to any claim or alleged liability.
