DAPHNE YACHT CHARTER AGREEMENT TO PEREGRINE COMPANY

In Quito at the twenty-eighth day of February two thousand
fourteen appear Mrs. Laura del Rocío Martínez de Malo with the
Identity Card No. 2000018123 as owner of Daphne Yacht,
hereinafter referred to as “OWNER”; and PEREGRINE
ADVENTURES PTY LTD company, legally represented by Dianne
Muldoon as Manager for Latin America Destinations, party
henceforth and for the purposes of this contract will be called
simply as “CHARTERER”. The appearing parties are adults, who
freely and voluntarily and for their interests agree to enter into
this agreement according to the following clauses:
En la ciudad de Quito a los, veinte y ocho días del mes de
febrero del dos mil catorce, comparecen por una parte la
señora Laura del Rocío Martínez de Malo con cédula de
ciudadanía Nº 2000018123 como propietaria del Yate Daphne
a quien podremos llamar en adelante “EL DUEÑO”; y por otra
parte la Compañía PEREGRINE ADVENTURES PTY LTD,
representada legalmente por Dianne Muldoon como Gerente
de los destinos para América Latina, parte a la que en adelante
y para los efectos del presente contrato se la podrá denominar
simplemente como “El FLETADOR”, Los comparecientes
son mayores de edad, quienes libre y voluntariamente y por así
convenir a sus intereses y acuerdan celebrar el presente
Convenio, contenido en las siguientes cláusulas:

CLAUSE 1.- CLAUSULA PRIMERA:

BACKGROUNDS:
Mrs. Laura del Rocío Martínez de Malo owns the Daphne Yacht,
with characteristics listed below, which henceforth will be called
BOAT, the same that offers Seaworthy Tours on the Galapagos
Islands with the patent number 19 according to the Forest
Registry of the Galapagos National Park and with the number 18
in the Forest Registry of the Ministry of Environment,
ANTECEDENTES.-
La señora Laura del Rocío Martínez de Malo es propietaria del
Yate Daphne, cuyas características se detallan a continuación, a
la que en adelante se le llamará LA EMBARCACION, la misma
que presta el Servicio de Tour navegable en las Islas
Galápagos, con la patente cuyo número de Inscripción en el
Registro Forestal del Parque Nacional Galápagos es el 19 y el
número de Inscripción en el Registro Forestal del Ministerio del
Ambiente es el 18,

CLAUSE 2.- CLAUSULA SEGUNDA.-

DELIVERY, CONTRACT PERIOD, REDELIVERY: ENTREGA, PERIODOS DEL CONTRATO, REENTREGA:

Daphne Yacht will be operated by the OWNER, so it is her
responsibility staffing up for operation, with the consequent tax
obligation and employer responsibility, and everything involving
the provision of contracted services.
The charter period includes the operation of the cruise with
tourists aboard on the Galapagos Islands: For eight (8) days and
seven (7) nights, five (5) days and four (4) nights, four (4) days
and three (3) nights, (attached itinerary A, licensed by the
Galapagos National Park, integral part of this agreement).
The charter contract period is from Wednesday, March 04, 2015
to January 04, 2017 with option to renew for the same period.
If the BOAT is not ready for the date hereof, that is Wednesday,
March 04, 2015, it is the OWNER’s responsibility to relocate all
the passengers on another boat of the same and better
conditions on the same date.
CLAUSE THREE.-
CONTRACT, TERMS OF PAYMENT AND DEPOSITS:
The BOAT is rented weekly (days of operation Wednesday to
Wednesday, Wednesday to Saturday and Saturday to
Wednesday) from March 04, 2015 to January 04, 2017.
Maintenance dates in Galapagos and Guayaquil should be chosen
by the OWNER one year in advance.
1. The cost of the charter for 2015, starting on March 04 (40
weeks) until January 06, 2016 per week eight 8 days/ 7 nights is
USD 26.000 (twenty six thousand American dollars), in which all
applicable taxes are included.
2. There will be an increase of 10% per week 8 days 7 nights in
the cost for 2016, from January 06, 2016 to January 06, 2017,
being the cost USD 28.600 (twenty-eight thousand six hundred
American dollars).
In addition to the annual increase stipulated, no value can be
added in this contract, without having made before some kind of
mutual agreement.
The cost of the charter is based on the patent that envisages 16
passengers; in case the number of the patent is modified to a
lower capacity, the cost of the charter will change similarly to a
quantity proportional.
Payment will be made monthly in advance; the owner must send
a bill for the month with 30 days before the departures.
CLAUSE 4.-
ADVANCE:
El Yate Daphne, será operado por el DUEÑO, por lo que será de
su responsabilidad la contratación de personal para la
operación, con la consiguiente obligación patronal y tributaria y
todo lo que implique la prestación de los servicios contratados.
El periodo del Chárter comprende el funcionamiento del
crucero con turistas abordo en las islas Galápagos: Durante
ocho (8) días y siete (7) noches ), (5) días y cuatro (4) noches,
(4) días y (3) noches.. (Itinerario adjunto en anexo A autorizado
por el parque nacional Galápagos que forma parte integrante
del presente convenio)
El periodo del contrato de fletamento es desde el
día miércoles 4 de marzo 2015 al 04 de Enero de 2017., con
opción a renovar por el mismo período
Si la EMBARCACION no está lista para la fecha aquí indicada
miércoles 4 de marzo 2015, será responsabilidad total del
dueño reubicar a todos los pasajeros en otra embarcación de
las mismas o mejores condiciones en la misma fecha.
CLAUSULA TERCERA.-
CONTRATO, CONDICIONES DE PAGO Y DEPÓSITOS
La EMBARCACIÓN se alquila semanalmente (días de operación
miércoles a miércoles, miércoles a sábado y sábado a miércoles)
para el periodo del 4 de marzo del 205 al 04 de Enero de 2017.
Las fechas de mantenimiento en Galápagos y Guayaquil
deberían ser escogidas por el DUEÑO con un año de
anticipación.
1.-El costo del chárter para el periodo del año 2015
comenzando el Marzo 4 (40 semanas) hasta el 06 de enero de
2016 por semana 8 días/7noches es de USD 26.000 (USD veinte
y seis mil dólares americanos), en los cuales incluye todos los
impuestos de ley.
2.- En el precio para el año 2016 desde el 06 de enero de 2016
hasta el 06 de enero de 2017 habrá un incremento del 10% por
semana 8 días 7 noches quedando en 28600 USD (veinte y
ocho mil seiscientos dólares americanos).
Adicional al incremento anual estipulado, no se podrá
agregar valor alguno en este contrato, sin antes haber
realizado algún tipo de acuerdo mutuo.
El valor del Chárter está basado en la patente cuya capacidad
es para 16 pasajeros, en caso de que la patente sea modificada
a una capacidad inferior, el valor del chárter de igual forma será
modificado a una cantidad proporcional
El pago se realizará mensualmente por adelantado, el dueño
debe enviar una factura por todo el mes con 30 días antes de
las salidas
CLAUSULA CUARTA.-
ANTICIPO.-
By 2015 the CHARTERER will deliver as advance to the OWNER of
the BOAT USD 156.000 (one hundred fifty six thousand American
dollars) that corresponds to 15% of 40 weeks, the same that will
be delivered as follows.
Upon signing this contract USD 52000 fifty-two thousand
American dollars.
The second week of January 2015 USD 104000 one hundred four
thousand American dollars.
The advance of this contract will be deducted USD 3.900 (three
thousand nine hundred American dollars) per week from the first
week of operation until paying off the entire advance in 2015.
After paying off the entire advance described in the previous
paragraph, in January 2016, the CHARTERER will deliver an
advance of 15% for each date of charter for 2016.
The OWNER will only accept the cancellation of 5 dates as
maximum in each year agreed in this contract and there won't be
any penalty. These dates can be of eight (8) days, five (5) days or
four (4) days, with 90 days’ notice before the cruise departure
date.
In case of cancellations, extra dates that are not submitted to this
agreement, the anticipated values will not be returned under any
circumstance and The CHARTERER will have to pay the total value
of the charter of that week that it wasn't paid within the time
specified in this contract.
CLAUSE 5.
OWNER OBLIGATION.-
The OWNER will have the BOAT on the date fixed by this
contract, clean and in perfect conditions for navigating, crewed,
equipped with the necessary implements for the service that is
required by this charter, a first class service. THE BOAT will be
maintained in these conditions during the charter, and in any
subsequent period.
The OWNER of the BOAT will ensure a First Class service in
comfort, safety and other services.
THE BOAT will have enough fuel/diesel, food/ beverages for
passengers, providing fruit, vegetables, meat, fish, sea food,
canned food, bread, snacks and coffee/tea for individual
consumption.
Meals will be based on mini buffet style with different choices of
salad and natural juices depending on the occasion.
There will be a hot or cold juice and snacks in the mid-morning or
mid-afternoon.
Para el 2015 el Fletador entregará como anticipo al dueño de la
embarcación la suma de USD156.000 ciento cincuenta y seis
mil dólares americanos que corresponde al 15% de 40
semanas, mismos que serán entregados de la
siguiente manera.-
Al momento de firmar este contrato USD52000 cincuenta y dos
mil dólares americanos
La segunda semana de Enero 2015 USD104000 ciento cuatro mil
dólares americanos
El anticipo de este contrato será descontado la suma de
3900Usd tres mil novecientos dólares americanos por semana
desde la primera semana que comience la operación hasta
cancelar la totalidad del anticipo en el año 2015
Una vez cancelado el anticipo descrito en el párrafo anterior por
el dueño, en Enero del 2016 el fletador entregará un anticipo
del 15 % por cada fecha de chárter por el periodo del 2016.
El dueño solo aceptará la cancelación de 5 fechas
como máximo en cada año acordado en el presente contrato y
no habrá penalidad alguna, pudiendo ser estas fechas de 8 días,
de 5 días o 4 días. Con la notificación de 90 días antes de la
fecha de partida del crucero.
En caso de cancelaciones fechas extras que no está sujeta a
este contrato los valores anticipados no serán devueltos bajo
ningún concepto y el fletador tendrá que cancelar el valor total
del charter de esa semana que no se canceló en el tiempo
estipulado en el presente contrato.
CLAUSULA QUINTA.-
LAS OBLIGACIONES DEL DUEÑO
El DUEÑO tendrá LA EMBARCACIÓN en la fecha fijada por el
contrato, completamente limpio y en condiciones idóneas
para la navegación, tripulado, provisto de lo necesario para el
trabajo de servicio que sea requerido por este chárter es decir
un servicio de PRIMERA CLASE y mantendrá así la
EMBARCACIÓN durante el chárter y cualquier periodo
subsiguiente.
El dueño de la embarcación garantiza un servicio de Primera
Clase en comodidad, seguridad y demás servicios.
LA EMBARCACIÓN dispondrá de suficiente combustible /diesel,
comidas /bebidas de los pasajeros, provisión de las frutas, las
verduras, las carnes, el pescado, las comidas del mar, las
comidas en conserva, el pan, los bocados, café /tea para el
consumo individual.
Las comidas serán basadas en tipo mini buffet con varias
opciones de ensaladas y jugos naturales dependiendo de la
ocasión.
Coffee and water will be available at all times for guests.
The menu and the bar prices will be attached as document B as
an integral part of this contract.
The bar is not included and guests are charged separately, the
bar will have a stock of a variety of drinks at a fair price.
The whole crew will be evaluated by the Merchant Marine, the
naturalist guide will be LEVEL II or similar. He or she will master
the running of operations on the Galapagos. If a transfer is
required, the OWNER will have a guide fluent in English language.
THE OWNER shall issue a monthly invoice for the 4 weeks of the
tour and it will be sent to the CHARTERER with 30 days before the
cruise departure.
The crew will be evaluated by passengers through internet
system; the OWNER shall use these results to follow up such
criticism.
Expenses related to maintenance of the BOAT as well as technical
supply and insurance of the crew shall be assumed by the
OWNER.
The OWNER will be responsible for fuel, motor oil, water and
other supplies.
The OWNER will have all authorizations and documents issued by
the Maritime Authorities, Galapagos National Park and other
relevant entities to ensure the operation of Daphne Yacht on the
Galapagos Islands.
Conducting a safety briefing addressed to each passenger on the
boat shall be binding
The minimum manning certificate for 16 passengers is 7 crew
members and one guide.
Each year the OWNER shall deliver to the CHARTERER copy of the
insurance policy in force according to the resolution that PNG
asks for the renewal of the tourist patent.
The BOAT will make available 2 zodiacs for clients. Its use will be
fully coordinated by the crew of the BOAT and directed by crew
members. THE OWNER warrants providing 8 double cabins on
the BOAT for 16 passengers. The location of the cabins is
specified in the plan approved by DIGMER.
The cabins must be in good conditions of preparation and
cleaning, including paint, furniture, bath implements, bedding,
curtains. The cabins should be equipped to give the passengers
the service at level of appropriate standards of FIRST CLASS.
The OWNER will ensure daily clean and sufficient staff to serve all
passengers and cabins.
The cabins must be thoroughly cleaned and maintained in good
conditions.
Habrá un jugo y bocaditos calientes o fríos en la media mañana
o media tarde.
Café y agua estará disponible todo el tiempo para los
huéspedes.
El menú y los precios del bar se adjuntaran como anexo B y
formará como parte íntegra de este contratado.
El bar no está incluido y los huéspedes deberán pagar por
separado, El bar contará con un stock de una variedad de
bebidas a un precio justo.
Toda la tripulación será calificada por la marina mercante, el
guía naturalista será NIVEL II o similar, que domine el
funcionamiento de las operaciones en Galápagos. En caso de
ser necesario un transfer EL DUEÑO contará con la presencia de
un guía que domine el idioma inglés.
EL DUEÑO deberá emitir una factura mensual con las 4
semanas del tour, y deberá ser enviada al FLETADOR, con 30
días antes de la salida del crucero.
La tripulación será evaluada por los pasajeros a través de un
sistema de internet, El DUEÑO se basará en estos resultados
para dar el seguimiento a dicha crítica.

Los gastos relacionados al mantenimiento de la EMBARCACIÓN
y el suministro técnico y el costo de seguros de la tripulación
serán asumidos por el dueño.
El DUEÑO estará a cargo del combustible, aceite de motor y
suministro de agua, y demás provisiones.
El DUEÑO contará con todas las autorizaciones y documentos
vigentes emitidos por la Autoridades Marítima, Parque Nacional
Galápagos y otras entidades competentes que garantizan la
operación del Yate Daphne en las Islas Galápagos.
La realización de un briefing de seguridad a cada pasajero que
aborde en la embarcación será obligatorio.
El certificado de dotación mínima por 16 pasajeros es de . 7
tripulantes más 1 guía.
Cada año El DUEÑO entregará al FLETADOR copia de la póliza de
seguros vigente de acuerdo a la resolución que el PNG que pide
para la renovación de la patente turística.
LA EMBARCACIÓN pondrá a la disposición 2 zodiacs para los
clientes, su uso será totalmente coordinado por la tripulación
de la EMBARCACIÓN y dirigido por los miembros de la
tripulación. El DUEÑO garantiza proporcionar 8 cabinas dobles
en LA EMBARCACION para acomodar a 16 pasajeros. La
ubicación de las cabinas están especificadas en el plano
aprobado por la DIGMER.
Las cabinas de los pasajeros deben estar en buenas condiciones
de preparación y limpieza, incluso toda la pintura, el mobiliario,
los medios del baño. Ropa de cama, las cortinas. Las cabinas
The OWNER will provide enough crew members, professional and
efficient, with the spirit of service for a good stay of every client;
the usual kitchen equipment in working conditions including
stoves, ovens and fridges, utensils, dishes, cutlery and glassware;
the Bar with all the appropriate accessories, TV, Stereo, DVD,
books on Galapagos and games.
Experienced staff, including the Captain who will have the
expertise of navigation on the Galapagos Islands. The Captain
will perform all his duties promptly and is responsible for
enforcing all security policies of the CHARTERER.
The guide is crucial for the safety and satisfaction of every
customer, so the guide should be selected well in advance, the
guide must be attached to the policy of quality and safety of the
CHARTERER.
The OWNER will provide 25 sets of snorkeling equipment per
year; the CHARTERER will replace the equipment that it spoils.
The crew is responsible for the care and maintenance of these
accessories.
The OWNER agrees to give reply to any statement of the
CHARTERER in a maximum of 12 hours. In case of complaints /
serious incidents, communications should be handled in the
English language.
The OWNER shall ensure that all crew and captain are clear about
any disrespect, sexual harassment or offense of any kind to the
passengers. In the event that a situation of this nature happens
aboard the Daphne Yacht, the OWNER agrees to take the
necessary steps leading to correct this situation so that they will
not be repeated. As long as such failure is checked, the
Ecuadorian Work Code and the OWNER internal rules will be
applied.
It is the obligation of the owner, in the event of further damage
to the boat during a charter and that it does not allow the
navigation of the boat or limits its operation and weighs anchor,
to get a new boat of similar or better characteristics than the
DAPHNE to fulfill the contracted service. If after that week of
damage or stopping, for whatever reason, the yacht cannot
continue operating, the OWNER shall guarantee to cover not less
than 3 weeks, deducting in this way the payments made
previously by PEREGRINE ADVENTURES PTY LTD. Once restored
the Daphne yacht to its operations, it is committed to restoring
the payments immediately. In case that in 3 weeks the OWNER
cannot continue fulfilling their part of the contract, it would be
terminated, unless both parties express mutual agreement.
The OWNER will deliver the CHARTERER, copy of the documents
and insurance policies, covering third party liability, that is, for
the passengers.

Personal experimentado, en particular el Capitán que tendrá la
experiencia de la Navegación específica en las islas de
Galápagos. El Capitán llevará a cabo puntualmente todos sus
deberes y es responsable de hacer cumplir todas las políticas de
seguridad del FLETADOR
El guía es crucial para que cada cliente que este seguro y
satisfecho, por lo tanto el guía debe ser seleccionado con
mucha antelación, el guía debe acoplarse a las política de
calidad y seguridad del fletador.
El DUEÑO proveerá 25 sets de equipos de snorkel por año, El
FLETADOR remplazará los equipos que se malogren. La
tripulación es responsable de cuidar y dar mantenimiento a
estos accesorios.
El DUEÑO se compromete a dar contestación a cualquier
comunicado de El FLETADOR en un máximo de 12 horas. En
caso de haber quejas/incidentes graves las comunicaciones se
debe manejar en el idioma Inglés.
El DUEÑO se asegurará que toda la tripulación y Capitán estarán
claros sobre cualquier falta de respeto, acoso sexual u ofensa de
cualquier tipo hacia los pasajeros. En el evento de que alguna
situación de esta naturaleza sucediera a bordo del yate Daphne,
el dueño se compromete a tomar las medidas necesarias que
conduzcan a corregir esta situación para que no se repitan.
Siempre y cuando sea comprobada dicha falta, se procederá a
actuar basándonos en el Código Laboral Ecuatoriano el
Reglamento Interno de Trabajo del DUEÑO
Es obligación del DUEÑO en el evento de un daño mayor de la
embarcación durante el desarrollo de un chárter y que no
permitiese la continuación de la navegación de la nave o limite
su operación y zarpe de la misma, conseguir una nueva
embarcación de similares o mejores características que el
DAPHNE para cumplir con el servicio contratado. Si luego de esa
semana de daño o para, por el motivo que sea, el Yate no puede
continuar operando, el DUEÑO garantizará cubrir no menos de
3 semanas, deduciendo así los pagos realizados con
anterioridad por parte de PEREGRINE ADVENTURES PTY LTD,
una vez restablecido el DAPHNE a sus operaciones el FLETADOR

CLAUSE 6.-
CHARTERER OBLIGATIONS:
The CHARTERER may require replacement of any crew member if
there is a serious fault. .
The CHARTERER has the responsibility to deliver to the OWNER
the distribution of the cabins with 10 days prior to start
navigation.
The CHARTERER will provide the OWNER and the Captain a copy
of the passenger manifest, even the numbers reserved for each
passenger cabin. Such statement shall contain date of birth,
passport number and nationality and it will be related to each
passenger as required by the respective authorities. Cabins
allocation cannot be changed for any reason.
The CHARTERER agrees with the OWNER to pay with the
corresponding deposits for the service that it will be provided in
accordance with the terms of Clause Three.
The CHARTERER will measure the satisfaction of each client with
an online evaluation system; it is the customer that will evaluate
their stay at the Yacht. The evaluation is measured 5/5, the
CHARTERER expects to have at least an average score of 4.7; if
the rating is lower, the CHARTERER will deliver the negative
reports to the OWNER to make corrective immediately.
The CHARTERER will provide the menu according to the needs of
passengers and service of FIRST CLASS,
the CHARTERER will be responsible for payment of admission
rates to the Galapagos National Park, Transit Control Card and
other fees as the rate of use of Puerto Villamil dock on Isabela
Island.
The CHARTERER will bear all expenses that require the
preparation, attorney fees, motorization and legalization of this
contract.
CLAUSE 7.-
MUTUAL OBLIGATION:
The OWNER and the CHARTERER state acting in good faith, and
that in case of controversy or problem with a passenger or third
parties, shall attempt to resolve any claim jointly.
If one of the parties failed to fulfill their respective obligations
timely under this agreement, the other party may choose reject
se compromete a restablecer los pagos inmediatamente, en
caso que en 3 semanas el DUEÑO no pueda continuar
cumpliendo su parte del contrato el mismo se daría por
terminado, a menos que ambas partes expresen mutuo acuerdo
lo contrario.
EL DUEÑO entregará al FLETADOR copia de los documentos y
pólizas de seguro que amparan la responsabilidad civil para
terceros, esto es, para los pasajeros.
CLAUSULA SEXTA:
OBLIGACIONES DEL FLETADOR.-
El FLETADOR puede exigir el reemplazo de cualquier miembro
de la tripulación en caso de que haya un falta grave. .
El FLETADOR tiene la responsabilidad de entregar al DUEÑO la
distribución de cabinas con 10 días antes de iniciar la
navegación.
El FLETADOR proporcionará al DUEÑO y al Capitán una copia del
manifiesto del pasajero completo, incluso los números de la
cabina reservados para cada pasajero. Tal manifiesto contendrá
fecha de Nacimiento. Número del Pasaporte y Nacionalidad y
estará relacionado a cada pasajero según los requerimientos de
las autoridades respectivas. La asignación de cabinas no puede
ser cambiada por ningún motivo.
EL FLETADOR se obliga con EL DUEÑO a cancelar mediante los
Depósitos correspondientes por el servicio que se prestará de
acuerdo con las condiciones de la cláusula Tercera.
EL FLETADOR Medirá la satisfacción de cada cliente con un
sistema de evaluación en línea, es el cliente quien calificará su
estadía en el Yate. La evaluación se mide de 5/5, EL
FLETADOR espera tener como mínimo una
puntuación promedio de 4.7, en caso de que la calificación sea
menor, EL FLETADOR pasará los reportes negativos al DUEÑO
para que haga los correctivos de inmediato.
EL FLETADOR proporcionará el menú, de acuerdo a las
necesidades de los pasajeros y el servicio de PRIMERA CLASE.
El FLETADOR será responsable por el pago de tasas de ingreso al
Parque Nacional Galápagos, Tarjeta de Control de Tránsito y
otras tasas como la tasa de uso de muelle de Puerto Villamil en
la isla Isabela.
EL FLETADOR correrá con todos los gastos que demanden la
preparación, gastos de abogado, motorización y legalización del
presente contrato.
CLAUSULA SEPTIMA-
OBLIGACIÓN MUTUA
El DUEÑO y el FLETADOR declaran que actúan de buena fe, y
que en caso de controversia o problema con un pasajero o
terceros, procurarán resolver cualquier demanda en forma
conjunta .
this contract and declare their provable damages, running a fine
equivalent to 25% of this outstanding, that is, 25% of the total
value of the charters that have not been made yet during this
contract period. During this contract validity, the BOAT will not
be offered to sale by the OWNER and it will not be operated by
another operator.
Taking into account the policy of cancellation of Daphne Yacht in
the third clause, The OWNER will only accept the cancellation of
5 dates or charters each year without charge.
CLAUSE 8.-
ARBITRATION:
In case of disputes which may arise under this contract, the
parties agree and are submitted to one of the Mediation and
Arbitration courts of this city of Quito. These tribunals should be
recognized by the Supreme Court of Ecuador. The law that is
applicable to any dispute of this contract will be to the Republic
of Ecuador.
CLAUSE 9.
EARLY DISSOLUTION
This agreement may be dissolved by the following:
Breach of Obligations. - If one of the parties is refusing to fulfill
his/her obligations under this Contract Agreement;
Confiscation. - In the event that any government or person, or
any group of people that have real power to act, when a
government confiscate, seize, expropriate or capture the BOAT or
otherwise it prevents it from fulfilling during the contract period.
Bankruptcy. - In this case an order should be given or a resolution
concerning the dissolution, liquidation or bankruptcy of one of
the parties. A court official will be called to stop payments or
work of each party.
Loss of the BOAT. - If a part or the whole BOAT is lost, the
contract of the CHARTERER shall cease beginning the day when
the BOAT was lost. If this were the case, the OWNER shall pay the
advance payment or deposit the remaining to the CHARTERER in
a maximum period of 30 days.
Force Majeure. - Neither the OWNER nor the CHARTERER will be
responsible for any loss, damages, costs or delays that are the
result of force majeure such as fire, natural disasters, epidemics,
war (declared or undeclared), military operations, riot, revolution
or civil war, pirate acts, or disputes with the work (except for the
OWNER or the CHARTERER personnel, related exceptionally) and
any other reason beyond the control and generates the
impossibility for crossing.
Si una de las partes faltara en cumplir sus obligaciones
respectivas puntualmente bajo este Acuerdo , la otra parte
puede elegir repudiar este contrato y declarará sus daños y
perjuicios comprobables, ejecutando una multa equivalente al
25% del valor que se encuentre pendiente de pago, esto es el
25% del valor total de los charters que todavía no se realicen
durante el periodo que rige este contrato. Mientras dure la
vigencia de este contrato, la embarcación no será puesta a la
venta por parte del DUEÑO y tampoco puede ser operada por
otro armador.
Tomando en cuenta que en la cláusula tercera la política de
cancelación del Yate Daphne el dueño solo aceptará la
cancelación de (5) fechas o charters cada año sin costo alguno.
CLAUSULA OCTAVA.-
EL ARBITRAJE
En caso de que se presentaren controversias derivadas del
presente contrato, las partes se comprometen y se sujetan a
uno de los tribunales de Mediación y Arbitraje de esta
ciudad de Quito, los mismos que deben estar reconocidos por
la Corte Suprema de Justicia del Ecuador. La legislación aplicable
para cualquier controversia del presente contrato será la de la
República del Ecuador.
CLAUSULA NOVENA.-
DISOLUCIÓN ANTICIPADA
El Acuerdo puede disolverse por lo siguiente
Brecha de Obligaciones.- si una de las partes se negarse a
cumplir sus obligaciones bajo el Acuerdo de este contrato;
Confiscación.- En caso de que cualquier gobierno o persona, o el
grupo de personas que tienen poder real o falsas para actuar,
como un gobierno confisque, requise, expropie o capture la
EMBARCACIÓN o de cualquier manera la imposibilite de cumplir
durante el período del contrato.
Quiebra.- En este caso una dirección debe darse o tomar una
resolución concerniente a la disolución, liquidación o
bancarrota de una de las partes, un funcionario de justicia será
llamado para que detenga los pagos o trabajos de cada una de
las partes.
Pérdida de la embarcación.- En caso de que una parte o LA
EMBARCACION en su totalidad se perdiera, el contrato del
fletador cesará comenzando el día en el que se perdió LA
EMBARCACION.
Si este fuera el caso el DUEÑO pagará el anticipo o deposito
restante al FLETADOR en un periodo máximo de 30 días.
Fuerza Mayor.- Ni EL DUEÑO ni el FLETADOR serán
responsables por las pérdidas, los daños y perjuicios, gastos o
retraso que sean el resultado de casos de fuerza mayor como
el fuego, los catástrofes naturales, la epidemia, la guerra
(declarada o no declarada), funcionamientos bélicos, revuelta,

CLAUSE 10.
The CHARTERER will be responsible for issuing all the tickets and
transfers on the continent.
The OWNER shall be responsible for the costs of any excursion
and/or transfers, buses or guides on the day of boarding and/or
disembarkation on Galapagos, even the entrance to Rancho
Primicias.
The CHARTERER will be responsible for booking 16 round trip air
tickets during the days of operation, among continent-Galapagos-
continent, for all customers traveling on the Daphne Yacht.
The CHARTENER is responsible for requesting weekly to the
airline where the tickets were booked, a quota of 400 kg load.
CLAUSE 11.
INTEGRATED AGREEMENT AND MODIFICATIONS.-
This document represents the entire agreement between the
parties for the chartering of the BOAT, and it can be altered or
amended, even during its performance, only by written
agreement signed jointly by the parties and the respective
charges on account of one the parties’ request.

CLAUSE 13.
revolución o guerra civil, acto pirata, o disputas con la labor
(excepto las disputas de personal del DUEÑO o el FLETADOR
relacionadas excepcionalmente), así como cualquier otra razón
que está más allá del mando y produzca la imposibilidad para
realizar las travesías.
CLAUSULA DECIMA. -
EL FLETADOR será responsable de la emisión de todos boletos
aéreos y se encargará de los transferes en el continente.
El DUEÑO será responsable por los costos de cualquier
excursión y/o traslados, autobuses, o guías en el día de
embarque y/o desembarque en Galápagos incluso la entrada al
Rancho Primicias.
El FLETADOR será responsable de reservar 16 espacios aéreos
de IDA y VUELTA durante los días de operación, entre
continente-Galápagos-continente, para todos los clientes que
viaje en el Yate Daphne.
El FLETADOR será responsable de solicitar semanalmente a la
aerolínea con la que reserven sus espacios aéreos un cupo de
400 kg para carga.
CLAUSULA DECIMA PRIMERA.-
ACUERDO INTEGRO Y MODIFICACIONES.-
Este documento representa el acuerdo entero entre las partes
para el fletamento de LA EMBARCACION, y puede alterarse o
puede enmendarse, incluso durante su actuación, sólo por el
acuerdo por escrito firmado conjuntamente entre las partes y
con el recargo respectivo a cuenta de la parte que lo
solicite.

CLAUSULA DECIMA TERCERA.-
The OWNER declares that all persons providing services on board
the boat, either as captain, drivers, crew, cooks, tour guide, etc.,
are their sole responsibility, so that the CHARTERER shall have no
liability labor and legal with these workers.
CLAUSE 14. CONFORMITY
EL DUEÑO declara que todas las personas que presten sus
servicios a bordo de la embarcación, ya sea como capitán,
maquinistas, tripulantes, cocineros, guía turístico, etc, son de su
exclusiva responsabilidad, por lo que el FLETADOR no tendrá
ningún tipo de responsabilidad laboral ni legal con dichos
trabajadores.
