The undersigned Incorporator hereby certifies as follows:

1. The name of the Corporation is LatteMamas Incorporated.
2. The Registered Office of the corporation in the State of Delaware is located at 28 Old
Rudnick Lane, in the City of Dover, County of Ken, Zip Code 19901. The name of the
Registered Agent at such address upon whom process against this corporation may be served is
Platinum Filings LLC.
3. The purpose of the corporation is to engage in any lawful act or activity for which
corporations may be organized under the General Corporation Law of Delaware.
4. The total amount of stock this corporation is authorized to issue is 100 shares (number of
authorized shares) with a par value of $100 per share.
5. The conditions of membership are:
(a) The purpose of the business will be selling breast milk and breast milk-based
products.
(b) For every ounce of breast milk sold, a quarter of an ounce will be donated.
(c) The Board of Directors will include at all times at least one lactating mother
and at least one non-lactating mother.

to be LatteMamas registered agent.

I hope this email finds you well. I have finished drafting the Certificate of Incorporation
required to become incorporated in the state of Delaware. It may seem short to you, but
becoming a corporation is actually pretty easy. Everything that is required by statute is in the
certificate. If you find any issues with the information or would like something adjusted, please
let me know.
As you can see in the comments of the document, I included Jennifer as the Incorporator
for LatteMamas Inc. Once the business has been officially incorporated by the Secretary of State,
there will need to be a board meeting and election of officers. This will be the opportunity for
duties to be assigned, and for both of you to determine your business titles. I purposefully left
Elisabeth off of the certificate, but this will not cause any issues in determining job titles.

as I receive your approval and Jennifer’s signature, we can send these documents off. Have a
