Mandatory General Cancellation Policy of EaseMyTrip.com: 24 hours prior cancellation full refund after that 1 night
retention will be applicable.

Cancellation Policy Hotel: Free cancellation before 24 Hours. After that 100% retention will be applicable.

Payment: Distributors shall collect the payment for room charges in full from the customer at the time of booking & shall pass
the booking on to the hotel. Distributor shall pay the hotel after deduction of commission as mentioned in this Agreement,
two days prior to the guest check-in. All additional & miscellaneous services availed by the guest during the stay to be charged
directly to the guest. In case of public holidays or unexpected delays, a 5-day grace period post check out of the guest is
agreeable to hotel. Unless mentioned anywhere in the Voucher please do not collect money from the guest.
1. Promotion & discount: The Hotel will notify Distributors of all type of available lower rates, any such rates notified or known
to Distributors ‘from the market or third parties shall override the rates stated in this Agreement.
2. Inventory & Price: The Hotel has committed to Distributors room allotment on daily basis. Bookings received for these Rooms
do not require confirmation by Hotel. Hotel can manage the Rates & Inventory through Extranet Provided. Distributors can
redistribute the Rooms on B2B basis& to its affiliate Partners. Hotel agrees to maintain confidentiality of Extranet. Rate parity
guarantee: The Hotel guarantees to Distributors that Sell price is the best price & a better rate cannot be obtained by a Guest
making reservation with Hotel directly or via another party. To safeguard the customer experience with respect to Pricing, the
parties herein mutually agree for the below authority to EaseMyTrip: 1.1stDefault on Rate parity–De-rank the Hotel 2.2nd on
Rate Parity– Distributors to run 10% Promotion so as to feature the Best Available rate 3.3rd on Rate parity– Distributor to
Blacklist the Property & Stop sell the same.
3. Inability to Honor Reservations: If the Hotel is unable to honor any reservations, it shall immediately notify Distributors & also
relocate guest to a comparable Hotel or higher category. It shall also prepay to such Hotel/ Resort room charges for the nights
with transportation costs. The Hotel will also immediately deliver written apology including an explanation absolving
Distributors’ of responsibility for hotel’s failure to honor the reservation. Hotel hereby agrees & acknowledges indemnifying
Distributors all cost, expenses, claims, suits (including attorney’s fees) caused due to Hotel’s inability to honor the
reservations.
4. Indemnification: Hotel shall indemnify & hold Distributors its directors, officers & employees harmless from any & all claims,
suits or proceedings, liabilities, losses, costs, expenses (including legal fees) or damages incurred to Distributors due to any act
or omissions of Hotel including without limitation for the breach of any term of this Agreement, performance or non-
performance of any rights or obligations under this Agreement or asserted against Distributor by the customer or any third
party.
5. General Terms: The terms & conditions of this Agreement can be modified/ altered/amended at any time on mutual written
consent of both the Parties. All notices, communications, requests to be given or made to any of the Parties shall be in writing.
6. Term &termination: This Agreement shall be valid unless terminated by either party. Agreement may be terminated at any
time for any reason by either party by giving a (30) days prior notice. Distributors shall also be entitled to liquidate damages
from Hotel in the event of the termination of this Agreement due to any breach of the terms & conditions of this Agreement.
The Hotel shall honor all existing reservations till the time of termination.
7. Governing Laws & Dispute Resolution: This Agreement shall be governed by the Laws of India. Any claim, dispute or
difference arising shall be subject to jurisdiction of competent courts at Delhi, New Delhi, India.
