DEED OF SALE OF MOTOR VEHICLE

KNOW ALL MEN BY THESE PRESENTS

This Deed of Absolute Sale made and executed between:

BILLY REYMOND G. DE LEON, Filipino, of legal age with business address at 16A Petron Megaplaza,
Sen. Gil J. Puyat Avenue, Makati City, hereinafter referred to as the VENDOR;

AND

__________________, of legal age, with postal address at

_________________________________, hereinafter referred to as the VENDEE;

WITNESSETH

That the VENDOR is the true and absolute owner of the following motor vehicle which is
particularly described as follows:

Model : 1996
Motor No. : 10PC1-964155
Chassis No : CXZ19J-3002562
Plate No. : UHR 492

That for and in consideration of the amount of Three Hundred Fifty Thousand Pesos Only
(*350,000.00*), Philippine Currency, receipt of which is hereby acknowledged in full by the VENDOR from
herein VENDEE, to its entire satisfaction; by these presents, therefore, the VENDOR, hereby sells, cedes
and transfer by the way of absolute sale on an “as is where is” basis, unto the vendee, its successors, and
assigns, the above mentioned Motor Vehicle unit;

The VENDOR sells only whatever right and title to, interest and participation it has acquired over
the vehicle, and the VENDEE acknowledges that he has full knowledge of the nature and extent of
Vendor’s rights and title to, interest and participation on the vehicle;

The VENDEE warrants that he has personally inspected, ascertained and is satisfied with the
condition of the vehicle as much as the documents of the VENDOR’s ownership over the same and has
not relied on any representations made by the VENDOR with respect to the vehicle and agrees that the
sale is made on “AS-IS, WHERE-IS” basis with respect to the physical condition, claim, liens or
encumbrances (if any) regarding the vehicle;

The VENDEE shall be responsible for the registration of the sale and shall shoulder the expenses
necessary and incidental to the sale and transfer of the vehicle including but not limited to documentary
stamp tax, notarial fees and other charges and expenses.

The VENDEE assumes liability for existing liens and/or encumbrances (if any) and agrees to keep
the VENDOR free and harmless from liabilities of whatever kind and nature arising out of any legal claims
involving the vehicle.

IN WITNESS HEREOF, the parties have hereunto set their hands on this _________________at
