MODEL/MANAGER AGREEMENT

This legal binding instrument shall constitute your and our agreement as follows:

1. I hereby engage your services and you accept such engagement to be my sole and exclusive
Worldwide Manager for the term of this Model/Manager Agreement in the field of modeling
and runway. As such, you shall: advise and counsel me in any and all matters regarding
publicity and public relations and the general practices of the modeling, entertainment and
advertisting industries; advise and counsel me regarding the proper formats for presenting
myself to third parties; including aspects of makeup, hair, photo composites and formation of
a portfolio: and advise and counsel me regarding placements or referrals to secondary
agencies in the United States or elsewhere. You shall act as “mother agent” at all times.
2. I hereby appoint you my lawful Attorney-in-Fact and authorize you to collect and receive
monies on my behalf, to endorse my name upon and deposit same in your account with any
bank, and to retain therefrom all sums due you at any time. I also authorize you to approve
and permit the use of my name, photograph, likeness and voice and sign releases on my
behalf. This authorization shall include all self promotion for New Horizon Models, Inc. ie:
headsheets, books, electronic media, including but not limited to computer on-line services,
the Internet and CD-ROM. This power of attorney is irrevocable during the term of this
Model/Manager Agreement and, with respect to any matter for which you are entitled to
compensation, thereafter. I hereby assign to you the proceeds of all assignments done by me,
against which advance payment has been made by you to me. If, in accordance with your
voucher system, you advance me any sums against my fees not yet received and you do not
receive collection within six (6) months, I will upon request reimburse you for the sums you
advanced to me. Cancellation fees, expenses, foreign billings, advertising agencies and other
clients as determined by your accounting office are paid to model when payment is received
by manager. Manager will take all reasonable steps to collect the amounts due with respect
thereto. The risk of collection, in connection with models vouchers, and the legal costs
thereto shall be borne entirely by the model.
3. I agree to seek your councel in regard to all matters concerning my endeavors in the field of
modeling. I shall advise you of all offers of employment submitted to me anywhere in the
world with respect to modeling and will refer any inquiries concerning my services to you. I
acknowledge that you are not an “artist manager” under the labor code of California or an
employment agency in any jurisdiction and you shall not be required or expected to obtain
offers of employment for me. It is also acknowledged that the relationship between me as a
model, and you as manager, is one of independent contractor. I warrant that I will be
 responsible for any government employment tax/insurance/immigration obligations that may
be necessary.
4. In consideration of your entering into this agreement and as compensation for the services to
be rendered by you hereunder, I agree to pay you an amount equal to twenty (20%) percent of
any and all gross monies or other consideration which I receive as a result of agreements (and
any renewals or re-negotiations thereof) relating to my modeling throughout the world, which
agreements are entered into during the term hereof. In addition, I agree to pay you an amount
equal to ten (10%) percent of any and all gross monies derived from any television
commercials, television movies, television soundtracks, television series, industrials, usages
and or renewal fees as the terms apply to “TV”. I agree to pay or reimburse you for all out-
of-pocket expenses which you incur from time to time on my behalf.
5. The term of this Model/Manager Agreement shall be for a period of two (2) years
commencing as of this date, and it will be automatically renewed for two (2) years at a time
unless you or I give written notice to the other of the intention to terminate by registered mail
at least sixty (60) days prior to the end of the then current term.
6. Any contracts, or work involving future usages, as that term is customarily used, shall be
handled by you and you shall receive your compensation in such connection, until the
termination of such usages, regardless of the sooner expiration, termination or modification
of this Model/Manager Agreement.
7. I am aware and agree that you are entitled to receive a service charge from some and/or all of
the clients who utilize my services and that you may receive a service charge of fee shall be
an additional inducement for you to act on my behalf.
8. This Model/Manager Agreement shall be governed by and construed in accordance with the
laws of the Sate of Nevada applicable to agreements wholly made therein and any dispute
arising out of this Model/Manager Agreement shall be resolved in the courts of the State of
Nevada and City of Las Vegas.
