MEMBERSHIP & RIGHTS APPOINTMENT AGREEMENT

IMPORTANT: This Agreement is the legal contract that will govern your music video membership of PPL. It has been
generated using the information you have provided as part of your online registration application. It is a condition of
membership that you must sign and return this Agreement to us.

This Agreement is made as a deed between:

(1) Billionaire Gold Bars Records, LLC
(the "Member", "you" or “the applicant”) whose business/registered address is:

(2) Video Performance Limited ("VPL") (registered office: 1 Upper James Street, London W1F 9DE)

Data protection notice

You confirm that you have read, understood and accepted the following Data Protection Notice:

• VPL may use the information the applicant gives to it, and other information VPL may obtain about the applicant, in connection with exercising
any rights that the applicant may give to VPL from time to time, and for the following purposes:
o membership registration,
o providing membership services including distributions,
o enforcement of rights,
o dispute resolution,
o notifying the applicant of other services offered by VPL,
o fraud prevention; and
o administering its business.
• VPL may contact the applicant by mail, telephone, fax, mobile messaging or e-mail, in connection with all of the above purposes
• VPL may disclose the applicant’s information to its service providers, agents and other third parties in connection with the above purposes
• VPL may share the applicant’s information with organisations who are its business partners including overseas music licensing companies
• In connection with any of the above purposes, VPL may need to process any sensitive personal data of the applicant and may need to transfer
personal data of the applicant to countries outside the European Economic Area
• Where the applicant supplies VPL with personal data relating to another person, the applicant hereby confirms that such person has authorised
the applicant to consent on their behalf to VPL processing their personal data as described above, and to receive on their behalf any data
protection notice.
• VPL may record or monitor telephone calls for training or quality purposes.

Membership declaration
You confirm that you have read, understood and accepted the following declaration:

• The applicant is applying to be admitted as a Member of Video Performance Limited (VPL) (registered number 1818862) upon and subject to
the Articles of Association of VPL, by which the applicant agrees to become bound upon admission. Defined terms from VPL’s Articles of
Association have the same meaning when used in this declaration.
• The applicant meets the Membership Eligibility Criteria under PPL’s Articles of Association, including (without limitation) being the owner or
exclusive licensee of the UK Performing Right and Dubbing Right in at least one Music Video.
• The applicant hereby certifies that, to the best of its knowledge and belief, the information it has provided as part of its membership application
is correct and up-to-date.
• The applicant hereby notifies VPL that any email address supplied by the applicant as part of its membership application may be used by VPL
to send notices to the applicant under VPL’s Articles of Association.
• The applicant hereby undertakes that, if admitted to Membership of VPL, the applicant will supply VPL with the following information on a
regular and timely basis and in accordance with VPL’s published rules and policies from time to time:
1. full and accurate details of all new music videos issued by the applicant (including the title, label, catalogue number and ISRC number
for each such music video);
2. full and accurate details of any music videos added to, or deleted from, the applicant’s VPL repertoire, immediately the addition or
deletion occurs;
3. where the applicant owns a particular music video, full and accurate details of any subsequent transfer of ownership;
4. where the applicant is the exclusive licensee in respect of a particular music video, full and accurate details of the term of such licence,
any termination of that licence, and the identity of the licensor (i.e. the owner);
5. changes to any of the details provided as part of its membership application; and
 6. any other information, in respect of the applicant and/or the music videos it owns or exclusively controls, that VPL may reasonably
require from time to time

RIGHTS APPOINTMENTS
By signing this Agreement, you are confirming that you have read, understood and agree to:
o the terms and conditions of the Compulsory Appointment
o the terms and conditions of each Optional Appointment that you have selected in your application
o the General Terms which apply to all Appointments
and you hereby give the Compulsory Appointment and your selected Optional Appointments to VPL
