Memoradum of Agreement

This Agreement made and entered into this __________day of ________________,

2019 at Panitan, Capiz, Philippines, by and between:

The MUNICIPAL GOVERNMENT of PANITAN, CAPIZ, a local government unit

with a principal place of business at the Municipal Hall Building located at Panitan,
Capiz represented herein by its Municipal Mayor, Hon. KATHERINE DEQUIÑA-BELO
hereinafter referred to as FIRST PARTY.

AND

The BOTIKA NI MAU, a registered and accredited with Department of Trade

and Industry with place of business at Tabuc Sur, Panitan, Capiz represented herein
by its proprietor _______________________________________, hereinafter referred to as
SECOND PARTY.

WITNESSETH
WHEREAS, the Local Government Unit have been tasked with providing basic
social services at all times particularly in times of calamities;

WHEREAS, based on Rule 4 Section 4 (14) of the Implementing Rules and

Regulation of Republic Act 10121, the LGU can forge Memorandum of Agreement to
pharmacies for medical supplies for the;

WHEREAS, in order to provide basic services to the populace, the FIRST PARTY
has requested the SECOND PARTY to allow them to emergency purchase medical
supplies for following purposes: (1) for medical operations whenever a state of
calamity is declared in their locality, and (2) for stockpiling in preparation of
eventualities/emergencies that may occur at any given time;

WHEREAS, in order to provide adequate medical assistance to affected families

and evacuees, the FIRST PARTY has requested the SECOND PARTY to allow them to
emergency purchase medical supplies on credit;

WHEREAS, the SECOND PARTY, cognizant of the needs of the people in times
of emergency/calamity has acceded to the request of the LOCAL GOVERNMENT UNIT
for a medicine and medical supplies loan;

NOW, THEREFORE, for and in consideration of the foregoing, the parties

hereto hereby agree as follows:

I. THE FIRST PARTY SHALL:

1. Determines the quantity and quality of medical supplies to be purchased;
and

 2. Undertakes to pay the SECOND PARTY for the medical supplies issued,
within fifteen (15) working days from the date of receipt of the billing.

II. THE SECOND PARTY SHALL:

1. Sells medical supplies on credit to the LGU subject to the approval of the
proprietor upon submission by the LGUs of the following documents:
a. A written request from the Municipal Mayor specifying the purpose of the
medical supplies (for medical operations, for buffer stockpiling) indicating
therein the quantity and quality of medical supplies to be emergency
purchased;
b. Requisition and Issue Voucher duly signed by the Mayor; and
c. Purchase Order (PO) duly signed by the Mayor.
2. Bills the LGU for the medical supplies granted to them based on actual stock
issuances within five (5) working days reckoned from the day of the last
withdrawal as indicated in the delivery receipt.

III. SPECIAL PROVISIONS:

1. The price of medical supplies shall be based on the Prevailing Market Price;
2. The quantity and quality of the medical supplies to be sold under this
Agreement shall be based on formal request and the RIV/PO of the LGU;
and
3. The LGU has the right to return the goods or refused to pay if found that the
medical supplies issued is expired or substandard.

IV. DURATION:
This Agreement shall be effective _________________ and shall be valid for a
period of three (3) years. No extension or renewal of this Agreement shall be
valid and binding without the written consent of both parties.

All suits arising from or related to this Agreement shall be filed only in the
appropriate courts in Roxas City, Capiz which shall have jurisdiction over the
case to the exclusion of other courts.

IN WITNESS WHEREOF, the parties have hereunto affixed their signatures on

the date and at the place above written.
