MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This Memorandum of Agreement is entered into this ________________ at Odiongan, Romblon,

Philippines by and between:

____________________, hereinafter referred to as the FIRST PARTY,

_______________________________________________, a domestic corporation organized and existing

under the laws of the Philippines with principal business address at

___________________________, of legal age, Filipino, married/single, with office address at
________________________________________, hereinafter referred to as the SECOND PARTY;

WITNESSETH THAT:

WHEREAS, the FIRST PARTY is the lawful owner, of a parcel of agricultural land situated in

_______________________________________________ (______) SQUARE METERS under Tax
Declaration Number ________ with a total of

WHEREAS, the SECOND PARTY is interested to purchase the said property from the FIRST
PARTY for the establishment of its Power Plant for its Generator and Solar Facilities in the Municipality
of _________________________on the condition that the SECOND PARTY will be declared as the
winning bidder thereof;

WHEREFORE, premises considered, the SECOND PARTY hereby covenant to purchase the
abovementioned property from the FIRST PARTY subject to the following terms and conditions, to wit:

TERMS AND CONDITIONS

THE PROPERTY – the parcel of agricultural land subject matter of this agreement is LOT NO.

1. A final deed of conveyance shall be executed by the FIRST PARTY in favor of the SECOND
PARTY upon the fulfilment of the condition that the SECOND PARTY will be declared as the winning
bidder;

2. The purchase price will be subject to the subsequent negotiation of the parties once the
fulfilment of the condition that the SECOND PARTY be declared as the winning bidder and will be
incorporated in the final deed of conveyance.

This agreement shall be effective and binding between the parties within _____ months from the
date of its execution and thereafter it will have no more force and effect whatsoever, unless extended by
mutual consent of the parties hereon.
