DEED OF ADJUDICATION OF SOLE HEIR

KNOW ALL MEN BY THESE PRESENTS:

This Deed of Adjudication of Sole Heir, made and executed by:

CONCORDIA ORCULLO BADON, of legal age, Filipino, widow and a resident of


Motong, Dumaguete City, Negros Oriental, Philippines, hereinafter referred to as HEIR;

WITNESSETH:

That ALEJO ORCULLO married to __________________, is the tax declarant of


a parcel of land Lot No. 2069-B being a portion of Lot No. 2069 under Tax Declaration
No. 2014-0025-00022 and covered by Original Certificate of Title No. 442-A situated at
Purok Mahusay, Motong, Dumaguete City, Negros Oriental, Philippines, which parcel of
land is more particularly described and bounded as follows:

LOT NO. 2069-B


(TAX DECLARATION NO. 14-0025-00022)

“A parcel of land Lot No. 2069-B, with the improvements thereon,


situated in Purok Mahusay, Dumaguete City, Negros Oriental. Bounded on
the North by Lot No. 3069; on the East by Lot No. 2070; on the South by
Lot No. 2074; and on the West by Lot No. 2077. Containing an area of
THIRTEEN THOUSAND ONE HUNDRED EIGHTY-ONE (13,181)
SQUARE METERS, more or less.”

WITNESSETH FURTHER:

That ALEJO ORCULLO married to __________________ died intestate and


without debts on ______________ and on _______________, respectively, in
Dumaguete City, Negros Oriental, and at the time of their deaths they left as their only
surviving and compulsory heirs their children namely JOAQUIN CAPORAL ORCULLO,
JUANA CAPORAL ORCULLO and ALIPIA CAPORAL ORCULLO;

That JUANA CAPORAL ORCULLO and ALIPIA CAPORAL ORCULLO both died
single, intestate and without debts and no interests on ______________ and on
_______________, respectively, in Dumaguete City, Negros Oriental;

That JOAQUIN CAPORAL ORCULLO married to __________________ died


intestate and without debts on ______________ and on _______________,
respectively, in Dumaguete City, Negros Oriental, and at the time of their deaths they
left as their only surviving and compulsory heir their daughter ROMANA ORCULLO;

That ROMANA ORCULLO died single, intestate and without debts on


______________, in Dumaguete City, Negros Oriental, and at the time of her death she
left as her only surviving and compulsory heir her daughter CONCORDIA ORCULLO
BADON;

That it is to the best interest that the HEIR settle and adjudicate unto herself the
above mentioned parcel of land as her own personal property, and invoking Sec. 1,
Rule 74 of the Revised Rules of Court and the law on intestate succession, the HEIR,
hereby these presents SETTLE AND ADJUDICATE unto herself the above mentioned
parcel of land;

SPECIAL POWER OF ATTORNEY

KNOW ALL MEN BY THESE PRESENTS:

I, CONCORDIA ORCULLO BADON, of legal age, Filipino, widow and a resident


of Motong, Dumaguete City, Negros Oriental, Philippines, have named, constituted and
appointed and by these presents do name, constitute and appoint ANTHONY BENJIE
FERNANDEZ MAPILI, of legal age, Filipino, married with residence and postal address
at Bliss Talay, Dumaguete City, Negros Oriental, Philippines, as my true and lawful
attorney-in-fact for me and in my name, place and stead and for my own use and
benefit, to do any and all of the following acts and things, to wit:

1. To process, pay any necessary fees, transact with any authorized


personnel of the Bureau of Internal Revenue (BIR), Dumaguete City Field Office,
Assessor’s Office of Dumaguete City and Register of Deeds of Dumaguete City,
Department of Agrarian Reform and other concerned offices, for the assessment and
payment for the estate tax, capital gains tax, documentary stamp tax, and other taxes,
survey, subdivision plan, clearances and transfer of title or titling of a parcel of land, Lot
No. 2069-B being a portion of Lot No. 2069 under Tax Declaration No. 2014-0025-
00022 and covered by Original Certificate of Title No. 442-A situated at Purok Mahusay,
Motong, Dumaguete City, Negros Oriental, Philippines, consisting a total area of
THIRTEEN THOUSAND ONE HUNDRED EIGHTY-ONE (13,181) SQUARE METERS,
more or less, together with the improvements standing thereon;

2. To obtain, request for certified true copy of any and all documents but not
limited to the copy of the title, tax declarations, birth certificates and death certificates
with the Philippine Statistics Authority (PSA), Dumaguete City Field Office and other
documents relative to the aforesaid property for the application of Tax Identification
Numbers with BIR and other purpose as above-stated;

3. To sign, deliver, present, execute papers, receipts, documents, and other


writings and pay fees in connection with the authority here-in above given.

GIVING AND GRANTING unto my attorney-in-fact full power and authority to do


and perform all and every act and thing whatsoever requisite and necessary to be done
in and about the said premises with full power of substitution and revocation, hereby
ratifying and confirming all that my said attorney-in-fact or her substitute will lawfully do
or cause to be done by virtue of these presents.

MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This AGREEMENT is entered into by and between:

CONCORDIA ORCULLO BADON, of legal age, Filipino, widow and a resident of


Motong, Dumaguete City, Negros Oriental, Philippines, hereinafter referred to as the
FIRST PARTY; and

CRISTINA T. SARAÑA, of legal age, Filipino, married to Eduardo Saraña with


residence and postal address at Bliss Talay, Dumaguete City, Negros Oriental,
Philippines, hereinafter referred to as the SECOND PARTY;

WITNESSETH:

WHEREAS, the FIRST PARTY is the absolute owner of a parcel of land, Lot No.
2069-B being a portion of Lot No. 2069 under Tax Declaration No. 2014-0025-00022
and covered by Original Certificate of Title No. 442-A situated at Purok Mahusay,
Motong, Dumaguete City, Negros Oriental, Philippines, consisting a total area of
THIRTEEN THOUSAND ONE HUNDRED EIGHTY-ONE (13,181) SQUARE METERS,
more or less, together with the improvements standing thereon. That the FIRST
PARTY’S ownership is by virtue of Deed of Adjudication of Sole Heir otherwise known
as Doc. No. ___; Page No. ___; Book No. I; Series of 2019 of the notarial register of
Notary Public Atty. Rea Jane B. Malcampo in Dumaguete City, Negros Oriental,
Philippines, which parcel of land is registered under the name of the late Alejo Orcullo;

That the FIRST PARTY has manifested her desire and willingness to transfer the
title of the above-mentioned lot in favor of her name by allowing the SECOND PARTY to
shoulder the entire expenses for the processing of the transfer of the title until the
release of a new title bearing the FIRST PARTY’S name. Moreover, the FIRST PARTY
undertakes to encumber, dispose or sell a portion of her share to any other third party or
entity;

That the SECOND PARTY likewise has manifested her willingness and desire to
finance the entire expenses to be incurred in the processing of the transfer of title of the
above-mentioned lot to the FIRST PARTY’S name;

FURTHER WITNESSETH:

That the FIRST PARTY and the SECOND PARTY agree to be bound on this
DEED under the following terms and conditions:

1. That upon the execution of this contract, the SECOND PARTY shall deliver
the amount necessary for the processing of the transfer of title of the above-
mentioned lot to the FIRST PARTY’S name including but not limited to
processing fee, estate tax, certification fee, transfer tax and other taxes and
fees involve to consummate the purpose;

2. The FIRST PARTY shall have the right to receive the amount for the such
expenses and acknowledges the amounts delivered to her;

3. The FIRST PARTY shall undertake herself to be indebted to the SECOND


PARTY of the entire expenses incurred in the processing of the transfer of the
title;
4. The FIRST PARTY shall pay all of her obligations to the SECOND PARTY by
the time a portion of her share of the above-mentioned lot be sold to any
other party or entity plus FIVE (5%) of the proceeds of the sale representing
interest;

5. This AGREEMENT shall be binding upon and shall inure to the benefit of the
parties hereto and their respective successors-in-interests and assigns.

more or less, together with the improvements standing thereon, consisting of two (2)
pages, including this page where the acknowledgement is written and has been signed
by the parties and their instrumental witnesses on every page hereof and they
acknowledge to me that the same is their free and voluntary act and deed.
