Notes:

Specifications:
Units are as per Carrier standard specifications, standard components, standard construction and
standard safeties and controls. Units are with Hermetic Compressors and operating with R-410a
refrigerant. Condenser and evaporator coils are made of Cu tubes / Al. fins.
Validity: Validity of our offer is 7 days only.
Delivery Period: 14 to 16 weeks from the date of our order conformation letter.
Payment Terms: 100% by Irrevocable Letter of Credit payable at Sight from Date of Delivery Note.
Liability: Carrier HVAC-R shall not be liable for any penalty, indirect or consequential damages,

Package Units Scope of Supplies:

Package units are as per Carrier standard specification with Scroll Compressor, R-410a Refrigerant;
standard return air washable filters, side discharge configuration; standard accessories, standard
controls and safeties. Condenser and evaporator coils are of Cu tubes/ Al fins. Package units are
suitable for power supply 415V-3Ph-50Hz. Packaged Units start-up is included.
Warranty: “The equipment, is warranted by ‘Carrier’, against manufacturing defects, for a period
of 12 months from the date of invoice, provided that original invoice is submitted with any claim.
Carrier Qatar shall do the necessary repairing or replacing of the faulty parts as it deems
necessary, and as per the terms of this warranty.
Original Factory Compressor is covered under warranty for 5 years from date of invoice.
Warranty is covering compressor replacement and consumables related to compressor free of
charge for 5 years.
The warranty is null and void if Air Conditioner is operated with Generator Power Supply.
The warranty is subject to proof of proper operation & preventive maintenance as per Carrier
Operation & Maintenance manual “4 services yearly at minimum”.

The warranty does not extend to the consequential damage or loss due to normal wear and tear,
protection of unit, lack of routine maintenance, the compressor is not operated or maintained
according to the operation manual and improper storage or preventive maintenance.”

CARRIER QUOTATION TERMS & CONDITIONS
1. General: The terms and conditions of sale are as set forth herein. Terms and conditions included in the solicitation or otherwise proposed by the Buyer
shall be excluded from the contract unless accepted by Seller in writing. No contract shall result from this quotation unless Buyer’s order in acknowledged
and confirmed by Seller in writing. Buyer’s acceptance must be communicated in writing. Any order shall be subject to credit approval. Each order shall
be deemed a separate contract.
2. Prices: Unless stated otherwise, prices are stated in Qatari Riyals. Prices are made according to the prevailing prices at the time of quotation, and are
subject to change by Seller without prior notice based upon changes in currency exchange rates, labor or material costs, or other factors causing an
increase in Seller’s costs. Prices do not include taxes or duties of any kind, unless stated otherwise. Seller reserves the right to change typographical or
clerical errors at any time upon notice in writing. Prices quoted for service are quoted on the basis that the job site is accessible, that the supplies and
equipment to be provided to Seller are available and in good order for use.
3. Shipment and Delivery: Unless specifically agreed in writing, shipment dates quoted are estimates, and Seller does not guarantee a particular date for
shipment or delivery of the goods. Unless designated otherwise, goods are quoted F.O.B. Seller's factory. The delivery period shall begin on the date
a firm order with advance payment or letter of credit is received from Buyer, unless otherwise agreed. Seller accepts no liabilities associated with a failure
by Buyer to provide clear acceptance of the order, and until the instructions for shipment and delivery are agreed. Any costs resulting from a failure to
provide clear delivery instructions shall be for the account of Buyer. Partial shipments are authorized.
4. Acceptance of Goods: Buyer shall notify Seller within 7 days of any defect which can be readily ascertained by inspection of the goods. Any failure to
notify Seller of readily apparent defects shall constitute a waiver by Buyer.
5. Cancellations: If the Seller, on Buyer’s request, shall agree to cancel any order or part thereof, the Buyer shall reimburse the Seller for costs and expenses
which arise as a result of the cancellation. In the event of cancellation Buyer shall pay in full for any goods completed under the order. Seller reserves
the right to offset its cancellation costs against any payments received on the order.
6. Terms of Payment: Payment of 100% of the agreed price shall be made by Buyer, without any right of retention or reduction, unless agreed by Seller in
writing. If payment is not made on time, Seller shall be entitled to charge interest on unpaid amounts at the rate of 1% of the outstanding amount for each
month or part thereof the payment is overdue, until full payment is received. After 90 days from the payment date, any expenses incurred by Seller in
collecting past due amounts shall be for the account of Buyer.
7. Liabilities: Seller's Warranty Policy and Limitation of Liability are attached. SELLER SHALL NOT HAVE ANY LIABILITY FOR INDIRECT, INCIDENTAL,
OR CONSEQUENTIAL DAMAGES. Seller’s liability for direct damages shall be limited to the proportional extent of its own fault or negligence.
8. Title to Goods and Risk of Loss: Risk of loss shall pass to the Buyer at the delivery point, or upon placement of the goods into storage on behalf of Buyer.
Title to the goods shall not pass to Buyer until Seller has received full payment.
9. Changes: Work and material in addition to, or different from, that stated herein, and changes in drawings or specifications, shall be subject to Seller's
approval, and shall entitle Seller to an adjustment in the price and schedule.
10. Force Majeure: Seller shall not be liable for any losses, damages, or penalties occasioned by late performance, nor for any deviations in performance
due to fires, strikes, labor disputes, supplier delays, governmental actions, customs delays, acts of nature, or any other condition beyond Seller's
control.
11. Applicable Law: Any agreement arising from this quotation shall be governed by, and construed in accordance with, the laws of Qatar (excluding its
choice of law provisions). The provisions of the Sale of Goods (United Nations Convention) Act (Cap 283A) shall not be applicable. In the event of a
dispute, the parties shall seek to resolve it by amicable, good faith negotiation. Failing such resolution, the dispute shall be settled in accordance with
the Arbitration laws of Qatar. All components, equipment and services provided by Vendor hereunder are “commercial items” as defined in section
2.101 of the U.S. Federal Acquisition Regulations ("FAR"). Items are being sold on a commercially-priced, fixed price basis. As a company organized
and existing under the laws of Qatar, Vendor operates in accordance with the laws and regulations of that jurisdiction. All performance under this order
will take place outside the U.S., and vendor is not bound by U.S. Government procurement regulations that are directed towards entities operating
within the U.S. Vendor may not use privately owned U.S.-flagged commercial vessels in all cases and, therefore, reserves the right to select a
carrier consistent with its normal commercial item procurement practices.
12. Limitation of Liability

Notwithstanding anything to the contrary herein and to the extent permitted by law, the aggregate liability of the Seller to the Purchaser, whether in
contract, tort (including negligence) or otherwise, will be limited to a maximum of 10% of the Purchase Order value.
Paragraph (1) does not limit the liability of the Seller for any injury to, or death of a person, caused by the gross negligence of the Seller.
13. Indemnification
The Seller indemnifies the Purchaser against liability or loss incurred by the Purchaser for bodily injury or property damage to the extent caused directly
by the negligence of, or breach of contract by the Seller during the performance of the work, but not to the extent that the loss or liability was caused
by others.
14. Ethics
The Purchaser warrants that it has not, and will not, offer or give to any employee or representative of the Seller any gift or gratuity with a view towards
influencing such person in connection with this order or any other order of the Purchaser or the Seller. Any breach of this provision shall constitute a
material breach of these Terms and Conditions.
