Code of Ethics

1) All Kheeran employees and representatives shall discharge their duties in a moral, ethical and legal
manner. Any conduct that might raise questions or cause for doubt regarding ethical, moral or legal
conduct, or the fairness of Kheeran is strictly prohibited.

2) Kheeran employees and representatives shall not take unfair advantage of anyone through
manipulation, concealment, abuse of privileged information, misrepresentation of material facts, or
any other unfair-dealing practice.

3) While this code of ethics does not address every expectation or condition regarding proper and
ethical business conduct, good common sense is your best guide in every endeavour on behalf of
the company, Kheeran employees and representatives must follow the ethics and compliance
principles set forth in this Code as well as all other applicable policies and procedures.

4) Further, compliance with all laws, rules and regulations related to Company activities is mandatory
for all Kheeran employees and representatives. Failure to do so could result in disciplinary action, up
to and including termination of employment.

5) In the Workplace: This Employee Code of Business Conduct and Ethics applies to all employees and
representatives. Kheeran is committed to providing a diverse and inclusive work environment, free
of all forms of unlawful discrimination, including any type of harassment.

6) Respect: Mutual respect must be the basis for all work relationships. Engaging in behaviour that
ridicules, belittles, intimidates, threatens or demeans is prohibited and may violate the law. Kheeran
employees and representatives are expected to treat others with the same respect and dignity that
any reasonable person may wish to receive, creating a work environment that is inclusive,
supportive and free of harassment and unlawful discrimination.

7) Equal Opportunity: The Company’s policy is to ensure equal employment and advancement
opportunity for all qualified individuals without distinction or discrimination because of race, colour,
religion, gender, sexual orientation, age, national origin, disability, covered veteran status, marital
status or any other unlawful basis.

8) Sexual harassment and other discriminatory harassment: Sexual harassment and other
discriminatory harassment are illegal and are prohibited. Actions or words of a sexual nature that

harass or intimidate others are prohibited. Similarly, actions or words that harass or intimidate based
on race, colour, religion, gender, sexual orientation, age, national origin, disability, covered veteran
status, marital status or any other unlawful basis are also prohibited.

9) Conflict of Interest: Company policy prohibits conflicts of interest. All potential and actual conflicts
of interest or material transactions or relationships that reasonably could be expected to give rise to
such a conflict or the appearance of such a conflict must be disclosed and handled immediately.

10) Gifts and Entertainment: Kheeran employees and representatives shall not accept financial or other
compensation for any particular service or work from sources other than Kheeran.

11) Inspection and Test Personnel: Inspection and Test Personnel from Kheeran employees and
representatives shall recognize their personal integrity and professional competence as
fundamental principles. Accordingly, Inspection and test personnel shall:

a. Perform their professional duties with proper regard for the physical environment and the
safety, health and well-being of the public.

b. At all times, be aware of and uphold the provisions and requirements of codes, regulations
and standards under which they are working.

c. Report immediately to your supervisor any perceived violation(s) of codes, regulations or


standards within the company. If your supervisor provides no satisfactory explanation or
takes no corrective action, the individual shall report to General Manager.

d. Undertake only those inspection and test assignments for which they are competent by
virtue of their training and experience.

e. Not sign documents for work that they do not have personal professional knowledge nor
direct technical supervisory control and responsibility.

f. Where warranted, engage or advise the engagement of such specialists as are required to
enable them to properly complete assignments.

g. Indicate to your supervisor or client any adverse consequences, which may result from an
overruling of their technical judgment by a non-technical authority.

h. Conduct themselves in a responsible manner and use fair and equitable business practices
in dealing with colleagues, clients and associates. Any issues that arise should be taken up
with Kheeran Management before further action is taken.

i. Not falsify or permit misrepresentation of their own or their associates academic or


professional qualifications, training, experience or work responsibilities.

j. Strive to maintain your proficiency by updating their technical knowledge as required to


properly practicing inspection and test in the certified field and level.

k. Produce test reports based on observations that are complete and accurate without any
bias

By your acknowledgement and signature in form KIS-COE-001 ‘Code of Ethics’, you agree to abide
by the above Code of Ethics as long as remain employed by Kheeran Inspection Services Inc.. and
understand appropriate disciplinary action can follow if you do not conduct yourself in the above manner.
