RE: Special Assistant Attorney General Appointment

Dear Ms. Leathers:

This letter is to confirm in writing your designation as a Special Assistant Attorney General
since your appointment to your current role for those duties in which you function as General
Counsel to the Governor. This ensures that there will be no question as to your authority to
serve as the attorney for the Governor and to protect communications. It also ensures that the
Governor will be entitled to representation and indemnification for actions taken in good faith
and within the scope of his official duties on advice of counsel. Consistent with prior practice,
this appointment does not authorize you to institute or participate in litigation without
consultation and specific approval of this Office. This restriction should not in any way inhibit
your performance of your responsibilities, however, as we cannot recall any occasion when
the Governor's counsel has indicated a desire to participate in litigation. This appointment has
been and will remain effective so long as you are serving as General Counsel to the Governor.

In our office, the principal contacts designated for providing legal services to the Governor's
Office are Shane Esquibel, Chief Deputy Attorney General, and Noah Purcell, Solicitor
General.
