MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This Memorandum of Agreement is entered into by and between:

The HEIRS of ____________, namely:

And hereinafter referred to as “The HEIRS”;

- And -
_____________________ , a cooperative duly registered under the laws of the
Republic of the Philippines with office address at ___________and represented
herein by its Chairman, _____________, and hereinafter referred to as
“________”.
WITNESSETH:
1. “The HEIRS” are the registered owners of a parcel of land, particularly
described below:

2. “_______________” has undergone an agri-ecotourism industry

located at ___________ City and desires to use portions of the property
owned by “The HEIRS”.
NOW, THEREFORE, in view of the foregoing premises and the mutual covenants
hereinafter provided, the parties hereby agree as follows:

1. A portion of the subject land will be used as a] the PASALUBONG CENTER

and RECEIVING AREA [PCRA]; and b] the GREENHOUSE building, where
both portions will each occupy at least 250 sqm.,more or less, or a total
of 500 sqm., more or less; Provided, an increase of land occupied will be
subject to an amendment or supplement to this contract.
2. “The HEIRS” are willing to let “SIKYOP”____________ use the subject
properties for a period of five [5] years, renewable upon the agreement of
both parties, subject to the following terms and conditions:
a. The GREENHOUSE area which occupies an area of 250 sqm., more
or less will be used by the latter under a 70% - 30% payment
scheme,i.e;:

b. The PCRA which will occupy an area of 250 sqm., more or less,
will be rented out to “__________ ”, Provided that the “HEIRS”
will receive Php 5.00 per head share from the entrance fee
collected, where payment thereto will commence one (1) year
after the execution of this Agreement or after the construction of
the PCRA building, whichever comes earlier; Provided further, that
an increase of entrance fee will automatically result in a
proportionate increase of the per head share of the “HEIRS”. .
3. “ ” undertakes to do such improvements or expenses on the property/ies it
may deem proper and to remove the improvements provided no damage is
caused to the property; Provided further, that the undertaking and the removal
of the same is subject to the approval and/or concurrence of “The HEIRS”.
4. Both parties agree to faithfully comply with the terms and conditions herein set
forth.
5. This Agreement may be amended, modified or repealed by the parties by giving
30 days prior written notice.
 This Agreement shall take effect immediately upon signing of the parties hereof.
