Agreements

This agreement is made at Noida on this 1st Nov 2018 between. The party of
the first part M/s B4S Group Security Services, H-Block , Babakudepal Singh
Mkt, Shop No 21 Sec-63, Noida UP and touch of India 201301 UP here in after
refereed to as the party y of the second part.

It is agreed as under:-
1. That the party of the first part shall provide security personnel at the
premises at F-35,Sector -6 Noida UP 201301 belonging to the part of the
second part and charge to be paid by the part of the second part of the
first part shall be as follows:-
a. (a) security Guard Rs 8500/ per person month (8houres shift)
b. ESIC & EPFO will be levied extra on the Gross amount of the bill or as
revised by Govt. form time to time
c. GST @18% will be levied extra on the Gross amount of the bill or as
revised by Govt.
2. That the foresaid amount shall be paid by the party of the second part
month by a demand draft/ cheque on a B4S Group security service by the
seventh day of the following month
3. That the personnel of the party of the first part shall perform 8 (eight )
hours duty daily with an exception to their weakly off . Any additional
security work given by the part of the second part to the personnel of the
party of the first part will be charged on the basis of overtime payments
as par the above rates.
4. That the part of the second part shall provide the torched with cells,
sticks & other equipment to the personnel of the part of the first part
which may be required form time to time for the performance of their
duty
5. That the part of the first part undertakes that the personnel’s provided
shall always be cleanly and smartly dressed.
6. That The party of the first shall change the members/ numbers of the
security staff , so that there is no celebration with the workers or any
outside element connected with the workers and the such changes will
be effected as and when considered necessary.
7. That the part of the first part shall not be deemed to be employees of the
party of the second part and shall not claim any salary, damages,
compensation or anything arising out of their normal employment
/compensation that might become payable to the part of the second part
in the event of the disability / death if a member of security staff caused
while guarding /supervising/ escorting in performance of their duties with
in / out the factory / installation / premise / areas.
8. That the part of the second part shall not advance any amount to the
personnel of the part of the first part unless specifically authorized to do
so in writhing by the part of the first fart .
9. That the part of the second part shell not employee / absorb or engage or
any contractual duty, any of the security personnel of the part the first
part for one year termination of the contract. However ,in case the part
of the second part is interested to employee/ absorb or engage on
contractual basis any of the security personnel of the part of the first part
in that case RS 8,500/-(Eight Thousand four hundred only ) per security
personnel will be paid by part of the second part to the part of the first
part.
10.That the tenure of this agreement shall be for a period of one year and
thereafter . shall continued till either side intends to terminate , giving
one month notice in advance to other side or paying in liew of the notice
period. On the extension rates or charges will be subject to revision in
conformity with the latest price index.
11.If there will be any change in minimum wage rate or Govt. Tax structure
between the agreement tenure the same change will be applicable on
the billing amount it is on upside or downside
12.That the part of the second part shall be responsible for the formulation
of the security policy of their establishment and the same shall be
communicated to the part of the first . any subsequent changes in the
policy ,shall simultaneous be communicated to the first part. Any
subsequent changes in the policy , shall simultaneously be communicated
to the of the first part.
13. Before the termination of the agreement, the part of the second part
shall and final payment and clear all prior to the withdrawal, of the staff
by the part of the first part from establishment.

14. Any dispute out of or in relation agreement shall be referred to

arbitration as per the INDIAN ARBITRATION ACT.
