The Annual Meeting was called to order at the property owned by the Fredericks located at 7016 Pot of

Gold Road (Lot 24) on Saturday, September 29th at 10:00 a.m. pursuant to the notice sent to all
Association members in accordance with the bylaws by Rainbow Lake Maintenance Association (RMLA).

Attendance: ​There were 17 properties represented, which exceeds the 25% of 25 total properties
required for a quorum. The following members were present, constituting 68% of property owners:
Patty Carleton and Terry Carleton (Lot 17), Brad Chaplin (lot 16), MayKao Fredericks (Lot 24), Alan
Howell and Jill Howell (Lot 14), Greg Huppert (lot 13), Pat Kelly and Heidi Kelly (Lot 3), Byron Leason (Lot
23 & Lot 6), Jeff Kenney (Lot 12), Mary True and Pat Kerrigan (Lot 25), David Moeller (Lot 20 & Lot 21),
and Jason Boldt (Lot 4). Also in attendance by proxy Gail Rapson and Rip Rapson (Lot 7-10).

MayKao Fredericks acting as Secretary and meeting host welcomed members and took roll call.
Members welcomed Jason Boldt who recently purchased Lot 5. Members also thanked Terry Carleton,
Byron Leason, and Greg Huppert for volunteering to help mow and grade the roads resulting in
significant savings to the RMLA.

Financial Report​: A financial report was presented by Treasurer Brad Champlin and will be included
with the minutes. Current balance is $1,801.60. Expense totaled $5,689.20 which is significantly higher
than average due to the additional gravel/grading authorized by members to fix problem road areas
(please refer to 2017 Meeting Minutes for details). Payment due is on or before the Annual Meeting for
the upcoming season. Unpaid properties should submit $150 to Treasurer, Brad Champlin as soon as
possible.
● Lot 1 Delinquent Payments: Currently Lot 1 is past due $725.00. Multiple attempts have been
made by both Terry and Brad to include posting a written notice on owner's door and speaking
to the owner directly. Members discussed the need to take action in collecting the dues owed
given owner’s neglect in responding or making attempts to resolve the outstanding balance.

Motion #1:​ The following motion was made by Jill Howell: Motion to contact County to
file a lien on Lot 1. Second by XXXX, all approved, none opposed. Motion passed.

Terry called for a volunteer to file a lien on Lot 1. Pat Kelly offered but shared he would
not be available to work on the task till late October. Offer accepted. Jill also offered to
help Pat gather meeting minutes, documentation of financial statements, and other
documentations that may be needed to file the Lien. Jill noted that most of the
information can be found on the RMLA website.

● Lot 7-10 Delinquent Payment: Currently Lots 7-10 are past due in the amount of $250 on 4 lots
over the past 2 years. Jill volunteered to follow-up with the Rapsons.

Road Maintenance Report:​ Terry provided a report on the roads. There were no road maintenance
concerns. MayKao Fredericks recognized the Association for the improved road maintenance of the
former troubled road area on Pot of Gold Road between Lot 23 and Lot 24.

General Concerns/Questions:​ Members discussed deeded access to Fremsted Lake. The access is
located between Lot 16 and 17 and is extremely difficult to pass due to swamp and vegetation. Mary
True shared concerns of excessive vegetation growth in Rainbow Lake. It is has become difficult to swim
in. Members offered insight to include using the lake more often, raking the shoreline, and avoid using
fertilizer.
David Moeller Easement Access Request:
David Moeller, owner of Lots 20 & 21 (part of RLMA) and which currently has a for sale sign posted on
Lot 20 only, made a request to the Association. He asked that the RLMA grant him an easement from his
property outside of the Association (Outlot A, at the end of Pot’O’Gold Road), allowing him to cross our
private road, all the way to to Fremsted Rd. In addition to granting this easement he asked if his lot
could become part of the Association, should he ever sell it. The map he submitted at the meeting can

Terry made the motion that the RMLA has a general interest to add "Outlot A" to the Rainbow Lake
Maintenance Association if parties can work out legal descriptions and conditions. Parties being RMLA
and Outlot A/David Moeller. Brad seconded the motion. The motion was put to vote, however because
of all the confusion, ​inconclusive validity​ of members being able to exercise proxy vote, and members
leaving the meeting in the middle of the vote, the voting for this motion is null.
An Ad Hoc Committee was formed and will explore the legal conditions that would need to be met to
ensure that the interest of RMLA to include its members, property value, and overall natural wildlife and
environment of the Association is protected from any intentional or unintentional negative
consequences as a result of adding this additional property to the Association. Pat Kerrigan, Mary True,
and Jill volunteered.

Election of New Officers:​ During the election of offers the following 9 properties were present:
Lot 24, Lot 25, Lot 6, Lot 7-10, Lot 16, Lot 17 which is 36% exceeding the required 25% quorum.

● Motion #3:​ MayKao made the motion to nominate Terry Carleton as President, Second by Pat,
all approve none oppose. Motion passed.
● Motion #4:​ MayKao made the motion to nominate Jill Howell to be Secretary, Second by Pat, all
approve none oppose. Motion passed.
● Motion #5:​ MayKao made the motion to nominate Brad Champlin as Treasurer, Second by Pat,
all approve none oppose. Motion passed.

Meeting was adjourned (time of meeting ending was not recorded).

Minutes. Please also contact Jill if you would like to serve on the Ad Hoc Committee. This now ends the
term for MayKao Fredericks serving as Secretary.
