Dear Sirs,

1.0 Brahmaputra Cracker and Polymer Limited (hereinafter referred to as “BCPL”), a


Joint Venture Company of GAIL India Ltd. (hereinafter referred to as “GAIL”), OIL India
Ltd. (hereinafter referred to as “OIL”), Numaligarh Refinery Ltd. (hereinafter referred to
as “NRL”) and Government of Assam is setting up a Grass root Petrochemical
Complex (hereinafter referred as “Brahmaputra Petrochemical Complex” or “BPC”)
at Lepetkata in the state of Assam, India.

2.0 As part of the `Brahmaputra Petrochemical Complex Project’ (BPCP), BCPL


(also referred hereafter as `Licensee’) will be setting up a LLDPE / HDPE Swing
Unit based on polymer grade propylene produced from Ethylene Cracker Unit (ECU).

Based on the Basic Design Engineering Packages (BDEP) supplied by Licensor(s),


Licensee intends to go for detailed engineering, procurement, construction and
operation of LLDPE / HDPE Swing Unit with the help of Engineers India Limited, who
are retained as consultants for assisting BCPL for selection of Technology and
providing EPCM services for implementation of this Project.

The purpose of this enquiry package is to obtain firm Techno-Commercial proposals


from the LICENSORS of Polypropylene Technologies for the supply of commercially
proven, state-of-the-are technology know-how / license, Basic Design Engineering
Package ( BDEP ), Catalyst and other related services for evaluation and selection of
their technologies for the proposed Polypropylene Unit.

3.0 SUBMISSION OF BID

3.1 The Bid shall be submitted in the following manner in separately sealed envelopes
duly superscribed :-

a) PART – I : TECHNICAL AND UNPRICED COMMERCIAL PART


b) PART – II : PRICE PART
3.2 PART – I of the bid shall contain the following :

a) Bid/ offer in hard copy as per the requirement of the Bidding Document duly
signed and stamped on each page. Complete in all respects as per Article
2.6.2.1 of Instruction to Bidders.
3.3 PART – II of the bid shall contain the following :

a) PRICED COMMERCIAL PART as per para 2.6.2.2 of Instructions to Bidders.


b) Bidder shall fill price in Schedule of Prices. In this part of bid, the bidder shall
not stipulate any conditions. There shall not be any overwriting.
3.4 A CUT OUT SLIP IS ENCLOSED WITH INSTRUCTION TO BIDDERS FOR
PASTING IT ON THE OUTER ENVELOPE AND INNER ENVELOPES. INCASE OF
EXTENSION OF DEADLINE OF BID SUBMISSION, THE DATE SPECIFIED ON THE
CUTOUT SLIP SHALL BE CHANGED BY THE BIDDER ACCORDINGLY. BIDDER
SHALL NOT CHANGE ANY OTHER DETAILS.

4.0 OWNER takes no responsibility for delay, loss or non-receipt of Bidding


Document/bid sent by post/courier. Telex/Telephonic/Fax/E-mail offers shall not be
accepted.
5.0 Bids not received in EIL office by the due date and time, irrespective of durations by
which the bids are late, shall be rejected and returned to Bidders and representative
of such Bidders shall not be allowed to attend the Bid opening.
6.0 Bidders desirous to view or download the Bidding Document may do so at EIL
website www.indianprocessplants.com. Your user ID is _________ and authorisation
code is 1234.
7.0 In view of tight project schedule, Bidders are requested not to seek any extension in
due date of submission of bids.

Acknowledgement -Cum- Consent Letter attached within five days from the date of receipt of

1.0 BIDDING DOCUMENT, CLARIFICATION AND ADDENDUM


1.1 Bidding Document
Two sets of Bidding Document (Bidding Document also read as “Invitation To Bid” or
“ITB”) marked “Original” and “Bidder’s Copy” comprising following sections are issued
for the purpose of submitting Bid. Any Amendment / Addendum issued in accordance
with clause no. 1.3 hereinafter shall also form the part of Bidding Documents.

Bidder shall submit the copy of Bidding Document marked “Original” alongwith his Bid
and shall retain “Bidder’s Copy” as his reference copy. Bidder shall sign and stamp
each page of “Original” in token of his acceptance.
Bidding Document issued to one Bidder is not transferable to another Bidder.
“Bidder” shall mean the Licensor to whom this ITB has been issued and who have
submitted the Bid for the services described in this ITB document.
1.1.1 Owner
For the purposes of this Bidding Document, ‘Owner’ or ‘Company’ means
Brahmaputra Cracker and Polymer Limited (BCPL), a company incorporated
under the Companies Act, 1956 and a joint venture of GAIL India Ltd., OIL India Ltd.,
Numaligarh Refinery Ltd. and Government of Assam having its registered office at
Hotel Brahmaputra Ashok, M.G. Road, Guwahati, Assam, India.
1.2 Clarification Requests by Bidder
Bidder shall examine the Bidding Document thoroughly in all respects and if any
conflict, discrepancy, error or omission is observed, Bidder may request clarification
at any time but within 10 (Ten) days prior to the Bid Due Date. Such clarification
requests shall be addressed to AGM (C & P), EIL, New Delhi, at the address given at
clause no. 3.2 below. Any failure by Bidder to comply with the aforesaid requirement
shall not absolve the Bidder of his responsibility, after subsequent award of contract,
of performing in accordance with the agreement.
1.3 Amendment of Bidding Document
Owner/EIL may, for any reason either at their own initiative or in response to the
clarification requested by prospective Bidders, issue amendment in the form of
Addendum/Amendment during the Bidding period or subsequent to receiving the Bids.
Any Addendum thus issued shall become part of Bidding Document and Bidder shall
submit `Original' Addendum duly signed and stamped in token of his acceptance. If
Addendum is issued during the Bidding period, Bidder shall consider the impact in his
Bid. If Addendum is issued subsequent to receiving the Bids, Bidder shall follow the

instructions issued along with Addendum with regard to submission of impact on


quoted price / revised price, if any.
1.4 Confidentiality of Document
Bidder shall treat the Bidding Document and contents thereof as confidential.
1.5 Acknowledgement and Confirmation to Bid
Bidder shall acknowledge receipt and confirm his intention to Bid for the work as per
Annexure - 1 to ITB within 7 days of receipt of Bidding Document.
2.0 PREPARATION OF BIDS
2.1 Bid Validity
Bid shall remain valid for acceptance for a period of 8 (Eight) months from the due
date of submission of the Bid. During the said period, the Bidder shall not revoke or
cancel his Bid or vary the Bid except and to the extent required by Owner/EIL in
writing. Bid shall be revalidated for extended period when required by Owner/EIL in
writing. In such cases, unless otherwise specified, it shall be understood that validity
is sought and provided without varying either the quoted price or any other terms and
conditions of the Bid finalised till that time.
2.2 Cost of Bidding
All direct and indirect costs associated with the preparation and submission of Bid
(including clarification meetings and visits by Bidder to Owner/EIL offices or to
licensee locations, if any) shall be to Bidder’s account. Owner/EIL will in no case be
responsible or liable for those costs, regardless of the conduct or outcome of the
Bidding process.
2.3 Language of Bid
The Bid and all correspondence incidental to and concerning the Bid shall be in the
English Language only. Documents and literature in any other language shall be
accompanied by an accurate English translation. Bidder shall be responsible for
accuracy of translation. In case of discrepancy, the English version shall govern.
2.4 Arrangement of Bid
The Bid shall be neatly arranged, and printed on white paper with consecutively
numbered pages. The Bid and all details submitted by the Bidder subsequently shall
be signed and stamped on each page by a person, legally authorised to enter into
agreement on behalf of the Bidder. The same person shall also sign corrections and
alterations, if any. Bidder shall submit Power of Attorney in favour of the person who
signs the Bid and subsequent submissions on behalf of the Bidder.
2.5 Schedule of Prices
The Schedule of Prices shall be read in conjunction with all other sections of the
Bidding Document.
The Prices quoted by the Bidder shall be firm and fixed for the completion period of
the offered services and supplies, unless stated otherwise.
Rates/amount must be filled in format for `Schedule of Prices ' enclosed as part of
Bidding Document.
Bidder shall quote all the items of Schedule of Prices after careful analysis of cost
involved for the performance of the completed item considering all parts of the Bidding
Document. In case any activity is specifically not covered in description of item under
`Schedule of Prices' but is required to complete the work as specified elsewhere in

the Bidding Document, then the quoted prices for the item shall be deemed to be
inclusive of cost incurred for such activity and no claims whatsoever on this account
shall be entertained by Owner.
Bidder shall quote prices for services and materials to be imported into India either in
US Dollars/Euro or in the currency of Bidder’s home country only. For services and
materials to be procured from India, for which the Bidder’s source of Bidder shall
quote prices IN INDIAN RUPEES ONLY. Currency once quoted shall not be permitted
to be changed. Bidder shall quote prices both in figures as well as in words.
2.6 Documents Comprising the Bid
2.6.1 Bidder is advised that Owner/EIL intend to fully evaluate the technical and unpriced
commercial submissions. It is important that Bidder clearly demonstrates his
experience and capability, giving Owner/EIL a high level of confidence about the
technology being licensed and also that if awarded, the Bidder will be able to perform
within the stipulated Time Schedule and quoted price and meeting all other
requirements listed in the Bidding Document. Bidder is requested to furnish complete
and correct information required for evaluation of his Bid.
2.6.2 Bidder shall arrange his Bid in the following order:
2.6.2.1 Part-I - Technical and Unpriced Commercial part
Technical and unpriced commercial part shall comprise the attachments, specifying
attachment number arranged in the order as follows:
1. Submission of Bid letter along with one set of Bidding Document marked
“Original” duly signed and stamped on each page, in token of acceptanc
2. Power of Attorney in favour of authorised signatory of the Bid .
3. Compliance to Bid requirements or Exception and Deviation Statement as per
Annexure-2 to ITB.
4. Commercial Questionnaire duly filled in as per Annexure-3 to ITB.
5. Contents of price Bid without any prices (prices shall be replaced by the word
“QUOTED” or “NOT QUOTED” as the case may be).
6. Validity of Bid as per requirement indicated under clause no. 2.1 above.
7. Technical offer and Engineering details, containing the information required as
per technical specification in Bidding Document.
8. Bidding Document marked “Original” duly signed and stamped on each page
in token of his acceptance.
2.6.2.2 Part-II - Priced Commercial Part
Priced commercial part shall contain Schedule of Prices duly filled in.
No stipulation, deviation, terms or conditions, presumptions, basis etc. shall be
indicated in Price part of the Bid. In case any stipulation, deviation, terms or
conditions, presumptions, basis etc. are indicated in the Priced Bid, these shall be
considered null and void and may render the Bid liable for rejection if these are not
withdrawn by the Bidder.
3.0 SUBMISSION OF BID
3.1 Submission in Two Separate Envelopes
`Technical and Unpriced Commercial Bid’ and `Priced Commercial Bid’ must be
submitted in two separate sealed envelopes as follows:

This part shall contain technical and unpriced commercial bid.
This envelope shall comprise the original signed copy of Bidding Document, addenda
(if any), and the information listed for submission under clause no. 2.6.2.1 above.
The envelope shall have the CUT OUT SLIP attached as Annexure-4 to ITB, pasted
on the outside of the envelope, failing which Owner/EIL will assume no responsibility
for the misplacement or premature opening of the Bid.
This part of Bid will be submitted in one Original + 5 copies.
PART -II - SEALED PRICED COMMERCIAL BID
This part of the Bid shall contain the “Schedule of Prices” duly filled in and other
information specifically requested for submission in priced part under clause no.
2.6.2.2 above. The envelope shall have the CUT OUT SLIP attached as Annexure-5
to ITB, pasted on the outside of the envelope, failing which Owner/EIL will assume no
responsibility for the misplacement or premature opening of the Bid.
This part of Bid will be submitted in one Original + 1 copy .
3.2 Date, Time & Place of Submission
Bid must be submitted by the due date and time mentioned in the Letter Inviting Bid or
any extension thereof as duly notified in writing by EIL, at the following address:

4.0 BID OPENING AND EVALUATION


4.1 Clarification & Additional Information
During evaluation, Owner/EIL may request Bidder for any clarification on the Bid,
additional or outstanding documents. Bidder shall submit all additional documents in
one original and four copies.
4.2 Techno-Commercial Discussions
Techno-commercial discussions with Bidder shall be arranged, if needed. Bidder
shall depute his authorised representative(s) for attending the discussions at EIL
office, in New Delhi, India.The representative(s) attending the discussions shall
produce authorisation from Bidder to attend the discussions and sign the minutes of
meeting on behalf of Bidder. The authorised representatives must be competent and
empowered to settle all technical and commercial issues with the exception of Price
implications, where applicable.
4.3 Bid Evaluation Criteria

4.3.1 Technical Evaluation Criteria


The technical acceptability criteria shall be as stated in Technical Specifications.
4.3.2 Techno-Commercial Evaluation Criteria
The techno- commercial part of the Bid shall be evaluated considering factors
indicated in Economical Evaluation Criteria in Technical Section including operating
cost, capital cost, license fee, BDEP fee, Net Present Value etc. as per the following
criteria:
(a) The agencies who are considered technically and commercially acceptable,
on the basis of details furnished alongwith offer, shall be considered for price
opening. Technical Acceptability shall be ascertained in accordance with
requirements mentioned inTechnical part.
Commercial Acceptability shall be ascertained in accordance with Bidder’s
Compliance to Commercial Terms and Conditions (CTC).
(b) Economic evaluation of the bids will then be carried out by calculating Net
Present value (NPV) for an operating life of 15 years with 5% salvage value
from the year of commissioning at a discount rate of 12% by taking into
account the estimated total installed cost (ascertained by Owner/EIL)
including license/engineering fees and first fill of catalysts/chemicals and cost
of proprietary items, if any as per Licensor’s price. The operating cost will be
based on the catalysts/chemicals and utility consumption data proposed by
the licensor. Feed stock costs, product revenues and others will be owner’s
data. The licensor with the highest NPV will be selected for award.
4.4 Evaluation of Price Bid
4.4.1 The prices quoted by the Bidder shall be checked for arithmetic errors based on
prices filled in by the Bidder in the formats issued. If some discrepancies are found
between the prices quoted in words and figures, the total amount indicated in words
shall be taken into consideration.
Price submitted by the Licensor shall be taken into consideration while computing Net
Present Value.
4.4.2 The foreign component of the Bidder’s prices shall be quoted either in US
Dollars/Euro or in the currency of Bidder’s home country and the Indian component in
Indian Rupees only.
4.4.3 To facilitate evaluation and comparison of prices, all Bid prices shall be converted in
to Indian Rupees based on the TT Selling Exchange Rate of US Dollar/Euro ( or
foreign currency quoted by the Bidder ) declared by State Bank of India, New Delhi
prevailing on the date of opening of Price Bids.
4.5 Process to be confidential
Information related to the examination, clarification, evaluation and comparison of Bids
and recommendations for award of contract shall not be disclosed to Bidder or other
person not officially concerned with such process. Any effort by Bidder to influence
the Owner's/ EIL's processing of Bidding or award decisions may result in rejection of
such Bidder’s Bid.
4.6 Owner’s Right to accept or Reject a Bid
Owner reserves the right to accept a Bid other than the lowest and to accept or reject
any Bid in whole or in part, or to annul the Bidding process or to reject all Bids with or
without notice or reasons. Such decisions by Owner shall bear no liability whatsoever
consequent upon such decisions.

5.0 AWARD OF WORK AND CONTRACT DOCUMENT


5.1 Award of Work
The Bidder, whose Bid is accepted by Owner, shall be issued a Letter/Fax of Intent
prior to expiry of Bid validity. Bidder shall confirm acknowledgement by returning a
signed copy of the same.
Owner/EIL shall not be obliged to furnish any information/ clarification/explanation to
the unsuccessful Bidders regarding non-acceptance of their Bids. Owner/EIL shall
correspond only with the successful Bidder.
5.2 Contract Document
The successful Bidder shall be required to execute a formal agreement within
specified period.

ART I CL E 1 – DE F I NI T I ONS

1.1 "Process Technology" shall mean data, experience and know-how, patented and
unpatented, related to the Plant, which Licensor owns, controls or has access to on
the date of this Agreement.

1.2 "Licensed Territory" shall mean India.

1.3 "Owner's Plant" shall mean the first plant constructed by or for Owner in the Licensed
Territory by means of the Process Technology which plant shall have a Rated Design
Capacity.

1.4 "Mechanical Completion" shall mean the date when the plant is ready for pre-
commissioning and activities like hydrostatic testing, wiring tests, calibration of
instruments and electrical motor rotation tests have been executed.

1.5 “Start-up” shall mean the initial operation of the plant upon the introduction of
Guarantee feed stock charge into the plant after Mechanical completion.

1.6 "Owner's Contractor(s)" shall mean such engineering firm/construction/EPC firm or


firms, companies, individuals etc. selected by Owner for work on Owner's Plant or
requested by Owner to bid for such work.

1.7 "Manday” shall mean any calendar day or part thereof, during which a Licensor
representative shall be engaged in work performed for Owner including travelling time.

1.8 "Kick-off Meeting" shall mean the meeting between Licensor and Owner and with or
without Owner's Consultant(s) as Owner may determine to establish and agree on
certain typical basic design criteria to be used in the design of Owner's Plant in
addition to or modification of the Design Basis set forth in Technical Specification
hereof, and to establish the process boundaries of Owner's Plant for the purposes of
Licensor's design.

1.9 The term "Basic Design Engineering Package" or BDEP for the Plant shall mean
such design and engineering as set forth in more detail in Technical Specification.

1.10 ‘OWNER’ for the purposes of this Invitation to Bid (ITB) document, ‘Owner’ or
‘Company’ means Brahmaputra Cracker and Polymer Limited (BCPL), a company
incorporated under the Companies Act, 1956 and a joint venture of GAIL India Ltd.,
OIL India Ltd., Numaligarh Refinery Ltd. and Government of Assam having its
registered office at Hotel Brahmaputra Ashok, M.G. Road, Guwahati, Assam, India.

ARTICLE 2 - SCOPE OF WORK

The Licensors scope of work is mentioned under the Techinical Specifications. In general,
following Agreements shall be entered between the Owner and Licensor for covering the
Scope of work, Licensor’s Scope shall provide all the services as mentioned under the
Technical Specifications, notwithstanding that such services are not covered under these
Agreements, it being expressly understood that these Agreements are for the purpose of
ease and convenience of executing the total scope mentioned in the Technical Specification
and other terms/conditions mentioned under Commercial Terms and Conditions;as set forth
here below:

a. License Agreement comprising of granting to Owner a non-exclusive, irrevocable,


non-transferable right to use the technical information and a non-exclusive,
irrevocable license under Licensors patent rights, for the operation of the Process in
the plant, for making or having made for its own use in so carrying out the Process
any apparatus necessary therefor and for the use and sale of the products so
produced from the plant in any country of the world.

b. Engineering Agreement comprising of preparation and handing over of a BDEP for the
Unit as per the agreed scope of work. Licensor shall also provide additional services
such as training to Owners personnel, assistance during detailed engineering,
construction, pre-commissioning, start-up and performance run tests under the terms
and conditions/provisions of the Agreement.

c. Catalyst and Co Catalyst & Additive supply Agreement comprising of supply of first
charge of catalysts required for operation of plant on FOB basis (Incoterms 2000).

d. Guarantee and Liability Agreement.


The above Agreements shall be prepared on the basis of terms and conditions
mentioned in the Bidding Document, modified only to the extent as agreed by Owner
before award of work. Any Amendment of Bidding Document, either of Technical
Specifications or Commercial Terms & Conditions (CTC), or any part; shall form part
of Bidding Document.
The Licensor shall provide all the deliverables as per the Time Schedule specified in
Appendix-A.

ARTICLE 3 – CONTRACT PRICE

3.1 As full and complete consideration, payment and compensation to Licensor for
performance of all Services and fulfilment of all Licensor’s obligations under this
Contract, according to the Technical Specifications and CTC, Owner shall pay
Licensor the Contract Price stated in Schedule of Prices. The LUMP SUM PRICE AS
PER SCHEDULE OF PRICES - FORM A shall be considered as Contract Price/
Contract Compensation, which Owner agrees to pay and the Licensor agrees to
accept as full compensation for the Licensor’s full performance of the Work in
accordance with the provisions of the Contract Documents. Contract Price shall not
be subjected to any adjustment except in case of Change Order or statutory
variations or price escalations as identified in the Bidding Document and shall be
payable in accordance with the provisions of the Contract.

ARTICLE 4 – TAXES/CHARGES

4.1 All fees/costs shall be inclusive of all non-Indian taxes. Licensors from countries
having a double taxation treaty with India shall confirm that withholding tax can be
deducted by Owner for payment to Govt. of India from the total amount payable to the
Licensor. All relevant documents for the above payment shall be provided to the
Licensor.

In above case the relevant clauses of the Agreement shall be as under:

“In view of the double taxation treaty between the Government of


______________________ and the Government of India, Licensor hereby authorizes
Owner to deduct from each payment made to Licensor and pay on behalf of Licensor
the withholding tax which Owner is lawfully required to withhold and pay to the
Government of India under the double taxation treaty between the Government of India
and the Govt. of _________________, in effect as of the Effective Date of this
Agreement.

Licensor(s) are requested to confirm that withholding tax as applicable shall be


deducted by Owner for Licensor(s) from those countries also who do not have double
taxatation treaty with India.

All other taxes other than the aforesaid withholding tax, assessments and other
charges assessed or imposed by the Government of India or any other Government
authority in India which Owner, Licensor’s personnel or any third party is required to
pay in connection with such charges or with respect to this Agreement or any goods
or services provided by Licensor under this Agreement shall be borne by Owner.

Thus the full consideration actually receivable by and due and payable to Licensor
shall be the payments agreed upon hereto less the amount paid for and/or withheld in
respect of the aforesaid withholding tax.”

Owner shall furnish to Licensor the following tax certificates in respect of any
payments made under this Agreement.

ARTICLE 5 - PAYMENT SCHEDULE

5.1 LICENCE FEE/BASIC DESIGN ENGINEERING PACKAGE FEE

Owner shall pay progressive payments against the lump sum price in accordance
with following terms:

LICENCE FEE

§ 10% upon signing of Agreement, submission of initial process flow diagram


and submission of Contract Performance Guarantee.

§ 15% upon submission of heat and material balance and final process flow
diagram.

§ 25% upon Mechanical Completion of the Unit.

§ 25% upon successful Commissioning of the Unit

§ 25% upon seccessful Performance Guarantee Run

§ 10% upon submission of initial process flow diagram and submission of


Contract Performance Guarantee.

§ 20% upon submission of heat and material balance and final process flow
diagrams (PFD’s).

§ 20% upon submission of Piping & Instrumentation diagrams (P&ID’s).

§ 30% upon acceptance of BDEP by Owner.

§ 10% on acceptance of operation manual by Owner

§ 10% upon compeletion of successful of Performance Test Run of the plant.

Payment for License Fee and BDEP Fee shall be made by Telegraphic/ Wire
Transfer.
5.2 PAYMENT FOR TRAINING OF LICENSEE’S / OWNER’S PERSONNEL

Payment for training Licensee's / Owner’s personnel:

• Classroom training: - 100% of fee upon completion of training.

• Site training: - 100% of fee upon completion of training.


5.3 SUPPLY OF CATALYST, CO CATALYSTS AND OTHER MATERIALS

100% of the Catalyst price and prices of Proprietary Equipments through Letter of
Credit on presentation of invoice and usual shipping documents and upon receipt by
Owner of a Performance Bank Guarantee having a value of 10 % of the Catalyst price
and price of Proprietary Equipments. The BG shall be submitted in Owners format.
The Letter of Credit shall be opened at least four months prior to FOB delivery date.
5.4 Bank Guarantee for Contract Performance Guarantee shall be for an amount
equivalent to 10% of Total Lumpsum Price for Licence Fee and BDEP Fee. First
payment to the Licensor (either for Licence Fee or BDEP Fee) shall be made only
after submission of Contract Performance Bank Guarantee. The Bank Guarantee
shall be in a proforma approved by Owner.
5.5 OTHER SERVICES

Invoicing to be done after completion of services with only one invoice per month.
5.6 TIME OF PAYMENT

Within Sixty (60) days after receipt of each correctly prepared invoice submitted by
Licensor pursuant to this Contract, Owner will pay Licensor the invoiced amount
properly due and payable through wire transfer. Payment of each invoiced amount
shall constitute full and complete consideration for performance of that part of the
Services covered by the invoice.

ARTICLE 6 - PERFORMANCE OF SERVICES

6.1 The Licensor shall exercise all reasonable skill, care and diligence in the performance
of the Services and such performance shall be in accordance with the terms and
conditions of the Contract, with sound engineering principles and practices and to a
standard compatible with the internationally recognised engineering standard.

6.2 Except as may be expressly provided elsewhere in the Contract, the acceptance or
approval by Owner of any recommendation made by the Licensor shall not in any way
relieve the Licensor of his full responsibility for the adequacy thereof.

6.3 The Licensor shall provide all necessary personnel, equipment if applicable, and
facilities for the satisfactory Performance of the Services.

ARTICLE 7 - BANK GUARANTEE

7.1 Within fourteen (14) days of the date of the Contract coming into force, Licensor shall
obtain and provide an irrevocable Performance Bank Guarantee, in the amounts as
per the payment terms. Licensor shall effect such bond through a Nationalised/
Schduled Indian Bank or an Indian Branch of Foreign Bank on a stamp paper of value
INR 100/- (Indian Rupees one hundred only) and in a format given by Owner.
Licensor shall furnish such bond to Owner prior to commencement of any Services.
In no event, however, shall Owner be obliged to make payments to Licensor under
this Contract prior to receipt of the bank guarantee, duly signed. The bank guarantee
shall remain valid throughout performance of the Services and until fulfilment of
Licensor's obligation set forth in this Contract i.e. up to successful completion of the
performance test run of the plant. Upon written request of Owner, Licensor shall
promptly effect such changes in the amount of, or the validity period of, the bank
guarantee as may be required due to changes covered by Variation Orders or
amendments.

ARTICLE 8 – GUARANTEES

8.1 The Licensor shall confirm process guarantee and liabilities for the non-performance
of process, which the Licensor is prepared to offer.

Licensor to guarantee that the work as specified and described in the contract, and
the technical documents to be developed shall be in accordance with sound and
established engineering practices, using the latest International Standards and Indian
Codes and Regulations, wherever applicable, for the purpose specified, free from
defects and suitable for respective uses intended.

In the event of faulty design/engineering i.e. error or omission in the job performed by
Licensor, the Licensor to agree to furnish corrective technical studies and engineering
as may be required without any additional cost to Owner within a mutually agreed time
frame, which shall be arrived at within 15 days from the date of request from Owner,
failing which, the Licensor shall be liable to refund the payment already received from
Owner together with interest at the rate of 12% per annum applicable from the date of
payment by Owner.

ARTICLE 9 - RESPONSIBILITIES AND LIABILITIES

9.1 RESPONSIBILITIES

9.1.1 Licensor shall give guarantee for performance of the Unit and the liabilities for any
shortfalls from the guarantee parameters will be as per Article 9.2 below.

9.1.2 The time of completion for preparation of BDEP shall be 24 weeks (as mentioned in
Clause No. 4.3 of Technical Specifications) from the finalisation of design basis. In
case the LICENSOR fails to complete the BDEP within the stipulated period, then
unless such failure is due to to Force majeure or due to LICENSEE’s defaults, the
total price of BDEP shall be reduced by ½ % (half percent) per complete week of
delay or part there of subject to to 5%(five percent) of total price of BDEP. The said
amount will be recovered from amount due to the LICENSOR.

In the event of delay on the part of Licensor for effecting the delivery of Catalysts and
any Proprietory Items as agreed contractually, it will be at Owner’s discretion to levy a
reduction in price for the delayed deliveries at the rate of 1/2 % (half percent) of the
total order value of the Catalysts/Proprietory Items per week of the delay or part
thereof, subject to a maximum of 5% (five percent) of the total order value of the
Catalysts/Proprietory Items.

9.1.3 PATENT INFRINGMENT

Licensor shall, at all times, indemnify and hold harmless Owner and Owner's
Associate Companies from all liabilities, costs, damages and expenses arising out of
any claims, actions or suits brought against Owner by third parties, or any related
claims thereof, in respect of any actual or alleged infringement of any Patent Rights or
registered design or any similar rights resulting from the use of the subject
Technology or Technical Information or any improvements thereof provided by
Licensor to Owner. Upon Owner's prompt notification to Licensor in writing of any
such claims actions or suits upon such notice, or upon Licensor otherwise coming to
know of such claims, actions or suits, Licensor shall, at its own expense, conduct,
defend or dispose of, including settling of such claims, actions or suits on its own
behalf and on behalf of Owner and Owner's Associate Company and are obliged to
follow all instructions from Owner in this respect.

9.1.4 REIMBURSEMENT OF CERTAIN COSTS

Licensor will reimburse Owner for the total costs of making additions, alterations or
replacements to correct Owner's Plant due to faulty design information and services
furnished and rendered by Licensor in addition to the following :

i) Rectification of defects in Licensor Services to be provided by Licensor


without limitations.

iii) As per Article 9.1.3

iii) The above liabilities shall be unlimited, without qualifications and not
subject to any restrictions.

9.1.5 In no event shall Licensor be responsible for defects arising from corrosion or
erosion, defective material or equipment not supplied by Licensor, deficient
engineering and design work furnished by others, improper operation and

maintenance by Owner whether arising in contract, tort (including negligence) or


otherwise.

9.1.6 All liability of Licensor and its Affiliates, as to certain or all Performance Guarantees,
shall terminate upon occurrence of any of the events set forth below:

a) Such Performance Guarantees as have been satisfied as determined by the


results of a successful Performance Test Run as herein provided or

b) Owner's notification to Licensor in writing of its decision not to conduct a


Performance Test Run; or

c) Licensor has paid Owner for remedial measures and paid liquidated damages
as set forth in this Article 9 for failure to meet such performance guarantees.

9.2 PROCESS GUARANTEES AND LIABILITIES

The provisions of Performance Guarantee, including the associated liabilities thereof


shall be, as described in the Technical Section enclosed elsewhere in the Bidding
Document.

ARTICL E 10 – TECHNICAL INFORMATION

10.1 LICENSOR TECHNICAL INFORMATION appearing in Licensing Agreement:

(i) The LICENSOR Technical Information will remain LICENSOR's property.


LICENSEE will use the LICENSOR Technical Information only for the
Permitted Activities, with the understanding that the operation of the Unit is
subject to the provisions of the License Agreement, if any.

(ii) LICENSEE will limit copying of the LICENSOR Technical Information to that
which is necessary for the Permitted Activities.

(iii) LICENSEE will prevent disclosure of the LICENSOR Technical Information to


others. Within LICENSEE’s organization, LICENSEE will limit access to the
LICENSOR Technical Information to those of LICENSEE’s employees who
need access for the Permitted Activities.

(iv) The restrictions on use and disclosure in this Agreement shall not apply to any
of the LICENSOR Technical Information:

a) which was developed by LICENSEE and or was in LICENSEE's


possession before LICENSEE's receipt of the LICENSOR Technical
Information under this Agreement;

b) which was in the public domain before LICENSEE 's receipt of the
LICENSOR Technical Information under this Agreement, or which
subsequently enters the public domain through no act or omission by
LICENSEE ;

c) which has been rightfully furnished to LICENSEE by a third party


without restrictions on use or disclosure; or

d) which has been independently developed by LICENSEE’s employees


who have not had access to or who have not been informed of the
substance of the LICENSOR Technical Information, as demonstrated
by LICENSEE’s contemporaneous written records.

(v) Despite the restrictions on disclosure in this Agreement, but only to the extent
necessary for the Permitted Activities, LICENSEE may disclose the
LICENSOR Technical Information:

a) to a third party such as a vendor of commodity equipment or materials


or a supplier of construction labor, who will receive only a minor,
non-critical portion of the LICENSOR Technical Information and who
has signed an agreement with LICENSEE or LICENSOR containing
restrictions on use, copying and disclosure which are at least equal to
those in this Article; or

b) to any other third party, including any detailed design contractor, any
fabricator of special equipment or EPC Contractor or any vendor of
catalysts or adsorbents, who has signed an Agreement with
LICENSOR containing appropriate restrictions on use, copying and
disclosure. or

c) to the Government of India and other statutory authorities from whom


LICENSEE has to obtain approvals for the purpose of obtaining the
approvals required for the installation of the Unit, provided :

• the disclosures are limited to those which are necessary for


obtaining such approvals;

• the disclosures are made in writing, or promptly reduced to


writing if made orally; and

• LICENSEE will take all necessary steps to ensure that the


Government of India is aware of the confidentiality of the
information disclosed to them.

ARTICLE 11 - TERMINATION

11.1 APPLICABLE FOR LICENSING AGREEMENT

11.1.1 LICENSEE may terminate this Agreement at any time after ten (10) years from the
Commencement Date, provided LICENSEE has first acquired a fully paid license for
the Unit. LICENSEE shall notify LICENSOR, in writing, of the Commencement Date
within thirty (30) days thereafter. LICENSOR may terminate this Agreement at any
time after ten (10) years from the Commencement Date. In each case, termination
shall be effected by at least six (6) months prior written notice.

11.1.2 After termination, neither party shall have any further rights or obligations under this
Agreement except (i) LICENSEE shall remain liable for any royalties accrued prior to
termination, (ii) the restrictions on use, duplication and disclosure of Technical
Information under this Agreement shall remain in effect, and (iii) after termination
under this Article , LICENSEE's rights under this Agreement to use the licensed
technology for operating the plant till it is operable by LICENSEE and the right to use

LICENSOR's Technical Information under this Agreement shall remain in effect to the
extent of fully paid license(s) acquired by LICENSEE in accordance with payment
terms.

11.2 APPLICABLE FOR ENGINEERING AGREEMENT

This Agreement will terminate one year after the conduct of a successful guarantee
test run pursuant to the Guarantee Agreement, but in no event later than five years
after the date of this Agreement. After termination, neither party will have any further
rights or obligations under this Agreement except:

a. LICENSEE will remain liable under this Agreement for (Payments) for any
payments accrued prior to termination, and

b. the provisions of Articles (LICENSOR Technical Information) and the liability


limitations in Article (Responsibility and Liability) will remain in effect.

11.3 Should Owner deem it necessary to do so, Owner may at any time, terminate the
contract forthwith by a written notice to Licensor. Owner may also terminate the
contract if the Licensor makes any delay or default in its part under the provisions of
the contract and such delay or default continues un-reminded for a period of fifteen
days after written notice thereof given to Licensor by Owner. Such notice shall
specify the effective date of termination. If the termination is effected due to any delay
or default of Licensor, the said termination shall be at the risk and cost of Licensor
and Licensor shall not have any right to raise any claim against Owner. The decision
of Owner regarding any such delay or default shall be final and binding on both
parties.

Termination of the contract shall not relieve either party of their obligations imposed by
the contract with respect to the work performed by either party prior to such
termination provided that Owner shall have absolutely no obligations as per the
contract in case the termination is effected due to delay or default of Licensor.

ARTICLE 12 - INSURANCE

12.1 LICENSOR will, at its expense, place workers compensation insurance or such other
similar insurance to cover any claim that may be made by personnel furnished by
LICENSOR hereunder alleging bodily injuries sustained by them or death as a result
of or in connection with the performance of this Agreement and will hold LICENSEE
and its employees and representatives harmless from any and all of such claims.
LICENSOR's insurance policy shall include a waiver clause as to any insurer's action
against LICENSEE, its employees and representatives.

12.2 LICENSEE will, at its expense, place workers compensation insurance or such other
similar insurance to cover any claim that may be made by LICENSEE’s employees
and representatives alleging bodily injuries sustained by them or death as a result
of or in connection with the performance of this Agreement and will hold LICENSOR
and its subsidiaries harmless from any and all of such claims. LICENSEE’s
insurance policy shall include a waiver clause as to any insurer's action against
LICENSOR or its subsidiaries.

12.3 LICENSEE shall take out and maintain, or cause its contractor to take out and
maintain, at its own expense, an adequate all risks insurance policy including third

parties liabilities to cover any loss or damage to the Unit and other properties of
LICENSEE or of third parties at Lepitkata, Assam India, during the construction,
commissioning, start-up and operation of the Unit. Such insurance policy shall include
LICENSOR and its subsidiaries as additional insureds.

12.4 Except as specified above, each party waives all claims for recovery from the other
party for any bodily injury (including death) to any of its personnel or any loss of or
damage to any of its property.

ARTICLE 13 - FORCE MAJEURE

13.1 In the event of either Party being rendered unable by Force Majeure to perform any
obligations required to be performed by them under the Contract, the relative
obligation of the Party affected by such Force majeure shall upon notification to the
other Party be suspended for the period during which such Force Majeure event lasts.
The cost and loss sustained by the either Party shall be borne by the respective
Parties.

The term ”Force Majeure” as employed herein shall mean acts of God, earthquake,
war(declared or undeclared) riots, fires, floods, rebellions, explosives, hurricane,
sabotage, civil commotion, and acts & regulations of respective Government of the
two Parties, namely the LICENSEE and LICENSOR.

Upon the occurrence of such cause(s) and upon its termination, the Party alleging
that it has been rendered unable as aforesaid, shall notify in writing immediately but
not later than 72(seventy two) hours of the alleged beginning and ending thereof giving
full particulars and satisfactory evidence in support of its claim.

Time for performance of the relative obligation suspended by the Force Majeure shall
then stand extended by the period for which such cause lasts.

ARTICLE 14 - DISPUTES

14.1 GENERAL
Any dispute or difference of any kind whatsoever between Owner and Licensor arising
under, out of or in connection with this Agreement shall be settled in accordance with
the provisions of this ARTICLE.
14.2 NOTICE
Each party shall notify the other in writing when it considers a dispute or difference
has arisen and which it wishes to refer to the other Party for amicable settlement
pursuant to Article 14.3, and to arbitration pursuant to Article 14.4 in the event that
amicable settlement is not reached. Such notice shall contain sufficient information
as to the dispute or difference to enable the other Party to be fully informed as to the
nature of the dispute, the amount of any monetary claim and the length of any
extension of time claimed.
14.3 AMICABLE SETTLEMENT
Where notice of dispute or difference has been given under Article 14.2, the Parties
shall attempt to settle such dispute amicably before commencement of arbitration
provided that, unless the Parties agree otherwise, such dispute may be referred to
Arbitration, subject to and in accordance with Article 14.4 on or after the sixtieth day

after the day on which notice of dispute or difference was given, attempt for amicable
settlement has been made.
14.4 ARBITRATION
14.4.1 Any dispute that may arise under or in relation to this Agreement shall be referred to
arbitration, unless Agreement in writing has been reached between the parties sixty
(60) days after the date of issue of Notice Pursuant to Article 14.2 and the attempt has
been made sincerely by both Parties in line with Article 14.3 for the Amicable
Settlement of the disputes. The parties agree that Issue of any Notices in reference to
such arbitration at their addresses as given in this Agreement shall be valid and
sufficient.
14.4.2 The arbitration proceedings shall be governed by and conducted in accordance with
the Arbitration and Conciliation Act 1996 as in force in India or the Law on Arbitration
adopted by the United Nations Commission on International Trade Law as of the date
hereof (except with respect to any fee provisions), hereinafter referred to as the
"UNCITRAL Rules". Indian law shall govern such proceedings in those instances
where the UNCITRAL Rules are silent.
14.4.3 The arbitration tribunal shall consist of either a sole arbitrator with the mutual consent
of both the parties or two separate arbitrators. In the event two arbitrators are to be
appointed each party shall nominate an arbitrator in accordance with the UNCITRAL
Rules. Should either party fail to nominate his arbitrator within thirty (30) days after
nomination of the other party's arbitrator, then upon the written request of such other
party, an arbitrator will be appointed through the High Court situated in the state of
Assam or the Supreme Court of India shall appoint an arbitrator. The arbitrators shall
have a command of the English language and shall not be affiliated in any way with
either party hereunder or any branch, parent or Subsidiary thereof. The arbitration
tribunal, including all staff, all witnesses, and attending non-parties, shall be legally
bound by Agreements and/or orders to prevent the disclosure of LICENSOR
Technical Information which may be disclosed to them in connection with arbitration
proceedings conducted hereunder.
14.4.4 All arbitration proceedings shall take place in New Delhi, INDIA. All documentation
and oral proceedings shall be conducted in the English language. Each party shall
have the right through power of subpoena to require the production of documents and
confront and cross-examine witnesses, and all evidence shall be given by the parties
and their witnesses on oath or affirmation. Furthermore, each party hereto shall have
the right to have all necessary parties joined during any arbitration proceeding
hereunder.
14.4.5 Any award of the arbitration tribunal shall include the reasons for such award.
Monetary awards shall be made in US dollars or in the quoted currency.
14.4.6 The two arbitrators, in case of there being no unanimity on decision, may appoint a
third arbitrator. The parties agree to bear only the expenses at the venue and those of
the third arbitrator on an equal basis. All other expenses the parties may incur which
are connected with the arbitration including the cost and expenses of their respective
arbitrators shall be borne by the respective party and shall not be a claim in the
arbitration.
14.4.7 Arbitration shall proceed after issue of Certificate of Acceptance which would be
issued only after completion of all services by the LICENSOR according the Scope
covered under the technical part.
14.5 INTERIM ARBITRATION

Arbitration may commence prior to issue of the Certificate of Acceptance of the Work
in any of the following circumstances:
a) Where a dispute or difference is finally settled pursuant to Article 14.3, either
party may, if the other party fails to comply with such settlement, refer such
failure itself to arbitration under Article 14.4,
b) If the dispute or difference relates to the entitlement of Licensor to issue the
Certificate of Acceptance of the Work, or
c) If this Agreement is terminated.
14.6 CONTINUATION OF WORK
Unless this Agreement has already been terminated, Licensor shall continue with the
Work with all due diligence during the process of amicable settlement and arbitration.

ARTICLE 15 - GOVERNING LAW & JURISDICTION

15.1 The contract signed between Owner and the Licensor shall be governed by and
construed according to the Laws in force in India. Subject to Arbitration, the parties
hereto hereby agreed to submit to the jurisdiction of the Courts situated at Guwahati
in the state of Assam, India for the purpose of actions and proceedings arising out of
the contract and the Courts at Guwahati in the state of Assam, India only will have
the jurisdiction to hear and decide such actions and proceedings.

ARTICLE 16 - NO WAIVER OF RIGHTS

16.1 A waiver on the part of either party of any terms, provisions or conditions of this
contract shall not constitute a precedent, nor bind either party to a waiver of any
succeeding breach of the same, of any other terms, provisions for conditions of this
contract.

ARTICLE 17 - SAFETY

17.1 The Licensor shall observe and abide by all safety regulations of Owner during the
course of performance of the work at Owner’s Petrochemical Complex, at Lepitkata,
in the state of Assam, India.

ARTICLE 18 –
EXCLUSION OF GOVERNMENT OF INDIA’S LIABILITY

18.1 It is expressly understood and agreed that Owner is entering into this contract solely
on its own behalf and not on behalf of any other person or entity. In particular, it is
expressly understood and agreed that the Government of India is not a party to this
contract, and has no liability, obligations or right whatsoever hereunder. It is expressly
understood and agreed that Owner is an independent legal entity with power and
authority to enter into contracts solely on its own behalf under the applicable laws of
India and the general principles of Contract law. The Licensor expressly agrees,

acknowledge and undertakes that Owner is not an agent, representative or delegate


of the Government of India and that the Government of India is not and shall not be
liable for any act, omission, commission breach or other wrong arising out of this
contract. The Licensor hereby expressly waives, releases and forgoes any and all
actions or claims, including cross claims, impleader claims or counter claims,
against the Government of India arising out of this contract covenants not to sue the
Government of India for any manner or claim, cause of action or thing whatsoever
arising out of or under this contract.

ARTICLE 19 - NOTICES

19.1 Without prejudice to any other mode of service, any notice or claim required
hereunder shall be made by registered or certified airmail, return receipt requested,
addressed to the proper address. The notices, invoice and claims sent by the
Licensor shall be addressed for the attention of Deputy General Manager (Projects) of
Owner.

ARTICLE 20 - ASSIGNMENT

20.1 Neither party shall assign the Agreement without the prior written consent of the other
party, except that Licensor may assign the Agreement to an affiliated company and to
a purchaser of all or substantially all of its technology business without such prior
written consent.

1.0 INTRODUCTION

1.1 M/s Brahmaputra Cracker and Polymer Limited (BCPL), a joint venture of M/s
GAIL India Ltd, M/s OIL India Ltd. (OIL), M/s Numaligarh Refineries Ltd.(NRL)
and Assam Govt., are setting up a grass-root petrochemicals complex at
Lepetkata, district Dibrugarh, Assam. The project mainly comprises up of a
220,000 TPA Ethylene Cracker Unit (based on gas & naphtha feeds) along
with downstream polymer units.

1.2 As part of the ‘Brahmaputra Petrochemical Complex Project’ (BPCP), BCPL


(also referred hereafter as ‘Licensee’) will be setting up a LLDPE / HDPE
SWING Unit based on polymer grade ethylene produced from Ethylene
Cracker Unit (ECU).

1.3 Based on the Basic Design Engineering Packages (BDEP) supplied by


Licensor(s), Licensee intends to go for detailed engineering, procurement,
construction and operation of LLDPE / HDPE SWING Unit with the help of
Engineers India Limited (EIL), who are retained as consultants for assisting
BCPL for selection of Technology and providing EPCM (ENGINEERING,
PROCUREMENT & CONSTRUCTION MANAGEMENT) services for
implementation of this project.

1.4 Purpose of Bidding Document: This document constitutes technical


specifications of bidding document for inviting firm techno-commercial
proposals from the LICENSORs of LLDPE / HDPE SWING technologies for
supply of commercially proven, state-of-the-art technology Know-how /license,
Basic Design Engineering Package (BDEP), catalyst and other related
services for evaluation and selection of their technologies for the proposed
LLDPE / HDPE SWING unit.

2.0 BASIS FOR TECHNICAL PROPOSAL

The technical proposal from the LICENSORs shall be based on the basis as
outlined in this section.

2.1 PROCESSING OBJECTIVE

The LLDPE / HDPE SWING Unit is to be designed for a capacity so as to


process 220,000 TPA of Polymer grade Ethylene for production of various
grades of PE resin of LLDPE and HDPE as per product split between them
as indicated in subsequent sections below. Polymer grade Ethylene (feed to
the unit) shall be produced from proposed Ethylene Cracker Unit (based on
Gas+ Naphtha processing). The above capacity is to be achieved from a
single polymerisation and extrusion train.

2.2 DEFINITION OF BATTERY LIMITS

For the purpose of this technical specification, battery limit of LLDPE / HDPE
SWING unit shall mean all sections of the unit to produce specified/ offered
quantity of LLDPE and HDPE product in bagged and palletized condition.
This will include but not limited to the following sections, all of which shall be
within the scope of LICENSOR’s design without exception:

1) Feed preparation and purification (if required)


2) Catalysts / chemicals receipt, unloading and storage
3) Catalyst Preparation, handling and storage
4) Polymerisation including product separation, monomer recovery and
recycle
5) Product finishing including additivation, extrusion and pelletisation
6) Product blending homogenisation transfer, storage and packaging.
Bagging machines shall be sized as per following basis: (a) 100% of
production shall be bagged; (b) Bags shall be of 25 kg capacity raffia
type; (c) 40 bags per pallet shall be considered; (d) No shrink wrapping
shall be considered; (e) 16 hours per day bagging operation with 14
hours of effective bagging time shall be considered.
7) Diluent / solvent recovery, storage and recycling including facilities to
receive fresh make-up and disposal of off-spec material at battery limit .
8) Flare gas collection and knock out drum
9) Closed blow down and pump out
10) Definition of collection and treatment facilities for all process effluents
generated during normal operation as well as start-ups / shutdowns
11) Handling of solid and organic liquid effluents including need for primary
treatment, if desired, to enable effluent discharged from Effluent
Treatment Plant (ETP) to meet discharge standards of liquid effluents as
per Annexure I.
12) All instrumentation required for normal and safe operation, handling
emergencies and shutdown along with advance control strategies
13) Details of necessary equipment / instruments /space /utilities and other
requirements for Quality control laboratory
14) Specification for special fire fighting and safety system as necessary.
15) Any special facility required for smooth/safe start up operation and
shutdown of the unit/ all plants/ facilities outside the battery limits are
excluded from the scope of this tender.
16) Ethylene will be available at battery limit of LLDPE/HDPE at a pressure
of 25 kg/cm2g in gaseous form. Any further compression required for the
unit shall be included by Licensor in its battery limit.

However if any particular section / facility listed above is not required or is


not relevant for the offered technology, same need not be considered.

2.3 UNIT CAPACITY

The LLDPE / HDPE SWING Unit is to be designed for a capacity so as to


process 220,000 TPA of Polymer Grade (PG) Ethylene feed,

The unit shall be designed for an on-stream factor of 7500 hours per annum.

2.5 TURNDOWN CAPABILITY

Minimum required turn down is 50%. However LICENSOR shall indicate the
lowest achievable turn down ratio for each main equipment/section and
overall for the unit, without any adverse impact on product quality, yields &
investment, as part of the proposal.

2.6 FEED CHARACTERISTICS

The feedstock i.e. polymer grade ethylene shall be obtained from proposed
ECU as part of the petrochemical complex.
The expected composition is given as below in Table 2.1. LICENSOR shall
provide guard treatment, required if any, for any of the impurities that may be
of concern for his specific technology, as per his experience for similar feed
derived from typically (Gas+ Naphtha based) Ethylene Cracker Unit (ECU).

It is expected that above quality is acceptable to licensor. In case offered

2.7. PRODUCT SPECIFICATIONS

2.7.1 Polyethylene Product Types:

The unit should be capable of producing following two types of resins (as per
broad classifications) catering to market needs of all categories of
applications, for Polyethylene:

(1) LLDPE
(2) HDPE

Licensor shall indicate required Co-monomers (Butene, Hexene, Octene etc.)


to produce various grades.

The overall production levels on annual basis for each of the types mentioned
above are to be considered as follows:

As the production of above grades shall be guided by market demand and
may vary in actual scenario in future, the LICENSOR shall keep adequate
scope in the design to take care of variations up to say ± 5%.

The offered technology shall have capability to produce various grades for
end use applications covering film, injection moulding, roto-moulding, wires
and cables, extrusion coating, tubes and hosing, blow-moulding and other
misc. applications for LLDPE resin.

Similarly technology should have capability to produce various grades for end
use applications covering raffia/woven sacks/fibres & filaments, film, injection
moulding, roto-moulding, wires and cables, blow-moulding, non pressure
pipes and other miscellaneous applications for HDPE resin.

For design purposes and evaluation of technologies available, change over


from one type of product to another shall be considered as per Table 2.2, 2.3
and 2.4 below:

Licensor shall propose the optimum sequence of grades covering all the
proposed grades and end use applications with the objective of minimizing off-
spec. product while producing specified quantity of LLDPE and HDPE (i.e. 50%
each based on plant capacity computed on monthly basis) as per the market
percent share based on the end use application, as given in Table 2.3 and Table
2.4 over one month period.

Remark: Incase Licensor has any difficulty in meeting above


requirements with regards to specific grades
requirements/applications; same shall be specifically brought out at the
Pre-Bid meeting stage. No queries / deviations will be acceptable after
submitting the bids.

2.7.2 Transition Times & Off-spec. product generation:

Licensor shall design unit to produce various grades of products with


minimum transition time and minimum generation of off grade (low value)
products. Licensor shall indicate transition time for change over from one
grade to another grade and quantity of off grades (low value) product
generated for each change over, as per cycle of operation for LLDPE / HDPE
indicated in clause 2.7.1. Licensor shall note that transition time for grade
change over shall be used from within available total stream hours of 7500 in
a year and thus hydraulic capacity for each of the grades shall be fixed after
discounting transition time while processing the total feed ethylene of 220,000
tons in a year with 7500 stream hours.
Licensor shall furnish grade wise quantity of on-spec product as well as off-
spec product generated during transition time in one full year i.e. 7500 hrs.
Such a material balance shall be furnished both on annual basis and on
hourly basis such that total ethylene feed processed adds up to 220,000 ton

in one year.

Licensor to give process guarantees for off-spec. product generation for


LLDPE and HDPE based on clause 2.7.1

Licensor shall furnish the details in the format given in Annexure-IV.

2.7.3 Product Applications

Injection moulding

Injection moulded PE products include household items, leads, master


batches, crates, pails, food containers, base cups, thin walled drinking cups
and ultra high speed moulding products.

Extrusion applications

Thin walled corrugated sheets, truck bed liners, geo-membranes, trays,


packaging, metal clad foam sheets, extrusion coating etc.

Films

Garment bags, medium and heavy gauge films, grocery sacks, liners, blinds,
trash bags, shipping sacks, agricultural film, cast film like diapers, bread
bags, stretch tapes etc.

Roto moulding

Large industrial parts used indoors, large industrial and agricultural tanks,
shipping drums, toys etc.

2.7.4 Product Properties:

The desired properties for the products are tabulated below. The values are
indicative and wide range values for properties are given. LICENSOR may
advise on these specifications. It can be relaxed/ revised if it meets the end
use requirement.

Incremental investment shall be recovered within a 3 year period based on


straight line payback method.

2.11 CATALYSTS & CHEMICALS

2.11.1 Unit shall include all facilities for loading and unloading of catalysts.

2.11.2 Unit shall include all facilities for preparing, storing and injection of required
catalysts and chemicals. Working storage volumes shall ensure smooth start-
up, normal operation, regeneration and shutdown of unit. LICENSOR shall
provide adequate definition of catalyst and chemical injection requirements
such as normal and maximum dosing rates, delivery pressure and
temperature, properties which have to be necessarily specified, etc., based
on which a detailed engineering contractor can develop full system design
without reverting to LICENSOR.

2.12 EFFLUENT DISPOSAL

2.12.1 The Central Pollution Control Board and state pollution board norms for
environmental discharges of solids, liquids and gaseous streams shall be
followed as a minimum. (Refer Annexure I)
2.12.2 Definition of collection and treatment facilities for all process effluents i.e.
liquids, gases and solids waste/effluents generated during normal operation
as well as during start-ups and shutdowns shall be provided by licensor.

2.12.3 Details of primary effluent treatment within the unit, if foreseen, shall be
provided. The same shall be included in LICENSOR’s scope.

2.12.4 In case some of the effluents produced in the Licensor’s process need
incineration as the mode of disposal, the same shall be included in the
licensor’s scope. Licensor shall provide necessary details as part of proposal
and shall furnish complete specifications for the procurement of such
incinerator during BEDP stage.
It is specifically clarified that land filling as an option for disposal of any
solid waste is not acceptable .In case the solid waste cannot be avoided,
licensor shall design/specify suitable storage facility (15 days basis) for safe
handling and evacuation of such waste. Licensor shall note cost of such
facility shall be considered as part of plant capital cost.

2.13 SPECIFIC PROCESS DESIGN GUIDELINES

2.13.1 For treated effluent discharged from conventional ETP in inland surface water
standards to be met as minimum (Refer Annexure-I).
2.13.2 Facilities for handling & disposal of solid effluent, if any shall form a part of
ISBL facilities as referred in 2.12.4.

2.13.3 Liquid effluent shall go to ETP having effluent treatment facilities (OSBL)
which consists of pH control, oil separation, biological treatment and aeration
to control COD and BOD. Primary treatment (pre treatment) to be considered
by the LICENSOR inside battery limit, if necessary, so that final discharged
effluent from ETP after treatment, detailed above, is able to meet tolerance
limits specified in Annexure-I.

2.13.4 Any specific treatment facility for continuous or intermittent gaseous vents
shall be provided by the LICENSOR and is to be included in the scope before
discharging to atmosphere/ flare header.
2.13.5 Design should incorporate latest features of environment protection &
occupational safety.

2.13.6 LICENSOR shall indicate over design philosophy followed for arriving at
broad equipment specifications in the bid.

2.13.7 Process scheme shall include in-built facilities for safe guarding the process
system in any type of emergency/ failure. Details of online analyzers and
analytical methods required during operation, for best plant performance,
shall also be furnished.

2.14 SAFETY & ENVIRONMENTAL ASPECTS

Basic Design Engineering Packages (BDEP) shall incorporate various safety


features in design in line with international safety standard safety standards
and design practices. LICENSOR shall furnish brief write-up in the proposal
highlighting such safety features.
Licenser shall include but not limited to following:
- Fire and Gas detector philosophy indicating Nos., type and
location of F&G detector.
- Philosophy for provision of CCTV and its Nos. , location,
based on the criticality of the equipment
- Escape route layout philosophy along with marking in the
equipment layout
- Philosophy of safety equipment like safety shower, eye wash
etc.
- Philosophy for Active & passive fire protection system (i.e
requirement of fire protection for vessel , pump , columns, heater etc)
- Catalyst, Co-catalyst and other chemicals handling procedure
- Equipment isolation philosophy
- Any other safety specification which licenser deemed
necessary.

2.14.2 ENVIRONMENTAL ASPECTS

The unit design shall incorporate state-of-the-art environmental control


strategies. LICENSOR shall furnish brief write-up in the proposal, highlighting
environmental control.

2.2 For reporting all utilities consumption (estimated /guaranteed ) in the


proposal Licensor to utilise the following mentioned efficiencies shall be sed
for the equipments. The guaranteed figures reported by Licensor shall be
subject to adjustment during PGTR based on the actual efficiency of the
selected equipments. The minimum efficiencies shall be used for the
following
equipments
• Pump Category-I (bigger pumps) 70 %
• Pump Category-II (smaller pumps) 50 %
• Compressor 70%
• Heater(Fuel Fired) 85%
• Motor efficiency 95%
For efficiency of other major equipment not covered in the above list, Licensor
shall report the efficiency of the equipment.

3.0 SCOPE OF LICENSOR’S SERVICES & SUPPLIES

The scope of work and services to be provided by the selected LICENSOR


shall be as follows:

3.1 Technology know-How/License

LICENSOR shall supply State-of-the-art technology for constructing,


operating and maintaining LLDPE / HDPE Swing Unit. The technology
should be commercially proven and capable of producing, as a minimum,
desired grades of Polyethylene to meet Indian market requirements indicated
in Section 2.7.

3.2 Supply of BDEP


BDEP shall have all information and documents necessary for a reputed
engineering contractor to perform the residual basic engineering, detailed
engineering, procurement and construction of the project. (Refer Annexure-II
for detailed scope/ deliverables)

3.3 LICENSOR shall identify the special equipment, which are unique for the
relevant unit operation. All details of such equipment, including process,
instruments, mechanical, metallurgical, electrical, structural aspects etc
should be provided completely to enable LICENSEE to obtain offers with out
requiring any further engineering by LICENSEE/Detail Engineering
Contractor/consultant, and also take up erection/execution subsequently.
LICENSOR’S fees for process design and basic engineering should include
fees, if any, for basic engineering of special equipment/proprietary items as
applicable.

3.4 LICENSOR shall review and approve detailed engineering documents,


including fabrication drawings/data of vendors of critical equipment to the
extent LICENSOR deems necessary for offering guarantees. LICENSOR
shall furnish list of documents/drawings requiring their approval/review for this
purpose in their offer. The charges if any, on this account has to be included
in fees for the Basic Design Engineering Packages (BDEP). LICENSOR to
note that no extra payment shall be made for these services.

3.5 LICENSOR shall clearly specify the proprietary items/catalysts, chemicals, if


any, used in the process, and FIRM cost thereof, separately. The proprietary
item/catalyst/chemical is defined as the item which is available from single
source, either supplied by LICENSOR or LICENSOR’S recommended single
vendor. LICENSOR shall give justification for the items to be proprietary in
nature.
Licensor shall ensure that supply of proprietary catalyst, if any, shall be made
available to licensee on a long term basis either directly or through an
approved catalyst supplier, if desired by the licensee through a separate
contract agreement.

3.6 In case Licensor wants to essentially include detailed design /engineered


data sheets /specifications/drawings for any process equipment /facilities
which is considered essential by the Licensor for meeting process
performance guarantees, the same shall be included in Licensor’s firm scope
of work as part of BDEP deliverables and the fee for such detailed
engineering activity shall be quoted as part of BDEP fees. This requirement is
over and above those deliverables for the proprietary items defined in Clause
3.5 for which LICENSOR would anyway be giving requisite details
/specifications as part of his standard BDEP.

3.7 The detailed engineering for such items should be complete in all engineering
aspects to enable LICENSEE to obtain & evaluate offers for procurement of
the items, and also take up erection/execution subsequently, with out
requiring any further engineering by LICENSEE’s consultant/detail
engineering contractor.

3.8 LICENSOR will agree to participate in the following meetings as and when
required by LICENSEE.

a) techno-commercial meeting on offer after submission of the same


b) design basis finalization meeting
c) review meeting on PFDs /P&ID’s submitted by LICENSOR
d) Finalization of agreement for License and BDEP at Licensee’s office.
e) Participation in HAZOP study during Detailed Engineering at Licensee’s or
his consultant’s office.
f) safety audit before commissioning

All the expenses on account of attending aforesaid meetings incurred by


Licensor’s representatives are to be borne by the LICENSOR.

3.9 LICENSOR shall extend assistance for procurement/inspection/expediting of


critical equipment if and as required by LICENSEE. LICENSOR shall indicate
list of mandatory service for inspection/commissioning etc in the proposal
which are required by LICENSOR

3.10 LICENSOR shall provide pre-commissioning/commissioning and start up


assistance at site as desired by client. This shall also include catalyst
preparation and dosing. Commissioning shall be deemed to be complete
when product of desired spec is obtained from plant and plant runs without
interruptions for at least 10 days.

3.11 LICENSOR in their offer shall separately furnish their own estimated
requirement of their expert’s stay in India for the above services mentioned in
clause 3.8 and 3.10.

3.12 LICENSOR shall extend following assistance if and as required by


LICENSEE
a) During detailed engineering to engineering contractor in India, including

b) During construction.

3.13 LICENSOR shall carry out performance guarantee test run within 6 months
from the date of successful commissioning. The guarantee period shall be 12
months from the date of successful commissioning (i.e. when plant has
successfully run for 10 days continuously without interruption and with
desired product quality).

3.14 LICENSOR shall supply or provide assistance for purchase & setting up of
Training Simulator at LICENSEE’s office/ unit if required by the LICENSEE.
Cost of such simulator to be provided by LICENSOR in his bid AS AN
OPTIONAL ITEM.

3.15 LICENSOR shall provide assistance during catalyst preparation and


loading/dosing etc., at the end of the first cycle run of catalyst, if required.

3.16 LICENSOR shall provide charges for supply of Catalyst for 6 months plant
operation at design capacities on homo-polymer grades.

3.17 Training of LICENSEE’s personnel on handling plant emergencies/trouble


shooting during operation, maintenance, analytical procedures etc. as
indicated below:

a) At LICENSOR’s captive facilities for twenty (20) persons for two weeks.
b) In a substantially similar operating plant for twenty (20) persons for one
week
c) Two weeks classroom training for thirty (30) persons at LICENSEE’s
facilities.

LICENSOR shall quote separately for above training fees with item-wise
break up. The quoted fees must be inclusive of any fees payable by
LICENSOR to the LICENSEE of the similar operating plant where training is
to be imparted.
3.18 In case the Licensor’s process package requires seed powder for the
first start up of the unit, the same shall be arranged by the licensor from
his known sources, if it is requested by the Licensee. Payment for the
seed powder shall be made by the Licensee.

However, the Licensor will specify in the proposal whether his technology
requires seed powder for the first start up and also indicate the quantity
required.

4.0 INFORMATION REQUIRED FROM LICENSOR IN PROPOSAL

SCOPE OF INFORMATION FOR PROPOSAL

Information to be furnished, as a minimum, in the TECHNICAL


PROPOSAL are defined in this section. LICENSOR shall submit their
technical proposal containing comprehensive information on the process
technology offered, commercial experience, process economics, safety,
any specific features w.r.t to comparable plants etc. such that their offer is
evaluated comprehensively. Data/information shall be given item wise and
metric system of units shall be followed for all information:

4.1 Process Information

4.1.1 Licensor is to provide the following information , as a minimum, in the bid


(metric system of units shall be followed for all information):

a) Outstanding features of the process technology. Wherever possible, these points


are to be quantified. The steps where LICENSOR differs from competing process
technologies should be emphasized.

b) Improvement and development in technology done in the recent past with special
reference to product quality and applicability, safety, energy conservation and
environmental considerations.

Licensor, may inform the licensee about the work undertaken at his captive facility
regarding the development of improved product grades based on the application of
Mettallocene catalyst and any work presently being done for commercial application.

c) Process Description

d) Process Flow Diagrams for overall and individual process sections Indicating
processing scheme, major operating parameters, all equipment and process
control scheme.

e) Material balance, section wise, which should include flow rate, pressure and
temperature for key streams.

f) Methods of varying primary product properties such as Density, MFI and Mol. Wt.
Distribution (MWD) as well as other desirable properties for various applications.

g) Type of reactor, number of reactors, reactor capacity, conversion per pass,


normal and emergency reactor cooling method, reactor fouling problem with
control methods, frequency of reactor cleaning and safety features.

h) Turn down ratio, overall and for various sections.

l) Details of transition time and transition product quantity produced during change
over of grades and the method of use/disposal of the transition product (See
Annexure-IV)

m) Percentage of off spec. product generated on annual basis (saleable and non
saleable). Further LICENSOR to provide data on off spec. product generation
quantity during change over from grade to grade along with the transition period.
(See Annexure-IV)

n) Quantity and spec of by products, hydrocarbon waste and spent diluents/


solvent, if any, and suggested/recommended method of disposal.

o) Purge stream: Composition and quantities of hydrocarbon rich purge streams


♦ Corresponding to production of different grades and their mode of
disposal.

p) Overall flare load, normal and peak with average Mol. Weight and relieving
temperatures.

q) Waste stream summary for gaseous effluents, liquid effluents and solid wastes.

r) Write-up on safety and environmental control features offered in the design.

s) Typical plot plan with overall layout dimensions.

4.1.2 Product & Effluent Information

a) Total product range list with properties and end use application for each
grade.

variations that are possible to be produced in the technology offered at a)
reactor stage and b) at extrusion stage.

c) Number and range of basic grades produced at reactor stage, which are
further diversified in extrusion/ additive addition step.

d) Physical properties/specifications of different polymer grades offered.

e) Performance properties of major types of products such as in film


applications, injection moulding and extrusion (including those used for
outdoor service).
f) Speciality and premium resin grades and their unique performance properties
vis-à-vis normal grades and equivalent grades of competing technologies.

g) Ash content in product.

h) Effluent quantity and quality with indicative details of primary effluent


treatment within unit, if foreseen.

i) Proper facilities for handling & disposal of solid effluent, if any shall form a
part of ISBL facilities. LICENSOR should indicate quantity, composition and
disposal methods for solid effluent.

j) Liquid effluent shall go to ETP having effluent treatment facilities (OSBL)


which shall consist of pH control, oil separation, biological treatment and
aeration to control COD and BOD. Primary treatment (pre treatment) to be
considered by the LICENSOR inside battery limit, if necessary, so that final
discharge effluent from ETP after the ETP treatment detailed above, is able
to meet tolerance limits specified in Annexure-I.

k) For wastewater discharge, in addition to the level of specific organic or


inorganic contaminants, BOD, COD, pH, TSS, TDS, total HC (state whether
soluble or insoluble) etc. for each stream are to be specified.

l) Any treatment facility for continuous or intermittent gaseous vents shall be


provided by the LICENSOR and is to be included in the scope before
discharging to atmosphere/ flare header. The discharge to atmosphere
should meet standards for ambient air quality laid by Central and State
Pollution Control Board.

4.1.3 Consumption Information

a) Consumption of a) Ethylene b) different co-monomers and c) Hydrogen


(separately) for each typical grade for the four grades of LLDPE and three
grades of HDPE offered by Licensors meeting requirements of clause 2.7.1
which shall be used for economic evaluation.

of materials cannot be disclosed, consumption figure in kg along with the unit
cost per ton of material for each grade shall be given.

c) Consumption of solvent/ diluents per ton of product.

d) Consumption of following utilities to be given separately as applicable to the


process..
♦ VHP steam
♦ HP steam
♦ MP steam
♦ LP steam
♦ Power
♦ Process water/ raw water
♦ DM water

♦ Boiler feed water


♦ Cooling water (circulating)
♦ Nitrogen
♦ Instrument air (including requirement for operation of diverter
valves in product conveying).

Where start-up requirement for any utility is significantly large compared to


normal consumption, the same shall be specified.

Consumption of steam, power, cooling water, nitrogen and fuel gas shall be
given separately for the grades listed in Section 2.7.

Consumption figure given for the above utilities shall include requirement of
chilled water/brine/refrigeration/hot oil units as may be necessary and
included within battery limit.

e) Normal consumption figures against section 4.1.3 a) to d) shall be given. In


addition, LICENSORs, shall submit GUARANTEED figures in respect of
section 4.1.3 a) to c) during performance test runs as per format given in
Annexure V & VI.

In respect of utilities, guaranteed figures shall be submitted for all grades,


only for the following items:
♦ Steam
♦ Power
♦ Cooling water
♦ Nitrogen
♦ Fuel (if required)

BCPL may choose any three grades out of the total grades in the given
product mix for verification of guaranteed specific consumption.

4.1.4 Production rate Information

Normal production rate (kg/hr of pellets) for each product grade offered shall
be provided.

4.1.5 EQUIPMENT DATA

4.1.5.1 LICENSOR is to provide an equipment list showing dimensions and other


key design parameters, including materials of construction, lining if
applicable and corrosion allowances. Information concerning proprietary
equipment shall be included. The equipment list shall contain information
in sufficient detail so as to enable LICENSEE or his consultant to estimate
equipment cost with an accuracy of ± 10%. Broad specifications required
for key equipment are:

a) Reactors / Vessels / Drums: diameter, length/height, material of


construction, estimated weight, mechanical design pressure and
temperature, typical sketches of reactors, features of internals such as
quench zones.

b) Rotating equipment: type, capacity, head developed / discharge pressure,


expected number of stages, drive brake power (kw), material of
construction

c) Process towers: diameter, length/height, type of internals (sieve trays are


not preferred), material of construction, estimated weight, mechanical
design pressure and temperature

d) Heat Exchangers: shell and tube side process fluids, expected type,
preliminary area (bare tube area, in case of air-cooled exchangers),
material of construction, drive shaft power (in case of air-cooled
exchangers), mechanical design pressure and temperature

e) Fired heaters: absorbed and estimated fired duty, material of heater


tubes, type of furnace, mechanical design pressure and temperature.
f) Misc equipments i.e. :
i. Palletizing extruder line: This will including extruder, die, water
bath, pelletizer, dewater trough, dryer etc. The information to
include system component unit, number, capacity, size, drive,
material of construction.
ii. Filters: Type, number, filtering area and material of construction.
Min specifications required for cost estimates or budgetary prices to be
provided.

4.1.5.2 LICENSOR is to provide a list of proprietary equipment, with acceptable


vendor names, if any. The delivery period of such proprietary equipment is

also to be indicated.

4.1.5.3 LICENSOR is to give a list of equipments which are to be designed,


fabricated and supplied by vendors nominated by the LICENSOR.

4.1.5.4 LICENSOR is to give a list of equipment whose delivery period is expected to


be more than 12 months.

4.1.5.5 LICENSOR is to indicate whether an Advance Process Control Package


needs to be installed in the unit. If yes, a list of recommended vendors is to
be furnished.

4.1.5.6 LICENSOR is to provide an estimate of the total installed cost of the unit,
(excluding catalyst, additives, chemicals and proprietary supplies) on US
Gulf Coast basis. This shall be included in the Unpriced Bid. Break up of
capital cost along with definition of battery limits and inclusions/exclusions
from the scope of estimates shall be given in detail.

4.1.6 PLOT PLAN

LICENSOR is to provide plot area requirement and a preliminary plot plan


showing key items of equipment. The over all dimensions and locations of
major equipment shall be indicated, including accesses, operating and
maintenance possibilities, Analyser sheds for on stream/pollution monitoring
as applicable.

4.1.7 MANPOWER FOR OPERATION

LICENSOR is to provide an estimate of the manpower required for operation


of the plant assuming that the DCS Control Panel would be located in a
Central Control Room. Indicative maintenance manpower is also to be
provided.

LICENSOR to furnish indicative operating, maintenance and laboratory


manpower requirement for shift and general shift operation separately. Any
other manpower required shall also be indicated by LICENSOR.

4.1.8 INFORMATION ABOUT LICENSOR

Commercial experience: Commercial reference shall be provided for


LLDPE / HDPE SWING Unit as per Annexure-III.

Reference list shall specifically consist of the following:


a) Process/ product catalogues (standard brochures) and relevant recent
publications.
b) Corporate activities for polyethylene technology advances. Latest
technology developments with reference to reduction in investment,

c) Experience in process licensing, engineering, construction, supervision
and commissioning assistance services. Include typical examples.
d) List of plants in operation, including annual licensed capacity, start up
year, type of process, major product grades produced and number of
trains, location, scope of LICENSOR’s services. Generally only grass
root facilities should be listed. As additional information, LICENSOR
may give separate list of revamped plants, if any, giving details of
LICENSOR’s scope of services.
e) List of grass root plants currently under design, engineering and
construction and their details as in (d) above. Details of revamp jobs
presently under design, engineering/ construction should be given
separately as explained above
f) Complete list of plants currently under design, engineering or
construction based on technology being offered against this NIT as well
as their details as per (d) above.
g) Marketing experience including new product grades/ applications
developed in the recent past.
h) Resume of project manager and lead engineers who will prepare the
BDEP for this specific project.
i) Experience in the application of DCS and Advance Process control
systems.
j) LICENSOR to indicate the capability of the offered technology for using
metallocene catalyst/single site catalyst and identify the modifications if
required for information in the offered technology.
k) Reference information about the best commercial plant in operation (at
an installation other than that owned by LICENSOR or its associate
companies) for a plant of like capacity and complexity with the
proposed plant. Reference must include plant manager’s name, as
LICENSEE may like to visit such plants and expects the LICENSOR to
facilitate such visit. The LICENSOR shall identify similarities and point
out design advances between this reference plant and the proposed
plant. In particular reference, plant data should include:
♦ Reactor type, number and capacity of each
♦ Catalyst type/ details
♦ Consumption of ethylene, co-monomers, diluents/solvent,
power, steam actually achieved.
♦ Actual quantity and specification of by-products/waste
hydrocarbon produced
♦ Method and frequency of reactor cleaning
♦ Quantity of off spec., material produced per annum, while
changing the grades
♦ Product grades produced and no. of grade changes considered
typical per annum while changing the grades.
♦ Product grades produced and typical percentage of each over
total annual production. Grade produced in one production
campaign/cycle and number of campaign per year.
♦ Actual operation and on plant on stream factor data for last five

♦ Operating problems, if any.

4.1.9 Techno-commercial presentation on LICENSOR offer

LICENSOR would be required to visit the Licensee office to give presentation


on their proposal and also to resolve all queries regarding the technical and
commercial issues pertaining to the bid. The discussion and presentation will
be held before the priced bid opening.

4.2 GUARANTEE REQUIREMENTS

4.2.1 Process Performance Guarantees.

While providing the guarantees, the LICENSOR should note that it is


essential to meet product properties as defined in item (d) below. No liability
against this would be accepted. LICENSORs will be required to take all
necessary corrective measures, if required, at their own expense to meet the
product qualities as defined in item (d) below.

The LICENSOR shall furnish the following performance guarantees in tabular


form (as indicated in Annexure- IV, V & VI).
a. Capacity of Unit in MTPA (Metric Tonnes per Annum) of Polymer
grade ethylene feed.
b. Feed stock and other input material purity required
c. Product yields/Quantity (On-spec. & Off-spec. product).
d. Product Quality(MFI,DENSITY,MWD)
e. Catalyst consumption/Catalyst life(if applicable)
f. Utilities Consumption/Steam generation
g. Consumption of other chemicals

NOTES
1. Process guarantees should be indicated.
2. For establishing whether guarantees in respect of product yields have
been met, the test run will be conducted with a feedstock having
substantially similar characteristics as those of feed stocks given at
Table -2.1 under clause 2.6.
3. In case, the actual feedstock is substantially different from the one
specified above, LICENSOR should establish, after consultation and
mutual agreement with LICENSEE, a new guarantee equivalent to the
guarantee mentioned above. For this LICENSOR should provide
correlation to predict unit performances w.r.t. yield, product qualities,
catalyst, and chemical/utility consumption.

4. Although only three numbers of Key properties are listed for specific
guarantees with corresponding liabilities in subsequent sections, it is
expected that offered grades shall meet all the other properties as
furnished by licensors and licensor shall provide requisite corrective
engineering as well as all the requisite help/ support to licensee for
achieving these properties at his own cost.

4.2.2 Compensation for not meeting Guarantees

In case the aforesaid guarantees are not met during test run(s) due to the
reasons solely attributable to the LICENSOR, the LICENSOR shall take all
steps to modify the plant at his own expense within a reasonable time and
ensure that the guarantees are fully met.
The minimum performance guarantees are defined as below for the purpose
of fixing up the limits for acceptance of the unit performance beyond which
the maximum liability clause shall be applicable. The minimum performance
guarantees are defined as below with reference to the process guarantees as
per 4.2.1 above. No credit shall be allowed for excess production of specified
product while applying liability for individual product

conducted , the licensor shall allow by way of price adjustment for such
failure as below :

Liability: Licensor shall meet 100% plant capacity and shall be fully liable to
execute necessary modifications in the plant at no cost to the owner if the
plant fails to meet the minimum acceptable capacity. In case of failure to meet
the guarantee even after the proposed modifications, the licensor shall be
liable to pay liquidated damages as detailed below (Clause 4.2.3 /Clause
4.2.4).

* Guarantee : Product Quality


Liability: Licensor shall meet 100% of the product quality parameters
guaranteed for the product grade falling under each of PE resin products and
shall be fully liable to execute necessary modifications in the plant at no cost
to the owner if the plant fails to meet the offered product quality guarantees.
In case of failure to meet the guarantee even after the proposed
modifications, the licensor shall be liable to pay liquidated damages as
detailed below (Clause 4.2.3.8).

* Guarantee : Catalyst consumption


Liability: Licensor shall not exceed 100% of catalyst and co-catalyst
consumption guaranteed for the product grade falling under each of PE
resin products and shall be fully liable to execute necessary modifications in
the plant at no cost to the owner if the plant exceeds the offered
consumption guarantee In case of failure to meet the guarantee even after
the proposed modifications, the licensor shall be liable to pay liquidated
damages as detailed below (Clause 4.2.3 / Clause 4.2.4).

* Guarantee : Raw material (monomer) consumption


Liability: Licensor shall not exceed 100% of raw material (monomers and

after the proposed modifications, the licensor shall be liable to pay liquidated
damages as detailed below (Clause 4.2.3 / Clause 4.2.4).

* Guarantee : Utilities consumption


Liability: Licensor shall not exceed 100% of each utility guaranteed (Steam
, Electric power , Cooling water and Nitrogen) consumption guaranteed for
the product grade falling under each of PE resin and Copolymer products
and shall be fully liable to execute necessary modifications in the plant at
no cost to the owner if the plant exceeds the offered consumption
guarantee. In case of failure to meet the guarantee even after the proposed
modifications, the licensor shall be liable to pay liquidated damages as
detailed below (Clause 4.2.3 / Clause 4.2.4).

* Guarantee : Chemical and solvent consumption


Liability: Licensor shall not exceed 100% of each solvent and chemicals
guaranteed for the product grade falling under each of PE resin and
Copolymer products and shall be fully liable to execute necessary
modifications in the plant at no cost to the owner if the plant exceeds the
offered consumption guarantee. In case of failure to meet the guarantee even
after the proposed modifications, the licensor shall be liable to pay liquidated
damages as detailed below (Clause 4.2.3 / Clause 4.2.4).

* Guarantee : Off-spec. product quantity


Liability: Licensor shall not exceed 100% of off-spec. product quantity
guaranteed for a certain grade change over within PE Resin operation and
shall be fully liable to execute necessary modifications in the plant at no
cost to the owner if the plant exceeds the offered off-spec. production rate
guarantee. In case of failure to meet the guarantee even after the proposed
modifications, the licensor shall be liable to pay liquidated damages as
detailed below (Clause 4.2.3 / Clause 4.2.4).

4.2.3 Test Run, Proof of Guarantees and Liquidated damages


/compensation:

4.2.3.1 Prior to a test run, detailed methods to be used in the test run shall be agreed
upon in writing between LICENSOR and LICENSEE. These methods shall be
in accordance with normal practice, and will include methods for measuring
various process streams by calibrated measuring devices, methods for
calibrating such measuring devices, methods for sampling and analyzing
process streams, as well as methods for evaluating the results of the
measurements and analysis. Furthermore, acceptable tolerance for all results
shall be specified.

4.2.3.2 The test run shall commence when the UNIT is operating under stable
conditions and shall be conducted for a period of not less than 72 (seventy

two) consecutive hours for total of three grades to be identified by BCPL


before the commencement of test run. Based on mutually agreed and jointly
collected measurements during the test run, LICENSOR AND LICENSEE
shall evaluate the results of the test run to confirm conformity with the
performance guarantees.

4.2.3.3 The UNIT shall be deemed to have passed a successful test run, if during the
test run, the UNIT has performed as guaranteed and the guarantees
specified in Clause 4.2.1 have been successfully fulfilled.

4.2.3.4 If during a test run , the UNIT fails to perform as guaranteed for reasons other
that those outside the scope of the LICENSORS’s obligations, the
LICENSOR shall as soon as possible investigate the reasons for such failure
and suggest modifications to the UNIT or its operation as the LICENSOR
may deem necessary for enabling the UNIT to perform as guaranteed. The
LICENSEE shall, as promptly as is reasonably feasible in the circumstances
carry out any modifications of the UNIT which may be suggested by the
LICENSOR. In addition to the engineering for UNIT modifications, which will
be provided free of charge to the LICENSEE, the LICENSOR shall reimburse
the LICENSEE the cost of such modifications and the cost of equipment and
materials required at site, which have been incurred by the LICENSEE for or
in connection with the modifications. A test run shall be re-conducted for the
modified UNIT.

4.2.3.5 If necessary, the foregoing procedure for modified unit, test run will be
repeated as often as is necessary with in a period 12 (twelve) months from
the date of commencement of remedial actions, and the LICENSOR shall at
its own costs and expense in all respects continue to perform such
engineering, supplies and /or modification as are necessary to ensure that
the UNIT performs to meet at least the minimum guarantees given in Article
4.2.2.1.

4.2.3.6 The LICENSOR shall pay and bear the cost of deputing its personnel for
witnessing and supervising modifications and repeat test run under Clauses
4.2.3.4 and 4.2.3.5 here of.

4.2.3.7 If in spite of best efforts by the LICENSOR the UNIT fails to meet the
minimum guarantees under Clauses 4.2.3.4 and 4.2.3.5 above, the
LICENSOR shall, as LICENSEE’s sole remedy, refund to LICENSEE 50% of
the aggregate of License fee and BDEP fee paid or payable by the
LICENSEE to the LICENSOR and /or its affiliates in respect of the UNIT
Refund of unpaid license fee and BDEP fee payable shall be by issue of a
Credit Note for the value thereof by the LICENSOR in favour of the
LICENSEE.

4.2.3.8 If any of the guaranteed values listed in Performance Guarantee Table w.r.t
quality of the product are not achieved within the specification window of
performance guarantees, for each of the guarantee test runs ,the
compensation shall be as per clause 4.2.3.7

4.2.3.9 If, after the minimum guarantees have been met, the UNIT fails to meet the
values guaranteed in the performance guarantees specified as per Article
4.2.1 and the LICENSOR declares its inability to further improve the UNIT to
meet such guarantees, the LICENSOR shall allow the LICENSEE by way of
price adjustment, a price discount as specified in Article 4.2.4 subject to a
maximum discount of an amount equivalent to 50% (fifty per cent) of the
aggregate of the License fee and BDEP fees paid or payable by the
LICENSEE to the LICENSOR. Discount for unpaid royalty or fees payable
shall be by issue of a Credit Note for the value thereof by the LICENSOR in
favour of the LICENSEE.

4.2.3.10 In case catalyst fails to meet the full guaranteed life (where applicable),
Licensor is liable to supply the catalyst quantity on pro-rata basis equivalent
to remaining period of the guaranteed life. Liabilities/ compensations on
account of catalyst life shall be over and above the maximum liabilities as per
clause 4.2.3.7.

2. First issue of Utility summary shall be released after one week of the issue of
the PFD. This data will be required on priority to enable finalize basis and start
work on design of OSBL utilities systems as a parallel action

3. The next revision of the utility summary shall be issued by Licensor after
completing the hydraulics and finalization of the specifications of the equipments.

4. PID issued for review shall have the EIL PMS shown on the lines alongwith
Licensor PMS.

5. Indicative layout shall be submitted along with the first issue of PID for review.
A preliminary review of the same shall be held with Licensor as part of P&ID
review meeting. This is essential to enable parallel working on engg. Front.

6. All documents issued for review have to be submitted in 6 copies each.


Final BDEP shall be submitted in 12 copies.
7. LICENSOR shall also provide editable soft copies of PFDs, P&IDs (AutoCad
2008 version) and Full BDEP with editable soft copies of datasheets in Excel
and others in word format. This is required to enable updation of deliverables
during detail engineering phase.

4.3.1 Liabilities and compensation for BDEP schedule


If the Licensor fails to deliver the final BDEP as per the schedule as
mentioned in the clause 4.3, the licensor shall be liable to pay liquidated
damages as detailed below

1% of the BDEP fees for delay in every one week for the first four weeks

2% of the BDEP fees for delay in every subsequent week for the next
three weeks subjected to a maximum of 10% of BDEP fee.

Liabilities/ compensations on account of delay in meeting BDEP schedule


shall be over and above the maximum liabilities as per clause 4.2.3.7.

5.0 EVALUATION CRITERIA:

The prime objective of the LLDPE / HDPE SWING plant is to maximize the
production of Polymer grades of Ethylene using commercially proven, most
economical and modern technology.

5.1 Technical Evaluation Criteria


The LICENSOR’s offer should meet the following minimum qualification for the
offer to be considered as technically acceptable:
5.1.1 Technical acceptability criteria:
The LICENSOR should furnish reference of at least one operating unit (other
than own captive unit) under their license, which is running satisfactorily for
more than a year and processing feeds with qualities substantially similar/close
to the feedstock quality as indicated in the Sec 2.6. Such reference unit(s)
should have been licensed during last 10 (ten) years and have the similar
configuration and catalyst as offered against this tender.

i) The critical properties for establishing feed similarity with that of reference unit
are as follows:
a. Purity (Ethylene Content)
b. Processing rate (Capacity of reference unit to be at least 110,000
TPA)
c. Propylene content in feed ethylene
d. Methane + Ethane content in feed ethylene
e. Catalyst poison content in feed ethylene
ii) The critical properties for establishing the reference unit preparing similar
products are as follows:
a) MFR (Melt Flow Rate) Range
b) Density
c) Molecular Weight distribution
iii) It is also necessary that ‘Basic Design Engineering Package’ of such
reference unit(s) has been developed and prepared by the LICENSOR.
iv) That the offered catalyst (s) as against this tender has performed satisfactorily
in such reference units for more than a year with deactivation rate well within
the acceptable range. LICENSOR shall agree to supply first charge of
catalyst and co-catalyst covering 6 months requirement (irrespective of the
nature of catalyst supply agreed for subsequent period thereafter) and sign
agreement for same with LICENSEE. Requirements of catalyst and co-
catalyst supply after 6 months period shall be as per LICENSOR suggestion /
recommendation.

v) LICENSOR is required to fill up the information in respect of above reference


unit as per Annexure-III and furnish documentary proof thereof. LICENSEE
shall, at its option, verify the same from the user of such technology for which
LICENSOR has to furnish name & address of such LICENSEE along with the
name of contact person, telephone/fax no, E-Mail and postal address. If the
information as asked for are not incorporated fully in the proposal,
LICENSEE shall, at its option, may consider the proposal technically
unacceptable without request for further information.

viii)LICENSOR shall provide product samples of the reference units for
testing/analysis if desired by LICENSEE. In case, the same are found to be
not meeting the desired properties/quality, the offer shall not be considered
for further evaluation.
5.1.2 LICENSOR to note that the detail engineering for the LLDPE / HDPE SWING
Plant shall be done in India by Engineer’s India Limited(EIL), New Delhi.
LICENSOR has to agree to the above, failing which his bid shall be liable
for rejection.

5.1.3 Based on the above criteria, technically acceptable offers will be identified.
Priced offers will be opened only for technically acceptable offers.

5.2 Economic Evaluation Criteria


Economic evaluation of technically acceptable offers will be carried out for
selection of final LICENSOR. Economic Evaluation will be carried out on the
following basis:
(i) The LICENSOR shall identify the grade (or grades) offered by him
which will meet the requirements of product applications/ product
properties / market share given in Table 2.2,2.3,2.4 (4 grades of
LLDPE and 3 grades of HDPE)
LICENSEE shall consider the weighted value contribution of these
grade(s) in the NPV calculation (see point ii below) based on share of it’s
application in the Indian market.
(ii) Net Present Value of the offer will be calculated as net cash inflow for
fifteen (15) years of operation at a discount rate of 12% per annum.
(iii) Guaranteed yield of finished products
(iv) Credit towards off-grade products generated during transition
period/grade change over shall be considered as per price indicated in
feed and product prices table in this document.
(v) Guaranteed catalysts, co-catalyst (and promoters) consumption and
life.
(vi) Proprietary equipment cost as indicated by the LICENSOR

(vii) Guaranteed consumption of solvent and other chemicals


(viii) Consumption of Hydrogen.
(ix) Feed and product prices shall be as mentioned elsewhere in this
document.
(x) Exchange rate shall be the rate prevalent on the date of opening of
price bids.
(xi) Analysis shall be done taking into account the prevailing Indian Income
Tax rates.
(xii) Expenses towards the cost for catalysts, Promoters, Solvents,
Chemicals, license fee, BDEP fee, Training fees and other services
quoted by LICENSOR.
(xiii) LICENSOR’S Guaranteed Figures for raw material, product and
utilities shall be priced as per prices indicated in this tender document
(Clause 2.8).
(xiv) LICENSEE shall consider the equipment/plant cost (as estimated by a
competent engineering contractor- EIL) as per the process
configuration offered and equipment specifications furnished by various
LICENSORs as part of their proposals.

SPECIFICATIONS FOR THE PREPARATION OF BASIC DESIGN


ENGINEERING PACKAGE (BDEP)

1.0 INTRODUCTION

1.1 The Basis of Design and Basic Design & Engineering Package (BDEP) which will
be prepared by the LICENSOR shall contain adequate process and mechanical
design data to proceed with the detailed engineering, procurement, construction
and commissioning of the unit. All documents are to be prepared with sound
design and engineering standards followed in hydrocarbon industry. LICENSOR
to note that the BDEP’s should comprise all the data required to carry out the
detailed engineering by detail engineering/contractor(EIL).

Licensor shall agree to sign a design basis comprising of Part-A and Part-B
which shall form the basis of BEDP preparation.
Part-A design basis constitutes of Unit design basis providing necessary
data for the specific process unit .
Part-B design basis defines overall project requirements for making all units
compatible and ensuring uniform design practices for the total complex
The design basis Part-B shall be discussed during kick-off meeting and the
general requirement s of the complex which are applicable to the unit shall
be agreed and complied by Licensor. The agreed document shall be signed
by Licensor and this will form part of the design basis.

1.2 The scope of deliverables shall be in strict conformance with the details given in
this section. It is known that some of the deliverables listed may not form part of
the usual basic engineering package for a given LICENSOR. However, for this
specific project, LICENSOR shall make necessary arrangements to be able to
satisfy the complete scope of BDEP requested.

1.3 The contents of BDEP shall be, but not necessarily limited to, the following
(metric system of units shall be used for all deliverables with the only exception
being extended to LICENSORs own standards which are issuable with their
existing units of measurement):

2.0 BASIS OF DESIGN

The Basis of Design (BOD) will provide all information agreed between the
LICENSOR and LICENSEE and upon which the design and engineering will be
based. The design basis will consist of the following information:

• Plant definition including function and scope of the unit.

• Plant capacity, turndown and on stream days/year.

3.0 PROCESS DEFINITION

PROCESS DESCRIPTION

A process description of the unit following the Process (and Utility) Flow
Diagrams shall be provided. This shall also include a description of the
reaction chemistry, kinetics, range of critical operating parameters and their
impact on product quality or operability, etc.

3.2 PROCESS FLOW DIAGRAMS (PFD)

The Process Flow Diagrams (PFDs) shall show the functionality of the unit, with
all process streams, process equipment, main utility streams and process

control philosophy. PFDs should be prepared for each of the cases. The
following minimum information will be shown on the diagrams:

• Process flow with all process streams (including start-up lines) and main
utility streams (where they influence process configuration).

• Item number, service, size and capacity of all major equipment.

• Main control loops and instrumentation necessary for


understanding/operating the process and utility systems. Where a PFD is
inadequate in explaining the complete control and interlock philosophy,
Process Control Diagrams (PCD) shall be additionally generated.

• The number of passes and functional outlines of convection and radiation


section coil arrangements consistent with furnace efficiency improvement
strategies such as steam generation, steam superheating, etc., for fired
heaters.

• Outlines of columns, vessels and reactors indicating operating pressure and


temperature at key locations and including number of trays, details of
packings, internals, relative location of feed / product and other nozzles,
etc.

• Types of heat exchangers such as air cooler, shell & tube, plate or spiral,
double pipe etc. Allocation of shell and tube side streams.

• Types of pumps and compressors such as centrifugal, reciprocating, etc.

• All process streams shall be numbered. The numbering shall correspond to


Heat and Material balance. When there is a change in temperature, pressure
or flow rate of the stream, a new stream number shall be assigned. The
enthalpy and material balance information issued with PFD’s shall have
complete thermo-physical and transport property data for all numbered
process streams.

• Normal operating conditions of major process streams including temperature


and pressure profiles.

• Sources of incoming and destinations of outgoing streams. All incoming and


outgoing streams shall be flagged showing battery limit pressures and
temperatures and indicating their source / destination.

All drawings shall be provided on tracing, floppies and CD ROM disc for backup.

3.3 OVERALL UNIT BALANCE AND PRODUCT PROPERTIES

An overall unit material balance shall be provided for each of the cases. This
overall balance shall include all feed streams to the unit and all product

streams from the unit. It shall also include a list of all relevant product
properties.

HEAT AND MATERIAL BALANCE

Heat and Material Balances shall be provided for each case showing:

• Stream number (corresponding to PFD).

• Stream name and phase of fluid.

• Total mass & volume flow.


• Normal operating temperature.

• Normal operating pressure.

• Density of fluid at operating conditions.

• Specific gravity of liquid component.

• Molecular weight of vapor component.

• Kinematic Viscosity at operating conditions.

• Thermal conductivity at operating conditions.

• Specific heat at operating conditions.

• Critical temperature and critical pressure.

• Stream composition.

• Stream enthalpy.

For mixed phase streams, the vapor and liquid phases will be shown separately.

3.5 PROCESS CONTROL PHILOSOPHY:

The control philosophy shall cover complete depiction / explanation of critical and
complex controls of the individual sections of the unit indicating all instrumentation
for the unit operations inclusive of start-up, shutdown, emergencies, etc. The
description of the control philosophies shall be aided by Process Control
Diagrams. Advanced process control strategies, if employed, shall be specifically
elaborated.

4.0 MECHANICAL DESIGN

4.1 MATERIAL OF CONSTRUCTION

Material Selection Diagrams (MSDs) shall be prepared (preferably coloured)


showing the selected materials of all equipment including internals and piping with
corrosion allowance/cladding requirements in sufficient details.

5.0 UTILITIES, CHEMICALS AND CATALYSTS

5.1 UTILITIES

This section shall provide the estimated consumption and/or production of the
following utilities at process design / operating conditions:

• Service water.

• Boiler feed water.

• DM water.

• Bearing cooling water.

• Cooling water.

• Steam (at different levels).

• Condensate (at different levels).

• Blowdown streams.

• Nitrogen.

• Instrument Air and Plant Air.

• Fuel systems (Gas and/or Oil considering single or combined firing).

The estimates are to be provided as minimum, normal and maximum. Apart from
continuous utility requirements, complete data must be given on intermittent utility
requirements during start-up, shut down, catalyst regeneration and emergencies.
Some items of the utility summary require vendor design information such as
steam for turbines or power for pumps. In such cases, LICENSOR shall use good
engineering judgment or in-house data in arriving at the summaries.

5.2 CATALYSTS, CO-CATALYSTS, ADDITIVES AND CHEMICALS

Complete catalyst/ Co-catalysts properties like trade name and manufacturer(s),

bulk density, metal content and other characteristics alongwith gravimetric and
volumetric analysis of loaded catalyst, catalyst support materials, recommended
method of loading with details etc., expected life and disposal methods.

Additives/Chemicals name, function, annual consumptions, handling precautions


and adequate definition of injection requirement such as normal and maximum
rates, delivery pressure and temperature, dosing pattern / frequency, properties
which have to be necessarily specified, etc., with which a detailed contractor can
develop the full system design without reverting to LICENSOR. For speciality
additives/ chemicals, list of vendors to be also included. Chemical passivation
requirements to be identified and suggestions for disposal of passivation effluent
to be provided, based on earlier experience.

Overhead Corrosion control should be non-sodium based chemical to overcome


the problems envisaged in effluent treatment.

Licensor shall provide the detailed specifications and specific


consumption data of catalyst , co-catalyst, chemicals and additives as
required by different LLDPE/HDPE grades (per ton of PE Resin) and also
estimated requirement for the continuous operation of the plant for 6
months based on the cycle of operation specified in Sl No 2 above. For
all items including catalyst beds in purification unit, Licensor shall
recommend vendors for supply of the same. Quantities of different
types of catalyst(s) shall be indicated in Kg indicating loading density
where applicable.
Licensor shall confirm to undertake supply of catalyst as per Catalyst
Supply Agreement to be finalized between LICENSEE and successful
licensor.

6.0 PROCESS EQUIPMENT

6.1 PROCESS EQUIPMENT LIST

A Process Equipment List shall be provided showing the following information:

• Equipment Tag number.

• Equipment Service name.

• Special remarks. This will include information like critical or proprietary items
including vendor lists, specific testing and acceptability criteria, if any.

y Whether the equipment is a Long Lead Item.

6.2 EQUIPMENT SPECIFICATIONS

Each equipment, major as well as minor, proprietary or otherwise, shall be


specified on individual Equipment Process Data Sheets. Each datasheet shall
carry a document number and include equipment name, service and identify the
case to which the data corresponds. Data sheets shall include information on
process fluids, operating and design conditions and fluid properties. Also,
sketches showing shape, dimensional details of internals and other design
information shall be provided. Information in the data sheets shall be sufficient to
carryout detailed mechanical design. Arrangements for steaming/Nitrogen
blanketing of vents, drains, etc., for making the equipment (including heat
exchangers) free of hydrocarbons shall be shown in the P&IDs and data sheets.

As a guide, the information to be provided for major equipment is given below:

6.2.1 HEAT EXCHANGERS

• Process conditions including fluid flow rates with breakup of


vapor/liquid/steam/water/non-condensables, density, viscosity, thermal
conductivity, surface tension (for two-phase conditions), etc.

• Mechanical design conditions.

• Materials of construction, Corrosion allowance.

• Type of exchanger / number of shells.

• Permissible pressure drop. The same data should have been used in unit
hydraulics executed by LICENSOR. When a group of exchangers, say
multiple shells in series, together are to be designed within a pressure drop
limit, the same shall be indicated.

• Expected number of fans and sections for aircoolers, standard mechanical


specifications and design temperature & pressure requirements.

• For proprietary heat exchangers, which are included in LICENSOR scope for
thermal/mechanical design, as per agreed scope of engineering services, the
details shall be complete to the extent relevant and necessary as per industry
practice.

6.2.2 PUMPS

• Process conditions such as minimum, normal and maximum flow rates/


normal & upset suction & discharge conditions/operating temperature &
pressure/NPSH available.

• Fluid density, viscosity, pour point and annotations towards presence of


toxic, corrosive or erosive materials.

• Mechanical design conditions.

• Materials of construction, corrosion allowance for casing & internals and


insulation / heat tracing requirements.

• Number of operating & spare pumps.

• Type of pump driver for main and spare pumps and estimated brake KW.

• Capacity control and ranges where relevant.

• Differential head.

• Construction data (e.g., suggested API seal requirements, cooling


requirements, external seal flushing requirements, etc.).

6.2.3 VESSELS/TOWERS/REACTORS

• Process design conditions.

• Sketches of Vessel/Tower/Reactor layouts showing dimensions, tentative


elevations, location of nozzles and man ways, internals such as trays,
demisters, packed sections, catalyst sections, collector trays, gravity or
spray distributors, support grids, type of head, etc. Vessel diameter shall be
expressed as ID for vessel shells and OD for vessel boots.

jacketing, stress relieving, insulation, surface finishing, etc. LICENSOR shall
follow good engineering practice in evaluating system hydraulics and
pressure relieving conditions (including considerations such as impact of
vapour blow backs for high pressure vessel to low pressure vessel letdowns)
and accordingly fix the mechanical design conditions. It shall be reasonably
ensured that such design conditions will not require to be raised upwards in
the course of detailed engineering, with only the occasional exception.

• Materials of construction and corrosion allowance of shell & internals.

• Number, type and spacing of trays for towers.

• Number, type & height of packed beds.

• Elevation, size and service of nozzles.

• Process data sheets for trays/packed bed sections.

• Details of other internals like demisters, distributors, protective linings, etc.

• High, low and normal liquid level in vessels and tower bottoms / collector
trays.

6.2.4 HEATERS

• Fluid flow rates with breakup of vapor / liquid / steam / water / non-
condensable, density, viscosity, thermal conductivity, surface tension and
vaporisation curve correlating pressure, enthalpy and percent vaporised.

• Operating temperature and pressure.

• Mechanical design conditions. LICENSOR shall follow good engineering


practice in evaluating system hydraulics and accordingly fix the mechanical
design conditions. It shall be reasonably ensured that such design conditions
will not require to be raised upwards in the course of detailed engineering,
with only the occasional exception.

• Materials of construction and corrosion allowance.

• Fouling factor or expected coke thickness.

• Type of heater, e.g., cabin type or vertical cylindrical, natural draft or forced
draft.

• Heat transfer duty / Absorbed heat for each section.

• Design requirements (e.g. Number & size of passes, heat flux and/or velocity
limitations, efficiency, excess air, NOX, maximum skin temperature, etc.)

• Burners will be designed with Fuel gas and/or Fuel Oil for single & combined
firing.
• Expected thermal efficiency of heater and strategies for improving efficiency
towards a target of 90%. These shall be evaluated in the course of BDEP,
discussed with LICENSEE, and included as directional instructions for
detailed engineering contractor.
• Details of burner(s). along with details of ignition equipment and flame
scanning devices. Insulation details, including notes on recommend method
of application and precautions, if any.
• Stack details including monitoring instruments.
• For heaters included in LICENSOR scope for thermal / mechanical design,
as per agreed scope of engineering services, the details shall be complete to
the extent relevant and necessary as per industry practice and would include
detailed evaluation of heater efficiency improvement measures.

6.2.5 COMPRESSORS/TURBINES/BLOWERS/FANS

• Gas flow rates with pure component composition breakup, dry and wet
molecular weights, range of molecular weights for machine specification,
compressibility factor, CP/CV ratio, gas density, gas viscosity, etc.

• Operating temperature and pressure at inlet and outlet conditions.

• Minimum/normal/maximum flow rates

• Turndown and turn up ratios.

• Mechanical design conditions. LICENSOR shall follow good engineering


practice and typical vendor information in specifying these.

• Number of operating & spare units.

• Materials of construction and corrosion allowance.

• Type of main and spare machine and machine drive including estimated
shaft KW.

• Capacity control where necessary.

• Anti surge facilities

and insulation / tracing requirements.

• Type of filter with definition, applicable back wash fluid, properties, frequency
of backwash, supply and return pressures of fluid, etc.

• Noise limitations (if applicable).

6.2.7 MIXERS

• Process design conditions.

• Mechanical design conditions.

• Materials of construction.

• Type & extent of mixing action.

• Type of mixer and driver (if applicable).

• Power consumption (if applicable).

• Noise limitations.

6.2.8 MISCELLANEOUS EQUIPMENT

The duty specifications/characteristics for miscellaneous equipment shall be


provided. This shall also include process performance specifications, fluid
properties as relevant, mechanical design conditions, materials of construction,
power consumption (if applicable), noise limitations (if applicable), etc.

7.0 HEALTH AND ENVIRONMENT

7.1 HAZARDOUS CHEMICALS

Physical and chemical properties of hazardous chemicals and streams present in


the unit shall be provided alongwith handling procedures. The applicable
Chemical Safety Data Sheets (CSDS) shall be given.

7.2 Safety Requirement


Special safety requirement such as hydrogen / H2S / HC leak detectors and
snuffing steam rings around leak prone flanges etc. to be indicated wherever
necessary. The number required ,along with the location, to be identified.

7.3 PLANT WASTE EFFLUENTS

All unit waste effluents and by-products (gaseous, liquid and solid) produced
continuously or intermittently shall be identified; quantity and quality shall be
described. Recommended treatment / disposal methodologies shall be given
(format shall be provided by LICENSEE to selected LICENSOR). An estimate of
emissions, leaks and losses of chemical compounds shall be provided.

Proper facilities for handling & disposal of solid waste, if any shall form part of the
LICENSOR Scope.

Primary treatment of liquid effluents (Pre treatment) for pH control, oil separation,
biological treatment and aeration to control COD and BOD is to be covered in
LICENSOR scope

Any specific treatment facilities for gaseous effluents are in LICENSOR scope.

7.4 FLARE LOAD SUMMARY

A summary of flare loads shall be provided for gaseous effluents connected to


flare. Load for all relevant cases such as cooling water failure, general power
failure, fire case, blocked discharge, any operational failure etc. shall be
provided. Loads like venting of Hydrogen and any other gases during startups and
emergency depressurizations etc. are to be provided to enable design the flare
network and stack accordingly.

8.0 PIPING AND INSTRUMENTATION DIAGRAMS

8.1 PIPING AND INSTRUMENTATION DIAGRAMS

Process Piping and Instrumentation Diagrams (P&IDs) of the unit shall be


provided. The purpose of P&IDs is to allocate, identify and specify all piping items
and instruments in the unit, consistent with the process flow scheme furnished in
the PFDs. The P&IDs shall include all process lines, utility lines to individual
process consumers, all start-up/shut down lines, instrumentation for control,
monitoring and interlocks.

LICENSOR’s final P&ID’s shall incorporate preliminary HAZOP

recommendations done by LICENSOR

Licensor shall carry out SIL study and shall incorporate its recommendation in
the relevant documents.

P&IDs, equipment numbering and equipment naming philosophies shall be as per


LICENSEE’s system which shall be provided at the time of Design Basis
finalisation.

The following minimum information shall be included in the P&IDs:

8.1.1 PIPING

• All process lines required for normal operation and abnormal conditions,
including start-up and shutdown.

• All utility lines required to individual process consumers. It stands clarified


that a cooling water line to an exchanger such as product cooler is a process
service and will have to be shown whereas water line to a pump casing
cooling is a non-process service and will not be shown.

• Line size, Line number & piping class designation and insulation types for all
process and utility lines. Line numbering philosophy shall be as per
LICENSEE.

• Special piping items, like valves, spectacle blinds, drains, vents, etc.

• Pressure relief valve inlet and outlet piping sizes (even if preliminary) and
annotations towards location relative to connected equipment.

• Insulation, heat tracing (steam or electrical) and jacketing wherever required


for process reasons.

• Requirements for sampling, special arrangements like elevation differences


of lines, sloping of lines, hot or cold flushing, purge blanketing, minimum
distance requirements, etc.

8.1.2 INSTRUMENTATION

• All instruments with their tag numbers for all operating modes of the unit
including startup, shutdown and emergency situations. Signals traversing
between P&IDs as well as at battery limits will bear flagged connecting
arrow-boxes.

• All instruments required from a process stand point on utility lines to


individual process consumers.

requirements for all instruments. Instrument numbering philosophy shall be
as per LICENSEE.

• Control loops and instruments for proper and safe operation.

• Size and air failure position of control valves. Type of control valve manifold
either in the P&ID itself or as a legend referring to a specific table of valve
size vis-a-vis manifold valve sizes to be followed.

• Clear identification of all hardware and software instruments both in field and
in control room, philosophy of automated trips and start-ups, alarms, etc.

• Set pressure and recommended size of pressure relief valves.

8.1.3 EQUIPMENT

The equipment on the P&IDs will show the tag number and service name along
with the following data in line with the information provided on equipment data
sheets:

• Vessels: Diameter, length/height, mechanical design pressure and


temperature.

• Heat exchangers & fired heaters: Rated heat duty, mechanical design
pressure and temperature, type of equipment, etc.

• Pumps & compressors: Rated volumetric flow rate, differential


pressure/head, mechanical design pressure and temperature.

• Functional outline sketch of equipment showing all connected process and


process related utility piping and nozzles.

• All internals for heaters / vessels / towers / reactors.

• Type and number of static and rotating equipment with driver type.

• Position and elevation requirements.

• Insulation / tracing requirements.

• All equipment required in the unit, major as well as minor, normal as well as
spare, shall be shown in the P&IDs.

8.2 PROCESS CAUSE AND EFFECT DIAGRAM

A Process Cause and Effect Diagram (PC&ED) shall be provided. The PC&ED
gives an overview of the process related safeguarding controls ("trips" or

The PC&ED shows causes (e.g., high pressure protection by a switch) and their
effects (e.g., plant depressurizing, compressor trip) in the form of a matrix-
diagram.

The PC&ED forms the basis for the detailed design of the safeguarding system
and has to be considered as an integral part of the P&IDs.

8.3 INTERLOCK DESCRIPTION AND LOGIC DIAGRAMS

Instrumentation Interlock descriptions and logic diagrams shall be provided.

9.0 PLANT DESIGN

9.1 PLOT PLAN

A conceptual plot plan for the unit with major dimensions showing layout all
process equipment, accessories and battery limit shall be provided. This drawing
shall include the following :

y Location of equipment based on construction / operating / maintenance


requirements and on safety aspects taking into consideration LICENSEE’s
broad requirement towards inter equipment distances and other applicable
safety norms, codes, standards/ guidelines.

y Plant limits and overall dimensions.

y Access roads and surrounding roads.

y Main pipe racks

y Main structures.

y Plant North, actual North and predominant wind direction data furnished by
LICENSEE.

LICENSOR’s hydraulic calculations have to necessarily correspond to this


indicative equipment layout and LICENSOR will ensure that so long as the
indicative layout is unchanged, all hydraulic calculation data (pump head, line
sizes, control valve operating pressure drops, etc.) provided by the LICENSOR in
BDEP will hold good.

LICENSOR shall review and approve the final unit plot plan developed during
detailed engineering.

LICENSOR will employ LICENSEE’s Piping Material Specification (PMS) which


would be provided to LICENSOR at the outset of the project. Only if absolutely
untenable, LICENSOR will be allowed to generate BDEP based on LICENSOR’s
own PMS. In such a case, LICENSOR is obliged to provide his observations on
LICENSEE’s PMS and deviations required therein to meet LICENSOR’s
requirement prior to the stage of BDEP finalisation. LICENSOR shall clarify his
position in his Technical Bid.

Piping specifications shall be provided based on fluid properties, corrosion


allowance, operating & design pressure / temperature. Specifications will also
indicate nominal size, rating and wall thickness (schedule), valving & welding
requirements, gasket types, flange facings and reinforcing requirements, if any.

9.3 LINE SCHEDULE

Line lists shall list all lines shown in the P&IDs and include line number, service,
description, line size, piping class designation, starting and ending points,
operating/design conditions, upset condition temperature and pressure (when
exceeding mechanical design conditions) and insulation designation.

9.4 INSULATION SPECIFICATIONS

Specifications for the various insulation types covering the requirements of all
equipment and piping shall be provided.

10.0 ELECTRICAL AND INSTRUMENTATION

10.1 ELECTRICAL

A summary of all process electrical consumers and their estimated normal and
maximum power consumptions shall be provided
Licensor shall also provide emergency power requirement for safe shutdown of
the plant during power outage.

10.2 INSTRUMENTATION

Process data sheets for all instruments covering all instruments loops (open &
closed and field & control room) indicating main components, operating
conditions, special conditions, etc.

For the specific types of instruments, the following minimum information shall be
provided:

10.2.1 CONTROL VALVES

Tag number, location, flow rates (minimum, normal & maximum), sizing pressure
drop, density & viscosity for liquids, molecular weight and compressibility factor for
gases, whether liquid is congealing, operating & mechanical design conditions, air

10.2.2 SAFETY/RELIEF VALVES

Tag number, location, sizing flow rates, set pressure, operating & relieving
conditions, allowable over pressure, density & viscosity for liquids, molecular
weight and compressibility factor for gases, whether liquid is congealing,
estimated valve size (to be finalised by detailed engineering contractor), etc. In
the case of flashing liquid discharges, outlet condition liquid and vapor flows and
physical properties will be provided for the specified superimposed back
pressure.

10.2.3 ANALYZERS

Tag number, location, type of analyser, composition of fluid to be analysed,


physical properties to be analysed, ranges of measurement, density & viscosity
for liquids, molecular weight and compressibility factor for gases, operating &
mechanical design conditions, alarm set point, control set point, etc.

10.2.4 TEMPERATURE AND PRESSURE INSTRUMENTS

Tag number, location, ranges, fluid properties data, operating & mechanical
design conditions, alarm set point, control set point, etc.

10.2.5 FLOW INSTRUMENTS

Tag number, location, flow rates (minimum, normal & maximum), allowable
pressure drop, density & viscosity for liquids, molecular weight and compressibility
factor for gases, whether liquid is congealing, operating & mechanical design
conditions, alarm set point, control set point, etc.

10.2.6 LEVEL INSTRUMENTS

10.2.7 Fire & Gas detectors: Tag Nos., Type, Location, LEL/UEL(forGD), alarm etc. to be
specified by the Licenser

11.0 DETAILED SUPERVISORY OPERATING MANUAL

The supervisory operating manual shall contain the following as a minimum:

y Recommended laboratory test procedures, LICENSOR’s own procedures if
different from ASTM methods, frequency of analysis, parameters to be
analysed for feed streams, products & intermediates
y List of laboratory equipments

The manual shall be adequate for the detailed engineering contractor or


LICENSEE to develop a detailed operating manual subsequently. LICENSOR
shall review the manual so developed.

12.0 DESIGN STANDARDS

List of Design Standards to be followed with respect to BDEP preparation would


be advised at the time of finalizing the basis of design.

Wherever LICENSOR’s own engineering standards are to be necessarily followed


with respect to equipment design, piping design, instrumentation design, etc., the
same shall be issued to LICENSEE at no extra cost.

13.0 SCOPE OF ENGINEERING SERVICES:

13.1 LICENSOR to include list of documents that will be required to be reviewed by


LICENSOR before construction of the plant and to include fees towards such
reviews in the engineering fees quoted by the LICENSOR.

13.2 LICENSOR shall provide separate quotations for the following services, over and
above the commercial offer towards BDEP.

13.2.1 HAZOP Studies

There shall be a comprehensive HAZOP study conducted by Detail Engineering


contractor (EIL) during the detailed engineering phase. LICENSOR shall quote
per diem and other applicable rates for 1 representative of LICENSOR to be
present in LICENSEE’s / DEC office for this study.

14.0 NUMBER OF COPIES

14.1 Three (3) sets of draft BDEP documents shall be submitted along with a soft copy.

14.2 Twelve (12) sets of final BDEP shall be submitted along with editable soft copy.

14.3 All drawings/documents shall be executed on software such as PDS, AutoCAD,


etc., and shall be compatible with the latest ERP software.
