Please allow m e to introduce m yself as the Executive Vice President of Adm inistration and Chief
Hum an Resources Officer for Halliburton. I am w riting you to outline how Halliburton em ployees
are expected to conduct them selves w hen dealing w ith your com pany.
Halliburton’s Code of Business Conduct requires that our employees treat suppliers fairly, w ith
honesty and integrity. Our supplier selections m ust be based solely upon the superior value
offered by any supplier in the goods and services they provide. In return, our suppliers should
expect to be paid a fair price in accordance w ith the agreem ents established betw een our tw o
com panies.
Attem pts by our em ployees to solicit or accept any form of consideration in exchange for
deviating from these principles is a clear and serious breach of our Code of Business Conduct and
w ill not be tolerated. Gifts and entertainment offered and accepted by our em ployees must be
nom inal in value and an accepted practice in the norm al course of business dealings. Nom inal
value should be defined as an am ount that a reasonable person could not construe as an attem pt
to influence behavior that conflicts w ith the principles expressed in this letter.
I am requesting your help to ensure that our collective business dealings are of the highest ethical
caliber. Specifically, I ask you to (1) confirm that your em ployees are aw are that any action
deviating from the above principles is strictly prohibited, and (2) encourage your em ployees to
report any related violations involving Halliburton em ployees to the Halliburton Ethics Helpline
listed below .
Reporting such incidents w ould be view ed as evidence of your com pany’s com m itm ent to the
honest, open and ethical business environm ent that w e both desire.
