PARTNERSHIP DEED

This deed of partnership is signed and executed on

this day of april 20165 at district swat between
Mr. Muhammad Tayyab S/o Hassan Ahmed . 1

maira, Swat
Mr. Muhammad Tahir S/o Hassan Ahmed, adult, resident
.of Mohallah Yousafabad Gumbad Maira District Swat

All hereinafter referred to as parties No.1 to 2 respectively.

Whereas the partners named above are desirous of

carryuing out of the business of Partnership amon
themselves under the name and style of MADEENA
DISTRIBUTOR along with the other poartner. Both the
partners have agreed among themselves to do the
business of sale /purchaswe/service/ workshop/parts of
MADEENA ENTERPRISE and all the products of MADEENA
ENTERPRISE as a dealer/of MADEENA ENTERPRISE on the
following terms and conditions, which will govern this
partnership of business:
1. the name of the partnership business thus
constituted shall be MADEENA ENTERPRISE .
2. that the firm shall deal the business of sale parts of
MADEENA ENTERPRISE and all products of MADEENA
ENTERPRISE as a dealer/ of MADEENA ENTERPRISE. The
firm is also at liberty to do any other business with the
mutual consent of both partners and MADEENA
ENTERPRISE.
3. that the business thus, consented shall commence
from 1986 and the books of accounts shall be closed and
adjusted on 30th day of June of every calendar yuear. The
books of accounts shall be kept at the head office of the
firm. which will be at GT Road Odigram Swat. The other
brancches of the firm could be openedc when and where
needed with the mutual consent of both the partners.
4. That the profit and loss of the partnership business shall
be distributed amont the partners are as under:
a) Muhammad Tayyab 50%
b) Muhammad Tahir 50%
Both the partners are capitalist as well as working partners
5. That the capital investment shall be as per books of
accounts.
6. That Mr. MUHAMMAD TAYYAB act as a MANAGING
PARNTER of the firm.
7. That the managing partner shall be authorized to signed
any documents paper/s. and other to the aggrement, on
behalf of above firm and is also authorized to deal various
Government and semi government department/offices
including banks, financial institution on behalf othe above
firm and to represent the firm in all such offices and b anks
andhis signature shall be binding on the other partner.
8. That the Managing partner are also authorized to
borrow money and raise load from any banks or financial
institute on the manner he deem fit for the (= benefit of
the firm and may create a register mortgage the property
ofthe firm in favour of the banks/s from whom he obtained
the load by the way of continuing security andassurance of
payment of bank/s orfinancial institutions load etc by
representing the firm.
9. That the account of the firm shall be oepend in any
scheduled bank and its shallbe operated with one
signature ofthe partners. 1. Muhammad dTayyab and 2.
Muhammad Tahir.
10. That the books of the firm shall be maintained and the
same shall be closed on the 30 th day of June ofevery
calendar year and the same shall be remained open for
inspection by the partner at all the convenient time. ,
partnership thus constituted shall commence from April
2016 .
11 That in the event any dispute amongst the partners, the
matter shall be referred to arbitrators with mutual consent
and such decision from the arbitrators shall be binding and
effective.
12. That both the partners shall work with mutual
consent and no partner shall work on his own accord.
13. That the business of parnership of shall be done lyally
and with integrity and the partnership shall be AT WILL .
14. That any part can retire from the partnership business
by givingtwo months prior notice in written of his
intensions to do any thereafter the remaining partners
shall continue the partnership witness among themselves
or by admitiing any other person as partner.
15. That the event of death of any partner or
withdrawals of any partner, the partnership business shall
continues up to the next accounting period, when a fresh
agreement may be drawn up.]
