Confidentiality and Non-Disclosure

Agreement

It is understood and agreed that Vox Dei Protocol Systems, Inc., hereby referred to as the
Company, and the Recipient, hereby referring to an employee, independent contractor, or any
person contracted by the Company, would like to exchange certain information that may be
considered confidential. To ensure the prevention and protection of such information and in
consideration of the agreement to exchange said information, the parties agree as follows:

1. The confidential information to be disclosed by the Company under this Agreement can be
described as and includes:

(a) Information disclosed to the Recipient in writing when contained in a document marked
as “Confidential”

(b) Information disclosed orally to the Recipient by the Company when identified as
confidential at the time of disclosure;

(c) Records and documents of the Company, whether produced or acquired and regardless
of form (hardcopy, softcopy, other media, etc.), and all other information pertaining to its
business of affairs including, but not limited to, information, financial statements, and
deals with, employee corporate and/or personal information, financial statements, and
plans regarding future development, as well as technical knowledge and information
contained in technical manuals, diskettes, compact discs, intranet or other forms of
software related to the Company’s operations or services, regardless of whether such
information is designated as “Confidential” at the time of its disclosure; and

(d) Such other information, the unauthorized disclosure of which may threaten or cause
damage to the Company.
2. All confidential information the Recipient may receive or develop, in the course of his
employment or by virtue of his contract connected with employment or any other agreement
by virtue of which Recipient may acquire Confidential Information, with the Company are
private property of the Company. The Recipient must keep in strict confidence all such
information he may acquire concerning Company affairs, except as his normal duties and
functions may require or as the Company may otherwise authorize in writing, or to the extent
that the disclosure of such confidential information is compelled by operation of law.
3. Any confidential information the Recipient may receive, in the course of his employment or
by virtue of his contract connected with employment or any other agreement by virtue of
which Recipient may acquire Confidential Information, shall be used only for the
contemplated purpose, and shall not be otherwise used or disclosed without the written
authorization of the Company. The Recipient shall not divulge to unauthorized fellow
employees or any other person any confidential matter or information which he may come to
know in the course of his duties and functions as an employee or contractor of the Company.
Neither shall he disclose, reproduce, communicate or use to the detriment of the Company

 or for the benefit of any other entity or individual such confidential information, or otherwise
misuse any information, trade secrets or confidential knowledge or data pertaining to the
Company.

4. All records, documents, data and other properties in the custody or control of the Recipient
shall be immediately surrendered to the Company, if requested during the period of his
employment or by virtue of his contract connected with employment or any other agreement
by virtue of which Recipient may acquire Confidential Information and at the termination
thereof, whether or not requested.

5. The Recipient will not disclose his salary and compensation or consideration or other
Company employee’s salary and compensation or consideration to fellow employees or any
other person connected, whether directly or indirectly, to the Company, except as his normal
duties and functions may require, or as the Company may otherwise authorize in writing, or
to the extent that the disclosure of such information is compelled by operation of law.

6. This agreement shall not be construed as creating, conveying, transferring, granting or

conferring upon the Recipient any rights, license or authority in or to the information
exchanged, except the limited right to use Confidential Information, particularly when normal
duties and functions may require, or as the Company may otherwise authorize in writing, or
to the extent that the disclosure of such confidential information is compelled by operation of
law.

7. In case of violation or threatened breach of any of the obligations or provisions set forth
above, the Company shall have the right to enjoin or restrain the Recipient from continuing
with such acts through the appropriate processes. In addition, the Recipient shall be liable to
the Company for liquidated damages and, in lieu thereof, bring an action for damages
against the Recipient. In such an event, the Company shall be entitled to recover from the
Recipient all costs and expenses incurred in connection with such legal recourse including all
attorney’s fees. The payment of damages, whether actual or liquidated, shall not discharge
the Recipient from further compliance with the confidentiality policy and its corresponding
obligations, and is without prejudice to the imposition of administrative sanctions.

8. Any addition or modification to this Agreement must be made in writing and signed by
authorized representatives of both parties. This Agreement is made under and shall be
construed according to the laws of the Republic of the Philippines.

9. If any of the provisions of this Agreement are found to be unenforceable, the remainder shall
be enforced as fully as possible and the unenforceable provision(s) shall be deemed
modified to the limited extent required to permit enforcement of the Agreement as a whole.

WHEREFORE, the parties acknowledge that they have read and understand this Agreement
and voluntarily accept the duties and obligations set forth herein.
