LOGISTICS SERVICE AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This LOGISTICS SERVICE AGREEMENT (“AGREEMENT”) made and entered into this 3 rd day of
January 2019 in Dasmariñas City, Cavite by and between:

NYK TDG PHILIPPINES, INC., a corporation organized and exiating under the laws of
the philippines, with office address at Bacnotan Drive, Bo., Real Calamba City, Laguna,
represented herein by its General Manager, JOSE REMIGIO L. CASTAÑEDA, who has been
duly authorized, hereinafter referred to as “NTPI”

-and-

DLV TRUCKING SERVICE, an owned business service duly organized and existing under the
laws of the Philippines with office address at Blk A7 Lot 2 Brgy. Luzviminda 1 City of
Dasmariñas Cavite, Philippines, represented herein by the owner, DANILO L. VILLOTE,
hereinafter referred to as “DLV”.

WHEREAS, NTPI is engaged in the business of total auto logistics operation;

WHEREAS, DLV is engaged in the business of trucking services, transportingcarrying

goods and operating various types of trucks and transport equipment to any point inthe
philippines for automotive companies and logistics services providers doing business in the
country;

WHEREAS, DLV, has offered its services to NTPI, and the latter has agreed to engaged
the services of DVL in relation to its distributionof vehicles, parts and various types of cargo for
its clients, subject to the payment of corresponding logistics service fee;

WHEREAS, NTPI accepts the proposed services of DLV.

NOW THEREFORE, for and in consideration of the foregoing and the covenants
hereinafter contained, the parties hve mutually agreed as follows;

1) SERVICE AGREEMENT

NTPI, hereby engages the trucking and various transport services of DLV, and
the latter hereby agrees, to be the logistics service provider of NTPI to handle the
trucking related requirements of NTPI in connection with the trucking
requirements for their automotive logistics business.

2) OBLIGATION / OPERATIONAL PROCESS

As the logistics provider of NTPI, DLV’s Responsibilities and obligations shall

include among others:

a.) Provide prompt and expiditious trucking services and other related handling
of cargoes in accordance with NTPI’s requirements.
b.) Received and inspect the vehicles and other types of cargoes from its
designated loading point.
c.) Load and discharge the vehicle and other types of cargoes to and from the
truck up to the designated delivery point.
d.) Monitor and provide the appropriate reports to ensure that all vehicles and
other types of cargoes are properly well accounted for.
e.) Report daily del;ivery output, inventory, and all vehicles and other reports
related to cargoes being transported using the various types of transport
equipment.
