ADDENDUM TO MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This ADDENDUM TO MEMORANDUM OF AGREEMENT (“Addendum”) is made and entered by


and between:

HELPMATE INCORPORATED, a corporation duly organized and existing under the laws of the
Republic of the Philippines with principal place of business at N. Bacalso Avenue, Cebu City,
represented herein by its Operations Manager, CESAR J. REBOSURA, hereinafter referred to as
“SUPPLIER”;

- and -

PSALM PROPERTY VENTURES AND DEVELOPMENT CORPORATION, a corporation duly organized


and existing under the laws of the Republic of the Philippines with principal address at N & N Arcade
S.B. Cabahug St., Mandaue City, represented by its Manager, AVELINO ALVENIZ, hereinafter referred to
as “CUSTOMER”;

WITNESSETH:

WHEREAS, the SUPPLIER and CUSTOMER have an existing Memorandum of Agreement for the
supply of potable water to One Hundred Twenty Four (124) housing units at club 30 Heights
Subdivision, Barangay Tubod, Minglanilla, Cebu, signed and executed by the parties on September 3,
2013, and notarized before Notary Public Atty. Delon Richel Ramon B. Urot on September 3, 2013 and
recorded in his notarial register as Document No. 243, Page No. 49, Book No. 57, Series of 2013;

WHEREAS, the subdivision plan of the CUSTOMER has been change from its originally approved
subdivision plan containing of One Hundred Twenty Four (124) units to its new and currently approved
subdivision plan containing of Two Hundred Eight (208) units, thereby having an increase of Eighty Four
(84) housing units at Club 30 Heights Subdivision;

NOW, THEREFORE, for and in consideration of the foregoing premises and mutual covenants of
the parties contained herein, the SUPPLIER and CUSTOMER further agree that:

1. The CUSTOMER shall pay an upfront Non-refundable Connection Charge of SIX THOUSAND FIVE
HUNDRED PESOS (P 6,500.00) per unit for the additional eighty four (84) units, payable as
follows:

a) A down payment in the amount of ONE HUNDRED NINE THOUSAND TWO HUNDRED PESOS
(P 109,200.00) shall be paid upon the signing of this agreement.

b) The balance of FOUR HUNDRED THIRTY SIX THOUSAND EIGHT HUNDRED PESOS (P
436,800.00) shall be paid in twelve (12) equal monthly installment, with an interest of
twelve percent (12%) per annum.

2. The parties hereby adopt all other terms and conditions of the Memorandum of Agreement.

IN WITNESS WHEREOF, the parties have hereunto affix their signatures below this ____ day of
