Re: Retainer Agreement

Gentlemen/Ladies:

We are pleased to present this proposal for the engagement of our Firm as legal counsel to
Company Name (hereinafter, the “Company”) on general retainer.

Effectivity Date: January ___ 2020 to January __ 2021

Scope of Retainer: The general retainer shall cover all services in the nature of
consultations, advice and opinion on general law, contracts, labor, corporation, property, tax, local
government and relevant regulations applicable to the Company, and other legal matters and/or
review of short contracts and other documents, which are required in the ordinary course of
business of the Company, including representation before government agencies in the province of
Cebu.

We hope that the availability of our Firm to provide you with regular legal advice will
preclude your involvement in any serious legal problems.

For this purpose, our Atty. Francisco Malilong, jr. and Atty. Francis N.V.E Malilong will handle
your account with the assistance of other lawyers of the Firm.

Retainer Fee: Our retainer fee shall be Php 20,000.00 per month, payable within the first
five (5) days of each given month. Any value added tax on our retainer fee shall be for your account
and shall be separately identified in our billing statement.

The foregoing retainer fee shall be subject to adjustment upon mutual agreement of the
parties following an annual review to determine whether the fee is equitable both to us and to you,
taking into account principally the volume of work, the nature of services rendered and the
complexities of the problems we handled for the Company.

Other Services: Our Firm is also available for legal services involving special projects
and services requiring litigation or appearances before judicial, quasi-judicial, legislative or
administrative bodies or offices.

Special projects, as well as those involving extraordinary time, effort and responsibility, shall
be subject to separate fees which we will be happy to discuss with you.

For litigation services, we normally charge an acceptance fee of Php 50,000.00 on a per-case
basis. As part of the general retainer, we are happy to waive any acceptance fee related to the
representation of the Company in criminal, civil, labor and administrative cases within the province
of Cebu. However, we will charge reasonable fees for the preparation of pleadings as well as
appearance fees for hearings that we will attend for these cases. These fees, which will be charged
in addition to the retainer fee, will be included in the monthly billing statement.

Out-of-Pocket Expenses: Ordinary out-of-pocket expenses such as photocopying
charges, overseas telephone and facsimile charges, per diems and transportation and
accommodation expenses incurred in undertaking work outside of Metro Cebu, as well as special
out-of-pocket expenses that you may authorize us to incur (which will always be cleared with you in
advance) shall be for your account.

Billings: We will bill you monthly for our retainer fee, and from time to time for our
fees on other services as may be agreed with you. The billings will include any expenses advanced
for your account.

Conflict of Interest: In case any matter or problem should arise between the Company
and another client of our Firm, by virtue of which we might have a conflict of interest under our
Code of Professional Responsibility, we reserve the right to inhibit ourselves from representing the
Company and/or our other client in so far as that particular matter or problem is concerned.

Termination: This retainer agreement is subject to termination by either party upon sixty
(60) days notice in writing.

We are enclosing herewith an extra copy of this letter. If the foregoing meets your approval,
please indicate your conformity in the space provided below and return to us a copy with your
signature.
