Instakart invites bids to participate for request for proposal(s) (RFP) for Design, Finance, Supply,
Install, Test, Commission, Operate and Maintain Rooftop Solar PV Systems on Instakart
warehouse, West Bengal

1. INTRODUCTION

1.1 This RFP is released by Instakart Services Pvt Ltd (the “Off Taker”), for inviting
bids for Design, Finance, Supply, Install, Test, Commission, Operate and
Maintain Rooftop Solar PV plant (including Power Evacuation system) on Off
Taker’s warehouse at Haringhata Industrial park, in the state of West Bengal
(hereinafter referred as the “Project”).
1.2 The RFP targets installation of grid-connected rooftop solar PV project. The
generated power shall be utilised for meeting power requirements of the Off
Taker’s warehouse.
1.3 The Project developer (hereinafter referred to as “Bidder”) shall be responsible
for Design, Finance, Supply, Install, Test, Commission, Operate and Maintain
Rooftop Solar PV Systems for 25 years in accordance with the provisions of the
draft Power Purchase Agreement (PPA) as provided in Appendix 10.
1.4 Bidders are advised to carefully read and understand all instructions and
conditions appearing in this document, as modified, altered, amended and
clarified from time to time by the Off Taker, and shall furnish all required
information and documents as mentioned herewith. Failure to do so can render
bid to be technically unacceptable.
1.5 The Off Taker shall receive bids in accordance with the terms set forth in this
RFP and other documents to be provided pursuant to this RFP (collectively the
"Bidding Documents"), as modified, altered, amended and clarified from time to
time by the Off Taker, and all bids shall be prepared and submitted in accordance
with such terms
1.6 The bidder shall ensure installation of minimum 2 MW system on Off Taker’s
warehouse. Post assessment of Off Taker’s load and rooftop premises, bidder
should propose system size ensuring maximum Off Taker power savings.
1.7 The bidder shall be deemed to know the scope, nature and magnitude of works
and requirement of materials, equipment, tools and labour involved, wage
structures and as to what all work he must complete in accordance with the bid
documents irrespective of any defects, omissions or errors that may be found in
the bid documents

2. DESCRIPTION OF BIDDING PROCESS

2.1 Off Taker has adopted a two-stage process (the “Bidding Process”) for selection
of Bidders for award of the Projects and invites Bids from eligible bidders in
accordance with the terms of this RFP. The Off Taker or any of its assignee shall
not be held responsible for failure on part of the Bidder to furnish all or any of the
documents as part of its Bid. No correspondence shall be entertained by Off Taker
in this regard.
2.2 The Bidders are requested to submit their Bids in accordance with the Bidding
Documents. The Bid shall be valid for a period of not less than 12 months from
the date specified (“Bid Due Date”).
2.3 The Bidding Documents include the Request for Proposal and draft Power
Purchase Agreement (PPA) for the Project. The Bidding Documents and any
addendum issued subsequent to this RFP, but before the Bid Due Date, will be
deemed to form part of the Bidding Documents.
2.4 Bidders would need to submit the following sets of documents as part of their
Bid:
a. Technical Bid in which the Bidders would be required to provide details
regarding compliance with the eligibility conditions as per clause 3.2
b. Price Bid to be submitted as per the format provided. For the purpose of
providing clarity on the Price Bid to Bidders, a specimen for the Price Bid
is provided in Appendix – 8
The first stage of evaluation of the Bid submissions would be carried out as
follows:
a. The first stage would involve opening and evaluation of the Technical
Bid documents and a test of responsiveness based on the provisions of
clause 4.3 of the RFP. Those Bids found to be substantially responsive
would be evaluated in the second stage. Off Taker reserves the right to
seek any document or additional information for the purpose of
clarification.
b. In the second stage, the information furnished by the Bidders relating to
their eligible experience, Technical Capacity and Financial Capacity

(“Eligibility Criteria”) would be evaluated as per clause 3.2 and clause
3.3 of the RFP. Bidders who meet the Eligibility Criteria would qualify
for the Price Bid evaluation.
c. In the third stage, the Price Bid of only the Bidders meeting the Eligibility
Criteria would be evaluated as per provision of Clause 4.5

2.5 Price Bids are invited for the Project based on the generation of electricity and
tariff of electricity supplied to the Off Taker (“Tariff”) provided by the Bidder for
implementation of the Project as per Appendix 8. Bidder is also requested to
provide purchase price details of Project as per Appendix 9.
2.6 In the second stage post evaluation of technical and commercial bids Off taker
will invite “Preferred Bidder(s)” for commercial discussion/e-sourcing event in
order to select suitable technically and commercially qualified bidder
2.7 Any queries (including any discrepancy, ambiguity and error with specific clause
number) or request for additional information concerning this RFP shall be
submitted by e-mail to contact person mentioned in clause 2.8. The e-mail shall
clearly bear the following subject:

3. BID CRITERIA

3.1 The Bidder should be either a body incorporated in India under the Companies
Avt,1956 or 2013 including any amendment thereto and engaged in business of
Solar Power. A copy of certificate of incorporation shall be furnished along with
the bid in support of above.
3.2 Technical Eligibility Criteria:
a. The bidder should have designed, supplied, erected and commissioned
as a Power Producer or Contractor, Solar Photo Voltaic based grid
connected power plant(s) of cumulative installed capacity of 20 MWp or
above in the last three years of which at least 10 MWp should be Grid-
Connected Rooftop Solar PV Power Plants.
b. Bidders should have executed grid connected solar rooftop PV projects,
each of capacity not less than 1 MW
c. Bidders should have experience in Design, Build, Own and Operate
mode of execution
d. Bidders should submit the list of projects commissioned at least 12
months prior to Technical Bid opening date, indicating whether the
project is grid connected (including scope such as designed, engineered,
procured, constructed, installed), along with a copy of Commissioning
certificate and Contract/Work Order in support of above
e. Bidder should have presence in state of West Bengal
f. Bidder should have experience in execution of solar projects for
commercial institutions, warehouses will be preferred

3.3 Financial Eligibility Criteria:


a. Net Worth: The “Net Worth” of the Bidder should be at least of Rs. 2000
Lakhs for the last Financial Year and shall be profit making organization
during the last three financial years
b. Bidder shall submit audited balance sheet for the last 3 (three) financial
years. In case the annual accounts for the latest financial year are not
audited and therefore the Bidder cannot make it available, the Bidder

shall give an undertaking to this effect and the statutory auditor shall
certify the same. In such a case, Bidder shall provide the Audited Annual
Reports for 3 (three) years preceding the year for which the Audited
Annual Report is not being provided.

3.4 For the purpose of ascertaining qualification, Technical Criteria/Financial


Criteria of Parent Company/Affiliates (“Parent Company/Affiliates”) can also be
submitted by the Bidder in addition to its own Financial Criteria. The Financial
Criteria would be summation of the Financial Criteria of the Bidder and the
Parent Company/Affiliates. For the purpose of this RFP, a Parent
Company/Affiliates shall mean-
a. A Business Entity, which directly or indirectly holds not less than 26%
of voting securities in the Bidder; or
b. A Business Entity in which the Bidder directly or indirectly holds not less
than 26% of voting securities.
The Parent Company/Affiliates shall be a Company incorporated under the
Companies Act 1956/2013 or under an equivalent law abroad, if it is a foreign
company. The details of Parent Company/Affiliates must also be provided as per
Appendix 6 of the RFP.
3.5 Bid submitted by bidding company

a. The Bidder shall designate one person to represent the Bidding Company
in its dealings with Instakart.

The person should be authorised to perform all tasks including, but not limited to
providing information, responding to enquiries, signing of bid etc. The Bidding
company should submit, along with bid, a power of attorney in original as per
Appendix 7, authorising the signatory of the bid.

3.6 Each bid is required to be submitted in two parts:

a. Technical bid(s), referred as Envelope – I (Techno – Commercial


documents: Part -A)

b. Price bid in sealed envelope, referred as Envelope – II (Covering Letter
& Price Bid: Part -B)

The proposal must be submitted in both original (with sign and stamp on all
pages) in a sealed envelope and scanned copies through e-mail before Bid Due

All envelopes should be placed in outermost envelope. All the envelopes should
be super-scribed as “Bid Implementation of Grid Connected Rooftop Solar PV
System Under RESCO mode on Instakart warehouse, West Bengal”; “Envelope
- I (Covering Letter & Techno – Commercial offer)” ; “Envelope – II (Price Bid)”

Authorised signatory shall sign all the pages of the Bid.

No change or supplemental information to Bid will be accepted after the Bid Due
Date unless the same is requested for by Off Taker.

4. EVALUATION CRITERIA

4.1 Opening and evaluation of bids:

a. The Off Taker shall open the Bids as per the Schedule of Bidding process
specified in Clause 2.9.
b. To facilitate evaluation of Bids, the Off Taker may, at its sole discretion,
seek clarifications in writing from any Bidder regarding its Bid.
c. Any information contained in the Bid shall not in any way be construed
as binding on the Off Taker, its agents, successors or assigns, but shall be
binding against the Bidder if the Project is subsequently awarded to it
under the Bidding Process based on such information.

d. The Off Taker reserves the right not to proceed with the Bidding Process
at any time without notice or liability and to reject any Bid without
assigning any reasons

4.2 THE EVALUATION PROCESS COMPRISES THE FOLLOWING


FOUR STEPS:

Stage I

a. Responsiveness check of Technical Bid


b. Evaluation of Bidder’s fulfilment of Eligibility criteria
c. Evaluation of Price Bid

Stage II

a. Commercial negotiation with Preferred Bidders

4.3 Responsiveness Check of Techno – Commercial Bid:

Prior to evaluation of Techno-Commercial bid submitted by Bidders, the Off


Taker at its sole discretion shall scrutinise bids to establish responsiveness to the
requirements of RFP :

a. Bids that are incomplete, i.e. not accompanied by any of the applicable
Appendices (Appendix 1 to 9)
b. Bid not signed by authorised signatory in the manner indicated in RFP
c. Material inconsistencies in the information/ documents submitted by
bidder; affecting eligibility criteria
d. Information not submitted in the formats specified in RFP
e. Bid not received by Bid Due Date
f. Bid having conflict of interest
g. More than one bidding company using the credentials of same parent
company
h. Bidder makes any misrepresentation

The Off Taker reserves the right to reject any Bid which is non-responsive and
no request for alteration, modification, substitution or withdrawal shall be
entertained by the Off Taker in respect of such Bid.

4.4 Only those Bidders whose Bids are responsive in accordance with provisions of
Clause 4.3 above shall be considered for evaluation. Evaluation of Bidder’s
eligibility will be carried out based on information furnished by bidder and related
documentary evidence in support of meeting the eligibility criteria as specified in
Clause 3.2 and Clause 3.3. Non-availability of information and related
documentary evidence for satisfaction of Eligibility criteria may cause bid to be
non -responsive.

4.5 The Price Bid of the Bidders adjudged as responsive in terms of Clause 4.3, and
who meet the Eligibility Criteria (Clause 3.2 and Clause 3.3) shall be opened. As
per Off Taker’s technical and commercial bid evaluation Preferred Bidder(s) will
be selected for stage II.

4.6 In Stage II post evaluation of technical and commercial bids Off Taker will
invite Preferred Bidders for commercial discussion/e-sourcing event for selection
of suitable technically and commercially qualified bidder (“Successful Bidder”)

4.7 Project may be awarded at the sole discretion of the Off Taker. After selection of
Successful Bidder, a letter of Award (LOA) will be issued to Successful Bidder
stating that the Off Taker wants to appoint the Successful Bidder as the Power
Producer. Bidder shall have to send the acknowledgement for the same within
three days. Successful Bidder will share detailed Project execution and Project
management plan along with timelines.

4.8 Successful Bidder selected shall execute a 25-year Power Purchase Agreement
(PPA) with the 'lock in' period of 10 years. It shall be the discretion of the Off
Taker to either continue with the same PPA for 25 years post lock in period,
renegotiate unit price based on the prevailing market conditions or terminate the
agreement due to unsatisfactory Project performance or governance issues post
10 years of competition as per Appendix 10. Successful Bidder shall not be

entitled to seek any deviation from the PPA shared as Appendix 10, as may have
been amended by the Off Taker prior to the Bid Due Date.

4.8 Successful Bidder shall be given four months from date of execution of PPA for
commissioning of complete scope of Project

4.9 If the bidder fails to commission the Project within specified time as per clause
4.8, penalty on per day basis as per clause 6.6 will be levied.

5. INSTRUCTION TO BIDDERS

5.1 General terms of Bidding

a. A Bidder is eligible to submit only one Bid for the Project.


b. Notwithstanding anything to the contrary contained in this RFP, the
detailed terms specified in the draft Power Purchase Agreement (PPA)
shall have overriding effect; provided, however, that any conditions or
obligations imposed on the Bidder here under shall continue to have
effect in addition to its obligations under Power Purchase Agreement
(PPA).
c. The Price Bid should be furnished clearly indicating the Tariff. The
format of the Price Bid is provided as Appendix 8 of this RFP.
d. The Bidder should submit a Power of Attorney as per the format of
Appendix 7, authorising the signatory of the Bidder to submit the Bid.
e. The Bid and all communications in relation to Bidding documents are
required to be in the English language. Supporting documents and printed
literature furnished by the Bidder with the Bid may be in any other
language if they are accompanied by appropriate translations of the
pertinent passages in the English language, duly authenticated and
certified by the Bidder. Supporting materials, which are not translated
into English, may not be considered. For the purpose of interpretation and
evaluation of the Bid, the English language translation shall prevail.
f. The Bidding Documents shall remain the property of the Off Taker and
are transmitted to the Bidders solely for the purpose of preparation and

submission of a Bid in accordance herewith. Bidders are to treat all
information as strictly confidential and shall not use it for any purpose
other than for preparation and submission of their Bid. The Off Taker will
not return any Bid, or any information provided along therewith.
g. A Bidder shall not have a conflict of interest (the “Conflict of Interest”)
that affects the Bidding Process. Any Bidder found to have a Conflict of
Interest shall be disqualified.
h. These Bidding Documents are not transferable.

5.2 The Bidders shall be responsible for all the costs associated with the preparation
of their Bids and their participation in the Bidding Process. The Off Taker will
not be responsible or in any way liable for such costs, regardless of the conduct
or outcome of the Bidding Process.

5.3 It shall be deemed that by submitting a Bid, the Bidder has:

a. made a complete and careful examination of the Bidding Documents;


b. received all relevant information requested from the Off Taker;
c. acknowledged and accepted the risk of inadequacy, error or mistake in
the information provided in the Bidding Documents;
d. satisfied itself about all matters, things and information necessary and
required for submitting an informed Bid, execution of the Project in
accordance with the Bidding Documents and performance of all its
obligations thereunder;
e. acknowledged and agreed that inadequacy, lack of completeness or
incorrectness of information provided in the Bidding Documents shall
not be a basis for any claim for compensation, damages, extension of time
for performance of its obligations, loss of profits etc. from the Off Taker,
or a ground for termination of the Power Purchase Agreement (PPA);

5.4 Notwithstanding anything contained in this RFP, the Off Taker reserves the right
to accept or reject any Bid and to annul the Bidding Process and reject all Bids at

any time without any liability or any obligation for such acceptance, rejection or
annulment, and without assigning any reasons thereof.

5.5 Verbal clarifications and information given by Off Taker or its employees or
representatives shall not in any way or manner be binding on the Off Taker.

5.6 At any time prior to the Bid Due Date, the Off Taker may, for any reason, whether
at its own initiative or in response to clarifications requested by a Bidder, modify
the Bidding Documents by the issuance of corrigendum.

5.7 Any addendum thus issued will be communicated to the bidders. In order to
afford the Bidders a reasonable time for taking an addendum into account, or for
any other reason, the Off Taker may, at its own discretion, extend the Bid Due
Date. Information about extension of the Bid Due Date will be communicated.

5.8 Validity of Bids:

The Bids shall be valid for a period of not less than 12 months from the Bid Due
Date (the “Bid Validity Period”). The Bid Validity Period may be extended by
mutual consent of the respective Bidders and the Off Taker.

5.9 Late Bids:

Bids received by the Off Taker after the specified time on the Bid Due Date shall
not be eligible for consideration and shall be summarily rejected.

5.10 Modifications/ Substitution/ Withdrawal of Bids

a. No Bid can be withdrawn during the period after Bid Due Date and
during Bid Validity Period.

6. OTHER PROVISIONS

6.1 Bidder must obtain all the necessary approvals/consents/clearances required for
setting up (including erection, testing, commissioning and O&M of the Project
and grid connectivity) of Project as per West Bengal Policy on Co-generation and
Generation of Electricity from Renewable Sources of Energy, 2012 and /or

relevant state/central electricity regulations. The Off Taker shall not have any
responsibility in this regard.

6.2 Connectivity with the grid

Bidder shall be responsible to evacuate the power from Project to grid as per the
Net Metering scheme and regulations applicable in state of West Bengal.

Bidder shall be responsible for synchronisation of Off Taker’s DG set with solar
rooftop system.

6.3 Price bids are inclusive of taxes and duties. However, bidder may obtain tax
exemptions, if available, from concerned Central/State government, as
appropriate. Off Taker will not be responsible for providing any tax exemptions
to the bidder. Electricity Duty, if any, on consumption of solar power by Off
Taker will be borne separately.

6.4 This Project is for grid connected system and hence standalone system is not
permitted under this project

6.5 During grid failure, the Project will stop generating. All such instances of grid
failure should be mentioned in monthly report and needs to be authorised by the
Off Taker. Only then, the said non generation period will be excluded in
calculation of capacity utilisation factor (CUF).

6.6 Penalty for delay in project execution:

a. Penalty on per day basis (to be mutually agreed between Off Taker and
Bidder) on a 4 months period will be levied from the date of execution of
Power Purchase Agreement (PPA) as per clause 12.1 e of Appendix 10
b. If project is not commissioned within 8 months from the date of execution
of PPA the PPA will stand cancelled at the sole cost of Bidder

7. TECHNICAL SPECIFICATIONS

7.1 The Bidder are hereby advised in respect of minimum technical requirements,
quality standards, best practices and specifications for completion of proposed

Project as given below.
The specifications of Project, for which the bidders are invited, are as under.
The Project shall consist of following equipment/components.

A. Solar PV modules consisting of required number of Crystalline PV


modules.
B. Grid interactive Power Conditioning Unit with Remote Monitoring
System.
C. Mounting structures.
D. Junction Boxes where necessary.
E. Earthing and lightening protections.
F. IR/UV protected PVC Cables, pipes and accessories.
G. Solar Meter and Bi-directional Energy Meter

7.2 Solar photovoltaic modules:

Solar Photo voltaic module, by far the most important component of the solar PV
system. The supplier should adopt the Multi or Mono crystalline based flat type
Solar PV Module as detailed in this specification:

a. The Module shall be Multi or Mono crystalline module with the peak
capacities of >330 Wp (for Multi) and > 355 Wp (for Mono) with
maximum efficiency in that class of modules. Each SPV module shall be
checked for conformity with relevant standard and back label certificate
with the rated output in the positive tolerance up to +3% manufacturers
tolerance.
b. The module conversion efficiency shall be minimum 16.5% (for Multi
Crystalline) and minimum 18.5% (for Mono Crystalline) under standard
test conditions. The cell should have minimum fill factor of 0.74.
c. All materials used in the Solar PV module shall have a proven history of
reliability and stable operation in external applications. It shall perform
satisfactorily in high relative humidity with atmospheric temperatures
prevailing at the site and should have lowest temperature coefficient and

shall withstand gust prevailing at site on the surface of the panel. The
Solar PV Module shall be made of high transitivity materials and front
surface shall give high encapsulation gain.
d. Solar PV Cells offered for this project shall be tested as per testing
standards for its characteristics, surface condition, surface profiling,
thickness shape, flatness measurements, etc.
e. The front surface of the module shall consist of impact resistant, low iron
and high transmission, toughened, plain/patterned glass.
f. The back sheet of the PV module shall be Tedlar based (TPE or TPT or
TPX are acceptable).
g. The module frame shall be made of corrosion resistant materials,
preferably having anodized Aluminium. The bidder shall carefully design
& accommodate requisite numbers of the modules to achieve the rated
power in their bid.
h. The PV modules shall be equipped with IP67 or higher protection level
junction box with a minimum of 3 (three) or adequate numbers of bypass
diodes of appropriate rating. The Module junction box should have
weatherproof lid, cable gland entry points and appropriately sized output
power copper cable of symmetric length with MC4 or MC4 equivalent /
compatible solar connectors.
i. Modules deployed must use a RF identification tag. The following
information must be mentioned in the RFID used on each module (This
can be inside or outside the laminate but must be able to withstand harsh
environmental conditions).
(i) Name of the manufacturer of the PV module
(ii) Name of the manufacturer of Solar Cells.
(iii) Month & year of the manufacture (separate for solar cells and
modules)
(iv) Country of Origin (separately for Solar Cell and Module)
(v) I-V curve for the module
(vi) Wattage, Im, Vm and FF for the module

(vii) Unique Serial No and Model No of the module
(viii) Date and year of obtaining IEC PV module qualification
certificate.
(ix) Name of the test lab issuing IEC certificate.
(x) Other relevant information on traceability of solar cells and
module as per ISO 9001 and ISO 14001
j. Modules should have the IEC certifications and procured from reputed
and well-established manufacturer. The PV modules used shall conform
to the latest edition of IEC 61215 and IS 14286 (Terrestrial photovoltaic
(PV) modules - Design qualification and type approval). The PV modules
shall also conform to IS/ IEC 61730 (Photovoltaic (PV) module safety
qualification: Requirements for construction and testing. The contractor
shall also furnish IEC 61730 certificate and test reports (for safety
qualification testing) at 1000V DC or 1500V DC for the offered PV
modules.
k. The PV modules used must qualify to the latest edition of IEC PV module
qualification test or equivalent BIS standards Crystalline Silicon Solar
Cell Modules IEC 61215 and IS14286, IEC 61853-Part I, IS 16170-Part
I for Photovoltaic (PV) module performance testing and energy rating,
Irradiance and temperature performance measurements and power rating.
In addition, the modules must confirm to IEC61730 Part-2- requirements
for construction & Part 2 – requirements for testing, for safety
qualification or equivalent IS. For the PV modules to be used in a highly
corrosive atmosphere throughout their lifetime, they must qualify to IEC
61701/IS 61701.
l. Modules are to be 100% EL tested.
m. Performance Warranty for 25 years: All PV modules should carry a
performance warranty of >90% during the first 10 years and >80% during
the next 15 years. Further, module shall have performance warranty of
>97.5% during the first year of installation. Linear Degradation of
module should not be more than 0.8 % per annum.

n. Product / Workmanship Warranties: The manufacturer should warrant
the Solar Module(s) to be free from the defects and/or failures specified
below for a period not less than ten (10) years from the date of
manufacturing. Material Warranty is defined as: The manufacturer
should warrant the Solar Cells and Modules to be free from the defects
and/or failures specified below:
• Defects and/or failures due to manufacturing
• Defects and/or failures due to materials
• Non-conformity to specifications due to faulty manufacturing
and/or inspection processes.

If the solar Cells and Modules fail to conform to this warranty, the
manufacturer will repair or replace the solar modules as per contract
terms.

o. The bidder shall provide the data sheet and technical specifications for
the offered PV cells and modules. The bidder shall furnish electrical
characteristics such as current-voltage (I-V) performance curves and
temperature coefficients of power, voltage and current of the proposed
modules.

7.3 Module mounting/array structure:

Supply, installation, erection and acceptance of module mounting structure


(MMS) with all necessary accessories, auxiliaries and spare parts shall be in the
scope of the bidder.

a. The Mounting structure shall be so designed to withstand the speed of


180 km/hr for the wind zone of the location where a PV system is to be
installed in Kolkata.
b. Suitable fastening arrangement such as grouting and calming should be
provided to secure the installation against the specific wind speed.

c. Structural material shall be corrosion resistant and electrolytically
compatible with the materials used in the module frame, its fasteners, nuts
and bolts.
d. Aluminium structures that are coated or anodised are preferred that offer
necessary protection towards rusting.
e. The fasteners used should be made up of stainless steel. The structures
shall be designed to allow easy replacement of any module. The array
structure shall be so designed that it will occupy minimum space without
sacrificing the output from the SPV panels.
f. Regarding civil structures the bidder need to take care of the load bearing
capacity of the roof and need arrange suitable structures based on the
quality of roof.
g. NOTE:-Roofs of Instakart buildings are laid with Kirby Standing seam -
0.61mm thick- bare galvalume sheets and the slope is 1:38.1.It has 50
years structural stability and the load bearing of roof is 0.2kN/m2 for false
ceiling and 0.3 kN/m2 for solar.
h. The parameters of prevailing wind speed, floor/roof conditions, load, and
upward lift should be taken in to consideration while preparing the
design.
i. PV array structure shall be designed and positioned such that the PV
modules are completely shadow-free solar during generation hours
j. The bidder shall provide the data sheet and technical specifications for
the offered structures

7.4 Junction Boxes (JBs):

The junction boxes are to be provided in the PV array for termination of


connecting cables.

a. The Junction Boxes (JBs) shall be made of GRP/FRP/Powder Coated


aluminium/cast aluminium alloy with full dust, water & vermin proof
arrangement. All wires/cables must be terminated through cable lugs.
The JBs shall be such that input & output termination can be made

through suitable cable glands. Suitable markings shall be provided on the
bus bars for easy identification and cable ferrules will be fitted at the cable
termination points for identification.
b. Copper bus bars/terminal blocks housed in the junction box with suitable
termination threads Conforming to IP65 standard and IEC 62208 Hinged
door with EPDM rubber gasket to prevent water entry. Single /double
compression cable glands.
c. For array junction box/ PV combiner box, Empanelled Agency may also
provide polyamide glands and MC4 Connectors. The rating of the
junction box shall be suitable with adequate safety factor to interconnect
the Solar PV array.
d. Each Junction Box shall have High quality Suitable capacity Metal Oxide
Varistors (MOVs) / SPDs, suitable Reverse Blocking Diodes. The
Junction Boxes shall have suitable arrangement monitoring and
disconnection for each of the groups.
e. Suitable markings shall be provided on the bus bar for easy identification
and the cable ferrules must be fitted at the cable termination points for
identification.
f. Junction boxes shall be mounted on the MMS such that they are easily
accessible and are protected from direct sunlight and harsh weather.

7.5 DC distribution box (DCDB):

a. DC Distribution Box (DCDB) to receive the DC output from the PV array


field.
b. DC DBs shall be dust & vermin proof conform having IP 65 protection.
c. The bus bars are made of EC grade copper of required size. Suitable
capacity MCBs/MCCB shall be provided for controlling the DC power
output to the PCU along with necessary surge arrestors.

7.6 AC distribution box (ACDB):

a. AC Distribution Panel Board (DPB) shall control the AC power from
PCU/inverter, and should have necessary surge arrestors. Interconnection
from ACDB to mains at LT Bus bar while in grid tied mode.
b. All switches and the circuit breakers, connectors should conform to
IEC60947:2019, part I, II and III/ IS60947 part I, II and III.
c. The changeover switches, cabling work should be undertaken by the
bidder as part of the project.
d. All the Panel’s shall be metal clad, totally enclosed, rigid, floor mounted,
air -insulated, cubicle type suitable for operation on three phase / single
phase,415 or 230 volts, 50 Hz.
e. The panels shall be designed for minimum expected ambient temperature
of 50 degree Celsius, 90 percent humidity and dusty weather.
f. All indoor panels will have protection of IP54 or better. All outdoor
panels will have protection of IP65 or better.
g. Should conform to Indian Electricity Act and CEA safety regulations (till
last amendment).

7.7 PCU/Inverter:

The String Inverters for this project shall be sourced from a renowned
manufacturer of Solar Inverters which have been used in multiple projects in
India in the recent past as well. The inverters come with following features:

(i) High efficiency >98.2%


(ii) MPPT tracking
(iii) Operating temperature 50 0C
(iv) Suitable to tropical climate like in India
(v) Islanding features.
(vi) High reliability

In addition
a. The inverter shall have an RS-485 interface and support communication
of its operational parameters and logs over Modbus protocol. The register

mapping/memory mapping of the inverter data shall be made available
by the Empanelled Agency from the inverter supplier to the
WBSEDCL/OWNER.
b. Three phase PCU/ inverter shall be used with Project above 6KW and
c. In case of 6 KW or less Capacity single phase inverter shall be used.
d. PCU/inverter shall be capable of complete automatic operation including
wake-up, synchronization & shutdown.
e. The output of power factor of PCU/ inverter is suitable for all voltage
ranges or sink of reactive power, inverter should have internal protection
arrangement against any sustain fault in feeder line and against the
lightning on feeder.
f. Built-in meter and data logger to monitor Project performance through
external computer shall be provided.
g. The power conditioning units / inverters should comply with applicable
IEC/equivalent BIS standard for efficiency measurements and
environmental tests as per standard codes IEC 61683/IS 61683 and IEC
60068-2(1,2,14,30) /Equivalent BIS Std.
h. The charge controller (if any) / MPPT units environmental testing should
qualify IEC 60068-2(1, 2, 14, 30)/Equivalent BIS std. The junction
boxes/enclosures should be IP 65(for outdoor)/ IP 54 (indoor) and as per
IEC 529 Specifications.
i. The PCU/ inverters should be tested from the MNRE approved test
centres /NABL /BIS/IEC accredited testing- calibration laboratories. In
case of imported power conditioning units, these should be approved by
international test houses. Valid type test report shall be submitted by the
empanelled agency before commissioning of the SPV System.
j. All inverters shall be IEC 61000 compliant for electromagnetic
compatibility, harmonics, Surge, etc.
k. Maximum Power Point Tracker (MPPT) shall be integrated in the
PCU/inverter to maximize energy drawn from the array.
l. The PCU/ Invertor shall have overloading capacity of minimum 15%.

m. The bidder shall provide the data sheet and technical specifications for
the offered inverters

7.8 Integration of PV power with grid:

The output power from SPV would be fed to the inverters which converts DC
produced by SPV array to AC and feeds it into the main electricity grid after
synchronization. In case of grid failure, or low or high voltage, solar PV system
shall be out of synchronization and shall be disconnected from the grid. Once the
grid comes into service PV system shall again be synchronized with grid supply
and load requirement would be met to the extent of availability of power. 4 pole
isolation of inverter output with respect to the grid power connection need to be
provided, as per regulation.

Bidder should ensure synchronisation of Off Taker’s DG set with solar rooftop
system.

7.9 Data Acquisition System / Plant monitoring:

Data Acquisition System shall be provided for solar system. Remote Monitoring
and data acquisition through Remote Monitoring System software at the Bidders
location with latest software/hardware configuration and service connectivity for
online / real time data monitoring/control complete to be supplied and operation
and maintenance/control to be ensured by the CP.

The bidder shall provide the data sheet and technical specifications for the offered
plant monitoring systems.

7.10 Metering:

a. The bi-directional electronic energy meter (0.5 S class) shall be installed


for the measurement of Import/Export of energy in co-ordination with
WBSEDCL.
b. The bidder must take approval/NOC from the Concerned WBSEDCL for
the connectivity, technical feasibility, and synchronization of SPV plant
with distribution network before commissioning of SPV plant.

c. Reverse power relay shall be provided by bidder (if necessary), as per the
local WBSEDCL requirement.

7.11 Protections

The system should be provided with all necessary protections like earthing,
lightning, and grid islanding as follows:

a. Lightning protection:
The SPV power plant shall be provided with lightning & over voltage
protection. The main aim in this protection shall be to reduce the over
voltage to a tolerable value before it reaches the PV or other sub system
components. The source of over voltage can be lightning, atmospheric
disturbances etc. The entire space occupying the SPV array shall be
suitably protected against Lightning by deploying required number of
Lightning Arrestors. Lightning protection should be provided as per
IEC62305 standard. The protection against induced high-voltages shall
be provided using metal oxide varistors (MOVs) and suitable earthing
such that induced transients find an alternate route to earth.
b. Surge protection
Internal surge protection shall consist of three MOV type surge-arrestors
connected from +ve and –ve terminals to earth (via Y arrangement).
c. Earthing protection
Each array structure of the PV yard should be grounded/ earthed properly
as per IS:3043- 1987. In addition, the lighting arrester/masts should also
be earthed inside the array field. Earth resistance shall not be more than
0.5 ohms. It shall be ensured that all the earthing points are bonded
together to make them at the same potential. All the earthing required as
per the technical specifications should be maintenance free earthing.
i. Each array structure of the PV yard, LT power system, earthing
grid for switchyard, all electrical equipment, inverter, all junction
boxes, etc. Shall be grounded properly as per IS 3043-1987. All

metal casing/ shielding of the plant shall be thoroughly grounded
in accordance with CEA Safety Regulation 2010 .
ii. Each string/ array and MMS of the plant shall be grounded
properly. The array structures are to be connected to earth pits as
per IS standards.
iii. Necessary provision shall be made for bolted isolating joints of
each earthing pit for periodic checking of earth resistance.
iv. The complete earthing system shall be mechanically and
electrically connected to provide independent return to earth.
v. Earthing bus bar shall be terminated at both ends of the
switchgear to suit the connections to outside earthing conductor.
All components and the module are required to be earthed
individually and are to be looped and connected to the earthing
grid.
vi. Separate earth pits shall be prepared for equipment body earthing.
Lightning arrestor earth pits and equipment earth pit are to be kept
separate.
vii. Earthing system shall consist of earth grids and electrodes buried
in soil in the premises, embedded in concrete inside the
buildings/rooms to which all the electrical equipment, metallic
structures are connected to have earth continuity for safety
reasons.
viii. The earthing shall be maintenance free type earthing and shall be
done through at least 1.5-meter Electrode.
d. Grid islanding:
i. In the event of a power failure on the electric grid, it is required
that any independent power-producing inverters attached to the
grid turn off immediately. This prevents the DC-to-AC inverters
from continuing to feed power into small sections of the grid,
known as “islands.” Powered islands present a risk to workers
who may expect the area to be unpowered, and they may also

damage grid-tied equipment. The Rooftop PV system shall be
equipped with Anti islanding features. In addition to
disconnection from the grid (due to islanding protection)
disconnection due to under and over voltage conditions shall also
be provided.
ii. A manual disconnects 4 / 2 pole isolation switch (RCCB may
also be used) beside automatic disconnection to grid would have
to be provided at utility end to isolate the grid connection by the
utility personnel to carry out any maintenance.

The bidder shall provide the data sheet and technical


specifications for the offered protection systems.

7.12 Cables:

Cables of required size to be used in the system shall have the following
characteristics:

a. Shall meet IEC 60227/IS 694, IEC 60502/IS1554 standards


b. Temp. Range: –10°C to +80°C.
c. Voltage rating 660/1100V
d. Excellent resistance to heat, cold, water, oil, abrasion, UV radiation and
Flexible
e. Sizes of cables between array interconnections, array to junction boxes,
junction boxes to Inverter etc. shall be so selected to keep the voltage drop
(power loss) of the entire solar system to the minimum. The cables (as
per IS) should be insulated with a special grade PVC compound
formulated for outdoor use.
f. Cable Routing/ Marking: All cable/wires are to be routed in a RPVC pipe/
GI cable tray and suitably tagged and marked with proper manner by
good quality ferule or by other means so that the cable easily identified.
g. The Cable should be so selected that it should be compatible up to the life
of the solar PV panels i.e. 25 years.

h. The ratings given are approximate. All the cables required for the plant
are to be provided by the bidder. Any change in cabling sizes if desired
by the bidder/approved after citing appropriate reasons.
i. Multi Strand, Annealed high conductivity copper conductor PVC type
‘A’ pressure extruded insulation or XLPE insulation. Overall PVC/XLPE
insulation for UV protection armoured cable for underground laying. All
cable trays including covers to be provided.
j. All cables conform to latest edition of IEC/equivalent BIS Standards as
specified below:

vi. The bidder shall provide the data sheet and technical
specifications for the offered cables/

7.13 Connectivity:

The maximum capacity for interconnection with the grid at a specific voltage
level shall be as specified in the WBERC regulation for Grid connectivity and
norms of WBSEDCL and amended from time to time.

7.14 Drawings & manuals:

a. Two sets of Engineering, electrical drawings and Installation and O&M
manuals are to be provided to beneficiary. Agency shall upload scanned
copies of complete technical datasheets for each equipment giving details
of the specifications along with make/makes along with basic design of
the Project and power evacuation, synchronization along with protection
equipment on the Web portal of Solar Roof top before commissioning.
b. ISI marked (wherever applicable) and reputed makes equipment be used

7.15 Solar PV system on the rooftop:

The Solar PV system on the rooftop of the premises will be installed for PV
capacity permitted by WBSEDCL as per regulation issued by WBERC.

7.16 Safety measures:

The bidder shall take entire responsibility for electrical safety of the installation(s)
including connectivity with the grid and follow all the safety rules & regulations
applicable as per Electricity Act, 2003 and CEA Safety Regulation 2010 etc.

7.17 Documentation:

Operation & Maintenance manual / user manual shall be supplied along with
Project. The manual shall include complete system details such as array lay out,
schematic of the system, inverter details, working principle etc. Step by step
maintenance and troubleshooting procedures shall be given in the manuals and
provided to the beneficiary.

7.18 Shadow analysis:

The shadow analysis of each site must be carried out by Bidder and shall be his
responsibility to educate the user to install the system only in shadow free space.
Lower performance of the system due to shadow effect shall be the responsibility
of the bidder and shall be liable for penalty for lower performance

7.19 Performance ratio:

The Performance Ratio of Grid Connected Systems shall be more than 75%
throughout the PPA period, and necessary efforts shall be made to achieve it by
the bidder.

7.20 Quality certification, standards and testing for Project


Quality certification and standards for grid-connected rooftop solar PV systems
are essential for the successful implementation. Hence, all components of Project
must conform to the relevant standards and certifications.

The Self certified Test Report(s) of each of the components/ systems


mentioned shall be submitted before starting system installation by Bidder.

8. SCOPE OF WORK AND GENERAL CONDITIONS FOR BIDDERS AND OFF


TAKER

8.1 Scope of Bidder:

a. Design, finance, engineer, supply, install, test and commission Project as


per standard design and specifications mentioned in clause 7 , connecting
up to existing Mains and interfacing with Off Taker’s electrical loads
along with O &M for period of twenty five (25) Operational Years.
b. Bidder shall obtain all the necessary approvals from Chief Electrical
Inspector / WBSEDCL/relevant state and central departments at
appropriate stages (prior to construction, commissioning, operation and
maintenance, decommissioning) at its own cost for entire period of
contract
c. Bidder shall be responsible for all the works related to Commissioning
and operation for twenty-five (25) operational years. In no case, Off taker
shall be responsible to pay or bear increase in tariff for any work related
to Project
d. Bidder shall obtain all required permits (one time/ periodic), approvals
and compliance to applicable statutes
e. Bidder shall at its own cost ensure procurement and installation of power
evacuation system if required for connectivity of the Project

f. Bidder shall ensure that for inspection, measurement, construction,
operation and maintenance, clearance must be taken from Off taker,
before undertaking such activities
g. Bidder shall ensure constant monitoring of Project in order to ensure
maximum power generation
h. It is clarified that the projects awarded under this RFP would not include
energy storage with rooftop solar project. However, if Bidder desires to
have such arrangement, it would need to pay separately for the battery
storage, and associated change in design and civil and electrical works.
Such arrangement would not affect the tariff discovered under this RFP.

8.2 General conditions for Bidders:

a. Danger boards should be provided as and where necessary as per IE rules


as amended up to date.
b. Bidder shall ensure availability of adequate arrangement for firefighting
consisting of portable fire extinguishers and sand buckets at their
installation of Project.
c. Bidder shall take entire responsibility for safety (incl. Electrical safety of
the installation connectivity with the grid) and follow all the rules and
regulations applicable as per Electricity Act 2003 and CEA guidelines.
d. On award of contract, Bidder must ensure good quality housekeeping and
cleanliness of the installations
e. All material storage and security shall be Bidder’s responsibility. Off
Taker shall provide suitable space for storage of material during
construction/ erection stage
f. Bidder shall set up their required water spraying system or cleaning
system for periodic cleaning of the solar PV panel. No open discharge of
contaminated water shall be allowed.

8.3 Scope of Off Taker:

a. Off Taker shall provide all required information and data as may be
required for design and operation of proposed solar rooftop installation,
on a mutually agreed basis
b. Power, water and any other utility will not be provided for erection and
commissioning of the Project. Power and water subject to availability
shall be provided once the Project is commissioned and operational.
c. Off Taker shall supply such water subject to availability once the Project
is commissioned and operational free of cost, excess drawl beyond
mutually agreed limit is chargeable
d. Auxiliary power supply @ 415 V ,3 phase shall be provided by Off Taker
with appropriate metering arrangement for operation and maintenance on
mutually agreed terms and conditions
e. All approvals for HT connection, DG power or related installations from
CEIG or WBSEDCL for warehouse will be obtained by Off Taker

9. MISCELLANEOUS

9.1 The Bidding Process shall be governed by, and construed in accordance with, the
laws of India and the Courts at West Bengal shall have exclusive jurisdiction over
all disputes arising under, pursuant to and/ or in connection with the Bidding
Process

9.2 The Off Taker, in its sole discretion and without incurring any obligation or
liability, reserves the right, at any time, to;

a. suspend and/ or cancel the Bidding Process and/ or amend and/ or


supplement the Bidding Process or modify the dates or other terms and
conditions relating thereto;
b. consult with any Bidder in order to receive clarification or further
information;
c. retain any information and/ or evidence submitted to the Off Taker by, on
behalf of, and/ or in relation to any Bidder; and/ or

d. independently verify, disqualify, reject and/ or accept any and all
submissions or other information and/ or evidence submitted by or on

9.3 It shall be deemed that by submitting the Bid, the Bidder agrees and releases the
Off Taker, its employees, agents and advisers, irrevocably, unconditionally, fully
and finally from any and all liability for claims, losses, damages, costs, expenses
or liabilities in any way related to or arising from the exercise of any right and/ or
performance of any obligations here under, pursuant hereto and/ or in connection
herewith and waives any and all right and/ or claims it may have in this respect,
whether actual or contingent, whether present or future

1. The Bidder should provide the Financial Capacity based on its own or the Parent
Company/Affiliate’s financial statements. For the purpose of Financial Capacity, the
Bidder may, in addition to its own net worth, provide net worth of any other Parent

the Bidder and the net worth of the Parent Company/Affiliates. In case the Bidder

2. For conversion of US Dollars to Rupees, the rate of conversion shall be exchange rate
as on the Bid Due Date as issued by Reserve Bank of India.
Instructions:

A. The Bidder shall provide a statutory Auditor’s Certificate specifying the net-worth and
turnover of the Bidder and specifying the methodology adopted for calculating such
net-worth and turnover. In addition to the Statutory Auditor Certificate, the Bidder shall
provide the Audited Annual Report / Audited Financial Statement of the Bidder.
B. The Bidder shall attach copies of the balance sheets, financial statements and Annual
Reports / Audited Financial Statement as the case may be. The Audited Financial
Statement/ Audited Annual Report shall:

i. reflect the financial situation of the Bidder and its Parent Company/Affiliate s
where the Bidder is relying on its Parent Company/Affiliate’s financials;
