AGREEMENT

KNOW ALL MEN BY THESE PRESENTS :

This AGREEMENT, made and executed by and between:

MA. NATIVIDAD D. ENRIQUEZ, single, of legal age, Filipino and


resident of Labuan, Zamboanga City, hereinafter called the Owner-Vendor;

GLADYS Z. FRANCISCO, of legal age, widow, Filipino and a resident of


Labuan, Zamboanga City, hereinafter called the Vendee-Vendor,

SPS. WILLIAM ROSETE CORPUZ and OLIVIA E. CORPUZ, all of legal


age, Filipinos and a residents Dairit Street, Labuan, Zamboanga City; hereinafter called
the Vendee,

W I T N E S S E T H:

WHEREAS, the Owner-Vendor is the owner of the following parcel of land :

A parcel of land ( Lot 4532-D-2-A) of the subdivision


plan, Psd-09-050310, being a portion of Lot 4538-D-2, Psd-09-
045357, situated in the Barangay of Labuan Zamboanga City, containing
an area of TWO HUNDRED NINE (209) Square Meters, with
improvements found thereon,

covered by Transfer Certificate of Title No. 179,440;

WHEREAS, on May 05, 2006, the Owner-Vendor sold to the Vendee-Vendor his above-
described parcel of land as per that Deed of Absolute Sale executed before Notary Public
Reynaldo Villena and entered in his notarial registry as Doc. No. 390, Page No. 78, Book No. 36,
Series of 2006.

WHEREAS, the Owner-Vendor and Vendee-Vendor agreed to cancel their said Deed of
Absolute Sale,

WHEREAS, the Vendee-Vendor is selling the same Lot 4538-D-2-A to the Vendee

WHEREAS, in order to simplify the matter and cut on additional expenses, the parties
hereto agreed to the following:

1. That the Owner-Vendor shall execute a Deed of Absolute Sale over the above-
described parcel of land in favor of the Vendee,

2. That the Owner-Vendor and Vendee-Vendor hereby cancel the said Deed of
Absolute Sale over the above-described parcel of land,

3. That the Vendee-Vendor hereby acknowledge the receipt from the Vendee, the
selling price of EIGHT HUNDRED THOUSAND (Php800,000.00) Pesos,

AFFIDAVIT OF ADJUDICATION BY SOLE HEIR

I, GLADYS Z. FRANCISCO, of legal age, widow, Filipinos and resident of Labuan,


Zamboanga City, Philippines, after being sworn to in accordance with law, depose and say :

That I am the sole and only surviving heir, being the legal wife of the Late EDWIN P.
FRANCISCO, who died intestate in Zamboanga City, on ____________________, leaving
the following parcel of land, together with the Residential House erected thereon, as his estate,
to wit :

A parcel of land ( Lot 4532-D-2-A) of the subdivision plan, Psd-09-


050310, being a portion of Lot 4538-D-2, Psd-09-045357, situated in
the Barangay of Labuan Zamboanga City, containing an area of TWO
HUNDRED NINE (209) Square Meters, with improvements found
thereon,

covered by Transfer Certificate of Title No. 179,440;

That there are no known debts due against the estate of the said decedents

That pursuant to Rule 74, Section 1, of the Rules of Court, I hereby adjudicate unto
myself the above described estate by means of this Affidavit without any need of judicial
proceeding as prescribed by law.

CANCELLATION OF DEED OF ABSOLUTE SALE

KNOW ALL MEN BY THESE PRESENTS:

This Cancellation of Deed of Absolute Sale, made and entered this ____ day of ________, by and
between:

MA. NATIVIDAD D. ENRIQUEZ, of legal age, Filipino, single, and with residence address at
Labuan, Zamboanga City, and hereinafter referred to as the SELLER;

and

GLADYS Z. FRANCISCO, of legal age, Filipino, widow, and with residence address at Labuan,
Zamboanga City, hereinafter referred to as the BUYER.

WITNESSETH: THAT

WHEREAS, on May 05, 2006 the parties executed a Deed of Absolute Sale over a parcel of land
Lot 4538-D-2-A registered as TCT 179,440 in the Registry of Deeds of Zamboanga City, which
transaction was entered into in the notarial book of Notary Public Reynaldo Villena. as Doc. No. 390;
Page No.78; Book No.36; Series of 2006, a copy of which is hereto attached as Annex A;

WHEREAS, the parties wish to CANCEL, RESCIND and ANNUL said Deed of Absolute Sale and
declare the same VOID AB INITIO for failure of the BUYER to transfer in her name and said property will
be entering into third party agreement evidenced by an Agreement which transaction was entered into in
the notarial book of Notary Public _______________. as Doc. No. ____; Page No.____; Book No.____;
Series of ____, a copy of which is hereto attached as Annex B;

NOW, THEREFORE, in consideration of the foregoing premises, the parties hereby


unconditionally CANCEL, RESCIND, ANNUL and declare VOID AB INITIO and without legal effect
whatsoever the Deed of Absolute Sale executed by the parties on May 05, 2006.

RESOLVED FURTHER, that parties agree to return to status quo ante whereby SELLER shall return the
consideration given by BUYER to SELLER, and BUYER shall return all original documents under its
possession to SELLER or to SELLER’s designated personnel.

IN WITNESS WHEREOF, the parties have hereunto signed this CANCELLATION OF DEED OF
ABSOLUTE SALE this _____ day of ____________ at the date and place first above mentioned.
