DEED OF SALE IN INSTALLMENT

KNOW ALL MEN BY THESE PRESENTS:

This deed is executed by and among:

I, HERMEHILDA S. TALEON, Filipino, single, of legal age,


and resident of Tabok-tulay, Minaog, Dipolog City, hereinafter referred
to as FIRST PARTY;

MICHAEL ROBERT M. VALENCIA, Filipino, of legal age,


married and a resident of 247 Gen. Luna St., Malanday, San Mateo Rizal,
as SECOND PARTY;

WHEREAS, the FIRST PARTY is an owner of a parcel of land


hereinafter described as follows:

A parcel of land known as P-1017, bounded on the NE,


along line 1-2 by Lot 2854-A-6, PSD-09-025555; on the SE along line 2-
3 by Public land; on the SW along line 3-4 by Bank Protection (20.00 m.
wide); on the NW along line 4-5 by Lot F-097202-002127 and on the NE
along line 5-1 by Lot 2854-A-9, PSD-09-025553; containing an area of
ONE THOUSAND SEVEN HUNDRED TWELVE (1,712) SQUARE
METERS, more or less, situated at Minaog, Dipolog City."

WHEREAS, the SECOND PARTY is interested to acquire a


portion the land of the FIRST PARTY as above-described equivalent to
TWO HUNDRED (200) SQUARE METERS only and the FIRST
PARTY is willing to dispose said portion of land;

NOW, THEREFORE, for and in consideration of the sum ONE


HUNDRED SIXTY THOUSAND (P 160,000.00) PESOS, Philippine
Currency, to be paid by the SECOND PARTY; the said FIRST PARTY
hereby sell, cede, transfer and convey by way of SALE ON
INSTALLMENT, a portion of the above-described parcel of land in an
aggregate area of TWO HUNDRED (200) Square Meters, in favor of said
SECOND PARTY, her heirs and successors-in-interest, free from all
liens and encumbrances, under the following terms and conditions:

1. That the SECOND PARTY shall give the FIRST PARTY the amount
of SEVENTY THOUSAND (P70,000.00) PESOS upon execution of the
document;

2. MONTHLY INSTALLMENTS of a minimum of FIVE THOUSAND


PESOS (P5,000.00) OR MORE.
WHEREAS, for this purpose, the SECOND PARTY, BY
HIMSELF, or another, as he hereby names, constitutes and appoints
ROBERTO VALENCIA, Filipino, of legal age, married, and a resident
of Tabok-tulay, Minaog, Dipolog City, to be his lawful attorney-in-fact,
for him and in his name, place and stead.

Whereas the FIRST PARTY hereby gives and grants unto his said
attorney-in-fact full power and authority to do and perform every act and
thing whatsoever requisite and necessary to be done in and about the
premises, as fully to all intents and purposes as he might or could do if
personally present, hereby ratifying and confirming all that the said
attorney-in-fact shall lawfully do or cause to be done by virtue of these
presents;

2. That the remaining amount of the purchase price of Nine Hundred


Fifty Thousand (P950,000.00) Pesos shall be fully paid by the SECOND
PARTY within two (2) years from date hereof or after the title to the said
property shall be released after its reconstitution;

3. That after the SECOND PARTY shall have fully paid the purchase
price, the FIRST PARTY shall execute a Deed of Absolute Sale in favor
of the SECOND PARTY;

4. That the SECOND PARTY shall be the one to shoulder the payment of
the Capital Gains Tax and Documentary Stamp Tax and other fees with
the Bureau of Internal Revenue (BIR) and all other necessary fees or
charges, which fees or charges shall be deducted from the purchase price;
5. That the FIRST PARTY and the SECOND PARTY warrant peaceful
and harmonious possession of the lands subject of the sale; that no other
claims laid thereon by persons other than the parties herein.

this 18th day of January, 2012, at Dipolog City, Philippines.
