SPECIAL POWER OF ATTORNEY

KNOW ALL MEN BY THESE PRESENTS:

TEODORICO V. ANGCAYA married to FELECITAS M. ANGCAYA, both of

legal ages, Filipino Citizen, and with residence address at Salaban, Amadeo, Cavite,
have by these presents NAME, CONSTITUTE and APPOINT son-inlaw, ELMER
JECIEL VERGARA, of legal age, married, Filipino citizen with residence address at
Salaban, Amadeo, Cavite, to be my true and lawful attorney-in-fact for me and in
my name, place and stead, to do and perform any or all of the following acts and
things, to wit:

To sell, mortgage and loan my real estate property located at Salaban,

Amadeo, Cavite covered by Tax Declaration No. 02 0024 00270
with an area of THREE THOUSAND EIGHT HUNDRED SEVENTEEN
(3,817) square meters;

To transact, process, negotiate and arrange all the transactions pertaining to

the aforesaid properties any prospective buyers and any private or
government entities;

To receive the amount in cash or in check to paid under my name as the

proceeds of the sale of the said parcel of land to any prospective buyer;

To make, sign, execute, and deliver contracts, documents, agreements, deed

of absolute sale and other writings of whatever nature or kind, with any and
all third persons, concerns, or entities, upon terms and conditions acceptable
to our said attorney;

To delegate in whole or in part any or all of the powers herein granted or

conferred, by means of an instrument in writing, in favor of any third person
or persons whom our said attorney may select;

HEREBY GIVING AND GRANTING unto the said attorney full power and
authority whatsoever requisite or necessary or proper to be done in and about the
premises as fully to all intents and purposes as I might or could lawfully do if
personally present, with power of substitution and revocation, and hereby, ratifying
and confirming all that my said attorney or their substitute shall lawfully do or
cause to be done under and by virtue of this presents.-in-Fact full power and
authority to do any and every act whatsoever necessary and proper to be done as
fully to all intents and purposes as I might or could do if personally present and
acting in person and HEREBY RATIFYING AND CONFIRMING all that my said
attorneys should lawfully do and cause to be done under and by virtues of these
presents.
