WHEREAS, Keep Pets Diva (KPD) Corporation is a duly registered

corporation with the Securities and Exchange Commission, with principal
place of business at Brgy. Daro, Dumaguete City, Philippines;

RESOLVED, that in the special meeting of KPD CORPORATION

held at Daro, Dumaguete City, Negros Oriental it was agreed and
unanimously approved by the Board of Directors to give the Dumaguete
Branch Manager, Mr. Ian Rodriguez authority to open and enroll a bank
account in BDO Unibank, Inc. (BDO) Philippines, Dumaguete Branch located
in Colon, Dumaguete City, Negros Oriental;

RESOLVED, FURTHER, the Board agreed that such authority

granted to Mr. Ian Rodriguez include, among others, to sign and execute
documents, to process application for any requirements thereof;
